I amhonoured to be elected as theChairmanof AmCham India for theyear2016-17atitsrecentlyconcluded24thAGM.ThisisaspecialyearasAmChamhascompleted24yearsofIndia-U.S.businesspartnership.

Duringthelast24years,thechamberhasbeenattheforefrontofsupportingevergrowingtradebetween IndiaandtheUnitedStates,whichtoppedarecord$108billionduring2015.TheU.S.hasalsobeenamongstthetopfiveinvestorsinIndiaandthepresenceofU.S.companiescanbeseeninalmostallareasofbusiness.

AmCham member companies have contributed significantly towardsemployment generation, exports, skill development, research anddevelopment, innovation and technology exchange, and participated inCSR activities in India. AmCham has recently brought out a publication“HappilyGoingMiles for Their Smiles” showcasing theCSR activities ofAmericancompanies.

AsChairman,mygoalwillbetosteerthechambertowardsstrengtheningU.S.industry’sengagementinfocusareasoftheGovernmentofIndiasuchas manufacturing, digital connectivity, smart cities, infrastructure build,skilldevelopment,entrepreneurship,and innovation. Given India’sstronggrowth outlook and compelling demographics, along with convergingstrategicinterestswiththeUnitedStates,thechamberiswellpositionedtopartnerwiththeIndianandtheUnitedStatesgovernmentstohelprealizethefullpotentialofIndo-U.S.cooperationinthecomingyears.

oneducation,sheencouragedeveryonetoalsokeepskilldevelopmentandhealthcareattheforefrontofgovernment

discussions,asthosecoreareasofsocialinfrastructureneeddevelopmentforthenationtoprogress.Sheremarked

thatithasbecomeincreasingclearthatnewandemergingecosystemshavetocometogethertodeliverthesesolutions.

Itisasteppingstonetotheindustrialpartoftheeconomyandisinaveryimperativestagewherepeoplearetalking

andrealizingtheimportanceofit.Itisalsoevidentfromthefactthatbudget2016gavedueimportancetoagriculture.

Dr. Ashok Gulati,Professor forAgriculture, ICRIER,givingan Indianworldview,mentionedthatunderstandingthe

demandandsupplyisveryimportantandwhatisequallyimportantisthepressurewhichisgoingtomountonproviding

foodsecurityandonthefarmersbytheconsumers.AnaverageIndianhousehold,wherethemonthlyfoodbudget

spendis45%,andwiththecurrentGDPgrowthof7%perannumand6%growthinpercapitaincome,thesituationis

goingtomanifoldtill2021.

In themedium to long run,wearegoing tohavemassivedemand for food, feedandfiber.Highvalueagriculture

products(milk,meat,proteins,andvitamins)aregoingtobeindemand.Thefutureofdemandisnotonlywheatand

riceorfarmingbutisavaluechainfromafarmertotheconsumer,platetotheplough,asconsumeristhekingand

hewillcreatethedemandforproduction.Dr.Gulatisaid,inthe60’sand70’s,peopleusedtoconsumewhateverwas

producedbutnowtheendconsumeristhekingandhewilldemandwhathewantstoeatandindustrywillhaveto

produce.

Better and cleaner policies are needed from reforming land leased markets and agricultural produce marketing

committee(APMC)markets.Controlsonrentseekingactivitiesandstockinglimithastobecleaned.TheEssential

CommoditiesActhas tobeeradicated tocleanup theoverallsystem.Dr.Gulatipointedout, thequestion is ifour

governmentisbraveenoughtocarryoutabroaderagendaandcleanupallthistobeabletoletthefarmerearnhis

duecreditandclimbuptheladderofsuccess.

FasalBimaYojna-aninterestingschemewaslaunchedbythegovernmentforfarmersandweareeagerlywaitingto

seehowitwillunfold.Similarlythenationalagriculturemarketiscreatedandisgoingintherightdirection.

Alsobringingbackthefocusontheconsumer,aconsumershouldhaveachoicetoaccessanythingfromanywhere.

Dr.GulatiemphasizedthatIndiahasthehighestmilkproductionintheworldbutwhatastonishesusisthatwearestill

utilizingonlylessthan20%throughorganizedsector,while80%isstillpending.ThisshowsthepotentialIndiahasand

wehavealongwaytogo.Variouscommoditiescanbediscussedinasimilarway.

Insummation,Dr.Gulati said,massiveamendmentsareneeded– institutionalchanges, infrastructuralchanges in

termsofFDI.Allishappening,thoughataslowpacebuthewashappytosharethatIndiaisonarightpath.Allweneed

isanoptimisticapproachforthesame.Perseveranceandbolderapproachistheneedofthehourandlearningthe

valuechainofprocessing,retailing,logisticsandevenexecutionholdsthekey.IndiahasstartedInfluencingnationally

andinternationallytoo.

Mr. Gokul Patnaik,Chairman,GlobalAgriSystemPvt.Ltd.,saidthatagricultureandthefoodprocessingindustrywerecomplimentarytoeachotherandonecouldnotbeaddressedwithouttheother.Healsobroughtouttheimportantroleprivatesectorcouldplayinincreasingthegrowthofthissectorintermsofproductivityandhowthecompaniescouldfacilitatethechainoffoodprocessing.TheIndianmarkethasdifferentrulesindifferentstates.Tointegrateallofit,itwasimportanttoimplement–GST,APMCActetc.

Mr.Patnaikdiscussedhowmoreandmorestatesfacechallengesinagriculturemarketingandhowthereislittleattemptatcreatinganationalagriculturalmarket.Tocreatesuccess,GSThastobeinconjunctionwiththenationalagriculturalmarket,togetherwiththeremovalofinterstatebarrierstotrade.Aproperregulatorymediumforsoilandwaterneedtobeputinplacealso.Waterpolicyisoneofthemostimportantpoliciesthatneedstobeaddressed.Infrastructureneedssuchasruralroadsandelectricityalsoneedstobeaddressed.

Mr. Ashwani Sharma,ChiefMerchandisingOfficer,Wal-Mart India,emphasizedthatforanefficientfarmtomarketprocessorconsumertofarmprocess,theconsumershouldgetfarmproducewhichistherightqualityattherightprice.Consumersshouldbeawareofalldeclarations(percentages,contents,certificationsandagriculturalprocesses)fortheproduce.Farmersinturnshouldgetadequateremunerationandalsohavetheabilitytochoosethemarkettheywanttosellto.

Theprivatesectorisveryhopefulontheencouragingpoliciesthathavebeenputinplaceorhavebeenannouncedorareintheprocessasitappearsencouragingtotheoveralldevelopmentinthefoodandagriculturesector.

Mr. Scott Sindelar,MinisterCounselorforAgriculturalAffairs,U.S.Embassy,saidthatagricultureandfoodprocessingstillseemtobeaneglectedpartoftheindustrialsector,especiallyforacountrylikeIndiawhereagriculturecanbeamorepoliticalissue.However,U.S.-Indiarelationshavecomealongwayintheagriculturesector.TheUSDAparticipatedinthestrategicandcommercialdialogue,tradepolicyreforms,andtheUSDASecretarybroughtadelegationtoIndiaandhadmanyseniorlevelengagementswiththeGOI.Thishasexceededexpectationsintermsofpolicyreformsandthegovernmenttogovernmentrelationship.ScottmentionedthatwiththesigningofanewMOUwiththeMinistryofAgricultureinIndia,ithashelpedtoaddressthechallengesoftheagriculturesector.ThiskindofMOUisasteppingstoneincommercialdialogueandthestartofanewphase.

U.S.exportsinagricultureandfoodproductstoIndiahasincreased$1billion,amilestone,andparticularlyin2015,U.S.exportstoIndiaasawholegrewby14%ascomparedtoadeclineinU.S.exportsintherestoftheworld.Scottsaid therearestillanumberofchallengeswhichcontinue to impact the relationship inagriculture,suchas legacypoliciesandregulationsfromthe50’sand60’s.Agriculturepoliciesintendedtosupportfarmersareinfactresultinginmisallocationoflandandwaterresources,andultimatelydistortcroppingpatterns.India’stradepoliciestoprotectfarmersareinsteadmisallocatingIndiannaturalresources.Indiacannotreachitsfullpotentialasanagriculturalpowerhousebecauseoftheseoldtradepolicies,whichresultinthesufferingoffarmers.

ScottemphasizedthatU.S.-Indiarelationsareataverypositivestateandthathascreatedawindowtocapturesomeoftheopportunitiesandpartnerwithprivatesectoronissuesrelatedtoclimatechangeandfoodsafety.

Panel Discussion on Infrastructure

TheopeningremarksweremadebyMr. Richard Rekhy.Hesaidthat India is thefastestgrowingeconomyaheadof China, yet infrastructure development remains the biggest challenge.With supporting dynamics such as goodmonsoon,GST,andgettingsomeoftheefficienciesbackintotheeconomyitcanpropelthecountrytowardsdoubledigitgrowth.TheGOIinthecurrentbudgethasmadeanallocationof2.2trillionrupeesintoinfrastructure,mainlyintoroadsandrailways.Richardemphasized that inorder to leverage theprivatesector, thereneeds tobe transparentpublic-private partnershipmodels, predictable regulatory environments, stable tax regimes, and strong intellectualpropertyprotectionthathelpsdrawforeigninvestments.

Fundingofinfrastructureprojectscontinuestobeachallengeinthecountry,Richardsaid.BankshavetheirlimitationsandcannotbealwayscountedontofundmegainfraprojectsandoftenlargeinfrastructurecompanieshavetobearhugeburdenofNPAs(non-performingassets)despitehavingbuilticonicmegastructuressuchasmodernairports.Themunicipalbondmarket,whichcouldsupportinfrastructure,isnon-existentinIndia.Theotherchallengeisinthedigitalspace.Disruptioncausedbytechnologydrivenplatformswillaugmentgrowthbutthechallengewillbetoseehowsecuretheenvironmentcanbemadeconsideringcybersecurityisemergingasseriouschallengetoensuringconfidentialityandsecuringpersonalinformationanddata.

ThekeywillbetodevelopdifferentiatedPPPmodels;governmentannouncementsneedtopercolatetopolicy;landacquisition lawsneedtransparencyandbetter regulationandoverarchingall these is thenecessityofenablingtheease-of-doing business environment. A lot of development has been seen in roads and highways and the smartcitiesprogramisabigpushinthedevelopmentofroads,highways,ports,railways,coastlineandinlandwaterways,renewableenergydevelopmentetc.

TheNHAIhasinitiatedworkon35,000kmsofnationalhighwaysandhasabout250projectsgoingacrossthelengthandbreadthofthecountry.OneparticularprojectinKashmirwillreducethetraveltimebetweenJammuandSrinagarbyfourandhalfhours,andwillhaveeighttunnels,oneofwhichwillbeabout9kms.Mr.Chandracontinuedontosay,ahugetaskliesaheadforNHAI,withabout60,000kmsof2-wayhighwaysthatneedtobemadeinto4-wayhighways,andanother20,000kmsofroadsneedtobeconvertedto4 lanes.Newstretchesneedtobe identifiedtoconnectcriticalcitiesandtheearliergoldenquadrilateralandthenorth-south-east-westcorridorneedstobefortifiedfurther.Interstatebottlenecksneedtoberemoved,adequatefeedernetworkshavetobedevelopedandawell-connectedgridstructureofroadsconnectedtohighwaysisneeded.

Mr.Chandraexplainedthatmorethana100projectswillbestartedthisyearandabout8,000-9,000kmsofroads.Forrealizingtheseambitions,NHAIwillpreparedetailedprojectreportsbytyingupwithtechnologyprovidersforuseofspatialtechnologyformonitoringandmanagingnationalhighways.

Public-privatepartnershipshavebeenlargelysuccessfulandabout60%ofNHAI’sworkinthepasthasbeendonein thePPPmodel.NewmodelssuchasEPCand thehybridannuitymodelarebeingadoptedandeffort isbeingmadeto reduce time taken toswitch toalternatemodes.Thepresentgovernmenthassimplified theprocedure forallowingchangesinmodelconcessionagreementtoprovidefurthertractiontoprojects.Thishasledtosubstantialenthusiasmamongindustrystakeholders.Thechallengeoffinancingremains,theNHAIdrawsitsfinanceslargelyfromthecessthatthegovernmentimposesonsaleoffuel,ontollcollectionsandalsoonbonds.ThisisseenasanareaofopportunityasthisyearNHAIexpectstoraiseabout60,000croresworthofbonds.

ExpresswaysarealsobeingprioritizedandNHAIhasawardedtheeasternperipheralexpresswayinHaryanaconnectingKondlitoManesar.Thiswillhavethebestautomatedtrafficmanagementsystems.DPRfortheVadodara-Mumbaiexpresswayisreadyforbeingbiddedout.Mr.ChandrainvitedparticipationfromU.S.companiestobidandgiventherobustexperienceofU.S.inhighwayconstruction,hefeltitwillbeasuitablematchofrequirementsfrombothsides.AnumberoffinancialincentivesforconcessionairesarebeingevolvedbyNHAIincludingencouragingdivestmentof

Johnconcludedbyhighlightingthatall infrastructureprojectsattheendoftheday,havetobecommerciallyviableprojectsandthecompanyhastomakemoney,whichiswellunderstoodbygovernment,butitisnoteasytoimplement.

Aruntouchedonthelackofrigorforriskidentification,riskallocationandhowriskmitigationleadstoeithertheprojectcomingtogriefor thecompaniescomingtogrief.Healso informedthatveryfewcompanies invest inconstructionassets and they only engage in subcontracting. All these factors are currently not being evaluated in the biddingprocess.

Anotheraspectwhichhurtstheconstructionprocessistheamorphousfocusonconstructionplanning.ConstructionproductivityinIndiaisonefourthofwhatcanbeachieved.Otherfactorstoaddtothisarelowpremiumsforsafety,housekeepingand facilities forworkersaswell as transportationofworkers.Hestrongly feels the issue lies in thebiddingsystemaswellas thecompanies thatbid. Ifcompanies fromtheU.S.whichhavebettermanagementareallowedtoplayagreaterrole,itwilldefinitelyhelpimprovethesituation.

AmCham supported the Government of Haryana andCIIasanassociatepartnerforthiseventheldfrom6th-8thMarch 2016 at the Leela Ambience, Gurgaon. TheHappening Haryana Global Investors Summit was theHaryanagovernment’sfirst-everconcertedefforttoattractglobalinvestorsintothestateanditprovedtobeagreatsuccesswiththesigningof357MoUsworthRs.5,84,000crore, and participation bymore than 3,000 delegates,including160from12partnerinternationalcountries,15UnionMinisters,globalCEOsandindustryleaders.

The summit aimed to establish Haryana as a premierinvestmentdestinationforbothforeignaswellasdomesticinvestors, develop strong macro-economic systemthroughequitableandsustainablegrowth,createjobsforthelocalpopulation,andprovideaplatformfornewideasandinnovationsforfutureinvestmentopportunitiesintothestate.

TheHaryanaChiefMinisterManoharLalsaid,“TheMoUsand thequantumofmoniesassociatedwith theMSMEsectorprovesourdedication to themediumandsmall-sizedbusinesses.Theamountofmoniescommittedisaproofofthesuccessofournewpolicyinitiatives,includingEnterprisePromotionPolicy2015.”

The valedictory session of the Happening Haryanasummit saw Union Minister for Road Transport andHighwaysandShipping,NitinGadkari,makingaslewof

announcements.Hesaidthatthecentrewouldundertake23 highway projects in the state within six months,entailing1,183kilometresandaninvestmentofoverRs.11,000crore.

He said that the centre would be investing Rs. 32,000crore in thenationalhighwayprojectsover thenext twoyears. Declaring the Gurgaon-Dwarka Highway as anational highway project, the Minister added that thegovernmentwouldbeinvestingmorethanRs.1,000croreforconstructingflyoversacrossGurgaon’sheavytraffic-proneareas.

The last session saw the state government launchingHaryanaSolarPolicy2016.ItwasdeclaredthatHaryanawould tweak its procurement policy to source at least20%ofPSUrequirementsfromMSMEs.

It was also announced that 18 cities across HaryanawouldbefundedunderthecentralplanofAMRUT(AtalMissionforRejuvenationandUrbanTransformation)andarailwaycoachfactorywouldbesetupoveranareaof120acres.

Thefocusareasofthesummitincluded:agricultureandfood processing, automotive Industry, aerospace anddefence, IT/ITeSandESDM, footwearandaccessories,pharmaceuticalsandchemicals, renewableenergyandtextiles.

The discussions revolved around “Make inIndia,”MROandregionalconnectivity,skilldevelopment,infrastructureandsecurityprotocols.

Suggestionsweremaderegardingactionsforenhancingregional connectivity – reduction of sales tax on VAT,developmentoflowcostairports,helipaddevelopments.For uplifting the stagnant MRO industry the primarysuggestion was to make available an aircraft spareparts warehouse, flexing off the tax regime and fix thechallenges faced due to lack of adequate space and

infrastructureat airports. ThesolutionssuggestedweretoapplyzerovatandzerorateofservicetaxonMRO’s,andthatsaleofpartsandconsumablescouldbebroughtunderdeclaredgoods.

Ms.AmadaKidwai,RegionalDirector,AmChamEasternRegion,openedthesessionbywelcomingtheaudienceand the panelists and said in her address that thetheme for International Women’s Day 2016 celebratedon 8th March was gender parity. Measures to reducelitigationwasthecryingneed.Abeginningwasmadeinthepreviousfinancialyear(2014-15)whentheMinistryofFinancedecidednottoappealtheverdictoftheBombayHighCourtinthematterofVodafoneIndiaServicesPvt.Ltd. that transfer pricing considerations do not applyto the transaction of issue of shares. 2015-16 showedcontinuation of the trendwhere the government took anumber of measures aimed at dispute minimization.Notable instanceswere;declarationofpolicy to reducenumberofdepartmentalappealstobefiledbysignificantlyincreasing monetary threshold of tax effect and evenwherethresholdswillbecrossedthefilingofappealswillbedecidedonmerits; declarationofpolicy thatbeforeintroduction of ‘buyback tax’ buyback considerationwouldnotbetreatedasdividend,etc.

On the administration front action has been started toimplement some of the recommendations of the TaxAdministration Reforms Commission. These concernmainlyrevampingadministrationandsetupoftheCentralBoardofDirectTaxesandCentralBoardofExciseandCustoms.

The last financial year also witnessed emphasis onnurturingentrepreneurship.Actionplanforstartupswaslaid down highlighting various initiatives and schemesto build a strong eco-system for nurturing innovationand empowering startups in the country. The actionplan proposes a 19-point action list which will enablesetting up of incubation centers, easier patent filing,tax exemption on profits, setting up a Rs.10,000 crore

Few financial years in the fiscal annals of India couldmatch 2015-16 in the speed and number of changesintroducedbythegovernmentinthedirecttaxfield.

Oneofthebiggestchallengesforthegovernmentwastocomeclearoftheperceptionthatithasalloweddirecttaxadministration tobecomea lawunto itself –ever readyto throwspannerat thewheelsofbusiness!Oneof themost importantsteps in thedirectionofclearing theairon that frontwas theMAT reform. Armedwith an AARruling the revenuewas relentlessly runningafter foreigncompaniesaskingthattheyshouldpayMATwhetherornottheyhadapresenceinIndia.Thegovernmentreferredthe matter to an expert committee and based on therecommendationofthecommitteeitwasfinallydecidedthatnoMATshouldapplyonaforeigncompanythathasno permanent establishment in India. Noticeable, thischangewasallowedtohaveretrospectiveeffect.

Direct taxadministrationand litigationhaveso farbeenand still largely are carried out in a very traditionalway; a notice is issued on paper, taxpayer is asked toappear in person, file its reply, again on paper and sotheprocessflows,muchlikeitusedtobeinthecolonialdays.Animportantinitiativein2015-16inthismatterwastorecognizee-mailasamodeofofficialcommunication.Tax officers now may send notices on e-mail andtaxpayersmayalsorespondone-mail,withouttheneedtopersonallyappearandfileexceptwhencircumstancesstrictly require personal appearance and filing. corpus fund, ease of setting-up of business, a fasterexit mechanism, among others. Budget 2016 echoedthisphilosophywhere it hasbeenproposed toprovideadeductionof100%ofprofitsderivedbyastart-upfromatechnologyorintellectualpropertybasedbusiness.Inorder to encourage indigenous research and to makeIndia a global research hub it has been proposed thatincome frompatentsdevelopedand registered in Indiawillbetaxedataconcessionalrateof10%.

Theprincipleofmoderationof taxrateswitheliminationof tax deductions and exemptions was already laiddown in the past. Applying that principle, reduced rateof25%isproposedtobeappliedoncompaniessetuponorafter1stMarch2016andengagedinthebusinessofmanufacturing. Further, tax rate of 29% is proposedfor companies that had turnover not exceeding INR50million during financial year 2014-15. Simultaneously ithasbeenproposedthatsunsetdatesprovidedinvariousexemptionanddeductionprovisionsofincometaxlawwillnotbeextended;incaseoftaxincentiveswithnoterminaldates sunset date of 31stMarch 2017will be providedandthattherewillbenoweighteddeductionwitheffectfrom1stApril2017.

Budget 2016 also shows an attempt to expeditiouslysettletaxdisputes.DirectTaxDisputeResolutionSchemeprovidesforsettlementavenuesfortaxdisputes.

Theyearwasalsomarkedbyfranticeffortstoincreasethereachoftaxlaws;BlackMoneyLawwaspromulgatedtogetholdofundisclosedincomesandsourcesofincome.IncomeDeclarationSchemehasalsobeenproposedaspartofthebudget.

BEPShasstartedmarkingitsfootprintinIndia.Equalizationlevy of 6% has been proposed on consideration forspecifiedservicesreceivablebynon-residentsnothavingpermanentestablishmentinthecountry.Thisisafalloutof BEPS recommendation in Action Plan 1. In transferpricing, the country-by-country reporting requirementsets in from the financial year 2016-17, the necessaryproposalhavingbeenmadeinthebudget.

Thus,financialyear2015-16haswitnessedagoodpaceofthedirecttaxreformandrenovationjuggernautrolling.Letushopethatitkeepsupitsmomentum,maintainingitsdirectionright.Oneareawherethegovernmentwouldhavedonewelltokeepoff,forexample,isICDS.
