WARUNKI HANDLOWE

ZAMWIENIA I CENY Kade zamwienie jest zobowizujce i prawomocne. Kade zamwienie na specjalnych warunkach handlowych (rabaty, promocje) potrzebuje pisemnego potwierdzenia kupujcego. Zamwienia przyjmowane przez naszych przedstawicieli s zobowizujce po ich pisemnej akceptacji lub po dostarczeniu towaru do klienta. Ceny podawane s netto i nie zawieraj podatku Vat. Ceny transportu pokrywa dostawca tylko w przypadku dostaw na terenie kraju, chyba e ustalono z klientem w drodze wyjtku warunki indywidualne. DOSTAWA I PAKOWANIE Nasze towary dostarczane s w opakowaniach zbiorczych z innymi towarami ich rozdzielenie lub wymieszanie moe si odby tylko za nasz zgod. Przy dostawie drog lotnicz lub morsk doliczane s dodatkowe koszty w zwizku ze zmian lub dostosowaniem pakowania. TERMIN DOSTAWY Podawany termin dostawy nie jest zobowizujcy, jeli w drodze wyjtku nie ustalono inaczej. Opnienia w dostawie nie uprawniaj do anulowania zamwienia, nie przyjcia dostawy lub innych roszcze. W przypadku nie dostarczenia towaru w okrelonym czasie pozostawiamy sobie prawo do ponownego dostarczenia towaru, a kupujcy jest zobowizany do przyjcia towaru w uprzednio ustalonej cenie. TRANSPORT Ryzyko transportu towaru przechodzi gwnie na Kupujcego i jego przedstawiciela rwnie, gdy towar dostarczany jest w miejsce wskazane przez klienta. Dostawa towaru na koszt firmy na terenie kraju moliwa jest przy minimalnym zamwieniu na kwot 3000 z netto. Dostawy za granic realizowane s przy minimalnym zamwieniu na warto 2 000 Euro DDU. Brakujcy lub uszkodzony towar naley zgosi niezwocznie podczas dostawy w formie pisemnej przewonikowi. Nasz towar dostarczany jest na paletach Euro. W razie zaginicia lub nie oddania palet bdzie wystawiona klientowi faktura (chyba, e ustalono inaczej). KLAUZULA WASNOC I (K.C. roz. II art. 589) Towar pozostaje wasnoci firmy do momentu spaty wszystkich zobowiza. W przypadku niewypacalnoci kupujcego mamy prawo do odebrania towaru zarwno kupujcemu jak i jego odbiorcom. Pozostawiamy sobie prawo do cignicia patnoci rwnie od osb trzecich jeli patno ta nie zostaa jeszcze uregulowana na rzecz kupujcego. ZWROTY Zwrot towaru na nasz koszt jest niedopuszczalny bez wczeniejszego ustalenia i zgody dyrekcji firmy. Bez zgody zwroty nie uprawniaj w adnym przypadku do przeduenia terminu patnoci. REKLAMACJE (BRAKI) Towar uznany jako wadliwy moe by wymieniany przy kolejnej dostawie tylko w przypadku uszkodze jakociowych tworzywa, widocznych defektw lub bdu wytworzenia. Wyklucza si dalsze reklamacje kupujcego. Jeli towar jest wadliwy naley zaznaczy to na licie przewozowym i/lub zgosi najpniej do 14 dni. FAKTURY I WARUNKI PATNOCI Nasze oferty cenowe bazuj na naszych cennikach i ofertach indywidualnych. Pozostawiamy sobie prawo do zmiany cen, w szczeglnoci ze wzgldu na wahania cen surowca. Patnoci za faktury naley wpaca na konto firmowe niezwocznie i jeli inaczej nie ustalono bez odejmowania skonta. W razie zalegania z patnociami i nie uregulowania patnoci do 8 dni od momentu wystawienia wezwania do zapaty jestemy uprawnieni do pobierania odsetek w wysokoci 2 % miesicznie naliczanych od dnia dostarczenia towaru. Kupujcy nie jest uprawniony do podawania reklamacji jako przyczyny nie uregulowania patnoci lub jej pomniejszenia jak i wyduenia terminu patnoci. W przypadku kiedy firma bdzie zmuszona przekaza nieuregulowane patnoci do windykacji, kupujcy ponosi dodatkowe koszty; oprcz wymienionych wyej 2 % odsetek za zwok dochodz koszty umowne w wysokoci 20 % sumy zakupu. STATUS PRAWNY W sprawach spornych kompetentny jest wycznie sd gospodarczy we Wrocawiu. Obowizuje to rwnie w przypadku wikszej iloci pozwanych lub powoywania osb trzecich.

GENERAL TERMS OF SALE

ORDERS AND PRICES All orders are firm and definite. Any promotional order (promotion, discount) shall require written confirmation by the purchaser. We are not bound by orders taken by our agents or representatives until after written confirmation or dispatch. Our prices are established pre-tax. If carriage costs are stipulated, by us, to be at our charge, such costs can only apply to Poland, unless otherwise stated in a special convention. DELIVERY AND PACKING Our goods are delivered in multiples of the packing unit. No division or mixing can be accepted without our agreement. A supplement for the replacement of the packing is incurred in the case of sea and air transport. DELIVERY TIMES Unless stated otherwise, delivery times are given for purposes of information solely. Late delivery can not justify cancellation of a sale, refusal to accept goods or any other claim. In the event that, for whatever reason, an order is not carried out within the agreed time, we nevertheless reserve the right to renew the delivery and the purchaser is under the obligation to take delivery of such goods and to pay the price according to the initially agreed conditions. TRANSPORT Our goods, even when dispatched carriage paid, travel at the risk and peril of the purchaser or his principal, also when the goods are delivered to the indicated place. For Poland, our goods dispatched carriage paid correspond to a consignment for a minimal amount of 3 000 PLN. For export, our goods dispatched carriage paid correspond to a single consignment for an amount equal to or in excess of 2 000 DDU. Missing or damaged goods must be immediately written to the carrier upon arrival of the goods and notified without delay to the supplier. Our deliveries are made on exchangeable European pallets. In the event that exchange does not take place, for whatsoever reason, the pallets will be invoiced to the customer (with the exception of other individual agreement). RESERVE OF TITLE (Polish Civil Code, Separation II, Art. 589) All deliveries are made subject to reserve of title until payment in cash has been made in full. It follows that the said deliveries may be recovered from the consignee or his principal if the purchasers solvability is in question. We reserve the right to claim from the third-party acquirer, the price, or that part of the price, which has not been paid to our purchaser. RETURN No return of goods at our charge will be accepted without previous settlement and agreement of the General Management. Unauthorised returns may not in any circumstances delay payment of our invoices at the agreed date. GUARANTEES In the case only of raw material defects or obvious manufacturing defects, goods recognised as being defective might be replaced with the next delivery. If the goods present patent defects, the purchaser must make a note on the dispatch note and/or notify the supplier about the defects within 14 days from the delivery date. INVOICING AND PAYMENT Our price offers are established on the basis of our tariff schedules and special terms. We reserve the right to change prices without notice, particularly as a result of fluctuations in raw materials. Unless expressly and exceptionally stated otherwise, our invoices are to be paid into our bank account. In the event of failure to pay at the agreed date and 8 days after a reminder remaining without effect, interest may be claimed on arrears at the contractual rate of 2 % per month, calculated from the date of the delivery note. The purchaser agrees not to use any claim against our company as a reason for deferring payment, in whole or in part, or for seeking compensation. In the event that the insolvency of the debtor forces us to pass the overdue payments to vindication, the purchaser will be charged for extra expenses ; apart from the mentioned 2%, he will be charged a contractual indemnity fixed at 20% of the overdue amount. POWER OF JURISDICTION In the event of dispute, the Commercial Court in Wroclaw is the sole court of competent jurisdiction, even in case of plurality of defendants or co-responsibility.

ALLGEMEINE VERKAUFS- UND LIEFERBEDINGUNGENBESTELLUNG UND PREISE Jede Bestellung ist bindend und rechtskrftig. Jede Bestellung zu Sonderkonditionen bedarf (Preisnachlass, Befrderung) der schriftlichen Besttigung des Kufers. Bestellungen, die von unseren Beauftragten oder Vertretern entgegengenommen werden, sind erst nach schriftlicher Besttigung oder nach dem Versand der Ware verbindlich. Unsere Preise die gesetzliche Mehrwertsteuer ist in unseren Preisen nicht enthalten. Sind Versandkosten zu unseren Lasten vereinbart, gilt dies nur fr Polen, sofern nicht ausnahmsweise anders vereinbart. LIEFERUNG UND VERPACKUNG Unsere Waren werden in Verpackungseinheiten mit mehreren Produkten geliefert. Ohne unser Einverstndnis ist weder eine Teilung noch eine Mischung der Ware zulssig. Fr See- und Lufttransport wird ein Mehrpreis fr die Verpackungsnderung berechnet. LIEFERFRIST Angaben ber die Lieferfrist sind unverbindlich, sofern nicht ausnahmsweise der Liefertermin verbindlich zugesagt wird. Ein Lieferverzug berechtigt nicht zur Annullierung des Kaufvertrags, zur Ablehnung der Warenannahme oder zu Schadensersatzansprchen. Sollte eine Bestellung aus beliebigen Grnden nicht innerhalb der vereinbarten Fristen ausgeliefert werden, behalten wir uns das Recht vor, die Ware auszuliefern und der Kufer verpflichtet sich, die Lieferung anzunehmen und die Ware zu dem ursprnglich vereinbarten Preis zu zahlen. TRANSPORT Die Gefahr des Warentransports geht grundstzlich auf den Kufer oder seinen Vertreter ber, und zwar auch dann, die lieferung auf der seite des Verkufers liegt. Lieferungen innerhalb Polens erfolgen auf Kosten des Verkufers ab einen Warenwert von 3000 PLN netto. Lieferungen ins Ausland werden ab einem Warenwert von 2000,- Euro netto Kosten des Verkufers versandt. Fehlende oder beschdigte Waren sind unverzglich bei der Lieferung schriftlich und detailliert zu melden und an die Adresse des Transporteurs per Einschreibebrief schriftlich zu besttigen Bei Fabrikabholung trgt der Kunde oder sein Transporteur die Verantwortung der Ladung, unabhngig von unserem auf jeden Fall entgeltlosen und freiwillen Einschreiten. Unsere Ware wird auf Euro-Pfandpaletten ausgeliefert. Sollte eine Palette nicht zurckgegeben werden, so wird diese dem Kunden in Rechnung gestellt wenn nicht anders vereinbart wurde. EIGENTUMSVORBEHALT (polnisches Zivilgesetz Art. 589 Kapitel II) Die gelieferte Ware bleibt unser Eigentum, bis der Kufer alle Forderungen gezahlt hat. Folgedessen ist bei Zahlungsunfhigkeit des Kufers unsere Ware bei seinen Abnehmern und/oder Dritten einziehbar. Wir behalten uns das Recht vor, dein au unseren Kufer fr unsere Ware nicht bezahlten Betrag gegenber Dritt Abnehmern geltend zu machen. Fr die Dauer des Bestehens von Eigentumsvorbehalt kann der Kunde ber die Ware nicht frei verfgen. Wird die Ware beschlagnahmt, oder unterliegt sie hnlichen Manahmen, mu uns dies sofort per Einschreiben mit Rckschein mitgeteilt werden. Ungeachtet der vorliegenden Klausel erfolgt der Gefahrbergang zum Zeitpunkt der Lieferung der verkauften Waren. RCKSENDUNGEN Warenrcksendungen zu unseren Lasten sind ohne vorheriges schriftliches Einverstndnis unserer Geschftsleitung sind nicht zulssig. Nicht genehmigte Rcksendungen berechtigen keinesfalls zu einer Verlngerung der Zahlungsfrist. MNGELGEWHRLEISTUNG Als mangelhaft anerkannte Ware wird durch eine Ersatzlieferung ersetzt, jedoch ausschlielich bei Werkstoffschden, offensichtlichen Hauptschden oder Herstellungsfehlern und schliet weitergehende Ansprche des Kufers aus. Weist die Ware offensichtliche Mngel auf, sind uns diese umgehend innerhalb 14 Tagen nach der Lieferungsdatum per Einschreiben mitzuteilen die Mngel die schon whrend der Lieferung festgestellt wurden, sind auerdem auf dem Lieferschein einzuschreiben. RECHNUNGSSTELLUNG UND ZAHLUNGSBEDINGUNGEN Unsere Rechnungsstellung beruht auf unserer Preistabelle und unseren Einzelbedingungen. Wir behalten uns das Recht vor, unsere Preise jederzeit zu erhhen, insbesondere aufgrund von Schwankungen der Rohstoffpreise. Zahlungen sind an unseren Geschftssitz zu richten. Unsere Rechnungen sind, sofern nicht ausnahmsweise anders vereinbart, sofort und ohne Skontoabzug fllig. Kommt der Kufer zum Flligkeitstermin und acht Tage nach einer ergebnislosen Mahnung in Zahlungsverzug, sind wir berechtigt, ab dem Lieferscheindatum monatliche Verzugszinsen von 2 % ber dem jeweiligen Diskontsatz zu fordern. Der Kufer ist nicht berechtigt, an unsere Firma gerichtete Reklamationen zum Anla zu nehmen, um ganz oder teilweise Zahlungsfristen zu verlngern oder eine Rechnungsminderung vorzunehmen. Unsere Firma ist befugt, eventuelle Rechnungsminderungen durch den Kufer abzulehnen, auer sie entsprechen einer von unserer Firma ausgestellten Gutschrift. Sofern wir fr die Nichterfllung eines Zahlungspflichtigen gezwungen sind, die Angelegenheit unserer Rechtsabteilung anzuvertrauen, werden die unserer Firma oder unserem Auftraggeber geschuldeten Summen, zustzlich zu den oben genannten Verzugszinsen, mit einer Vertragsstrafe von 20 % ihrer Summe belegt. GERICHTSSTAND Bei Streitigkeiten ist ausschlielich das Handelsgericht in Wroclaw zustndig, dies gilt auch bei mehreren Beklagten oder Heranziehung von Dritten.
