COMMENCEMENT OF TERM AGREEMENT

WHEREAS, by lease dated February, 21,2006, between The Perkins Corporation,

(Landlord) and leased to FRED'S STORES OF TENNESSEE, INC. (Tenant) the

building situated at Paris, Tennessee and;

WHEREAS, said Lease's 10 year term was to commence March [, 2Wt>\, possession of the Premises was delivered oo March 1, 2006, and;

WHEREAS, the Premises has now been substantially completed.

NOW, THEREFORE, in accordance with the above, the parties hereto agree that

the term of said lease shall commence March 1, 2006 and expire February 28, 2016.

All other terms and conditions of said lease are hereby reaffirmed as being in full

force and effect.
