Corporate Office: COMPANY BACKGROUND
1A Vidyasagar Street, Starting operations in 1982 under the name Antarctica, it was converted into a
public limited company in Jun.'91, changing its name to Antarctica Graphics (AGL).
Its name was once again changed to Antarctica Ltd in Jan,1998. It is engaged in the
printing business. Apart from a 4-colour and a 5-colour offset printing press, the
company has a state-of-the-art colour pre-press unit with the latest imaging and
graphic designing system. Its major clients include ITC, Shaw Wallace, Bata,
MECON, Shalimar Paints, STP, etc.
It caters to customer segments like colour supplements of newspapers and
magazines, calendars, corporate brochures, product manuals, and publicity and
packaging materials. Printed colour cartons find application in packaging of various
items like tea and coffee, cosmetics, liquor, spices and pharmaceuticals, which are
exported on a large scale from India.

Discussion as per Company: Due to depressed export market, the capacity utilisation as per the target could not be achieved
and the Company was obliged to have a restricted manufacturing operation. In line with the current trend, the Company has
implemented several cost control measures to offset increase in production cost. It has identified further possibility of cost
reduction with some capital investment, which will be executed as soon as the marketing scenario turns better.

Composition of Board: As per Regulation 17(i) (b) of the Listing Regulations, 2015, the Company should have at least 50%
Independent Directors as the Chairman of the Board is a Promoter Executive Director. The Company as on 31st March, 2015 has
50 % of Independent Directors and hence, it meets the regulatory requirements.
Board Diversity: The Company has 8 directors out of which 7 are male and 1 is female.
Holding of position of MD/ CEO & Chairman by same person: The Company has appointed Mr. Ranjan Kuthari as the Chairman
and Managing Director of the Company. Appointment of a single person as the Chairman and Managing Director of the
Company is not a good governance practice as this may lead to concentration of power in a single person.
