LEASE ASSEMBLY INSTRUCTIONS

In order to ensure the prompt execution of license/lease agreements, American Tower respectfully requests all customers follow the instructions below when preparing to return partially executed agreements.

I. Prior to returning partially-executed documents to American Tower for execution, please follow these steps: • Print and include all pages of the agreement, including the Terms and Conditions, if applicable, and the

Exhibit place marker pages (i.e. title pages); • American Tower will retain one (1) original copy of the lease agreement. Please print as many copies as you

plan to retain, along with one additional copy for American Tower; • Print and insert a copy of the Equipment Exhibit behind the corresponding place marker page (this is the third

tab of the Excel spreadsheet generally labeled as Exhibit A) . Please do not insert the entire site application (first 2 pages of Excel spreadsheet), equipment exhibit only;

• Where applicable, insert site drawings, ground documents, etc. behind the corresponding place marker page. • Please note the following requirements regarding site sketches and/or drawing: • Sign and date the signature page of all lease copies; and

*All sketches, drawings etc. must match the information set forth in the Equipment Exhibit; and *All site sketches/drawings must be created or approved, by American Tower. Approval of a non-American Tower generated sketch should be substantiated by the presence of an American Tower Site Supervisor's signature and date on the sketch. Leases which include a drawing created by someone other than American Tower and have not been approved by an American Tower Site Supervisor WILL NOT be counter-executed by American Tower. If you choose to not insert a site sketch with your lease, the construction drawings approved by American Tower and submitted at the time of installation will supersede the omitted site sketch.

SECOND AMENDMENT TO TOWER ATTACHMENT LEASE AGREEMENT CO-LOCATION AGREEMENT

This Second Amendment (the "Second Amendment") to that certain Tower Attachment Lease Agreement Co-Location Agreement dated July 9, 2002 by and between Hargray Communications Group, Inc. and Beaufort County c/o County Council of Beaufort County (the "Lease"), as amended by that certain First Amendment to Tower Attachment Lease Agreement Co-Location Agreement dated September 29, 2010 (collectively, the "Agreement") is made and entered into as of the latter signature date hereof, by and between OTP Towers I, LLC, a Delaware limited liability company, as successor in interest to Hargray Communications Group, Inc. (the "Lessor") and County Council of Beaufort County (the "Lessee") (collectively, the "Parties").

RECITALS

WHEREAS, Lessor owns a certain communications tower and leases a certain parcel of land located at 108 Arrow Road, Hilton Head Island, SC 29928-0000 more commonly known to Lessor as the Archer Road, SC tower site (the "Leased Site"); and

WHEREAS, Lessor and Lessee entered into the Agreement for the use of a certain portion of the Leased Site; and

WHEREAS, Lessee desires to modify its equipment at the Leased Site ("Modified Equipment"); and

WHEREAS, the Parties agree and acknowledge that Lessor will provide a Bill of Sale for the shelter described more particularly in Exhibit B-1 attached hereto (the "Equipment Shelter") and that Lessee shall be responsible for all maintenance and repair of the Equipment Shelter, including but not limited to the repair and replacement of all HV AC equipment; and

WHEREAS, the Parties desire to modify the terms of the Agreement.

NOW THEREFORE, in consideration of the foregoing promises and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereto agree as follows:

1) Lessor and Lessee agree and acknowledge that Lessee shall modify its equipment for a final installed configuration pursuant to Exhibit C-1.

2) Lessor and Lessee agree and acknowledge that Exhibit C to the Agreement is hereby deleted in its entirety as of the date this Second Amendment is fully executed and shall be replaced with Exhibit C-1 attached hereto and incorporated by this reference. In the event of inconsistency or discrepancy between the Exhibit C-1 and Lessee's equipment information set forth in the Agreement, the Exhibit C-1 shall control.

3) Lessor and Lessee agree and acknowledge that Exhibit B to the Agreement is hereby deleted in its entirety as of the date this Second Amendment is fully executed and shall be replaced with Exhibit B-1 attached hereto and incorporated by this reference. In the event of inconsistency or discrepancy between the Exhibit B-1 and Lessee's site sketch set forth in the Agreement, the Exhibit B-1 shall control.

4) Lessee shall provide a 10 day prior written notice to Lessor stating the date on which all utility services shall be separately metered from Lessor's utilities (the "Utility Change Date"). Notwithstanding the terms of the Agreement, effective upon the Utility Change Date, all utility services installed on the Leased Site for the use or benefit of Lessee shall be made at the sole cost and expense of Lessee and shall be separately metered from Lessor's utilities. Lessee shall be solely responsible for extending utilities to the Leased Site as necessary for the operation of the Approved Equipment and for the payment of utility charges including connection charges and security deposits incurred by Lessee. Lessee shall obtain and pay the cost of telephone connections, the installation of which shall be in compliance with the procedures for installation and maintenance of Approved Equipment set forth in the Agreement. Lessee acknowledges that it shall remain responsible for any and all utility charges provided in the Agreement and incurred prior to the Utility Change Date.

5) In no event shall Lessee's use of the Leased Site, or operation of any of its equipment thereon, be conducted in a manner that interferes with Lessor's lighting system located on any of the towers, building systems, or, in the event that Lessee's equipment is installed on the rooftop of a building, with equipment of any kind used by building tenants who are not tenants of the Lessor. In the event that such interference does occur, Lessee shall be solely responsible to reimburse Lessor for any and all costs required to modify and/or upgrade Lessor's lighting system, to comply with all necessary FAA/FCC regulations, as a result of said interference.

6) Lessor and Lessee agree and acknowledge that all future payments of the Rent shall be made to the Lessor at the following remittance address:

7) Capitalized terms contained herein, unless otherwise defined, are intended to have the same meaning and effect as that set forth in the Agreement.

8) All other terms and provisions of the Agreement remain in full force and effect.

The Collocation Department in American Tower Corporation (ATC) reviewed your proposed amendment activity and determined the proposed equipment change or upgrade does not involve: an increase in the overall tower height; alteration of the tower structure; installation of more than four equipment cabinets; installation of more than one equipment shelter: expansion of the easement boundaries, lease boundaries or owned property boundaries associated with the tower site.

Now, therefore, ATC makes the following certifications related to compliance with the Nationwide Programmatic Agreement for the Collocation of Wireless Antennas (the "Collocation Programmatic Agreement") and the Nationwide Programmatic Agreement for Review of Effects on Historic Properties for Certain Undertakings Approved by the Federal Communication Commission ('the Nationwide Programmatic Agreement") executed by the Federal Communication Commission (' FCC"), the National Conference of Slate Historic Preservation Officers and the Advisory Council On Historic Preservation ("ACHP"):

• The proposed equipment upgrade or change does not constitute a ' substantial increase in the size of the tower,· as that phrase is defined in Stipulation I, C. of the Collocation Programmatic Agreement, nor does it constitute an "enhancement of the tower" as that phrase is defined in Stipulation Ill.A. of the Nationwide Programmatic Agreement.

• ATC has no knowledge that the FCC has determined that the tower site has an effect on one or more historic properties, or if such an effect has been found, that such effect has been found to be not adverse through a no adverse effect finding, or that an adverse or potentially adverse effect has not been resolved through a conditional no adverse effect determination, a Memorandum of Agreement, a programmatic agreement, or that the tower site is not otherwise in compliance with Section 106 and Subpart B of 36 CFR Part 800.

• ATC has no knowledge that the tower site is the subject of a pending environmental review or related proceeding before the FCC involving compliance with Section 106 of the NHPA.

• ATC has no knowledge of having received any written or electronic notification that the FCC is in receipt of a complaint from a member of the public, a SHPO, or the ACHP that collocation activity has or will have an adverse effect on one or more historic properties.

Based on the above certifications and on the terms and conditions of the Collocation Programmatic Agreement and the Nationwide Programmatic Agreement, ATC concludes that the proposed equipment upgrade or change does not require review under the consultation process set forth under Subpart B of 36 CFR Part 800.
