GENERAL CONDITIONS OF APPROVAL:

Furthermore, the issuance of the VFPA Project Review Permit does not precludecompliance with the regulatory processes and requirements of any other applicableagencies;

3. 6. The Applicant shall adhere to the conditions listed on the attached VFPA Schedule ofEnvironmental Conditions numbered 13-125;

7. The Applicant is responsible for locating all existing site services and utilities including anylocated underground and the Applicant shall ensure that these services and utilities areprotected during construction and operation of the Project. The Applicant is responsible toemploy best practices and meet applicable code requirements with respect to protectionof existing site services and clearance between existing and proposed site services. TheApplicant is responsible for repair or replacement of any damage to existing site servicesand utilities, to the satisfaction of VFPA, that result from construction and operation of theProject;

8. Details of any significant proposed changes to the Project or relating to the applicationmust be submitted to VFPA for consideration of an amendment to this Permit;

9. Prior to commencement of construction, the Applicant shall submit signed and sealeddrawings and professional letters of assurance approved for construction by a professionalengineer licensed to practice in the Province of British Columbia, and shall obtain a VFPABuilding Permit;

10. The Applicant shall provide VFPA with a construction schedule prior to commencement ofconstruction and shall provide VFPA with regular updates of the construction schedulethroughout the duration of construction;

11. The Applicant shall notify VFPA upon commencement of construction of the approvedworks and upon completion of the Project;

12. All noise levels resulting from construction activities shall not exceed maximum levelsstated in City of Vancouver Noise Control By-Law No. 6555 without prior approval fromVFPA;

13. Prior to commencement of the works, the Applicant shall submit a detailed DemolitionMethodology demonstrating the works will be carried out in adherence with Part 8 of the2010 National Building Code;

14. The Applicant may place temporary construction trailers on site while this permit remainsin effect, provided that the Applicant shall not connect such trailers to any undergroundutilities without the prior written consent of VFPA which may include, without limitationand at VFPA’s discretion, a VFPA Building Permit;

15. The Applicant shall provide as-built drawings, in both Aut0CAD and Adobe (PDF) format,within 60 days of completion of all works; and,

16. The approved works must commence by March 31, 2015 (the “Commencement Date”)and be complete no later than March 31, 2016 (the “Completion Date”). For an extensionto the Commencement Date, the Applicant must apply to VFPA in writing no later than 30days following that date. For an extension to the Completion Date, the Applicant mustapply in writing to VFPA no later than 30 days prior to that date. Failure to apply for anextension as required may, at the sole discretion of VFPA, result in termination of thisapproval.

Proiect Description

In this Schedule, “Project” means the physical activities authorized by VFPA to be carried out pursuant to ReviewNumber 13-125, as described below.

• Alliance Grain Terminal Limited-(AGT) proposes to replace the existing conveyor gallery and loading spouts with anew conveyor gallery and high capacity loading spouts at the Alliance Grain Terminal on Stewart Street, on theSouth Shore of Vancouver, BC.

• The existing shipping gallery was constructed in the early 1950s and is nearing the end of its service life.

• The new shipping gallery will increase capacity from 2.3 million metric tonnes (MT) per year to 2.6-2.8 million MTper year and the average load rate is expected to go from 675 MT/hour to 1500 MT/hour.

• The new gallery will be approximately 18.5 metres higher than the existing gallery and will extend approximately 37metres further north than the existing gallery, but will be within the footprint of the existing pier.

• There will be 4 loading towers located along the length of the wharf, and each will be equipped with 2 loadingspouts. At each loading tower, product will be transferred via enclosed chute to one of the spouts,.or it will bediverted to continue to the next loading tower via an enclosed conveyor.

• The construction of the new gallery will require approximately 60 piles to be installed (possibly less). The proposedpiles are 914mm outer diameter (OD) pipe piles. Of the 60 piles, 4 are to be located in the upland.

• Due to the shallow bedrock conditions at the site, rock socketed piles drilled into the bedrock will be required.

• The methodology for pile installation is to first cut holes in the existing decking. The pile, equipped with a drivingshoe, will be installed in these holes and ether vibrated or rotated down to bedrock. The rotator will then twist thepile into the bedrock to form a seal from the surrounding overburden. These methods will not createoverpressures harmful to fish. Once the pile is seated, a Down Hole Hammer Drill will be used to clean out the pileand drill out the socket. All drill cuttings will be collected and disposed of at an upland location.

• Once the pipe pile is in place, concrete will be injected into the pile by tremie. As the concrete is pumped into thepile, water with high pH will be displaced. This water will be pumped into a holding tank. The water will be treatedwith carbon dioxide to lower the pH. An environmental monitor will test the water for ph, Total Suspended Solids,and carbon dioxide before discharging it back into Burrard Inlet. Water will not be discharged until water qualityindicates that it is acceptable for release. Note that the AGT application proposes to discharge water containingT5S concentrations up to 600 mg/L. This concentration is significantly above the allowable dischargeconcentration and AGT should refer to Environmental Condition #15, below, for the allowable TSS discharge limitsto apply to this project.

• The potential for loss of concrete to the marine environment will be minimized through the use of tarps to catchpotential pumper hose spillage between the pile and the wharf deck. Expelled concrete from the top of the pile sillbe collected using a collection chute attached around the pile that will direct discharged concrete to a container ona float located adjacent to the pile, or in a container on the wharf deck. Discharged concrete will be disposed ofupland.

• Equipment will be cleaned upland and run-off allowed to drain into the surrounding gravel surface. Equipment will

be cleaned no closer than 10 metres from the shoreline and shallow gravel berms will be provided to containconcrete and cleaning water. It is recommended that these activities are conducted a minimum of 15 metres fromthe shoreline.

• An environmental monitor will be on site during the tremie works.

• The BC Marine and Pile Driving Contractors Association policy entitled “Best Management Practices for Pile Drivingand Related Operations” will be followed.

• The piling works are anticipated to take 4 months to complete.

• Construction works for this project will be supported through the use of spud barges and flat-deck material barges.

• Demolition of the existing gallery and the construction of the new gallery will be done in several phases. The workwill be assisted by a barge-mounted crane.

• All salvageable material will be reclaimed and recycled.

• Construction is anticipated to require approximately 24 months from contract issuance to commissioning.

Environmental Conditions

In addition to the mitigation measures designed into the project (as indicated in the documents listed in the“Information Sources” section above), the Proponent is required to apply the following conditions to the project:

1. The Proponent shall undertake and deliver the Project to total completion in a professional, timely and diligentmanner in accordance with the applicable standards and specifications set out in the sections above entitled“Project Description” and “Information Sources”. The Proponent shall not carry out any other physical activitiesunless expressly authorized by VFPA.

2. The Proponent shall at all times and in all respects comply with and abide by all applicable federal, provincial andmunicipal laws, statutes, by-laws, regulations, orders and policies from time to time in force and effect including,without limiting the generality of the foregoing, all rules and directions established by VFPA from time to time(collectively, “Applicable Law”). Any reference below to a specific law, statute, by-law, regulation, order or policy isfor clarity only and in no way limits the generality of the foregoing.

3. The Proponent shall not, directly or indirectly: (i) deposit or permit the deposit of a deleterious substance of anytype in water frequented by fish in a manner contrary to Section 36(3) of the Fisheries Act; or (ii) adversely affectfish or fish habitat in a manner contrary to Section 35(1) of the Fisheries Act.

4. The Proponent shall contain in the immediate working area all debris and waste materials resulting from the Projectand remove such debris and waste material as soon as possible. The Proponent shall employ best efforts toprevent the deposition of debris into the aquatic environment. The Proponent shall remove any submerged debrisand waste material by means of a diver or other non-intrusive method. The Proponent shall not use a grappling

5. The Proponent shall ensure that debris and waste material resulting from the Project are contained, collected, anddisposed of at suitable upland locations using standards, practices, methods and procedures to a good commercialstandard, conforming to Applicable Law and using that degree of skill and care, diligence, prudence and foresightwhich would be reasonably and ordinarily expected from a qualified, skilled and experienced person engaged in asimilar type of undertaking under the same or similar circumstances. The Proponent shall have due regard for theapplicable prohibitions and restrictions for burning a wide range of materials in British Columbia, such as creosote-treated wood.

6. The Proponent shall remove any piles completely by extracting the entire length of pile from the seabed. If physicalconditions result in the breakage of piles, the Proponent shall remove the remaining pile stubs with the leastamount of disturbance of the riverbed as possible.

7. The Proponent shall ensure that any drilling fluids or mud used in this project are contained within drill casings andare not discharged into the aquatic environment. Drill cuttings and drilling fluids/mud are to be disposed of toappropriately permitted waste receiving or processing facilities.

8. In the event that distressed, injured or dead fish are observed following the initiation of pile driving, the work shallbe halted immediately and VFPA Environmental Programs shall be consulted for additional advice in this regard.

9. Any exposed hollow pipe piles shall be capped to prevent wildlife entrapment.

10. All work associated with the project involving the use of concrete, cement, mortars and other Portland cement orlime-containing construction materials shall be conducted so as to ensure that sediments, debris, concrete (curedor uncured), and concrete fines are not deposited into the aquatic environment, either directly or indirectly. Waterthat has contacted uncured or partly cured concrete or Portland cement or lime-containing construction materials,such as the water that may be used for exposed aggregate wash-off, wet curing, equipment and truck washing, etc.shall not be permitted to enter the aquatic environment. VFPA Environmental Programs shall be consulted inadvance for further review and authorization where there is no alternative to permitting the release of such water.Containment facilities shall be provided at the site for the wash-down water from concrete delivery trucks, concretepumping equipment, and other tools and equipment as required.

11. VFPA Environmental Programs has reviewed the proposal to release water collected during the tremie process backto aquatic environment. This activity will be permitted as long as the activity is conducted in accordance with theapplicable standards and specifications set out in the sections above entitled “Project Description” and“Information Sources” (including mitigation measures designed into the Project), and in accordance with the waterquality guidelines set out in Condition # 15 below. Water shall not be discharged to the aquatic environment unlessit has been determined through water quality testing that it is not a deleterious substance.

12. Prior to commencing any physical activities, the Proponent shall establish a spill prevention, containment and cleanup plan for hydrocarbon products (including fuel, oil and hydraulic fluid) and any other deleterious substances usingstandards, practices, methods and procedures to a good commercial standard, conforming to Applicable Law and

using that degree of skill and care, diligence, prudence and foresight which would be reasonably and ordinarilyexpected from a qualified, skilled and experienced person engaged in a similar type of undertaking under the sameor similar circumstances. The Proponent shall ensure that appropriate spill containment and clean-up supplies areavailable on site at all times and that all personnel working on the Project are familiar with the spill prevention,containment and clean-up plan.

13. The Proponent shall not permit barges or other vessels used during the Project to ground on the foreshore orriverbed or otherwise disturb the foreshore or riverbed (including disturbance as a result of vessel propeller wash),excepting only such disturbance as is reasonably required resulting from the use of barge spuds.

14. The Proponent shall not operate machinery or equipment on the intertidal foreshore.

15. The Proponent shall not permit sediment, sediment-laden waters, or other deleterious substances to enter thewater during the Project. The Proponent shall carry out all physical activities in a manner that prevents inducedsedimentation of foreshore and near shore areas and induced turbidity of local waters, and the release of sediment,sediment-laden waters, and turbid waters to the aquatic environment. All physical activities, including thedischarge of treated ‘tremie’ water, shall be in compliance with the following water quality criteria:

• When background is less than or equal to 50 nephelometric turbidity units (NTU) or 100 milligrams per litre(mg/L) non-filterable residue (NFR), induced turbidity should not exceed 5 NTU or 10 mg/L NFR above thebackground values.

• When background is greater than 50 NTU or 100 mg/L NFR, induced turbidity should not exceed thebackground values by more than 10% of the background value.

For the purposes of this Section, “background” means the level at an appropriate adjacent reference site (asdetermined to the satisfaction of VFPA) that is affected neither by physical activities at the site, nor sediment-ladenor turbid waters resulting from physical activities at the site.

16. During construction, for heavy duty diesel powered road licensed vehicles, every effort should be made to use amodel year 2007 or newer. For diesel powered nonroad or ofiroad equipment, every effort should be made to useTier 3 equipment or better.

17. During construction, dust and air emissions shall be managed to avoid health and safety issues on site and thoseother impacts offsite, as well as to prevent adverse effects on regional and local air quality. In this regard, dustcontrol measures during construction shall be implemented as required, including but not limited to the following:

• No visible dust beyond the property line;

• Tracked out material should not exceed eight (8) metres;

• A wheel washing facility to reduce track out should be established where appropriate,

• Vehicles used to transport bulk fine materials should be covered;

• Stockpiles of soil or aggregate should be stabilized with water;

• Paved sections subject to dust accumulations should be cleaned/wetted on a regular basis; and,

• Unpaved sections should be wetted on a regular basis.

18. The Proponent shall commit to continuous improvement in relation to dust and exhaust emissions that contributeto air quality and/or climate change.

19. Within three months of Project Permit issuance, AGT will submit to VFPA Environmental Programs for approval astand-alone, consolidated dust management plan to facilitate continuous improvement in relation to dust airquality issues associated with the facility including but not limited to the Project. The plan content shall bedetermined in consultation with VEPA.

20. Within six months of Project Permit issuance, AGT will provide VFPA Environmental Programs with an emissioninventory for dust related sources by year, for each of the following: 1) the most recent typical year of operationprior to Project implementation; and, 2) the first year of operation at maximum expected throughput post-Projectimplementation. The emission inventory will be developed in consultation with VFPA.

21. Within six months of Project Permit issuance, AGT will provide VFPA Environmental Programs with a discussionpaper on changes to activity by year, for the most recent typical year of operation prior to Project implementationand for the first year of the operation of the new facility at maximum expected throughput. The quantifying ofchanges to activity should include the following to the extent reasonably possible:

• Number and length of trains;

• Number of vessel calls per year;

• Vessel hours at berth;

• Vessel size;

• Cessation of repositioning of larger vessels; and

• Reduction in duration/frequency of vessels going to anchor.

22. VFPA reserves the right to impose additional requirements in the future at its sole discretion with regards tomonitoring and managing air emissions associated with the facility.

23. The Proponent shall have due regard to the potential application of the Migratory Birds Convention Act and/or theWildlife Act of British Columbia. To reduce the risk of Project-related harm to birds and/or their active nests andeggs, the Proponent may wish to avoid certain physical activities during the general bird breeding season, whichfalls between April 1 and July 31. If potentially harmful activities must be undertaken during this period, theProponent shall exercise all due diligence to avoid causing harm to birds and/or their active nests and eggs. TheProponent shall also have due regard to nests of those species of birds protected by Applicable Law at all times ofthe year, regardless of the time of year or whether or not the nests are occupied. The Proponent should, wherecircumstances warrant, retain the services of qualified environmental professionals to assist in developing andundertaking appropriate bird nest surveys immediately before, during and after the general bird breeding season.

24. At least two days prior to commencing any physical works, the Proponent shall notify the Fisheries and OceansCanada (“DFO”), Conservation and Protection Field Supervisor for Lower Mainland/Squamish in Steveston, BritishColumbia (telephone: 604 664 9250; fax: 604 664 9255). The Proponent shall copy VFPA Environmental Programsand the Harbour Master on this notification (email: [email protected] andHarbour_Master@ portmetrova ncouver.com; fax: 1-866-284-4271).

25. The Proponent shall be solely responsible for reviewing OFO’s Projects Near Water website (http://www.pac.dfompo.gc.ca/ha bitat/know-savoir-eng.htm) to assess whether the Project requires DFO’s involvement. Responsibilityfor submitting any necessary information through DFO’s Project Review Process rests solely with the Proponent.

26. The Proponent shall cooperate fully with VFPA in respect of any review by VFPA of the Proponent’s compliance withthese conditions including, without limitation, providing any information or documentation required by VFPA.

27. The Proponent shall provide a copy of this Schedule to all employees, agents, contractors, licensees and inviteesprior to commencing any physical activities. The Proponent shall be solely responsible for ensuring that all suchemployees, agents, contractors, licensees and invitees contractors, comply with these conditions.

28. The Proponent shall make available upon request by any regulatory authority (such as a Fishery Officer) a copy ofthis Schedule.

The above conditions are based solely upon VFPAs review of the Project and in no way limits the authority of, orconstitutes any form of permit, authorization or approval by, any other governmental authority having jurisdiction. TheProponent is solely responsible for obtaining any and all required permits, authorizations and approvals from any othergovernmental authority having jurisdiction.
