Patricia Ann Farley Hayes, 79, of Glasgow, passed peacefully surrounded by her family after a short illness on Saturday, April 11, 2015 at Frances Mahon Deaconess Hospital. Pat was born on July 14, 1935 in Havre, Montana to Michael & Marion (Weeks) Farley and was the fourth of five children. She attended Havre High School. In 1952 she married Edward Kirchdoerfer and they had two childen, they later divorced. On June 25, 1960 Pat married Robert Cook, together they had 4 children. After her divorce from Robert, she met and married Jim Hayes. She dedicated her life to helping others and became the first CNA at Valley View Nursing Home in Glasgow. She also lived and worked in Havre for several years. The most important thing in her life was family and was known by many as Grandma Pat. She loved to cook, read, bowl and do search-a-words. Spending time with her grandkids and great-grandkids was what made her happiest in life. She enjoyed travelling all over with her sister Junie and brother-in-law Ted. Pat is survived by her children Pam (John) Dodson, Carole Kickland (Jay Brownson), Scott Cook, Diana (Jubal) Cole all of Glasgow and Julie (Steve) Jenssen of Pierre, South Dakota; siblings William ‘Bill’ (Ellen) Farley of Hayden, Idaho and Virginia ‘Junie’ (Ted) Lilly of Pasco, Washington. She is also survived by 17 grandchildren, 25 great-grandchildren and 2 special adopted grandchildren. She was preceded in death by her parents Michael and Marion, her son William ‘Willie’ Kirchdoerfer, siblings Joyce McNabb and James (Dolly) Farley; and grandchildren Hanna and Ty Cook. Services will be at the Assembly of God Church on Wednesday, April 15, at 2pm in Glasgow. Reception to follow at the Cottonwood Inn at 4pm. A memorial fund has been set up at Valley Bank.

The above photo is the portion of the R.L. Jrle Elementary School that I ask the Glasgow School Board to salvage instead of demolish. I ask that instead of making a motion for demolition only based on input from the construction company, Owner’s Rep and School District Maintenance person; that a special committee be established to consider its salvage instead of demolition. This special committee would be charged with determining need, future planning, opportunity and cost to repurpose for the Glasgow Community and Glasgow School District. On Wednesday, March 11th I spoke to the Glasgow School Board and asked to be placed on the next School Board agenda to propose, detail and discuss the possibilities that would be served for Action for Eastern Montana Head Start, the Glasgow School district and the Glasgow community with the salvage of this brick portion of the current Elementary school. I received a letter from School Board Chairperson Molvig on March 27th that said that Mr. Connors was going to address this issue at the next Board meeting per my request that it be put on the agenda. Ms. Molvig included email information between the Owners Rep, the Sletten Rep and the Head Maintenance man so that I could better understand the problems involved with the salvaging this part of the lrle School. For these two weeks following the receipt of Ms. Molvig’s letter I have been soliciting and gathering information to explore the mechanical and structural issues that were outlined. I have had the opportunity to speak to local structural and service contractors, city experts as well as state inspection officials. The conclusion that I have reached is that more time is needed and should be given to the consideration of the decision that does not allow for anything other than demolition. If we choose not to demolish — can the money saved be used for the repurposing of this current building where the possibilities can address future growth and need? This structure houses 6 classrooms on the first floor, two classrooms on the

bottom floor, two bathrooms, a kitchen and dining area. If the building is demolished the opportunity within this building is gone — Forever. Our community is bonded out for 20 years. Can we save something that already exists instead of being placed in the position of struggling to finance something non-existent and new in the future. The statewide papers continue to have articles, letters to the editor and legislative news regarding the proposed state mandated Early Edge Pre-Kindergarten program. Our community could have as many as 55 plus 4 year olds that would be eligible for the Early Edge program. That means that there could be at least three classes of 18 to 19 four year olds that would need to be in a classroom. Does the new structure have the capability to accommodate these children? The classrooms in this building could do this. This building could also accommodate the Head Start program, offices for youth agencies that may be in the need of expansion, a faculty day care or public day care facility; a boys/girls club; a mentoring program location; a licensed kitchen facility; adult continuing education facilities .... The possibilities for our community are numerous and great. I believe that this request for a special committee and the discussion of the possibilities of this portion of lrle School is a direct reflection of the school district’s dictate to anticipate and constantly recalibrate the future- The future of our pre-kindergarten children and our community. This is the time that we need to bring all facts, figures and vision. Let us take the time now instead of regretting that we should have, could have but didn’t. According to documents I received on Monday the Superintendent’s Recommendation is to not repurpose the two-story portion of the lrle building and the Board will be asked to make a motion on this issue. I invite all taxpayers, parents, grandparents and community members to contact the school board members or attend the school board meeting Thursday, April 16th at 6 p.m. to voice your opinion about this issue. I am writing this letter to encourage you to save the building (Irle School) that Pam Ost is concerned about. Ten years ago the Phillips County Coalition for Healthy Choices was located in a one room office building in downtown Malta. It was decided that the Coalition should try to procure a suitable building and have an after school program such as a Boys & Girls Club. The opportunity was given to the Coalition to become an Extension Boys & Girls Club of the Havre Boys & Girls Club of the Hi-Line. The agreement with Havre was to find a suitable location for such an after school activity and they would sponsor the Extension Club. The old Saint Mary’s School building sitting in the middle of the Catholic Complex had not been used for several years and all the utilities had been turned off except the electricity. The building was the first high school in Phillips County, built about 1918 and needed some work done on it. It later was used for a grade school and then sold to the Catholic Diocese and operated as a Catholic School for many years until it was shut down as a school When the Malta High School burned down, the building was used as a Junior High School until the new school was built and the first graduating class was 1999. The windows were all boarded up and the old boiler had not been ftred up for several years. But an agreement was made between the Catholic Diocese in Great Falls and the Coalition to lease it

for a period of three years at $1.00 per year. Funding was obtained through the Boys & Girls Club headquarters in Georgia for the first year and the Ma:lta Extension Club opened October 1, 2005. It took several years, grant money and donations to accomplish what has been done to tile building, but it is a great building and all three floors are being utilized. Our Boys & Girls Club operates on Mondays, Tuesdays and Thursdays from 3:00 - 5:30 and in the summer from 1:00 ~ 5:00 on the same days. The organization has obtained money through the 21st Century Learning Grant in Helena for some of its operation and since the Coalition is a 501 (C) 3, it has obtained grants for prevention of alcohol. tobacco and other drugs which has been an asset to the Phillips County communities. The building is used for trainings, youth meetings, coalition meetings and is recognized favorably by the community. The Phillips County Coalition for Healthy Choices/Boys and Girls Club of the Hi-Line, Malta Extension is my passion and I have worked here for twelve years, past normal retirement age because I love my job. I also love this old building and have taken great pride in what the community has helped us accomplish. You are very welcome to come visit us and see what can be done to a 100 year old building and make it a very productive part of a community. FWP lifts fish-consumption advisory Montana Fish, Wildlife and Parks has lifted its consumption advisory for fish caught on the Yellowstone River near where an oil pipeline broke west of Glendive. On Jan. 17, 2015, the Bridger pipeline broke where it crossed the Yellowstone River upstream from Glendive, dumping 30,000 gallons of crude oil into the water. FWP advised anglers to use caution when deciding whether to eat fish caught downstream from the spill until biologists could test for petroleum in the edible muscle tissues. Sampling for contaminated fish – as well as cleanup of the spilled oil – was hampered by ice that covered most of the river downstream from the spill site. After the ice left the river in March, FWP fisheries biologists were able to catch 213 fish representing species known to live in the river between the spill site and the North Dakota border. Laboratory tests of those fish showed no detectible levels of petroleum contamination in the edible muscle tissues. As a result, FWP has lifted its fish-consumption advisory.

The following is a Summary Overview in his own words on Case No. 05-62166-7. Page 1- Attached to the petition is a list of alleged creditors totaling $388,707- of which GTMS (Glacier Trail Management Services -Bethea is owed $137,750. SMDC filed a counterclaim stating Dunseth and GTMS debts are contingent as to liability and subject to bonafide dispute.Page 4- Petitioners also sought to introduce into evidence on behalf of NVCCA , Exhibits 42 throught 67, through Mr. Bethea, rather than the President of NVCCA, Edson, who signed the petition on behalf of NVCCA.

FINDINGS OF FACT-Page 5- Those creditors vigorously opposing confirmation included St. Marie Condominium Association and North Valley Sewer and Water District. Witness Bethea was at the time the manager of SMDC and was removed as President in 2004.Page 6- Further, the claims of Dunseth and GTMS are subject to litigation now pending in state court and are thus in bonafide dispute. Moreover, the ability to obtain title insurance to sell the property is severely restricted due to past actions by NVCCA, controlled by Bethea and St. Marie Condominium Association, WHICH HAVE LEGAL AUTHORITY to manage common areas and assess fees for their services. It is clear from the evidence that whether NVCCA is a valid organization under Montana law is in SERIOUS DOUBT for failure to comply with Montana’s Corporation Code. SMDC filed counterclaims against Dunseth, GTMS and Bethea charging Dunseth and Bethea breached their duty of loyalty and fiduciary duty to SMDC by self-dealing at the expense of SMDC. The evidence further shows that NVCCA (Bethea’s corporate front) never had a shareholders meeting since 2001 and thus HAD NO CORPORATE POWER when it exercised control over SMDC units.**Pages 6 & 7- GTMS filed a lis pendens against the SMDC units even though it sued on an unsecured debt, Exhibit UU, Thus, the outstanding title problems of SMDC have been created by GTMS, Dunseth and Bethea.**Page 8- The petitioners (GTMS, Dunseth, and Bethea) in this case proved only one point. They established that a sizeable debt was incurred by SMDC when they ran the corporation for their

own private gain. As to NVCCA, the company was founded by Bethea when he was also an officer, director and owner of GTMS. Through GTMS, EMS Trust (Spiers) Bethea gained control of 94 units in St. Marie. Twenty of those units were purchased for $500 per unit. Notably, Bethea acquired at a non-judicial foreclosure the hospital for $264,360 and ambulance garage for $14,211. As noted previously, Bethea and GTMS ran SMDC through 2004. All of which shows a perpetual conflict of interest which is subject to state court litigation.Page 9- The state court litigation will be the sole and only decisive vehicle for SMDC to “Straighten out the land title problems and make SMDC units marketable.” ***Page 10- These former insiders have stifled prospects for future income from sale of the units. SMDC has shown that serious misconduct has created the financial dilemma of SMDC and that current management (Davic) is now engaged in PROPER CORPORATE CONDUCT to correct the situation and make SMDC a viable entity. As to the argument of SMDC that the petition was filed in bad faith, I concur. Using an involuntary filing to protect one’s own interest rather than protecting against other creditors, thereby gaining disproportionate advantage is BAD FAITH.Page 11- The evidence is clear that the past financial problems together with the difficulties created to sell units to generate income was CREATED BY THE PETITIONERS.Page 12 & 13- Moreover, the Court notes that GTMS filed a lis pendens against units owned by SMDC as a result of an unsecured debt. The filing of the Valley County Lis Pendens was grievous, and a clear abuse of Montana law. A notice of lis pendens may only be filed where title or possession of real property is at issue and where the action may affect such title or possession. The claims of Bethea and his inner circle do not in any remote sense involve or affect title to or possession of SMDC’s real property.Page 14- Since I have found the petition was filed in bad faith and the Debtor has successfully defended against the Involuntary Petition which requires dismissal, I will exercise the Court’s discretion to allow SMDC’s counsel to file a request and an affidavit or an award of reasonable attorney’s fees and costs.

CONCLUSION-The Court concludes as follows:The petitioning creditors have failed to sustain their burden of proof that debts owed to Dunseth, GTMS, and NVCCA are not subject to a bona fide dispute. That after the filing of the request for attorney’s fees and costs, the Court shall enter a final Order dismissing with prejudice the Involuntary Bankruptcy Petition against the alleged Debtor SMDC and fix reasonable attorney’s fees and costs.
