TERMS AND CONDITIONS The terms “Merchant{s}” “Vendor{s}” and “YOU” refer to Farms as well as All Other Vendors.

1. 125th Street Fresh Connect Farmers’ Market is located on the Plaza of the Adam Clayton Powell, Jr. State Office Building at 163 West 125th Street/ New York, NY 10027. Event Hours are Tuesdays 10am-7pm- October 20th and October 27th 2015.

2. Merchants must set up and break down stations at agreed upon hours, NOT outside of agreed upon hours. 3. Merchants are responsible for cleaning their space; and, must vacate premises immediately after breakdown. 4. Merchants will only sell and distribute items listed in this contract, unless written permission from

Market Manager is given to do otherwise.

5. Merchant space is assigned at the discretion of the Market Manager. 6. We have the right to refuse any application for any reason and to remove Merchants who miss more

than 3 market days. 7. NO REFUNDS. Merchants Agree to Participate in either one or both events (HARLEM PRIDE Day At

The Market, Fall Festival); and, To Pay Total Cost of Participation, regardless of the amount of hours per day Merchants may or may not participate.

8. YOU and Individuals Working For/With YOU Assume FULL LIABILITY for the safety, loss, damage or destruction of your person(s) or property; and, agree to hold 125

th Street Farmers’ Market harmless from any and all liability arising fro occupancy of the premises. 125th Street Farmers’ Market does not accept responsibility for damage or injury to persons or property, on premises, including exhibits and products.

9. One SPACE SIZE is n ot to Exceed 10’x10’, unless Market Manager gives written permission. 10. We DO NOT PROVIDE CHAIRS, TABLES, TENTS Or Anything Else You Need for Set Up. *Use Tent Weights. 11. ABSOLUTELY NO COOKING ON PREMISES, without prior written permission. 12. PRODUCE & O THER VENDO R DISPLAYS MUST BE CLEANED And MAINTAINED Throughout the Day.

Market Operations: Selling space size and fee is specified in the market rules. Payment for booth space is due with this completed application. Non-payment of installments may result in suspension of market privileges.

I (we) also acknowledge that 125th Street Farmers’ Market’s beneficial purpose will be impossible to pursue if it is subjected to costly litigation. Wherefore I (we) hereby agree that as a condition of my participation in 125th Street Farmers’ Market, I (we) will not resort to litigation, but, instead, attempt, in good faith, to resolve any disputes. I (we) further agree to pay all costs, expenses, fees, and disbursements incurred by 125th Street Farmers’ Market in the course of its defense of any litigation I (we) bring forth, and I (we) will also pay 125th Street Farmers’ Market reasonable attorney’s fees.
