PURCHASER agrees to use only promotional materials authorized by ARTIST'S Management. Web advertising shall include www.arturosandoval.com link. ARTIST or ARTIST'S representative shall have prior approval of any opening attraction(s). PAYMENTS 2. Payments are to be made as per contract face. FORCE MAJEURE 3. If Artist's performance(s) hereunder is rendered impossible, hazardous or is otherwise prevented or impaired due to sickness, inability to perform, accident, interruption or failure of means of transportation, Act(s) of God, riots, strikes, labor difficulties, epidemics, earthquakes, any act or order of any public authority, and/or any other cause or event, similar or dissimilar, beyond ARTIST'S control, then ARTIST'S obligations with respect to the affected performance(s) shall be excused and ARTIST/Producer shall have no liability to Purchaser in connection therewith. Provided Artist is ready, willing and able to perform, Purchaser shall remain liable to pay ARTIST the full contract price plus any monies called for in the Contract regardless of the occurrence of any of the foregoing events. For purposes of this provision, the term "Artist" shall include Artist or any member thereof. INCLEMENT WEATHER 4. ARTIST'S obligations hereunder shall be excused and Producer/ARTIST shall have no liability to Purchaser if ARTIST determines in good faith that their performance is (or is likely to be) rendered impossible, hazardous or is otherwise prevented or impaired due to inclement weather. In such event (and notwithstanding anything to the contrary), Purchaser shall remain liable to ARTIST for the full contract price plus any percentage monies called for in the Contract. RECORDING (AUDIO/VIDEO) 5. PURCHASER agrees that he is entirely responsible for ensuring that no audio or visual recordings of the ARTIST'S performance(s) are made on film, tape or any other contrivance. No portion of the performance rendered may be broadcast, photographed, recorded, filmed, taped or embodied in any form for any purpose, and PURCHASER agrees that it will not authorize any such activity without ARTIST'S Management written consent prior to the engagement. CANCELLATION 6. Artist shall have the right to cancel this engagement without any liability or further obligation whatsoever within thirty (30) days prior to the engagement date hereunder, upon written notice of such cancellation to Purchaser. In addition, Artist shall also have the right to cancel this engagement at any time in the event that Artist shall enter into a theatrical, commercial, television, or motion picture engagement, record album or video sessions or stage play, the recording, preparation, rehearsal, or performance date(s) of which conflicts in whole or in part with the engagement date hereunder. GROUND TRANSPORTATION 7. PURCHASER agrees to supply all local transportation as required, to consist of; one (1) Sedan (pick-up at airport, or designated point commute to and from hotel and return to airport or designated point). PURCHASER shall be responsible for all ground transportation to and from any and all engagement related activities. PURCHASER will have a runner available to ARTIST throughout the day. Ground transportation must be pre-approved by ARTIST’S management. PRESS 8. All press related activities and interviews (including and not limited to: newspapers, magazines, radio,

television) must be cleared by ARTIST prior to the engagement. PURCHASER shall provide air transportation to and from the designated cities (1 coach airfare Cleveland-LAX roundtrip). Travel arrangements shall be determined by PURCHASER at least 14 days in advance, and must be approved by ARTIST prior to booking. Excess Baggage: PURCHASER shall be advised of prior to performance, and be responsible for any charge the ARTIST may incur while traveling to the engagement due to excess baggage and/or airport taxes. ACCOMMODATIONS ( 1 hotel room for LA market shows for Tour Manager) 10. PURCHASER agrees to provide at no cost to ARTIST hotel accommodations to consist of one (1 hotel room at a first class hotel. Room shall be available to ARTIST upon arrival therefore; the PRODUCER, if deemed necessary by ARTIST, will block rooms the night before. Accommodations must be pre-approved by ARTIST and must have at least one full service restaurant on grounds. DRESSING ROOMS 11. PURCHASER shall supply ARTIST with two (3) comfortable private dressing rooms (one for ARTIST, the second for his rhythm section, and the third for the Big Band) with a door that can be locked and secured while ARTIST is performing and which shall be restricted to the general public. These rooms must be clean, well lit and air conditioned. Said rooms shall contain chairs or sofas, full length mirrors and private lavatories fully equipped with soap, 10 towels, tissue paper and 3 Coat Hangers. In addition the dressing rooms should have the following catering; - . - Thirty-six (36) cold sodas (DIET PEPSI, Coke, 7-Up).

- One (1) quart of orange juice and milk. - Evian or other bottled ice cold water for dressing rooms and 20 bottles for stage. - Hot coffee and tea with lemon, cream, & sugar. - Tray of “delicatessens" and bread for the preparation of sandwiches (Cheeses, Hams,

Salami’s – no turkey,no onions). For Twenty (20) - Oreo Cookies - Silverware

12. Meals: PURCHASER shall provide one hot meal for entire party(20) during each day of their engagement related stay. A cash buy out is suggested at $650 per day for the entire band. MERCHANDISE SALES 13. ARTIST shall receive all proceeds from merchandise sales. SECURITY 14. PURCHASER will be solely responsible for the security of items left in the dressing room area while ARTIST is performing, during any intermission and upon completion of performance.

SOUND AND LIGHTS 15. PURCHASER shall supply at no cost to ARTIST first class high quality professional sound system and lighting requirements per ARTIST'S specifications provided in technical rider and as per stage plot. When performing together with symphony orchestra artist sound engineer will contact promoter's technical support personnel for instructions. PURCHASER shall provide a professional, experienced and first class sound engineer for sound check and performance. SOUND CHECK 16. PURCHASER agrees ARTIST shall have at least a 60 minute sound check on the day of the performance at a mutually agreeable hour with PURCHASER'S production manager present during entire sound check. Sound check should never take place with any unauthorized people in the venue, and should be set up at least one (1) hour prior to the opening of doors to public.Artist reserves the right to schedule a rehearsal in addition to the 1 hr soundcheck if necessary.

BACKLINE EQUIPMENT Arturo Sandoval Big Band 17. PURCHASER agrees to furnish at his sole cost and expense the following:

A. 9' Concert Grand Piano, tuned to A440 pitch prior to stage call and performance (2 tunings) Baby Grand Pianos are NOT acceptable B One Korg Triton Keyboard with sustain pedal and cabling.

C. One (1) single tier keyboard stand

D. Percussion: .

1 set of LP Brass timbales 14"&15" Tito Puente Model w/ 2 mounted cow bells (L Mambo & LP Salsa) 1 medium thin crash cymbal 15 or 16”

E. Twenty (20) Manhasset Music stands w/lights. • Any and all substitutions to backline items must be cleared and accepted by ARTIST’S Road

Manager and/or ARTIST’S Management office. • Appropriate Risers, Monitors and Mics will be provided for the Brass Section (13

COMPLIMENTARY TICKETS 18. PURCHASER to supply ARTIST with Twenty-Five (25) complimentary tickets per show in prime location. Sandoval Band; 19. Please see attached Band Directory information sheet. 20. PURCHASER shall have the sole duty and responsibility of securing any licenses, consents, waivers or permission involved in producing and presenting all shows (and the performed material therein) during the engagement hereunder. PURCHASER hereby assumes the full responsibility and liability for the payment of any and all costs, expenses, charges, claims, losses or damages in connection with, limited to or based upon the presentation or production of all shows in which ARTIST is to appear during the engagement hereunder. PURCHASER shall also be responsible in securing at his sole expense any and all work permits required by law for artist and band members.

INDEMNIFICATION 21. Purchaser agrees to indemnify and hold harmless Producer and ARTIST and each of their respective employees, agents and contractors from and against any claims, costs (including, without limitation, reasonable attorneys' fees and court costs), expenses, damages, liabilities, losses and/or judgments arising out of, or in connection with, any claim, demand or action made by any party if such are (or are alleged to be) a direct or indirect consequence of: (i) the Engagement or (ii) any breach or alleged breach of any warranty, representation, agreement or covenant made by Purchaser herein. INSURANCE 22. Purchaser shall provide, at its sole cost, Commercial General Liability insurance covering any claims, liabilities or losses directly or indirectly resulting from injuries to any person (including bodily and personal injury) and from any property damage and/or loss in connection with the Engagement. Such insurance shall be in the amount required by the Venue, but shall not be less than One Million U.S. Dollars ($1,000,000) aggregate per occurrence and One Million U.S. Dollars ($1,000,000) per event, placed with an insurance carrier acceptable to ARTIST. Said insurance shall be in full force and effect at all times Producer, ARTIST or any of their respective employees, agents or contractors (or any of their respective equipment) is or are at the Venue. Producer, ARTIST and each of their respective agents and employees shall be listed as additional insured in connection with the foregoing insurance policies. Purchaser shall also provide, at its sole cost, a policy of Worker's Compensation insurance covering all of Purchaser's employees, subject to the requirements of the applicable state or foreign law. ARTIST’s failure to request, review or comment on such certificates shall not affect ARTIST's rights or Purchaser's obligations hereunder. 23. The failure of the PURCHASER to comply fully with all or any portion of his duties or obligations hereunder, including but not limited to the timely payment of monies due ARTIST, shall constitute a material breach of this agreement, thereby entitling ARTIST to pursue any and all legal remedies available to ARTIST. Further, if any breach by PURCHASER shall occur prior to completion of engagement hereunder, ARTIST shall thereupon be entitled to cease rendering any further performance under this agreement and shall be released from any obligations hereunder. Nevertheless, such release of ARTIST shall not release PURCHASER from its full duties and responsibilities to ARTIST under this agreement as though ARTIST had fully performed all ARTIST'S duties and responsibilities hereunder. IT IS UNDERSTOOD AND AGREED THAT PURCHASER WILL NOT ADD TO, DELETE FROM OR MAKE ALTERATIONS IN THE CONTRACT OR CONTRACT RIDER, WITHOUT THE PRIOR, WRITTEN CONSENT OF ARTIST. House Sound System Specification: (*Please advance with Road Manager for BIG BAND) 1. Front of House Speaker System must be a minimum of 4-way and capable of 115db spl at mix position and 110 db at the back wall with a +/- 3db level over the entire audience. The system must be active, with separate level control for each frequency band (i.e. subs, lows mids, high mid, and highs) at the mix position. The system must be stereo (V-DOSC Line Array or Equivalent) 2. House System Drive System must contain:

(2) System EQ’s - Klark-Teknik DN-360, TEQ (1) Stereo Crossover

3. House Console must be a minimum of (48) Channels with (8) sub groups, (4) stereo auxiliary inputs and (4) auxiliary outputs. Each channel must have 4-band parametric EQ’s with +/- 15db cut or boost, adjustable frequency hi pass filter, PFL, mute, Channel and Group insertion points and metering. Acceptable consoles: Midas Heritage H3000,Yamaha 5D, Midas XL3, Yamaha PM 4000, Sound Craft Series 5. 4. Outboard Equipment:

(1) CD Player (4) Noise Gates (10) Compressors (2) TC Electronics M1 units (2) Yamaha SPX 900, 90II, REV 5, REV 7 (1) CD Burner

5. House mix position shall be 75-100 feet from the front edge of the stage in the center of the venue, position details to be determined by Artist’s House Engineer, The mix platform shall be 12' wide x 8' deep x 12" high. An additional 20 amp, 120VAC circuit shall be provided at the mix riser with 4 spare outlets. Monitor System Specifications: (*Please advance with Road Manager for BIG BAND) 1. Monitor Console Must be a minimum 40 Channels with (8) mixes. Each mix shall have insertion points, AFL, metering and balanced outputs. Each channel should have 4-band parametric EQ’s with +/- 15db cut or boost, high pass filter, PFL, mute, insertion point and cue. Cue shall be post EQ on both channel and mix. (Yamaha 4000 M,Yamaha 5D, Midas Heritage H3000, Midas XL250). Monitor mix position must be stage RIGHT with an unobstructed view of the performers. 2. (10) 1/3 octave EQ’s with +/- 12db cut/boost shall be provided. (Klark-Teknik DN-360) 3. (2) SPX 900 or 90II shall be provided. 4. (14) Floor monitors wedges shall be provided including one for the monitor operator. All floor monitors shall be biamped and contain (2) 12" or (1) 15" speaker and a 2" Driver. Provide a minimum of (8) sets of crossovers and amplifiers as required to provide (10) independent mixes. Passive wedges are not acceptable. 5. Provide Clear-Com type communications system between the House and Monitor console. Additionally, provide a House position talk back mic (with switch) to the stage. 6. All Mic lines and speaker cables shall be long enough to go around the back and sides of the stage. All cable runs crossing pathways shall be covered with carpet or runners or taped down. 7. Provide a minimum (4) sets of Quad (4) AC outlets as shown on the stage plot. These outlets MUST be on same AC distribution as the PA and capable of 15 amps each. ALL OUTLETS MUST BE GROUNDED WITH ZERO (0) POTENTIAL BETWEEN GROUND AND NEUTRAL. 8. Provide all Microphones and Countryman/ Director Direct boxes as specified on the attached input list.
