collectively referred to as 'Partres'.
Wlrercas llAL anrj llTR havc both recognised the imperative need for Scientific and
t-ngineering research to cnablc a truly self reliant and advanced aircraft systems
dcvelopnrcnt programme for the country in the corning years. -l-he partres are
convinced that sufftcicnt skilled scientific and technical personnel extst in HAI and
llllt, who can conduct advanccd research and tackle multi-disciplinary problems in
aircraft systenrs technology and rts application and that a strong research base
;llre:ildy exrsts in llfR in arcas of drrcct relr:vance to the future F)roqrarnmcs of llAl
Thc co-operation betwcen the two organizations for thc loint F{ & D Work shall be
beneficral to both of thcm
Whercas to facrlitate, the rescarch activitics the parties agreed to set-up a Faculty
(lhair (herein aftcr refcrrerj to as'llAL Chair')at llT, Roorkee sponsored by IIAL.
Whereas the partres agrceri that the Faculty Chair will be rcsponsible for carrying out
rescarch irr various areas related to acrospacc technologies, providing tcchnical
consultancy, facilitatino trainirrg programs and addressing any other mtltua!ly agreed
activrtii;s relevant to the llAL.

ln furlherance to thc aforesaid obiective ilAL agrees to create one charr at lllR called
HALCHAlR.ThemainpurposeofcreatingthisChairistopromoteResearchand
I)evcroprnent and academic work i. the fierd of deveroping new and emerging
technologres in aerospacc technologies as menttoned in ARTICLE t above
ARTICLE III
t1Al. will fund the said charr by contributrnq a non-refundable onetinre payment of
Rs.150 Lakhs (its one hundred fifty lakhs only) to be rlepositecl in corpus of llrR'
Ihecorpus,however,shallremainuntouchcdandtheinterestfrornthecorpuswill
onlybeutilisecitonteettheexpr:nsesofthectrair'Anysavingsfromtheannualrnterest shall also rcoccur to the corpus of the endowment to build-up the samc as a
cushion against inflation and for any furthcr activities rerated to this chair as may be
dt crded by the ,Advisory committcc,,. Any deficit arisrng in a particurar year shatl be

and any unspent interest accruing to the corpus shall be deposited by llIR with any

(a) coordrnate effectively and meaningfully with the concerned departments and otheragencies with a view to promote Research and Deveropnrent and academic r,vor.k inthe fieJd of developing new and emerging technorogjes in aerospace technorogjesas mentioned in ARTICLE I above
(b) contrrbute to the deeper understanding and dissemination cf knowredge in respectof recent technological advances in the area of aerospace technorogy conductrcsearch and preferably publish results in leading rnternaticrar and NatronarJournals etc.
(c) Estabiish lrlng tcrm assocration betweerr HAL and llrR for research anddevelopment' consultancy as per llrR norms, academic interactjon and exchangeof technical and research rnformation on aerospace technology.(d) Assrst HAL i, nteaningful harnessing/cieproyment of New Technorogies thusdeveloped.
(e) will submit a report to HAL once in a year on the detairs of va,ous activrtres.proiects' initiatives undertaken in furtherancc to tire oblectives ot this r/cuirrcludrrrg plans for the future(f) Assist llAL in other matters such as participation in and contribution of knowrcdgcto serninars and conferences on the subject(g) wilr take a' such initiatives and steps as may be considcred necessary anddesirabre to achieve the oblectives of thrs MoU successfury(h) GM(ASERDC) or other officer heading ASERDC wiil be the Nocjar officer fromllAl- side to interact' coordinate with the charr professor for providing neccssaryrnput and for transfer and absorptron of technorogy developed in the process.

It ts spccifically agreed by the parties to this MOU that llAL shall finance an amount of

ARTICLE IXArbitration Clause
(r) ln case of dispute HAI- and llTR agree to schedule a mandatory meeting atBangalore to resolve it, whrch meeting wrll be attended by at least one seniorofficial from eaclt party At the meeting each side will present its dispute and thesenior officials will enter tnto good faitlr negotiation in an attempt to resolve therl ispute
(ti) f:ailing to resolve the dispute the matter shall be finally setled by Charrman iiAl_and Director, lll'R in a spirtt of indeperrdcnce, rnutual respect and sharedrcsponsibility.

fhe Chair professor or otlter officials of ll-fR is bound not to drsclose any confidentialinformatton disclosed by llAL and other inforrnatiorr concerning national securrty to anyperson or persons in any form whatsoever in terms of the guidelines of theGovernment of lndia
lntellectual property
lllR and llAL agree to respect each other's rights to rntellcctual property. Further, thelntellectual property rrghts that arises as a result of any collaborative research oractivtty under this MoU shall be jointly helcJ by HAt- & llIl arrd will be consrstent withoffrcrally iaid dow, it']R poricies of thc two institutions.
ARTICLE XI
Any anrendrnent to this Mou rn order to bc valid and binding shali be by aninstrume,t in writing and signed by both the parties hereto.
