Greetings New or Prospective ASTDps Board Members!

I am proud to introduce to you this Desk Book, which is a new resource for those who have joined the ASTDps Board of Directors, or who are looking to join the Board. This is a project that has been over a year in the making and is one that has involved contributions from many Board members, who have worked hard to bring this resource to you.

Along with our purpose of providing professional development, personal growth, and resources in Workplace Learning and Performance to our chapter members in the Puget Sound region, we also provide great opportunities for members to serve the chapter as volunteers, including taking on leadership positions on our Board of Directors.

I strongly encourage you to participate on the chapter’s Board. As the Vice-President of Membership for two years, and the President this year, I can tell you that I have experienced tremendous growth in my own leadership, management, organizational, and coaching skills, which apply directly back on the job in my work at T-Mobile. I’ve also made some wonderful friends and connections through the chapter, and I encourage you to do the same to reap your own rewards.

This Desk Book is part of a new approach for the chapter with Board member recruiting and orientation. It includes specific information about the roles on the Board, the goals of the chapter, the programs we provide and our bylaws, which guide how we operate as a non-profit entity. All of us who are currently serving on the Board hope you find this information to be helpful. This resource will be used in both Chapter Leadership Information sessions and as a guide during new Board member orientation sessions.

Another aspect of this new approach is around the concept of “fit.” In other words, through providing this type of information, we are looking to successfully fit the right person in the right role at the right time. In opening the recruiting process to every member, we hope to build a strong candidate pool that puts us on the path of achieving this fit. We know that patterns of volunteer involvement with the chapter have changed over the years, and we see this new process as helping to answer this dynamic.

Please feel free to provide us with feedback about the Desk Book and the recruiting process. We welcome your participation and are excited about involving as many members as possible as we build our leadership bench strength in 2009 and beyond.

About ASTD

ASTD was founded in 1944 and now has ~70,000 members in the US and around the world.

The Puget Sound Chapter was founded in 1953 and now has ~350 members.

Puget Sound Chapter Member/Chapter Value Proposition: ASTDps creates opportunities for individual and organizational members to develop personal and professional excellence.

Who are our members? People who are directly engaged in training and employee development work, either as

employees of or consultants to individuals and organizations. People who are exploring the training and development profession. People who administer one or more aspects of the training and employee development

ASTDps Programs

Chapter meetings: currently monthly, our Chapter meeting format is built around two activities: networking and learning. We provide time for both by formally gathering before our featured speaker(s) begin their presentations.

Professional Development: in addition to monthly Chapter meetings we present other one-time and recurring developmental programs, which include

Fundamentals of Training: a comprehensive two-day introduction to the basic principles and practices of training and development.

Future of Training: an annual one-day conference that highlights new technology as it relates to and is used in training

SIG (Special Interest Group): Now exist for Trainers, Creativity and Innovation, Senior Training and Development Practitioners and Technology. In addition, we offer a Career Development SIG for members who are seeking new employment opportunities.

GIG (Geographic Interest Group): Now exist for the South Sound area and meet in Tacoma/Olympia.

PDN (Professional Development Network): groups of people who get together regularly (monthly, bi-monthly) to share ideas, current activities, ask for advice. PDNs may have a special or a general interest focus related to training and development.

Special Events, such as co-sponsoring the Seattle stop on Marcus Buckingham’s latest book tour.

Volunteer Appreciation: we recognize and thank our volunteers annually at a semi-formal Volunteer Appreciation Reception.

ASTD Chapter Operating Requirements (CORE): a set of performance guidelines for all of the Society's chapters. Designed to help chapters deliver a consistent set of benefits to members, CORE consists of 17 requirements covering key programs, services, and activities for effective chapter operations. ASTDps has been CORE compliant for the past three years.

How the ASTDps Board works

The full ASTDps Board meets monthly to confer on issues of importance to the Chapter and to make decisions related to the business of the Chapter.

The ASTDps Board has an Executive Committee, which consists of the President, President-Elect, Past President, VP Finance and another Board member at the discretion of the President. The Executive Committee also meets monthly, a week prior to the meeting of the full Board. The Executive Committee reviews upcoming decisions and makes recommendations to the full Board.

Board Member Value Proposition: ASTDps reimburses and/or waives some of the regular costs of membership so that qualified ASTDps members may engage in Chapter leadership activities without incurring personal financial hardship.

To help us deliver on our value proposition, ASTD applies its Chapter Leader Competency Model, below. At an annual ASTD Leadership Conference (ALC) ASTD National brings together chapter leaders from all over the country for two days to share best practices. ASTDps underwrites attendance at this annual meeting in Washington DC for some of its Board members.

Every ASTDps Board member has a responsibility to:

Contribute to the Board’s monthly Agenda and prepare for monthly Board meetings. Write a short narrative for attachment to Board minutes that reports on activities and provides metrics for the Board’s performance dashboard.

Attend monthly Board meetings, which last for ~90 minutes. Participate in discussions and decision making.

Attend the Board’s Annual (full day) and summer (half day) Board Planning Retreats; review past performance and participate in the development of long-term strategic and annual tactical plans.

I am a Leadership Development Manager for T-Mobile USA’s Integrated Customer Experience Group, where I conduct communications, leadership, and management training and serve as a coach and curriculum developer. I am the owner of DevelopmentWise, a consulting business in Redmond, Washington. Previously, I have been a Senior Learning and Organizational Development Specialist for The Growth Partnership, Inc. and Manager of Learning and Development for Clark Nuber PS. While at Clark Nuber I established the Accounting Careers Program for the Washington Society of Certified Public Accountants.

Before moving to Washington State I earned my secondary education teaching credentials in 1996, which launched my career in learning and development, training, and curriculum design. I also worked for both commercial and public radio stations in the Quad-Cities area of Illinois and Iowa.

I received a Master of Science in Education degree with a concentration in Adult Education from Western Illinois University in 2000 and completed my undergraduate degree in Speech Communications in 1991 at Augustana College in Rock Island, Illinois.

My first ASTD Press Trainer’s WorkShop Series title, Listening Skills Training , was released in April 2008; Time Management Training is due for release in October 2008, and Negotiation Skills Training for release in Spring 2009. I might not have become an author if I hadn’t been encouraged by Lisa Haneberg, VP Programming during my first year on the Board!

My husband Chris and I live in Redmond with our two cats, Gracie and Fletcher.

I have over twenty-five years of progressive international experience in organizational development, training and development, and performance consulting (I know, I know, I look way too young!, and a M.S. in Management for Organizational Effectiveness. Through my business, The Leadership Dimension, I provide training, consulting, and coaching to individuals, groups, and organizations in the areas of leadership development, supervisory skills, communication and interpersonal skills, team work, change management, organizational alignment, and continuous learning.

My experiences as VP of Programs, VP of SIGs, GIG, and PDNs, and President-Elect have provided me with opportunities to further develop and practice my leadership, communication, marketing, and project management skills. Wish I could say that all of my efforts have been perfect - but I’m honest and will admit that I’ve learned a lot through trial and error. Howard worked for Seattle Center as Coordinator of Special Events in the years when Bumbershoot and the Northwest Regional Folklife Festival were getting their start, managing an events staff that produced 650 events in 1975.

Moving to Chicago he worked for a bank holding company, a public relations agency and a presentations training company before returning to Seattle to join the marketing/advertising staff at Seafirst Bank. He left the bank to found Communication 2020 in 1987. Since then his clients have included Ameritech, Apple Computer, Borland, GGLO, Fluke, Intermec, Intertrust, Safeco, Swensen Say Faget', Providence Healthcare System, Premera, and Weyerhaeuser.

I am currently a Training Consultant for PEMCO Financial Services where I assess learning needs, deliver training and customize curriculum, provide coaching, and work with managers and supervisors to redesign processes that encourage employee learning and support business results. I have over 30 years of experience as an independent consultant, an analyst for a national research project on employee retention, a business manager with multi-site responsibilities, and training facilitation for several national corporations. In 2007 I earned the CPLP, a national certification in learning and employee development.

I was hesitant to be on the Board of Directors because I didn’t know what the time commitment would be like and then just jumped into the pool to fill an unplanned vacancy. As it turns out, there is a fair amount of work that comes with the job, but it’s inspiring working with the other committed volunteer leaders to envision strategic direction and build value for members and sustainability for the chapter. What made me hesitate is what now keeps me going. I encourage you to take the leap. The ability to influence professional development opportunities in my field, the professional camaraderie and the access to local and national leaders have far exceeded my expectations.

I have extensive human resource professional and organizational development experience working in technical environments for “Fortune 500” and small start-up companies. Professional development is at the heart of ASTD’s mission, so this is a really meaningful role to play in the chapter. The programs this office owns are very visible and produce revenue, so when they’re successful you’re a hero! On the other hand, they’re complex and sometimes don’t work, which is disappointing… During my tenure, I’ve experienced both outcomes. What I learned is – get help! These are “focal” programs – they build over the year and then are intense and over quickly. If you like to work this way and think strategically, consider this office.

A “recovering HR Director,” my passion is for Performance Management (one of the CPLP areas of specialization, by the way) which I get to work on every day as McKinstry’s Employee Development Manager. I picked ASTD because of its motto, “Linking People, Learning and Performance.” Being a meeting and event volunteer (check people in, sell books and welcome presenters) was a great way to network and learn how the chapter worked. This year I’ve morphed into VP OD and have helped update various processes, like our new approach to succession. Board work takes time – no way around it… That said, it’s been an invaluable career development opportunity I wouldn’t have missed and enthusiastically recommend! It’s exposed me to wonderful role models and has allowed/forced me to take a broader view of our profession than I might have.

My undergrad degree in History is from the University of Oregon; my MBA is from the UW. Being both a Duck and a Husky comes in handy – I cheer for both and always win when they meet!

Working as a volunteer and board member, I have gained valuable insight around group dynamics and leadership that you can only get through experience.

Conflict of Interest Policy and Statement

The Directors of the American Society for Training and Development Puget Sound Chapter resolve that no member of the Board of Directors shall participate in any discussion or vote on any matter from which he/she or a member of his or her immediate family may benefit economically.

During opening discussion of new business a Board member is expected to immediately announce potential conflicts of interest, disqualify him/herself and be excused from the meeting until discussion on the matter is over and decisions regarding it, if any, have been made.

Additionally, all members of the Board shall refrain from obtaining a list of ASTDps member contact information for personal solicitation purposes at any time during or after their terms of affiliation.

The intent of this policy is that Board members shall:

Refrain from behavior that can be interpreted as or has the appearance of promoting any services or products in which they or their family members hold a financial interest or represent;

Not assist any third party in their dealings with ASTDps where such assistance could result in favorable or preferential treatment being granted to the third party;

Not assist any third party in their dealings with ASTDps in which they or any other board member could profit from such assistance or suggestion.

The intent of this policy is not to curtail the support of ASTDps by legitimate sponsors.

ASTDps Board

Guideline: Expenses & Reimbursement

Description:

This Guideline applies to all ASTDps Board Members and meeting organizers.

Guideline:

While the Association will reimburse reasonable expenses incurred by Board Members and meeting organizers in connection with learning and networking events, there are reasonable limits for incurring expenses. In most cases if expenses are to be incurred outside the budget approved by the Board of Directors, prior approval by a Chair, Vice-President or the President is required.

All ASTDps members who are conducting non revenue-generating meetings are required to exhaust all possible free room options before requesting approval for paid meeting space. While revenue-generating meetings are encouraged to seek free space, the Board of Directors recognizes the small number of facilities allowing monetary exchange.

All ASTDps members are required to gain prior approval by a Chair, Vice-President or the President before signing a contract on behalf of the Association.

Reimbursement:

Claims for expense reimbursement need to be submitted with a completed reimbursement form and be accompanied by original receipts, invoices, vouchers or other evidence of the expense (e.g., print-out of e-mail receipts) to the VP Finance. A check will be issued within 5 days of receiving the documentation unless there are questions about the submission and the VP/F is unable to contact the submitter. The reimbursement form can be obtained from the VP Finance.

By Laws of the Puget Sound Chapter of the American Society for Training and Development

Article I: Name and Purpose

Section A: Chapter Name and Offices

The name of this organization is the Puget Sound Chapter of the American Society for Training and Development. The registered office of the chapter shall be located in the State of Washington.

Section B: Affiliation with the National Society

The chapter is an affiliate of the American Society for Training and Development, a non-profit educational society exempt from federal taxation under Section 501(c)(3) of the Internal Revenue Code of 1986. The Society and its chapters are not organized for profit, and no part of their net earnings shall benefit any member or private individual, except for payment or reasonable compensation for services rendered.

Section C: Governance and Management of Chapter

The chapter shall be governed and managed by a President and President-Elect elected by the membership and by a Board of Directors appointed by the President and President-Elect. The Board of Directors shall set policies within the limits prescribed by these bylaws.

Section D: Purpose

The Chapter is organized exclusively for charitable and educational purposes within the meaning of Section 501 (c)(3) of the Internal Revenue code of 1986, as amended, and may make expenditures for one or more of these purposes. Without limiting or expanding the foregoing, the chapter’s specific purpose shall be:

Our mission is to provide leadership to individuals, organizations and society to achieve work-related competence, performance and fulfillment.

Section F: Equal Opportunity

The chapter offers equal opportunity to all eligible members, regardless of race, color, creed, religion, national origin, age, gender, sexual orientation, marital status, and political affiliation, and veteran status, physical or mental impairment.

Section G: Political Activities

The chapter shall not devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise, and shall not advocate or campaign for legislation or a defeat of proposed legislation. The chapter shall not directly or indirectly participate in, including the publishing or distribution of statements, any political campaign on behalf of or in opposition to any candidate for public office.

Article II: Membership

Section A: Eligibility

Membership in the chapter is open to those who have interests or responsibilities in training, human resource development, workplace learning and performance; are interested in advancing the objectives of the chapter and the Society; and subscribe to and are qualified under these bylaws. A chapter member in good standing is one who meets the requirements for membership, and whose dues are paid for the membership year.

Section B: Dues

The Board of Directors will set dues, fees, and terms of chapter membership.

Section C: Categories

The following categories apply to membership in the chapter:

1. Regular membership: regular membership in the chapter is open to anyone participating or having an interest in training, education, personnel development, or activities related to these fields.

2. Student membership: for full or half-time college students interested in the training and development profession, but not actively employed in the profession. All rights and privileges of regular membership apply.

3. Corporate Membership: a one year membership

4. Honorary membership: a one-year membership granted for extra service

5. Life membership: a member who has performed distinguished service to the chapter. Will be given based on a two-thirds vote of the Board of Directors. Lifetime memberships are granted to all former ASTD Presidents who served their full term.

6. National membership: separate membership and dues, available to all ASTD members. Elected officers of the chapter are required to be national members.

Section D: Transferability

Memberships are transferable

Section E: Forfeiture

1. Nonpayment of dues: A member forfeits membership if his/her dues are not paid within 30 days after expiration of current membership.

2. Removal for inappropriate conduct: A member may forfeit his/her membership for conduct deemed inappropriate to the mission of the Chapter. Removal requires a majority vote.

Article III: Officers and Board of Directors

Section A: Duties and Responsibilities

The management of the affairs of the chapter shall be vested in the Board of Directors. It shall be the duty of the Board to carry out the objectives and purposes of the chapter, and to this end it may exercise all powers of the chapter. The duties of the Board shall include: establishing policy for the operation of the chapter; approving the strategic plan, the annual plan, and the budget; approving categories of membership; authorizing committees of the chapter; and performing other functions as appropriate for the Board of Directors.

Section B: Elected Officers

Officers elected by the chapter will be President and President-Elect.

Section C: Non-Elected, (Appointed) Officers

The Board of Directors will recommend and the President will appoint such other Vice Presidents as will be necessary during his/her term of office.

All recognized Board positions will be filled for the following year no less than 60 days prior to the end of current Board member terms.

Appointments are subject to an approval by two thirds of the full board. Appointees are excluded from the approval voting.

Section D: Board of Directors

1. Members of the Board of Directors shall be President, President-Elect, Past President, Vice President of Finance, and other Vice Presidents as determined by the Board of Directors and these bylaws.

2. President

a. As the Chief Executive Officer of the chapter, the President is responsible for managing the chapter in accordance with these bylaws and the laws of the State of Washington.

b. The President presides at, and sets the agenda for, meetings of the Board of Directors and membership meetings, and oversees the management of the chapter.

Section E: Requirements and Qualifications

Position descriptions for all approved Board roles will be adopted by the Executive Committee and given to all persons seeking to serve on the Board of Directors.

Persons seeking to serve on the Board of Directors must be chapter members in good standing as specified in these bylaws. Board members are required to maintain membership in the national Society.

Section F: Terms

Board members shall be elected to serve a term of one year. Board members may stand for re-election to the same board position and if so, may serve no more than three consecutive terms.

Section G: Incentive for Board Participation

So that qualified members may engage in Chapter leadership activities without incurring financial hardship ASTDPD will waive regular charges and/or reimburse Board members according to guidelines set or reviewed and approved annually by the Board of Directors.

Incentives shall be as follows:

Section H: Conduct of Chapter Business

1. A majority of members of the Board of Directors shall constitute a quorum at any meeting of the Board. Should a quorum not be present, those members present may adjourn from time to time until a quorum is present.

2. The President, President-Elect, VP FINANCE and Secretary shall constitute the Executive Committee of the Board of Directors.

3. The act of the majority of Board members present at a meeting where a quorum is present shall be the act of the Board (unless a greater proportion is required by law or these bylaws). Absent board members may vote by proxy.

Section I: Board of Director Meetings

The Board of Directors will meet monthly. The date of Board meetings will be announced at least (30) days in advance, and the exact time and place of all Board meetings will be announced to all Board members at least 14 days in advance of the meeting.

Section J: Attendance

Failure to attend three consecutive and duly called meetings of the Board of Directors will be sufficient cause for the Board to consider replacing a Board member under the provisions of these Bylaws.

Article IV: Election of Board Members and Removal of Officers, the Election Process

Section A: Nominations for and Election of Chapter Officers

The Board of Directors President-Elect will nominate the President and President-Elect.

The Board of Directors will present the candidates for President and President-Elect to the membership at least 90 calendar days prior to the end of the current Board’s term.

The President and the President-Elect will be elected by a majority of chapter members voting.

Section B: Removal of Board Members

1. The Board of Directors may, by three-fourths vote of the full Board, suspend or terminate a member of the Board for actions or behavior in violation of these bylaws, or which are deemed detrimental to the best interests of the chapter.

2. Suspension or termination of Board members will be considered at a regularly scheduled meeting of the Board of Directors. Written notice of, and rationale for, proposed suspension or termination shall be sent to Board members and the individual concerned at least twenty days prior to the meeting.

3. Any motion for suspension or termination must be made by a board member, based on personal knowledge, official chapter records, or statement signed by no fewer than 3 board members in good standing.

4. Before action of suspension or termination, the board member will have an opportunity to be heard by the Board.

Section C: Vacancies

1. When a vacancy occurs for a board position, the President may, with the approval of the majority of the Board of Directors, appoint a replacement from among chapter members in good standing to serve the balance of the term.

2. Should the office of President be vacated, the President-Elect will assume the position and its responsibilities. If both the offices of President and President-Elect become vacant simultaneously, the Vice President of Finance will convene the Board of Directors to select a member of that body to assume the duties and responsibilities of the President until a special election by the membership can be held. Approval of an interim President will require a majority vote of the Board of Directors.

Article V: Financial Review

Section A: Financial Review

1. A financial review will be conducted annually or more frequently if circumstances dictate, by the Executive Committee, with findings reported to the Board of Directors.

2. Tax submissions required by federal law will be prepared by a tax specialist, reviewed and submitted by the Chief Finance Officer.

Section B: Financial Disclosure to Members

Results of the financial reviews and tax submissions will be published and made available to the chapter membership.

Article VI: Committees

In addition to committees specified in these bylaws, committees may be established or disbanded by the Board of Directors. Committees are subject to the oversight and direction of the Board or those authorized by that body.

Article VII: Special Meetings of the Chapter

Special meetings of the chapter may be called by the President, the Board of Directors, or upon the receipt of a petition signed by at least 10% of chapter members in good standing.

1. The call for a special meeting must specify the reason for the meeting. Business at the special meeting will be limited solely to the topic specified. Notification will be made to all chapter members at least 10 business days prior to the meeting.

2. 10% of chapter members in good standing will constitute a quorum required for the conduct of business at a special meeting.

3. The President shall preside at a Special Meeting of the chapter; unless the President has a conflict of interest regarding the reason such a meeting has been called. In that case, the body calling the Special Meeting (the Board or chapter members) shall select an individual to preside at the meeting by majority vote.

4. A majority vote of chapter members present will be sufficient to carry a motion, provided that such a motion complies with these Bylaws.

5. The minutes of a special meeting will be published or made available to all chapter members.

Article VIII: Indemnification

The Board of Directors may seek and maintain such indemnification to the fullest extent available under the laws of the State of Washington to protect the chapter, chapter members, board members, officers, employees, and agents.

Article IX: Amendment and Modification of Bylaws

Section A: Amendments to Chapter Bylaws

Amendments to these bylaws may only be initiated by the Board of Directors or by a petition signed by the majority of chapter members in good standing.

1. The Executive Committee shall review and recommend action on proposed amendments to these by-laws to the Board of Directors.

2. Amendments will be adopted upon approval by two-thirds of the members of the Board of Directors.

3. Notice of approved changes to these Bylaws shall be published or distributed to all chapter members (no later than 60 days) following adoption.

Article X: Dissolution of Chapter & Liquidation of Assets

The chapter may be dissolved by a vote of two-thirds of chapter members in good standing in accordance with National ASTD’s procedures. Upon dissolution of the chapter, and after all of its liabilities and obligations have been paid, satisfied and discharged, or adequate provisions made therefore, all of the chapter’s remaining assets shall be distributed to one or more organizations that are organized and operated exclusively for charitable purposes within the meaning of sections 501(c)(3) and 170 (c)(2)(B) of the Internal Revenue code of 1986, as amended.
