    QUITCLAIM DEED

    FOR VALUABLE CONSIDERATION, the receiptand sufficiencyof which is hereby

    acknowledged, the CITY OF RENO, a municipal corporation, "Grantor," hereby

    quitclaims,releasesand conveysin its"AS IS" conditionto the NEVADA HUMANE

    SOCIETY, a corporationforthe publicbenefitwithin the meaning of Nevada Revised

    Statutes82.021, "Grantee", any-and allright,titleand interestin andto thatcertainreal

    property ("Property")describedinExhibit A, attachedhereto and incorporatedby this

    reference.

    TOGETHER WITH all and singular tenements, hereditaments, and appurtenances,

    thereto,excepting therefromany and allappurtenantwater rights.

    PURPOSE OF THIS CONVEYANCE IS to amend the restrictivecovenant containedin

    a deed duly recordedon January 17,2008, in the OfficialRecords as document #3612177

    requiringconstructionby Grantee of a dog park bya date certainand provide for other

    mattersrelatingthereto.

    THIS CONVEYANCE issubjectto the followingconditionsand restrictivecovenants:

    1. The transferof the Property from the City of Reno to Grantee issubjectto

    alleasements of record including,but not necessarilylimitedto, easements for access,

    utilities,sewer, and parking. Grantee specificallyacknowledges a reciprocalparkingeasement between ParcelB (5.81 acrespreviouslydeeded to Washoe County) and Parcel

    A (1.79 acres subject to thisAgreement), as shown on Parcel Map 4027, attachedas

    ExhibitB.

    2. The Property shallbe setapart,used, treated,and maintainedby Grantee

    only for charitableor civicpurposes which provide animal servicesto the community and

    which are establishedby and consistentwith the mission of Grantee, includingbut not

    limitedto emergency animal sheltering,storage forpet and shelterdonations,training

    center,rehabilitationcenter,or an animal clinicfacility.

    3. The Property,or any part of theproperty,must never be transferred,sold,

    exchanged or encumbered by the Grantee, except upon the Grantor's prior written

    approval.

    4. Grantor does not express or imply and specificallydisclaims any

    representationsor warrantiesof any kind or character,express or implied,with respectto

    the Property,any improvements and any partthereof,without limitation,representations

    or warrantiesas to physical condition,governmental approvals or regulations,land use

    and land development entitlements,environmental conditions,access, utilities,or any

    othermatteror item relatingtoor affectingtheproperty.

    6. Grantee shallacceptthe Property "As Is"and "Where Is" with allitsfaultsand with no adjustments forphysical,functional,economic conditions,and thereare no

    oral or written agreements, representationsor warranties related or collateralto or

    affectingthe Property by the City other than those set forth in this Quitclaim or any

    relatedagreements executed in writingand duly approved by both Grantor and Grantee.

    Failureon thepartof Grantee to keep and observe any of the abovedescribedrestrictions

    and covenants will cause the Property, together with all improvements, singular

    tenements, hereditaments, and appurtenances thereto,to automatically revertto the

    Grantor, itssuccessor or assigns,and itshallbe lawful for Grantor, itssuccessorsand

    assigns,to re-enterand repossess saidproperty and thereafterto peaceable hold and

    enjoy the same as ifthisconveyance had notbeen made to Grantee.
