SPECIAL CONDITIONS FOR TENDER

1. Sealed Tenders must be deposited at ADMIN Building Security gate BALCO, KORBA. before 4-00 p.m. of 21.11.13.

2. Tenderer can quote for one or more lots as per their choice. Any tender without requisite deposit as mentioned against each Lot will be rejected out rightly.

3. Balco reserves the right to accept or reject the highest tender and all or any tender without disclosing any reason thereof.

4. The Company also reserves the right to negotiate with tenderer. ONLY FIRST THREE HIGHEST TENDERERS against each lot will be called for negotiations, if required.

5. Tender Deposit of unsuccessful tenderer will be refunded by the Company by forwarding the same through Courier within Fifteen working days following the date of Tender Result.

6. Earnest Money Deposit (EMD) as mentioned below for each lot to be attached with the Tender. EMD will be accepted only in the form of DD/RTGS favouring BHARAT ALUMINIUM CO. LTD., payable at Korba. CASH/CHEQUE will not be accepted against EMD.

7. Balance payment to be made by DD favouring Bharat Aluminium Company Limited, payable at Korba .

1. For lot less than or equal to Rs.10, 00,000 basic value, Payment to be made by 10.12.2013 last date of lifting 15.12.2013.

2. For lot more than Rs.10, 00,000 basic value, Payment to be made by 20.12.2013 & last date of lifting 31.12.2013.

Cash will not be accepted for balance payment. Material /Machinery must be removed (after making balance payment with Sales tax and Excise duty, if any) as per above-mentioned dates.

8. Wherever, Lots are sold on weighment basis, EMD will remain with the Company as a Security deposit. EMD will be adjusted against the last instalment of balance payment. In case material is

not lifted against adjusted EMD, the remaining amount of EMD will be forfeited.

9. Excise duty, VAT, ST, SC & TOT wherever applicable will be charged extra at the rate prevailing at the time of delivery. The changes in VAT, SC, ST & TOT will be born by buyer.

10. Dismantling / Loading / Unloading will be carried out by the purchasers at his/their own expenses. The purchasers shall have to arrange for all tools & tackles and labour at their own expenses.

11. If while taking delivery of the machinery, any damage is done to the premises or other machinery lying nearby, the Company shall recover all such costs required to reinstate the damage into the original position and stop delivery of the machinery till all costs are paid.

12. The sale of the materials are strictly on 'AS-IS-WHERE-IS' basis. No complaint regarding any missing parts, additional accessories / parts other than that displayed at the specified location, including any missing parts/accessories shall be entertained.

13. Machines MUST be unscrewed from the foundation. No digging of the floor will be allowed under any circumstances.

14. Cables will not be delivered with any machine and will be cut from the nearest point to the m/c.

15. EMD of one lot can be refunded only after lifting of all lots purchased by the buyer in one or various names.

16. Buyer using fake firm names shall not be encouraged. Proof of identity as visiting card/letter head has to be produced on request.

INSTRUCTION TO THE e-AUCTION PARTICIPANTS

1. For bidding at our Live-Auction Online, the intending participants are requested to log on to our web site balcoindia.com and read the instructions & procedure explained at “ HOW TO BID” thoroughly. 2. Only Registered Participants are allowed to participate and bid at our e-Auction Online. To become Registered Participant, you are required to fill-up the Form available on our said website. Those who have already registered need not fill the registration from again. Please read this instructions carefully first before filling – up the form by selecting your choices.

Parties are at the liberty to participate at the e Auction PROVIDED they have paid CMD to participate at the e Auction. For this purpose they have to get themselves register on our website as mentioned hereinabove to enable us to activate their Login.

3. All those who have registered online and wish to participate in the e-Auction, should send their Caution Money Deposit (CMD) as mentioned above by PO/DD/RTGS favouring “ Bharat Aluminium Co. Ltd.” Payable at KORBA on or before 4:00 pm of 21.10.13 to us. Please do not mention your Password in your letter. CMD received after 4:00 pm of 21.10.13 for becoming Registered Participants will be rejected to them through Courier at their risks. However, final decision of accepting or rejecting the CMD rest with the Balco and their decision will be treated as final. Hence, in your own interest, you are requested to complete all the formalities to become Registered Participant in advance and well in time. The Seller are not liable for the delay or late receipt of DD whether sent through Courier of Post.

4. On receipt of your login ID/ Password, as registered by you on our website, will be activated by us.

5. Please do not reveal / pass your User ID and Password to any other persons. It is your personal property and we will not be responsible for any leakage or misuse or illegal use of your User ID and Password. Nevertheless, you will be held personally liable to the Seller and the Auctioneers for any misuse or illegal use of your User ID and password by other person/s and any successful transaction online by such unauthorized person due to your negligence will be considered as your own transaction and you will be required to fulfil the contract as per terms and conditions of the sale.

6. For entering into bidding process at our Live-Auction Online, you will have to first enter the User ID and password as submitted by you in your online registration form. The computer will match your entry and if correct and CMD has been paid, then generate its own new BIDDER –ID for you (valid for the auction sale no. Only). On the menu bar you will see THREE new buttons- Edit Profile/ Live Auction / Logout. Click on Live Auction Button. The computer will show you list of all auctions being conducted on the day for which you have paid CMD. Click on the bid now button against the auction you wish to participate in. The computer generated Bidder-ID will be displayed on your monitor screen only. Please do not enter this ID any where at any point of time, only note it down in your diary for your reference. However, for each different Auction Sale No., a new ID will be generated by the computer.

7. After you finish or wish to leave the auction room, please click the logout button appearing on your monitor screen. If you fail to do so, you will not be able to enter the auction room again for approx. 1 hour. In case you have forgotten to do the above and wish to enter the auction room again. 8. Once you login, you cannot use the same username and password to login from another machine before logging out from the previous one.

9. For your perusal, a Demo e-Auction is available on our website balcoindia.com for all Registered Participants to practice and get acquainted with the system.

10. Only bidders who have paid CMD will be given free training at our Balco Office, if needed.

11. The auto extension feature gives equal opportunity to all bidders their bids in the closing minutes of the auction. Hence bidders are requested to stay tuned to the end of the auction even after the auction closing time in case the auction gets extended due to auto extension till the bidding screen closes. IF THE LAST BID RECEIVED IS PROXY-BID, LOT TIME WILL NOT BE EXTENDED BY 3 MINUTES AS IT HAPPENS WIH MANUAL BIDDING. WICH MAY BE NOTED. 12. Please Note each Registered Participants shall pay refundable Caution Money Deposit (CMD) to participate and bid at our Live-Auction Online. 13. Please Note the DD against CMD must be received by us in advance as no CMD will be accepted on the day of Live-Auction. What is a Proxy bid?

A proxy bid represents the highest amount you are willing to bid for a particular lot. Once you enter a proxy bid, the e-auction system will bid for you up to that amount, increasing your bid by the minimum incremental bid value until you have been out bidded by another bidder. You could also win the lot for a price less than the proxy bid you entered.

Why submit a proxy bid?

Proxy bids save you time because you don’t have to watch the auction- the computer bids for you.

Proxy bids make sure that your bids are recognized, just in case you have to leak your desk, or something happens to your internal connection during the auction.

Proxy bids are especially useful when you are bidding on many lots that are closing within minutes of each other.

They will make sure that you don’t miss out on lots just because you are bidding on another lot.

How does Proxy Bid Work?

1. When you place a proxy bid, you enter the maximum amount you’d be willing to pay for the item. Your maximum amount is kept confidential from other bidders and the seller.

2. Our E_ auction system compares your bid to those of the other bidders.3. The system places bids on your behalf, using only as much of your bid as is necessary to maintain your high

bid position i.e. Current highest bid plus Min Incremental value. The system will bid up to your maximum amount.

2. Caution money deposit (CMD) for e_Auction participation: CMD amount is to be paid for participating in e_Auction as mentioned in the general conditions for sale. For participating in e_Auction, participant has to pay separate CMD for each event as mentioned in the General Conditions of sale.

3. The vendors reserve the right to accept or reject the highest offer and all or any offer without disclosing any reason thereof.

4. The company also reserves the right to negotiate with participants. ONLY FIRST THREE HIGHEST OFFERERS against each lot will be called for negotiations if required.

5. e_Auction Deposit of unsuccessful party will be refunded by the company by forwarding the same through Courier within ten working days following the date of e_Auction.

6. Caution Money Deposit (CMD) for participating at e_Auction , the intending bidders shall pay refundable Caution Money Deposit of Rs.5,00,000/- for the maximum bidding limit of Rs.50,00,000/- or Rs.10,00,000/- for unlimited biddings to the auctioneers by DD/UTR favouring BHARAT ALUMINIUM COMPANY CO. 10. Excise duty, sale tax, additional tax & turn tax over any other taxes as applicable under the relevant sales tax act will be charge extra at the rate prevailing at the time of delivery

And the rate offered shall be exclusive of all taxes. As per central sale tax rule w.e.f 01.10.2005 party has to submit C form in each quarter of the financial year. Money equivalent to c-form amount will be withheld by BALCO if not provided in advance and will be refunded to party only after submission of c-form and annexure to c-form.

11. Dismantling/Loading /Unloading will be carried out by the purchase at his /their own expenses. The purchase shall have to arrange for all tools/tackles, forklift or hoist or carne or labour at their own expenses.

12. The purchase /shall arrange to dismantle /remove and shift the machinery at their own cost .If while taking delivery of the machinery any damaged is done to the premises or other machinery lying nearby, the company shall recover all such costs required to reinstate the damage into the original position and stop delivery of machinery till all costs are paid.

13. The sale of the all the materials are strictly on “AS-IS –WHERE-IS & NO COMPLAINT” basis.

14. The sale of the plant & machinery are strictly on “AS-IS –WHERE-IS & NO COMPLAINT” basis .Any complaint regarding any missing parts, additional accessories /parts other than that displayed at the specified location, including any missing parts /accessories shall not be entered.

15. As far as possible lots will be sold in the seriatim order. Nevertheless, the company reserves the right to combine two or more lots at their discretion.

16. Machines MUST be unscrewed from the foundation .No digging of the floor will be allowed under any circumstances.

17. Cables will not be delivered with any plant/machine. They will be cut from the nearest point to the machine.

18. Any term like ED (excise duty) waiver etc. not specially mentioned on the bid shall not be entertained.

19. EMD of one lot can be refunded only after lifting of all lots purchased by the buyer in one or various names .EMD will be refunded only after last lot.

20. Partial payment shall not be allowed while lifting.

21. Party, which does not lift three or more lots in three continuous auctions, shall be blacklisted for future and won’t be able to deal with Vedanta group for next 3 months. In the event of the purchaser or his agent or servant committing or attempting to commit theft, fraud, dishonesty or gross misbehaviour in connection with the subject matter of this contract or in any other -connection whatsoever concerning the business of the BALCO, BALCO will be entitled to terminate the contract - forthwith and forfeit the Security Deposit at its sole discretion and black listing of party can be initiated

GENERAL CONDITIONS OF SALE

1. INSPECTION:

1.1 For inspection of materials lying at Bharat Aluminium Company Limited, Korba (Chattisgarh) - 495 684, please contact Mr A. K. Bhattachrya / Mr. H.Sharma (Logistics) (0775925108, 07759252395) on any mentioned working day during working hours – reporting time - (10 a.m. to 11a.m. and 2p.m.to 3 p.m.)

2. e_Auction Result:

2.1 e_Auction result will be declared in 15 working days.

3. Balance Payment & Delivery :

3.1 The balance sale value of the lot/lots to be paid as follows:

1. For lot less than or equal to Rs.10, 00,000 basic value, Payment to be made by 10.10.13 & last date of lifting 15.11.2013.

2. For lot more than Rs.10, 00,000 basic value, Payment to be made by 20.12.13 & last date of lifting 31.12.13.

a. Lot value less than or equal to Rs10, 00,000 – EMD to be deposited - 20% of basic value. b. Lot value more than Rs10, 00,000 – EMD to be deposited - 10% of basic value.

3.3 DD/PO/RTGS in favouring “Bharat Aluminium Co Ltd, payable at Korba / Balco Nagar.

3.4 Tender Deposit/Earnest Money Deposit and/or Security Deposit shall bear no interest. Parties with TIN number, CST number and PAN number only can participate in the tender cum live auction.

3.5 For successful bidder: -

4. Description of Materials and Quality and Quantity:

4.1 The materials shall be disposed off in "AS-IS-WHERE-IS" and "WET, DRY OR RUSTY" conditions.

4.2 Numbers, quantities or tonnage or nature of materials given in the catalogue are approximate and the materials will be sold without any regard or consideration of these numbers / tonnage or nature of materials

and no Warranty or guarantee shall be implied. The quantity of scrap may vary considerably, that is, it may be much more than the approximate quantity indicated in the catalogue or much less. The purchaser must lift the entire quantity within prescribed time.

4.3 Description given in our enclosed list is in brief. Offers by the bidders will be deemed to have been made on the clear understanding that intending bidder / bidders have satisfied themselves fully in regards to the nature, condition, quality of goods upon in inspection or otherwise. No error, omission or mis-statement or mis-description whatsoever and howsoever made or published whether in advertisement or list or otherwise and no defects or faults in the goods shall invalidate the contract or be subject matter of any claim on the part of the bidder whether in compensation or otherwise howsoever nor will any such claim be entertained by the Company.

4.4 The quantity indicated in our list of scrap items is only an estimate for calculating the amount of deposits required to be paid by the bidder, and has nothing to do with quantity of scrap that may be available. However, since the paramount interest of the Company is to get the area cleared of the all accumulated scrap, the purchaser will have to remove the entire quantity whether these are far beyond the limit of approximation indicated or much less than the approximation indicated.

4.5 The Company reserves the right to accept or reject highest offer or any other offer without assigning any reason for such refusal.

4.6 If any non-ferrous metal is found in any of the ferrous lot while effecting delivery, the same shall be treated as Co.'s property except where such non-ferrous metals are specifically mentioned. The purchaser shall not lift from the lots any such pieces containing non-ferrous metal and shall have no claim to the same or ask for any compensation on account thereof.

5. Removal of Materials:

5.1 It will be successful purchaser’s responsibility to weight the empty truck at the Company weighbridge and produce the necessary weight certificate so that the weight of the empty truck will be deducted from the weight of the fully loaded truck.

5.2 For lots sold on weighment basis, the purchaser will have to weigh the empty truck and loaded truck at the BALCO Weigh-Bridges. The scrap will be weighed on the weigh-Bridge/ weighing scale in the presence of the purchaser or his authorised-representative and the weights recorded will be acceptable to both the parties. No complaint regarding shortage in weights and quantity will be considered once the material is removed by him from Company's premises.

5.3 All the consignments must be weighed even if they are sold on lot basis for Company’s record.

5.4 In order to facilitate the Co. to complete the transaction before 6.00 p.m. the goods should be collected before 3.30 p.m. on any working day with prior appointment with the concerned Department within the stipulated delivery days.

5.5 Should the original purchaser wish to take delivery of the scrap material through a representative, he must authorise the letter by a letter of authority or continuing authority, which shall be presented to the officer concerned. The officer concerned may in his entire discretion decline to act on any such authority and it shall be for the purchaser to satisfy the officer concerned that the authority is genuine. Delivery to such person shall be sole responsibility of the purchaser & no claim shall lie against the Co. on any account whatsoever, if delivery is offered to a wrong person.

5.6 The Company reserves the right to unload the vehicles for inspection purpose. If it is suspected at any time that the purchaser has loaded the material / materials for which he is not purchaser or if the purchaser is found to carry excess scrap than that mentioned in the documents, the Co. will be within its right to detain the truck, unload the goods at the cost & expenses of the purchaser & terminate the contract forthwith and forfeit the sale value & claim such further losses and damages that may be caused to the Company.

5.7 It shall be the responsibility of the purchaser to see that he or his servants or agents collect and load only that quality and kind of scrap that is covered by the contract and in the event of his servants or agents finding any other quality of or kind or scrap mixed with the scrap allotted to him he should forthwith bring it to the notice of the yard master and lift scrap only after segregation.

5.8 Oxy-cutting / cutting may be considered on specific request depending upon the merit of the case, at the sole discretion of the Company. The purchaser at his own cost should arrange necessary Gas cylinders and cutting tools wherever required (only after clearance from BALCO authorities).

5.9 During the course of the removal of the scrap material if any damage is caused to the Company's premises, installations or instruments, the buyer will be entirely held responsible to make good such losses. Till such period, the damage is repaired or compensated to the Company; no delivery of any lot/s purchased by the said bidder will be allowed.

5.10 Lots sold on Accumulated /Arranged basis at the tender must be removed by the purchaser on or before scheduled period as mentioned in Clause No: 3 here in above.

5.11 For Lots sold on ‘Arising Basis’ purchaser shall check the accumulation once a week or fortnight and as soon as one truckload of material is available, he/they shall lift the material immediately after making necessary payment for the same.

5.12 Loading / Unloading will be carried out by the purchaser at his own costs & risk. The purchasers at their own cost will arrange Labour. Non-availability of the same will not be considered as a ground for 'Late-Lifting' of the materials.

6. Penalty for delay in collection / balance payment:

6.1 In case the purchaser fails to make the balance payment within the scheduled time, the Company may at its discretion extend the period by levying interest @ 1 % of the sale value per month for such delayed period. If the failure continues, the EMD shall be forfeited.

6.2 In case the purchaser fails to remove and take complete delivery of the goods sold or part thereof within the scheduled time, the Company may at its discretion extend the period by levying down godown rent @ 1% of the sale value for such delayed period, subject to a maximum of one month.

6.3 Not with standing the facilities given at 6.1 and 6.2 above, the Company may refuse to extend the period and cancel the sale at its sole discretion and forfeit the EMD deposited by the purchaser/s. Company may also levy down both penalty i.e. clause number 6.1 and 6.2 simultaneously.

7. Decision In case of disputes:

7.1 In case of any dispute regarding the contract, the decision of the Company (BALCO) shall be final and binding. If there is any dispute as to the last or highest bid, the Company (BALCO) shall determine the dispute and their decision shall be final and binding to all.

7.2 Only the appropriate Court in Korba, Chattisgarh will have Jurisdiction to deal with any disputes arising out of this contract.

7.3 In case of any dispute arising out of or relating to the terms of this contract the matter shall be referred to one Arbitrator appointed by Company. The arbitrator so appointed shall act in accordance with the provision of Arbitration & Conciliation Act, 1996 and the venue of arbitration shall be Korba, Chattisgarh.

8. Right of Acceptance / Rejection of offer:

8.1 The Company reserves the right to withdraw wholly or partially any or all the items set for sale at any time during the period of contract without assigning any reasons.

8.2 The Auctioneer / Company also reserves the right to accept any offer on the basis of "Subject to approval" by the Company. In case the bid is accepted on "Subject to approval" basis, the Company's final decision will be informed to the purchaser within seven calendar days.

8.3 The goods are sold subject to the reserve price fixed by the Company. The Company is not bound to accept the highest offer. The Company reserves the right to reject any CONDITIONAL offers.

9. Forfeiture of Earnest Money Deposit:

9.1 In case of failure of the purchaser to comply with the conditions at 3.1, 3.2, 6.1 & 6.2 above, the Company may at its discretion, terminate the contract and the EMD paid by the purchaser will stand forfeited for the breach of contract by the purchaser. The lot in question will be re-sold by the Company, without any reference to the purchaser, to any other buyer at the risk of the defaulting purchaser. The deficit if any will be recovered from the defaulting purchaser.

9.2 The lots paid for must be completely removed at the purchaser's expense within the schedule period specified. If any lot is not removed within this specified period, the Company may re-sell / re-auction the said lot or portion thereof at the purchaser's risk and expense. In this event, the purchaser will be liable to compensate the Company for all the damages and losses that the Company may suffer on account of re-selling/re-auctioning the lot and in addition the Company will also be entitled to recover from the purchaser the cost of storage warehousing etc specified at 6-2 above. This will be in addition to EMD/Security Deposit that will stand forfeited in the event of the purchaser not removing the lots within the specified time.

10. Termination of Contract:

The Company reserves the right to terminate the contract at any time by giving three days notice on the following ground.

10.1 Unsatisfactory execution or performance of the contract by the purchaser.

10.2 For improper behaviour of the purchaser or breach of the terms and conditions of the contract.

10.3 Decision of the Company to terminate the contract shall be final and binding and no claim for damages and compensation shall lie. Provided always that in the event of the purchaser or his agent or servant committing or attempting to commit theft, fraud, dishonesty or gross misbehaviour in connection with the subject matter of this contract or in any other -connection whatsoever concerning the business of the Co., the Company will be entitled to terminate the contract - forthwith and forfeit the Security Deposit at its sole discretion.

11. Passing of Property In the goods:

11.1 It is expressly made clear that the property in the goods whether sold by units, weights or lots, whether arranged or otherwise, will remain that of the Company and will pass on to the purchaser only when material is taken out by the Purchaser from the factory Premises after getting valid dispatch documents.

12. General:

12.1 Excise Duty, Sales Tax, Additional Tax and Turn-over Tax or any other taxes as applicable under the relevant Sales Tax Act will be charged extra at the rate prevailing at the time of delivery and the rate offered shall be exclusive of all taxes.

12.2 All trucks, handcarts, carrying such materials outside our premises are subject to inspection by our Security Deptt. at the gate. If required, the buyer will have to unload the vehicle if Security Officer demands for a surprise check.

12.3 Any person employed or engaged by the buyer for the purpose of the execution of the contract shall be required to observe the rules and regulations that are prevailing in our Company.

12.4 The movement of his persons shall be restricted only to the place of work assigned to them. Each person engaged by the buyer shall be required to obtain a Pass from our Security Department for entering and leaving our Factory premises. Our Security Dept shall subject all the labour engaged by the buyer to inspection.

12.5 All notices, letters sent to the purchaser shall be deemed to have been received by him/them on expiry of 48 hours from the time of posting if the same are sent at the address given by the purchaser.

12.6 Resale will not be recognised and release order will be made out in the name of actual successful purchasers only.

12.7 The purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within the premises of the Company and no delivery would be effected by the Company to any person other than the purchaser whose names are mentioned in the delivery order.

12.8 All purchasers of the lots before collecting purchased materials from inside the works should contact the Company's authorised officer to get them fully acquainted with safety rules and regulations. Purchasers will be allowed to start collecting materials only when they have confirmed in writing that they are agreeable to follow the various safety rules and plant regulations.

12.9 The Company will in no way be responsible for any accident, damage or injury to the contractor's workmen or equipment while on factory premises.

12.10 If the successful purchaser at any stage either neglects or refuses or is unable to take delivery of the materials for any reasons whatsoever or the performance of the purchaser is unsatisfactory, the Company will have the right to terminate the contract, enforce forfeiture of purchaser's EMD/security deposit and claim such further losses and damages that may be caused to the Company to determine and declare at its sole discretion.

12.11 In the event of the purchaser failing to remove the materials and to pay price thereof, the Co. shall be free to sell the goods to any person or persons and to recover from the original purchaser the amount by which materials actually sold, falls short of the price agreed by the original purchaser. This does not in any way effect the right of the Company to forfeit EMD as provided herein.

12.12 Special Conditions of sale or Additional Conditions of sale, if any, will be announced at the time of inspection.
