    3.05 INQUIRIES/ADDENDA

    A. Where the Bid Documents stipulate a particular product, substitutions will be considered up to 10days before receipt of bids.

    B. When a request to substitute a product is made, Architect may approve the substitution and will

    issue an Addendum to known bidders.

    C. The submission shall provide sufficient information to determine acceptability of such products.

    D. Provide complete information on required revisions to other work to accommodate each

    proposed substitution.

    E. Provide products as specified unless substitutions are submitted in this manner and accepted.

    F. See Section 01600 - Product Requirements for additional requirements.

    SITE ASSESSMENT

    4.01 SITE EXAMINATION

    A. Examine the project site before submitting a bid.

    BID SUBMISSION

    5.01 SUBMISSION PROCEDURE

    A. Bidders shall be solely responsible for the delivery of their bids in the manner and timeprescribed.

    B. Submit two copies of the executed offer on the Bid Forms provided, signed and sealed with the

    required security in a closed opaque envelope, clearly identified with bidder's name, projectnumber and Owner's name on the outside.

    D. Bids are by invitation, only from selected bidders. Bids from unsolicited bidders will be returned.

    BID ENCLOSURES/REQUIREMENTS

    6.01 SECURITY DEPOSIT

    A. Bids shall be accompanied by a security deposit as follows:

    1. Bid Bond of a sum no less than 5 percent of the Bid Amount on AIA A310 Bid Bond Form.

    B. Endorse the Bid Bond in the name of the Owner as obligee, signed and sealed by the principal(Contractor) and surety.

    C. The security deposit will be returned after delivery to the Owner of the required Performanceand Payment Bond(s) by the accepted bidder.

    D. Include the cost of bid security in the Bid Amount.

    E. After a bid has been accepted, all securities will be returned to the respective bidders.

    F. If no contract is awarded, all security deposits will be returned.

    from early completion if HUD determines that the Contractors cost

    certification, if required by Article 7, is fraudulent or materiallymisrepresents the Contractors actual cost of construction.

    E. The date of final completion shall be the date the HUDrepresentative signs the final HUD Representatives Trip Reportprovided that the trip report is subsequently endorsed by the Chief

    Architect.

    Article 3 Contract Sum and Payments

    A. The Owner shall pay the Contractor for the performance of the

    Contract, as hereinafter provided, the sum of $ ________________

    B. Each month after the commencement of work hereunder, the

    Contractor shall make a monthly request on Form HUD 92448 for

    payment by the Owner for work done during the preceding month.Each request for payment shall be filed at least __________ days

    before the date payment is desired. Subject to the approval of HUD,

    the Contractor shall be entitled to payment thereon in an amountequal to (1) the total value of classes of the work acceptably

    complete; plus (2) the value of materials and equipment not

    incorporated in the work, but delivered to and suitably stored at thesite; plus (3) the value of components stored off-site in compliance

    with applicable HUD requirements less (4) 10 percent holdback and

    less prior payments. The values of (1), (2) and (3) shall be

    computed in accordance with the amounts assigned to classes of thework in the Contractor's and/or Mortgager's Cost Breakdown,

    attached hereto as Exhibit A. The Contractor agrees that nomaterials or equipment required by the Specifications will be

    purchased under a conditional sale contract or with the use of any

    security agreement or the vendor's title or lien retention instrument.

    C. The balance due the Contractor hereunder shall be payable

    upon the expiration of 30 days after the work hereunder is fully

    complete, provided the following have occurred:

    (1) All work hereunder requiring inspection by municipal or

    other governmental authorities having jurisdiction has been

    inspected and approved by such authorities and by the rating orinspection organization, bureau, association or office having

    jurisdiction;

    (2) All certificates of occupancy, or other approvals, withrespect to all units of the project have been issued by State or local

    governmental authorities having jurisdiction; and

    (3) Permission(s) To Occupy (Form HUD-92485) for all units ofthe project have been issued by HUD.

    D. With its final application for payment by the Owner, theContractor shall disc lose, on a form prescribed by HUD, all unpaidobligations contracted in connection with the work performed under

    this Contract. The Contractor agrees that, within 15 days following

    receipt of final payment, it will pay such obligations in cash andfurnish satisfactory evidence of such payment to the Owner.

    Article 4 Receipts and Releases of Liens

    The Owner may require the Contractor to attach to each request forpayment its acknowledgement of payment and all subcontractors'and material supplier's acknowledgements of payment for work done

    and materials, equipment and fixtures furnished through the datecovered by the previous payment. Concurrently with the final

    payment, the Owner may require the Contractor to obtain similar

    waivers or releases from all subcontractors and material suppliers.

    Article 5 Requirements of Contractor

    A. The Contractor shall furnish, at its own expense, all building and

    other permits, licenses, tools, equipment and temporary structu

    necessary for the construction of the project. The Contractor sgive all required notices and shall comply with all applicable codlaws, ordinances, rules and regulations, and protective covena

    and with the current regulations of the National Board of FUnderwriters, wherever applicable. The Contractor further s

    comply with the provisions of the Occupational Safety and Healthof 1970. The Contractor shall immediately notify HUD of the delivof all permits, licenses, certificates of inspection, certificates

    occupancy, and any other such certificates and instruments requi

    by law, regardless of to whom issued, and shall cause them to

    displayed to HUD upon request.B. If the Contractor observes that the Drawings and Specificati

    are at variance with any applicable codes, laws, ordinances, ruleregulations, or protective covenants, it shall promptly notify

    Architect in writing, and any necessary changes shall be made

    provided in this Contract for changes in the Drawings aSpecifications. If the Contractor performs any work knowing it tocontrary to such codes, laws, ordinances, rules or regulations

    protective covenants, without giving such notice to the Architecshall bear all cost arising therefrom.

    C. Upon completion of construction, the Contractor shall furnis

    the Owner a survey showing the location on the site of improvements constructed thereon, and showing the location o

    water, sewer, gas and electric lines and mains, and of all exisutility easements. Such survey shall be prepared by a licensurveyor who shall certify that the work is installed and erec

    entirely upon the land covered by the mortgage and within a

    building restriction lines on said land, and does not overhangotherwise encroach upon any easement or right-of-way of othersaddition, the Contractor shall furnish additional surveys wh

    required by the Owner for any improvements, including structuand utilities, not theretofore located on a survey. The Contractor s

    furnish copies of such survey required hereunder for HUD.

    D. The Contractor shall assume full responsibil i ty for maintenance of all landscaping which may be required by

    Drawings and Specifications until such time as both parties to

    Contract shall receive written notice from HUD that such landscaphas been finally completed. The Owner hereby agrees to m

    available to the Contractor, for such purpose, without cost to

    latter, such facilities as water, hose and sprinkler.

    Article 6 Assurance of Completion

    Article 7 Cost Certification

    An identity of interest between the Owner and the Contractor isprohibited. In the event HUD determines that there is an identity of

    interest between the Owner and the Contractor, the Contractor shall

    certify on a form prescribed by HUD, its cost incurred in theperformance of work under this Contract.

    Article 8 Right of Entry and Interpretation

    A. HUD, its agents or assigns, at all times during construct ion, hasthe right of entry and free access to the project and the right to inspectall work done and materials, equipment and fixtures furnished,

    installed or stored in and about the project. For such purpose, theContractor shall furnish such enclosed working space as HUD may

    require and find acceptable as to location, size, accommodationsand furnishings.

    B. HUD shall also have the right to interpret the Contract

    Documents and to determine compliance therewith.

    Article 9 Assignments, Subcontracts and Termination

    A. This Contract shall not be assignable by either party withprior written consent of the other party and HUD, except that

    Owner may assign the Contract, or any rights hereunder, to HU

    B. The Contractor shall not subcontract all of the work toperformed hereunder without the prior written consent of the Ow

    and HUD.

    C. Upon request by the Owner, or HUD, the Contractor sdisclose the names of all persons with whom it has contracted orcontract with respect to work to be done and materials a

    D. The Contractor understands that the work under this contra

    to be financed by a capital advance to be secured by a mortgage

    subject to the terms of a Capital Advance Agreement between Owner and HUD.

    The Contractor further understands that said Capital Advan

    Agreement provides that in the event of the failure of the Owneperform its obligations to HUD thereunder, HUD may, as attorney

    fact for the Owner, undertake the completion of the projec

    accordance with this Contract. In the event HUD elects notundertake such completion, the Contractor's obligations under

    Contract shall terminate.

    not less than $1,000,000.00 for each event to protect the contractor and each subcontractor

    against claims of personal injury or death and damage to the property of others. The Owner,HUD, and the Architect shall also be named as additionally insured on this liability coverage. Thisshall cover the use of all equipment, hoists, and vehicles on the site or sites.

    5.02 List of Subcontractors

    A. Prime Contractors shall list subcontractors who will perform any portion of the work asrequested. Contractor shall furnish partial waiver of liens starting with first payout request from

    subcontractors and suppliers with full waiver of liens being submitted prior to final payment.

    5.03 Guarantees

    A. Contractors shall guarantee all materials and workmanship to be free of defects for a period ofone year from date of acceptance of said work by the owner and shall replace at his own

    expense, any work that may be found defective within said one year period. Also deliver all

    Manufacturers Warranties for installed items with warranties in excess of the above as offered byManufacturer or specified in other sections.

    5.04 Responsibility of Contractor

    A. Except as otherwise specifically stated in the Contract Documents and Technical Specifications,

    the Contractor shall provide and pay for all labor, tools, equipment, levies, fees or other

    expenses and all other services and facilities of every nature what whatsoever necessary for theperformance of the contract and to deliver all improvements embraced in this Contract for

    Construction complete in every respect within the specified time.

    5.05 Contract Documents and Drawings

    A. Contractor shall be furnished without charge Contact Documents, including Technical

    Specifications and Drawings, as follows: General Contractor - fifteen (15) sets. Architect shallalso provide one CD with a PDF copy of the contract documets to the Awarded GeneralContractor.

    5.06 Record Retention

    A. Federal Regulation CFR 24, Section 85.36 that requires all Contractors and Subcontractors whowork on any project to maintain all accounting records related to a project for a minimum of

    three (3) years after final payout for the contract apply to this contract.

    A. Where specifications appear to be at variance with the laws, ordinances or regulations, theContractor shall secure an interpretation from the owner or its representative prior to submitting

    bids. Failure to comply with the above request will result in the Contractor bearing expense ofcorrection of work to conform with all legal requirements.

    5.08 Clean-up

    A. Contractor will clean-up at the end of each working day. This clean-up will include the removalof all materials that are scheduled for disposal, restoration of walls and floors to original

    condition. Dust collecting devices shall be used on all boring, shaping and sanding equipment.

    5.09 Hazardous Materials

    A. Building materials known to be environmentally hazardous, or containing environmentally

    hazardous ingredients such as, but not limited to, Lead Mercury, Arsenic, Silver and Asbestos,

    will not be purchased or used by contractors doing maintenance, construction, or rehabilitationof this project.

    5.10 Permit

    A. Contractor to pull permit through the City of Chicago, Illinois with the assistance of the Architects.

    DEFINITIONS

    6.01 Products: Means new material, machinery, components, equipment, fixtures, and

    systems forming the Work, but does not include machinery and equipment used for

    preparation, fabrication, conveying and erection of the Work. Products may also include

    existing materials or components required for reuse.

    6.02 Furnish or Supply: To supply and deliver, unload, inspect for damage.

    6.03 Install: To unpack, assemble, erect, apply, place, finish, cure, protect, clean, and ready

    for use.

    6.04 Provide: To furnish or supply, plus install.

    6.05 Project Manual: The Project Manual is the volume usually assembled for the Work which

    includes the Bid Documents, Contract Documents, and Specifications.

    Supplementary Conditions ofthe Contract for Construction

    Article 1 Labor Standards

    Instructions

    Whenever only FHA mortgage insurance is involved, use paragraph(A) and (C) of Article 1 Labor Standards. Whenever any direct formof assistance (Section 8, Section 202/811 Capital Advance, grantsetc.) is involved, use paragraphs (A) and (B) and (C) of Article 1 Labor Standards.

    Applicability

    The Project or Program to which the construction work covered bythis contract pertains is being assisted or insured by the UnitedStates of America and the following Federal Labor Standards Provi-

    sions are included in this Contract or related instrument pursuant to theprovisions applicable to such Federal assistance or insurance.

    A. 1. (i) Minimum Wages.All laborers and mechanics employedor working upon the site of the work (or under the United StatesHousing Act of 1937 or under the Housing Act of 1949 in theconstruction or development of the project), will be paid uncondition-ally and not less often than once a week, and without subsequentdeduction or rebate on any account (except such payroll deductionsas are permitted by regulations issued by the Secretary of Laborunder the Copeland Act (29 CFR Part 3), the full amount of wagesand bona fide fringe benefits (or cash equivalents thereof) due attime of payment computed at rates not less than those contained inthe wage determination of the Secretary of Labor which is attachedhereto and made a part hereof, regardless of any contractualrelationship which may be alleged to exist between the contractor

    and such laborers and mechanics. Contributions made or costsreasonably anticipated for bona fide fringe benefits under Section1(b)(2) of the Davis-Bacon Act on behalf of laborers or mechanicsare considered wages paid to such laborers or mechanics, subjectto the provisions of 29 CFR 5.5(a)(1)(iv); also, regular contributionsmade or costs incurred for more than a weekly period (but not lessoften than quarterly) under plans, funds, or programs, which coverthe particular weekly period, are deemed to be constructively madeor incurred during such weekly period.

    Such laborers and mechanics shall be paid the appropriate wagerate and fringe benefits on the wage determination for the classifica-tion of work actually performed, without regard to skill, except asprovided in 29 CFR Part 5.5(a)(4). Laborers or mechanics perform-ing work in more than one classification may be compensated at therate specified for each classification for the time actually worked

    therein: Provided, That the employer's payroll records accurately setforth the time spent in each classification in which work is performed.The wage determination (including any additional classification andwage rates conformed under 29 CFR Part 5.5(a)(1)(ii) and the Davis-Bacon poster (WH-1321) shall be posted at all times by the contractorand its subcontractors at the site of the work in a prominent andaccessible place where it can be easily seen by the workers.

    (ii) (a) Any class of laborers or mechanics which is notlisted in the wage determination and which is to be employed underthe contract shall be classified in conformance with the wagedetermination. HUD shall approve an additional classification andwage rate and fringe benefits therefore only when the followingcriteria have been met:

    (1) The work to be performed by the classification

    requested is not performed by a classification in wage determination; and

    (2) The classification is utilized in the area by construction industry; and

    (3) The proposed wage rate, including any bona ffringe benefits, bears a reasonable relationship to wage rates contained in the wage determination.

    (b) If the contractor and the laborers and mechanicbe employed in the classification (if known), or their representativand HUD or its designee agree on the classification and wage (including the amount designated for fringe benefits where approate), a report of the action taken shall be sent by HUD or its desig

    to the Administrator of the Wage and Hour Division, EmploymStandards Administration, U.S. Department of Labor, WashingD.C. 20210. The Administrator, or an authorized representative,approve, modify, or disapprove every additional classification acwithin 30 days of receipt and so advise HUD or its designee or notify HUD or its designee within the 30-day period that additiotime is necessary.     (c) In the event the contractor, the laborers or mechics to be employed in the classification or their representatives, HUD or its designee do not agree on the proposed classif ication wage rate (including the amount designated for fringe benewhere appropriate), HUD or its designee shall refer the questioincluding the views of all interested parties and the recommendatof HUD or its designee, to the Administrator for determination. T

    Administrator, or an authorized representative, will issue a deternation within 30 days of receipt and so advise HUD or its designor will notify HUD or its designee within the 30-day period tadditional time is necessary.     (d) The wage rate (including fringe benefits whappropriate) determined pursuant to subparagraphs A.1.(ii)(b) orof this paragraph, shall be paid to all workers performing work in classification under this contract from the first day on which worperformed in the classification.

    (iii) Whenever the minimum wage rate prescribed in contract for a class of laborers or mechanics includes a fringe benwhich is not expressed as an hourly rate, the contractor shall eitpay the benefit as stated in the wage determination or shall panother bona fide fringe benefit or an hourly cash equivalent ther

    (iv) If the contractor does not make payments to a trusteother third person, the contractor may consider as part of the waof any laborer or mechanic the amount of any costs reasonaanticipated in providing bona fide fringe benefits under a planprogram, Provided, That the Secretary of Labor has found, uponwritten request of the contractor, that the applicable standards ofDavis-Bacon Act have been met. The Secretary of Labor may reqthe contractor to set aside in a separate account assets for the meeof obligations under the plan or program.     2. Withholding. HUD or its designee shall upon its own acor upon written request of an authorized representative of Department of Labor withhold or cause to be withheld from contractor under this contract or any other Federal contract with

    same prime contractor, or any other Federally-assisted contractsubject to Davis-Bacon prevailing wage requirements, which is heldby the same prime contractor so much of the accrued payments oradvances as may be considered necessary to pay laborers andmechanics, including apprentices, trainees and helpers, employedby the contractor or any subcontractor the full amount of wagesrequired by the contract. In the event of failure to pay any laborer ormechanic, including any apprentice, trainee or helper, employed orworking on the site of the work (or under the United States HousingAct of 1937 or under the Housing Act of 1949 in the construction ordevelopment of the project), all or part of the wages required by thecontract, HUD or its designee may, after written notice to the

    contractor, sponsor, applicant, or owner, take such action as may benecessary to cause the suspension of any further payment, ad-vance, or guarantee of funds until such violations have ceased. HUDor its designee may, after written notice to the contractor, disbursesuch amounts withheld for and on account of the contractor orsubcontractor to the respective employees to whom they are due. TheComptroller General shall make such disbursements in the case ofdirect Davis-Bacon Act contracts.

    3. (i) Payrolls and basic records. Payrolls and basic recordsrelating thereto shall be maintained by the contractor during the courseof the work and preserved for a period of three years thereafter for alllaborers and mechanics working at the site of the work (or under theUnited States Housing Act of 1937, or under the Housing Act of 1949,in the construction or development of the project). Such records shallcontain the name, address, and social security number of each such

    worker, his or her correct classification, hourly rates of wages paid(including rates of contributions or costs anticipated for bona fide fringebenefits or cash equivalents thereof of the types described in Section1(b)(2)(B) of the Davis-Bacon Act), daily and weekly number of hoursworked, deductions made and actual wages paid. Whenever theSecretary of Labor has found under 29 CFR 5.5(a)(1)(iv) that the wagesof any laborer or mechanic include the amount of any costs reasonablyanticipated in providing benefits under a plan or program described inSection 1(b)(2)(B) of the Davis-Bacon Act, the contractor shall maintainrecords which show that the commitment to provide such benefits isenforceable, that the plan or program is financially responsible, and thatthe plan or program has been communicated in writing to the laborersor mechanics affected, and records which show the costs anticipated orthe actual cost incurred in providing such benefits. Contractors employ-ing apprentices or trainees under approved programs shall maintainwritten evidence of the registration of apprenticeship programs andcertification of trainee programs, the registration of the apprentices andtrainees, and the ratios and wage rates prescribed in the applicableprograms.     (ii) (a) The contractor shall submit weekly for each week inwhich any contract work is performed a copy of all payrolls to HUDor its designee if the agency is a party to the contract, but if theagency is not such a party, the contractor will submit the payrolls tothe applicant, sponsor, or owner, as the case may be, for transmis-sion to HUD or its designee. The payrolls submitted shall set outaccurately and completely all of the information required to bemaintained under 29 CFR Part 5.5(a)(3)(i). This information may besubmitted in any form desired. Optional Form WH-347 is available forthis purpose and may be purchased from the Superintendent ofDocuments (Federal Stock Number 029-005-00014-1), U.S. Gov-ernment Printing Office, Washington, D.C. 20402. The prime con-tractor is responsible for the submission of copies of payrolls by allsubcontractors. (Approved by the Office of Management and Budgetunder OMB Control Number 1215-0149.)

    (b) Each payroll submitted shall be accompanied by aStatement of Compliance, signed by the contractor or subcontrac-tor or his or her agent who pays or supervises the payment of thepersons employed under the contract and shall certify the following:

    (1) That the payroll for the payroll period contains theinformation required to be maintained under 29 CFRPart 5.5(a)(3)(i) and that such information is correct andcomplete;

    (2) That each laborer or mechanic (including each

    helper, apprentice, and trainee) employed on the ctract during the payroll period has been paid the weekly wages earned, without rebate, either directlyindirectly, and that no deductions have been made eitdirectly or indirectly from the full wages earned, otthan permissable deductions as set forth in 29 CFR P3;

    (3) That each laborer or mechanic has been paid less than the applicable wage rates and fringe beneor cash equivalents for the classification of work pformed, as specified in the applicable wage determition incorporated into the contract.

    (c) The weekly submission of a properly execucertification set forth on the reverse side of Optional Form WH-3shall satisfy the requirement for submission of the StatemenCompliance required by paragraph A.3.(ii)(b) of this section.

    (d) The falsification of any of the above certificatimay subject the contractor or subcontractor to civil or crimprosecution under Section 1001 of Title 18 and Section 231 of T31 of the United States Code.

    (iii) The contractor or subcontractor shall make the recorequired under paragraph A.3.(i) of this section available for insption, copying, or transcription by authorized representatives of Hor its designee or the Department of Labor, and shall permit surepresentatives to interview employees during working hours onjob. If the contractor or subcontractor fails to submit the requrecords or to make them available, HUD or its designee may, awritten notice to the contractor, sponsor, applicant, or owner, tsuch action as may be necessary to cause the suspension of afurther payment, advance, or guarantee of funds. Furthermofailure to submit the required records upon request or to make srecords available may be grounds for debarment action pursuan29 CFR Part 5.12.

    4. (i) Apprentices and Trainees. Apprentices. Apprentiwill be permitted to work at less than the predetermined rate for work they performed when they are employed pursuant to aindividually registered in a bona fide apprenticeship program retered with the U.S. Department of Labor, Employment and TrainAdministration, Bureau of Apprenticeship and Training, or witState Apprenticeship Agency recognized by the Bureau, or person is employed in his or her first 90 days of probationemployment as an apprentice in such an apprenticeship progrwho is not individually registered in the program, but who has becertified by the Bureau of Apprenticeship and Training or a StApprenticeship Agency (where appropriate) to be eligible for protionary employment as an apprentice. The allowable ratio of apprtices to journeymen on the job site in any craft classif ication shallbe greater than the ratio permitted to the contractor as to the enwork force under the registered program.
