CERTIFICATE ON COMPLIANCE WITH THE CONDITIONS OF CORPORATE

GOVERNANCE UNDER CLAUSE 49 OF THE LISTING AGREEMENT(S)

1. We have examined the Compliance of conditions of Corporate Governance by Bluechip

Stockspin Limited ("the Company ") for the period from during the year ended 1st April,

2012 to 31st March, 201 3 as stipulated in Clause 49 of the Listing Agreement of the said

Company with the stock exchange.

2. The compliance of condit~ons of corporate governance is the responsibility of the

management. Our examination has been limited to a review of the procedures and

implementation thereof, adopted by the Company for ensuring the compliance of the

conditions of Corporate Governance. It is neither an audit nor an expression of opinion on the

financial statements of the Company.

3 In our opinion and to the best of our information and according to the explanations given

to us , and the representations made by the Directors and the Management, we certify

that the Company has complied with the conditions of Corporate Governance as stipulated in

the above mentioned Listing Agreement.

4. As required by the Guidance Note issued by the Institute of Chartered Accountant of

India we have to state that based on the report given by the Registrar of the Company to

the Irlvestor's Grievance Committee, as on 31st March, 2013, there were no investor

grievance matter against t?e Company remaining unattended /pending for more than 30

days.

5. We further state that such compliance is neither an assurance as to the future viability of the

Company nor the efficiency or effectiveness with which the management has

conducted the affairs of the Company.

We have audited the accompanyh~g financial statements of "BLUECHEP STOCKSPIN LIMITED", which comprise the Balance Sheet as at %larch 31, 2013, the Statement of Profit and Loss and the Cash Flow Statement for the year then ended, and a summary of significant accounting poIicies and other explanatorv information.

Management is responsible for the preparation of these financial statements that give a

true and fair view of the financial position and financial performance of the Company in accordance with the accounting pl-l~ciples generally accepted in India including Acc~mnting Standards referred to in sub-section (3C) of section 211 of the Companies Act, 1956 ("the Act"). This res yonsibility includes the design, implementation and inaintenance of internal control relevant to the preparation and presentation of the financia1 statements that give a true and fair view and are free from material

misstatement, whether due to fraud or error.

Our responsibility is to express an opiniun on these EiimnciaI statements based on our audit. 1'L'e conducted our dudit in accordance with the Standards on Auditing issued by the Institute of Chartered Accountants of India. Those Standards re quire that tve comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial stat~ments are free from material misstatement.

An audit also includes evaluating the appropriateness of nccnunting policies used and the reasonableness of the accounting estimates made by management, as well asevaluating the overall presentation of the consoIidated financial statements.

Opinion

In our opinion and to the best of our information and according to the explanations given to us, and based on the consideration of the reports of the other auditors on the bnanc~alstatements/ financia1 information of the subsidiaries referred to below in thc Other Matter paragraph, the aforesaid consolidated financia1 statements give a true and tair view in conformity with the accounting principles g~neraIlyaccepted in India:

Other Matter

We have not audited the financial statements / financia1 information of subsidiaries Rhctan Es ta tr Private Limited included in the curwulidated financial statements, whose financial s tatemei~ts/' financial information reflect the total assets of Rs. 88,03,526.10 as

at 3 1st March, 2013 and total revenue of Rs. 91,766.01 for the year ended on that t

date, as considerecl in the consoIida ted finanrial statements. These financia1

s tateinents / financial idorma tion have been audited by other auditors whose reports have been furnished to us by the Management and our opinion, in so far as it relates to

the amounts and disclosures included in resp~ct of these subsidiaries, is bascd solcly on the reports of the other auditors.

Our opinion is not qualified in respect of this matter.
