The Shaker Heights Board of Education met in regular session on Tuesday, June 15, 2010 at 5:06 p.m. at the Shaker Heights Board of Education Administration Building, Large Conference Room, 15600 Parkland Drive, Shaker Heights, Ohio 44120. Members present: Ms. Freda J. Levenson, Mr. Peter A. Robertson, Ms. Annette Tucker Sutherland, and Mr. Norman A. Bliss. Members absent: Mrs. Jennifer P. Mearns who was unable to attend due to a previous commitment. President Norman A. Bliss presided. At this time President Bliss welcomed everyone in attendance. Mr. Bliss commented on public participation at Board meetings. When members of the public are called upon to address the Board, they should state their name and address, limit comments to two to three minutes, and remember that this is not a meeting designed for lengthy dialogue. President Bliss invited the audience to ask questions or make comments pertaining to agenda items. One community member commented regarding the completion of a 50-year history of the Shaker Heights City School District by Mr. John Guiness. He also commented on an article in the Wall Street Journal regarding changes in public education including deep budget cuts. President Bliss thanked the community member for his comments. Upon the presentation of the Minutes of the May 11, 2010 regular meeting and the May 18, 2010 special meeting, Ms. Sutherland moved, seconded by Ms. Levenson to approve the minutes as presented. BUSINESS Upon the recommendation of Superintendent Freeman, Mr. Robertson moved, seconded by Ms. Levenson, authorizing the Treasurer and Superintendent to enter into an agreement with AVI Foodsystems of Warren, Ohio to provide food service for grades K-12 for the 2010-2011 school year. The motion carried. 10-06-70 At this time Superintendent Freeman introduced Peggy Caldwell who updated the Board on Newsweek’s top 2% of high schools in the country. Newsweek’s idea is to create a list designed to honor schools that have done the best job in persuading average students to take college-level courses and tests. Newsweek has acknowledged that it erroneously omitted Shaker from its initial list and has promised to correct the error. Shaker’s performance on Newsweek’s performance index places it at #457 nationally, in the top 2% of American public high schools. The motion carried. 10-06-72 TREASURER’S REPORT AND RECOMMENDATIONS Upon the recommendation of Mr. Bryan Christman, Treasurer, Ms. Levenson moved, seconded by Mr. Robertson that the financial statements for the month ended May, 2010 be accepted and placed on file for audit. President Bliss asked Mr. Christman to review the highlights of the financial statements. He commented on items as delineated in the financial and miscellaneous briefs and as follows: Real Estate Taxes - $927,323 or 1.6% less than taxes through May 2009. From a budget

perspective, we are $523,933 ahead of budget, primarily attributable to the net special delinquent advances from the County Treasurer in this fiscal year (received in March and May).

Homestead Exemption & Rollback (HERB) – HERB YTD receipts are $3,989,831 or 49.9% less than those of one year ago. This variance is a timing difference due to the receipt in April 2009, but not until June in 2010 for the 1

st half payment. Accordingly,

we are $3.8 million below the budgeted revenue amount through May. Other State Sources - $995,727 or 48.5% more than the amount received in the prior year

due primarily to the increase in the scheduled phase-in of the tangible personal property tax reimbursement ($840,051 x 2 plus $300,095 this year vs. $478,073 x 2 plus $277,306 last year). Additionally, the ODE special education catastrophic aid of $279,359 was received in May 2010, while the 2009 payment of $592,167 was not received until June 2009. 99.3% of estimated Other State receipts have been received to date compared to 75.6% for last year.

Salaries & Wages – Sick leave severance payments this YTD totaled $389,103 representing a $231,990, or 37.4% decrease from the prior year YTD total of $621,093.

Fringe Benefits – $1,142,366 or 7.3% more than the prior YTD, but only $39,790 or 0.2% more than the budgeted amount YTD.

Total Expenditures – On a cash basis, total expenses were $3,836,257 or 4.9% more than the YTD expenditure level for the prior fiscal year. On a budget basis, total expenditures are $790,322 below budget, but encumbrances are $587,283 above budget, resulting in a net favorable budget variance of $203,039.

Anthem Health Insurance Contingent Premium Settlement - We have elected each year since fiscal 2000-01 (except for the 18-month period 7/1/05 through 12/31/06) to adopt the contingent premium option available from Anthem with respect to health insurance premiums. Under the arrangement, the District pays only 90% of the quoted monthly health insurance premium. At the end of the policy year, an additional premium is payable to Anthem if the District experience is worse than the 90% premiums already paid. The additional payment is limited to 105% of the quoted monthly health insurance premium (thus only a 5% downside risk premium, but a 10% upside benefit). At this point we are still reviewing and verifying the settlement calculations, but it is anticipated that an additional premium amount approximating $1.1 million is payable in settlement of the 2009 calendar year (plus the month of January 2010). The payment will be paid from the District’s self-insurance Fund 24, which is funded via the accumulation of the 10% difference between the full 100% premium charged to the General and Other Funds and the 90% that is actually paid to Anthem each month. The yearly and cumulative savings to date are reflected in the chart below.

The District switched to self-insurance effective February 1, 2010, and thus the contingent premium will not be in effect going forward. The District continues to maintain a reserve in Fund 024 for purposes of funding the self-insurance program.

Special Education Catastrophic Aid Reimbursement Received - Although when originally instituted by the Ohio Legislature the catastrophic aid reimbursement submissions were paid at 100%, the State has in recent memory reimbursed less than 50%. Last year the reimbursement rate was only 45.8% for the fiscal 2008 calculation amount, thus we received only $592,167 of the $1,293,622 submission. While the haircut for the fiscal 2009 reimbursement was expected to be about half of the fiscal 2008 rate due to a significant reduction in the total appropriation line for this item in fiscal 2010, the final rate ended up being even lower, a mere 17.6%. Included in Other State revenues received in May is the District’s final fiscal 2009 submission reimbursement of $279,359.

Mr. Christman also commented on the following legislative item:

The Race to the Top was submitted on June 1, 2010. The State is asking for $400

million. There were 57 more school districts and charter schools that participated in Round 2 as compared to Round 1.

Upon the recommendation of Mr. Bryan Christman, Treasurer, Ms. Levenson moved, seconded by Mr. Robertson that in accordance with the applicable sections of Chapter 135 of the Ohio Revised Code, the Board of Education award depository contracts to the following financial institutions for ACTIVE DEPOSITS for a five-year period beginning July 1, 2010 through June 30, 2015: Charter One Bank Fifth Third Bank Huntington National Bank J.P. Morgan Chase Bank, NA Key Bank, N.A. PNC Bank Tri-State Capital Bank U.S. Bank and further, that in accordance with the applicable sections of Chapter 135 of the Ohio Revised Code, the Board of Education award depository contracts to the following financial institutions for INTERIM DEPOSITS for a five-year period beginning July 1, 2010 through June 30, 2015: Charter One Bank Fifth Third Bank Huntington National Bank J.P. Morgan Chase Bank, NA Key Bank, N.A. PNC Bank Tri-State Capital Bank U.S. Bank and further, that the Treasurer be authorized and directed to execute all depository contracts and security agreements as required to make this resolution effective. In accordance with President Bliss’ request, First Merit Bank, NA was removed from the depository list since he is a full time employee of First Merit Bank. Mr. Christman provided the following explanation as to the purpose of this resolution. In accordance with Ohio Revised Code, the District must renew at least once every five years its contracts in order to continue utilizing the various deposit accounts available at financial institutions. The awarding of such contracts in no way commits the District funds to any specific institution, but does allow for maximum flexibility, which is especially important in the current interest rate environment. All District funds that are deposited with such financial institutions are insured up to the FDIC limit (currently $250,000), while the remainder are covered by Ohio Revised Code required collateralization provisions. Such rules require the financial institutions to pledge bank-owned government securities as collateral to cover all public funds on deposit. Upon the recommendation of Mr. Bryan Christman, Treasurer, Ms. Levenson moved, seconded by Ms. Sutherland that the Board of Education approve the 2011 Shaker Heights Public Library Tax Budget (Exhibit T-6) as approved by the Library Board of Trustees on May 13, 2010, and that the Treasurer be directed to file the tax budget with the Cuyahoga County Budget Commission. At this time President Bliss inquired as to whether there were any questions or comments from the audience. A community member commented regarding the possibility for energy savings with the use of a night setback in the air conditioning, lights, etc. being turned down at night. At this time, Mr. Robertson moved, seconded by Ms. Levenson that the Board recess to executive session to discuss collective bargaining.
