SEPTEMBER 1998 TERM
STATE OF MISSISSIPPI
COUNTY OF HARRISON
BE IT REMEMBERED, that a regular meeting of the Board of
Supervisors of Harrison County, Mississippi was begun and held in the
meeting room of the Board of Supervisors of Harrison County, located in
the Second Judicial District Courthouse at Biloxi, Mississippi, on September
14,1998, the Second Monday of September 1998, the same being the time
fixed by law and the place fixed by the Order of the Board of Supervisors
of Harrison County at a former meeting thereof for holding said meeting
of said Board.
THERE WERE PRESENT and in attendance on said Board, Honorable
Larry Benefield, President of said Board, presiding; Bobby Eleuterius, David
v. LaRosa, sr., Robin Alfred Midcalf, and C. T. SWitzer, Jr., members of said
Board of Supervisors; Maudie Cuevas, Tax Assessor for Harrison County,
MiSSiSSippi; Joseph price, Sheriff of Harrison County, Mississippi; and John
MCAdams, Chancery Clerk and EX-Officio Clerk of said Board.
WHEREUPON, after the proclamation of the Sheriff, the following
proceedings were had and done, viz:

ORDER AUTHORIZINC THE EMPLOYMENT OF SIDNEYCULLIFER TO APPRAISE EASEMENTS FOR 'rHEHUCHES ROAD WIDENINC PROJECT
ORDERED BY THE BOARD OF SUPERVISORS OF HARRISOI\l COUNTY,
MISSISSIPPI, that the Board does HEREBY AUTHORIZE the employment of
Sidney Cullifer to appraise easements for the Hughes Road Widening
project.
Supervisor BOBBY ELEUTERIUS seconded the motion to adopt the
above and foregoing Order, whereupon the President put the question to

Extreme series, fullside coverage body armor (vests) from Mid South

Assignment, Sublease: After receiving approval of the Board of
Education, Lessee may assign this lease in its entirety, whereupon Lessee
shall be relieved of all obligations accruing subsequent to the assignment.
Lessee may also execute partial assignments or subleases, after receipt of

Subleasing or assignment of this lease shall be allowed at the discretion of
the Board of Education and in accordance with Section 29-3-69,
Mississippi Code of 1972. Permission to sublease or assign this lease
shall not be arbitrarily withheld.
Improvements: Upon expiration or termination of this lease or any
extension thereof, all improvements then and on that date situated on the
land shall become the property of Lessor, except that Lessee shall have 45
days after expiration or termination to remove any improvements. While
this lease continues in force and effect, Lessee shall have the unrestricted
right to remove, change, alter, modify, add to or subtract from any
improvements on the land as the Lessee may in its sale discretion elect so
to do, and the Lessor while this lease or any extension thereof continues in
force and affect, shall have no ownership interest in any such
improvements. If any improvements are removed, then Lessee shall be
obligated to remove all foundations and paved areas, fill any excavations
with a soil material suitable as a foundation support for further
construction and generally restore the premises to a condition suitable for
construction, use and occupancy by others unless same shall be

(c) To allow Lessor or its authorized representative necessary and
reasonable access to the property during the last twelve months of
this lease term for purposes of appraisals or showing for releasing,
and Lessee further agrees to give reasonable access to appraisers
during the lease term for purposes as hereinabove provided. But
access by Lessor's agents shall in no way interfere with Lessee's
use and enjoyment of the premises during the term of this lease;
(d) To perform all obligations hereunder expressed without notice or
demand;
(e) To pay a reasonable attorney's fee to Lessor in any proceedings
affecting the lease or leased property, or to enforce any provisions
of the lease, whether the proceedings are brought by Lessor or
Lessee, provided Lessor is ultimately successful in such litigation.
(I) To pay interest at the maximum rate allowed by law on any rent
past due;
(g) Subject to Lessee's statutory renewal rights as may be applicable,
to surrender the premises upon termination or expiration of this
lease, with improvements to be in good usable condition,
reasonable wear and depreciation excepted, unless improvements
are completely removed as provided under other provisions hereof.
(h) Lessee will furnish Lessor paid tax receipts for the preceding year
at the time arumal rental installments are paid.
In the event Lessee breaches any of the covenants or obligations
expressed hereinabove, Lessee or any successor shall be entitles to notice
in writing of the breach and shall have 60 days after receipt of such notice
to cure Or correct the same; otherwise, failure to do so gives Lessor the
right to terminate the lease.
Holding Over: Any continuation by Lessee in possession after expiration
or termination shall constitute a month-to-month tenancy. Upon failing to
vacate the premises after receiving demand to do so, Lessee shall be
obligated to pay rent at double the monthly rate then in effect. It shall not
be considered holding over if Lessee remains in possession pending the
conclusion of good faith negotiations for a renewal or extension.
Successors: The provisions of this lease shall be fully binding upon
Lessee's successors and assigns.
Reservation: Lessor reserves title to all timber, mineral, oil and gas,
together with the right of ingress and egress to remove same, as provided
by law. However, if such ingress and egress shall materially interfere with
Lessee's use and enjoyment of the premises, rent shall be subject to
reasonable diminution.

Right to Re-Lease: As provided by Section 29-3-69, Mississippi Code of
1972, Lessee shall have the option to renew this lease for a term not to
exceed twenty-five years and in accordance with Section 29-3-63.
Condemnation Proceedings: In the event the leased parcel of land or any
portion thereof, shall be the subject of condemnation proceedings by
eminent domain, the parcel ofland that is subject to said proceedings shall
be considered to be owned by the Lessor and the Lessee shall be
compensated only for the damages it sustains as a result of the loss of the
improvements on the property that the Lessee has constructed. All other
damages sustained by the Lessee shall revert to the Lessor, and the
compensation for said damages shall be paid to the Lessor, along with the
compensation for any other damages determined to have been sustained by
the Lessor.

Term: This lease is for a term of forty (40) years beginning on _
September J 1998, and expiring at midnight on Au~st 31 2038.
Rent: Lessee agrees to pay as annual rent the sum of$9.330.oo for the
full term of this lease, subject to rent adjustments as provided in paragraph
5 herein. The first such payment has been made upon the execution
hereof. and a like amount shall be due on the~ day of September
ofeach year thereafter during the term of this lease, subject to adjustment
and reservation of rights as hereinafter provided.
J5. Rent Adjustment:
(a) At the fifth anniversary date of the commencement of this lease.
September 5 .....2llll.l..-. and each fifth anniversary date thereafter. Lessor
may at its option, six month before or six months after said anniven;ary
date, upon 30 days written notice to Lessee, elect to have a reappraisal of
the subject property and a re-determination of reasonable ground rentals.
In the event Lessor makes such election, there shall be a reappraisal of the
fee value of the property under lease. less improvements, pursuant to the
terms of the Mississippi Code of 1972, Section 29-3-65, or pursuant to the
statute then in effect governing such leases and procedures of determining •..1.reasonable rental value. The reappraisal shall establish the fair market
value of the property and establish a reasonable current percentage of
income on real estate investments for the purposes ofdetermining fair
annual ground rental. The amount of rent so determined, as of each fifth
annive"ary date shall be paid for the next succeeding five years.
(b) Any adjustments ofannual ground rental determined by the above
mentioned statutory appraisal procedure shall be binding upon the Lessor
and Lessee.
(c) Should the statutory procedure ofdetermining annual ground rentals
resull in an increase, over and above the initial ground rentals determined

at the beginning of this lease or the preceding five year interval, Lessee,
within 90 days after receiving notice of the increase, shall the additional
right to request appraisals by three qualified MAl or SREA appraisers to
be appointed in the following manner;
The Board of Education shall appoint one such qualified appraiser and the
Lessee shall appoint a second such qualified appraiser. The first two
appraisers so appointed will then mutually select the third appraiser. Such
appointments shall be made promptly, and the appraisers shall have a
reasonable time to appraise the leased premises.
The three appraisers shall each determine a current annual ground rental
value based upon the fair market value of the land and a reasonable
percentage of return on land investments in the area at that time. The
average of the three rentals shall then be established for purposes of rent
adjustment to be applicable over the next five years or until the end of the
lease term, as the case may be.
(d) Lessee, however, shall then have the choice of selecting the lesser
amount ofannual ground rental determined either by the statutory
procedure or the amount of annual ground rentals determined by the three
separate appraisers appointed upon the request of the Lessee.
(e) In the event the Lessee request that the three additional appraisals be
made, such appraisals shall be made at the Lessee's expense.
(t) The annual ground rentals on any adjustment date shall not be reduced
below the amount established upon the initial date of this lease except
upon determination by the appraisals made under the statutory procedures
as outlined hereinabove.
(g) The amount of rent determined in the above manner shall be promptly
remitted upon conclusion of these rental adjustment procedures effective
as of Sc:ptember 5 of each fifth year of this lease.
Assie:nment. Sublease; After receiving approval of the Board of
Education, Lessee may assign this lease in its entirety, whereupon Lessee
shall be relieved of all ob.lijations accruing subsequent to the assigrunent.
Lessee may also execute palti,.;. assigrunents or subleases, after receipt of
approval by the Board ofEducation, in which event Lessee shall remain
liable for all obligatiorJ!;'berein upon default by the assignee or subtenant...In the event of an assignment, sublease or other transfer of possession,
Lessee and all successor;'\;hall, within 30 days after the transfer, tile the
assignment or sublease document in the Land need Records in the office

PROJECT NO. SAP-24(48)
WHEREAS, the Board of Supervisors of Harrison County, Mississippi awarded a contract to
Necaise Brothers Construction Co., Inc., known as STATE AID Project No. SAP-24(48),
WHEREAS, the Harrison County Engineer and the State Aid Engineer advise that they consider
the construction portion of this contract to have been completed according to all irs provisions and
recommend that the Contractor be released from further maintenance responsibilities.
INOW, THEREFORE, IT IS HEREBY ORDERED by this Board that the contractor for the project
designated above, be released from further maintenance responsibility under the contract, effective August
24, 1998.
IT IS FURTHER ORDERED that the President of the Board be and he is hereby authorized to
sign, with the State Aid Engineer of the Mississippi Department of Transportation, a joint letter of formal
contract acceptance to the Contractor, and that the Clerk of the Board transmit a certified copy of this

Pilings will be driven to resistance viabardge supported air hammer with minimal distrubance to theenvironment, aquatic life and the eco system.
