Details brochure have also been enclosed for your reference. The Account Agreement outlines the new terms and conditions of your

Certificates of Deposit (CD)

The maturity, term and rate of your CD will remain unchanged until the CD’s first maturity date on or after September 24, 2012. At

conversion, the interest will begin to compound daily which is more beneficial for you than simple interest. Upon maturity, the account will

automatically renew into the comparable Pacific Premier Bank CD and will follow the terms and conditions as outlined in the Account

Agreement. Your CD will earn interest at the rate in effect for the new term. You will receive a statement at the time of conversion, which will

summarize your CD information. We will begin sending you quarterly statements on your CD so you can easily monitor activity.

Your former Palm Desert National Bank CD Account will renew into the corresponding Pacific Premier Account on the chart below unless

you initiate a change at maturity or during the seven day grace period of the certificate.

Executive 50 Checking

Executive 50 Checking is an economical account designed for businesses that write 50 checks (or otherwise make 50 debit transactions) or less per

month. The already low monthly service charge is waived when you maintain a minimum daily balance of $500.


Executive 100 Checking is an easy-to-understand account designed for growing businesses that write 100 checks (or otherwise make 100 debit trans-

actions) or less per month. The monthly service charge is waived when you maintain a minimum daily balance of $1,000.


Executive 250 Checking is a no hassle account designed for larger businesses that write 250 checks (or otherwise make 250 debit transactions) or less per

month. The monthly service charge is waived when you maintain a minimum daily balance of $2,500.

Analyzed Business Checking

Analyzed Business Checking is designed for businesses with higher transaction volumes. This account accrues an earnings credit based on the

collected account balance. The earnings credit can then be used to offset certain service charges.

Remote Deposit

Remote Deposit is a convenient service that allows you to deposit checks electronically right from your office. With this service, checks are scanned at

Savings AccountsThere will be a minor change to your account number. The first two digits of your account number will change to 16. With the exception of the

first two digits, the rest of your account number will remain unchanged. In addition, your first statement after conversion will reflect your new

account number. This will not affect the use of your account for either deposits or withdrawals. In addition, the routing and transit number

will change to 322285781. You will receive a statement that will reflect all activity on your savings account since your last statement, including any

interest earned through September 21, 2012. Your accrued interest will post to your account at the close of business, Friday September 21, 2012 and

will reflect on your account statement.

Certificates of Deposit (CD) There will be a minor change to your account number. The first two digits of your account number will change to 16.With the exception of the

first two digits, the rest of your account number will remain unchanged. In addition, your first statement after conversion will reflect your new

account number. Terms for your former Palm Desert National Bank CD and IRA CD will be honored until the account matures. When the account

renews, the Pacific Premier Bank terms and conditions in effect at that time will apply. Refer to the enclosed Account Agreement for terms and

conditions. Interest will begin to compound daily at conversion.

Retirement AccountsThere will be a minor change to your account number. The first two digits of your account number will change to 16. With the exception of the

first two digits, the rest of your account number will remain unchanged.

In addition, your first statement after conversion will reflect your new account number. If you have a former Palm Desert National Bank

Individual Retirement Account (IRA), Pacific Premier Bank has become your Retirement Plan Trustee. Soon after September 21, 2012, you

will receive a statement reflecting all activity on your retirement account since your last statement.

Deposits, Direct Deposit and Automatic Payments or DeductionsDeposits made at branch locations during the regular business hours will be credited to your account that same day. Deposits made on

Saturday (where available) will be credited the following business day.

Beginning Monday, September 24, 2012, some checking account numbers will be changing along with the bank’s routing number for all

electronic payment transactions (ACH). If automatic transactions are regularly made either to or from your Palm Desert National Bank account,

this service will continue with Pacific Premier Bank. We suggest that you follow up with your respective government agency, such as Social

Security Administration or Veterans Administration, employer or other originator to be sure that the changes have been made.

IMPORTANT NOTE: TO AVOID SERVICE INTERRUPTION, IF YOU USE MEDICARE, MEDICAL , OR MEDICAID, YOU

WILL NEED TO CONTACT THEM DIRECTLY.

If you have existing transfers between your checking and savings accounts, those transfers will continue to occur as scheduled. We encourage

you to check each account to confirm your transfers occurred as expected.

What to Expect During This Transition

Conversion AssistanceOur goal is to exceed your expectations by making every effort to provide you with an exceptional customer experience. As part of this

commitment, beginning September 24, 2012 we will be staffing a “Conversion Hotline.” This hotline will be available Monday through

Sunday from 8:00 a.m. to 8:00 p.m. to assist you with any transition questions you may have. The hotline number is 760-834-6767 and

toll free at 855-343-4070. Of course, you can also call or visit your local branch during normal business hours if you have questions or concerns.

Checking AccountsThere will be a minor change to your account number. The first two digits of your account number will change to 16. With the exception

of the first two digits, the rest of your account number will remain unchanged. In addition, the route and transit number will change to

322285781. Please be assured that your checks will continue to process with the old account number and routing/transit number for one

year. When you reorder checks, from Pacific Premier Bank your order will reflect the changes.

If you are currently ordering checks from somewhere other than Pacific Premier Bank, you will need to request a change in the routing and

transit number, along with your new account number.

You will receive a statement that will reflect all activity on your checking account(s) since your last statement, including any interest earned

through September 21, 2012. At the time of conversion, any funds currently on hold will remain as disclosed.

Pacific Premier Bank’s Telephone Banking gives you instant up-to-date banking information – all just a phone call away. It’s an open line to

your money which allows you to:

� Transfer money between your accounts with us � Inquire about loan information

Premier Overdraft ProtectionYour Cash Reserve account will become Premier Overdraft Protection. There will be a minor change to your account number. The first

two digits will change to 16. Premier Overdraft Protection is a line of credit that allows you to obtain loan advances through check writing.

Loan advances, as approved by Pacific Premier Bank, apply to any funds obtained from Pacific Premier Bank that may exceed the funds

available in your checking account. Premier Overdraft Protection will automatically advance funds into your Pacific Premier checking

account to cover items that would cause an overdraft.

LoansAll loans will be converted to the Pacific Premier Bank system prior to September 24, 2012. You will receive additional correspondence

regarding your loan. All loan payments are processed in our Loan Servicing Department located in Costa Mesa, CA. Our business hours

are 8:00am to 5:00pm, Monday through Friday. Our toll free number is 800-448-2265.

Safe Deposit BoxesYour safe deposit box number will remain the same. If you currently have a safe deposit box, you will not experience any change. Your

current contract will remain the same at this time.

FDIC InsurancePlease know that deposits established with the former Palm Desert National Bank are insured separately from deposits at Pacific Premier

Bank until at least October 27, 2012. This grace period gives depositors the opportunity to restructure their accounts if necessary.

CDs established with the former Palm Desert National Bank are insured separately until the earliest maturity date after October 27, 2012. CDs that

mature during the period of April 27, 2012 through October 27, 2012 and are renewed for the same term and the same dollar amount (either with

or without accrued interest) continue to be insured separately until the first maturity date after October 27, 2012. If a CD matures during the period

of April 27, 2012 through October 27, 2012 and is renewed on any other basis, it will be separately insured only until October 27, 2012.

Visa Debit CardsYour current debit card will remain active through the card expiration date at which time you will receive a new Pacific Premier Bank card.

Below are the transaction limits effective September 24, 2012:

Credit CardsYour current credit card will remain active through the card expiration date at which time you will receive a new card with the Pacific

Internet Banking and Bill PaymentOnline Banking will be available on Monday, September 24, 2012 at 9:00am. A separate mailing will be mailed to customers regarding

internet banking.

On Tuesday, September 25, 2012, Bill Pay will be available. Your bill payment payees will be automatically set up within Pacific Premier Bank’s

Internet Banking and Bill Payment system.

The following information will automatically convert to the Pacific Premier Bank system:

� Subscriber Information - contact information� Account Information - pay from accounts and routing/transit numbers� Merchant Information - merchants, merchant account numbers and addresses, if applicable� Payment Information - both recurring and future-dated payment information

Account Information through Telephone BankingBeginning at 9:00am Monday, September 24, 2012, you can access your accounts through Pacific Premier Bank’s Telephone Banking System

at 800-585-5933.

As part of the conversion, your personal password will need to change. The default password is your zip code plus the last four digits of your Social

Security number. Once signed in, you will be required to change the default password to a Personal Identification Number (PIN) of your choosing.

PLEASE NOTE: THE CURRENT TELEPHONE BANKING NUMBER WILL NO LONGER BE AVAILABLE AFTER
