DELIVERING SCIENTIFIC INNOVATION IN THE AGE OF EXPERIENCEDassault Systèmes signed a definitive merger agreement to acquire Accelrys on January 30, 2014 with an all-cash tender offer for all of the outstanding shares of Accelrys common stock. The tender offer process was completed on April 29, 2014 with Accelrys filing the ‘Certification and Notice of Termination of Registration’ with the SEC on May 9, 2014.

Dassault Systèmes announced the creation of BIOVIA on May 21, 2014, describing the new company as a combination of Dassault Systèmes’ own activities in BioIntelligence, its collaborative 3DEXPERIENCE® technologies and the leading life sciences and material sciences applications resulting from the acquisition of Accelrys.

In today’s experience economy, the capability to develop, simulate and produce breakthrough experiences at the molecular level delivers transformational value for enterprises of all industries. BIOVIA is committed to enhancing and speeding innovation, improving productivity and compliance, reducing costs and accelerating product development from discovery through manufacturing.

Integrating BIOVIA’s strong suite of scientific informatics solutions with the Dassault Systèmes 3DEXPERIENCE® platform can create significant opportunities for BIOVIA to support and develop systemic collaboration, project management, data and content reuse, traceability and other processes, applications and integrations that are critical to science- and process-driven industries.

BIOVIA BACKGROUND AND HISTORYAccelrys was founded in 2001 from the combination of five companies and in 2004 acquired SciTegic, the developer of Pipeline Pilot data pipelining software, which has evolved into the BIOVIA Pipeline Pilot scientific workflow authoring application.

In July 2010, Accelrys merged with Symyx Technologies, Inc., combining Accelrys’ portfolio of scientific informatics solutions with the market-leading Symyx electronic laboratory notebook (ELN), now BIOVIA Workbook, and software products such as MDL Notebook, ISIS/Isentris, Available Chemicals Directory (ACD) and more. Subsequently, Accelrys extended its ELN capabilities through the acquisition of Contur Software AB in May 2011 and broadened its data capture and laboratory execution capabilities for the critical QA/QC phase of product development through the acquisition of VelQuest Corporation in January 2012. This was followed by the acquisition of Colorado-based Aegis Analytical Corporation in October 2012 with its Discoverant process knowledge and collaboration solution suite for compliance-intensive industries.

In January of 2013 Accelrys solidified its market leadership in the laboratory informatics space with the acquisition of Vialis AG, a leading informatics system integrator based in Liestal, Switzerland. The acquisition of ChemSW, Inc., an Environmental Health & Safety (EH&S) compliance solutions provider in September 2013 furthered Accelrys’ Scientific Product Lifecycle Management strategy by providing solutions for managing and tracking the source, use and disposal of chemicals along the entire lab-to-plant value chain. In December 2013 Accelrys acquired QUMAS, a Cork Ireland-based company focused on Enterprise Regulatory, Quality and Compliance Management.

This deliberate merger and acquisition strategy made Accelrys—now BIOVIA—one of the largest, most comprehensive scientific informatics providers in the world. Dassault Systèmes BIOVIA offers the experience, knowledge and know-how to design, develop and deploy successful enterprise-class solutions and experiences that can improve the productivity of science-driven innovators and accelerate new products to market.
