    1. Purpose & ObjectivesA. The Bridgeport Port Authority ("BPA") shall entertain proposals from interested

    proposers for the management and operation of the shipyard at the BridgeportRegional Maritime Complex Facil ity ("BRMC") in Bridgeport, Connecticut. The site isdescribed in Appendix A.

    B. The BPA desires to promote use of the shipyard to provide maximum economicbenefit to the BPA,the City of Bridgeport, the State of Connecticut and the region.The objectives include, but are not limited to:i. Promoting the capabilities of the shipyard as a economic engine through the

    most efficient and effective operation of this valuable local, state and regionalasset

    ii. Creating a maritime industry hub based upon the construction, repair andservicing of all types of seagoing vessels

    iii. Creating and maintaining new jobsiv. Providing on-going training opportunities in ship building, ship repair and

    related maritime tradesv. Providing consistent and growing revenue for the Port Authorityvi. Retaining a unique deepwater marine facility for the benefit of the local, state

    regional port and maritime industriesvii. Adhering to principles of sustainability, energy conservation and protection of

    the environment

    2. Existing Shipyard AssetsPlease take note that this RFPis for the lease of real property only. The site as presentlyconfigured contains a Significant volume of personal property, including: office equipmentand supplies, welding sets, motor vehicles, machine tools, a marine vessel, and a dry dock.Many ofthese items are described and depicted in Appendix A and were under theownership or control ofthe prior shipyard lessee. The assets are now the listed in abankruptcy filing and remain subject to the claims of both secured and unsecuredcreditors. Further details may be obtained by viewing the file at:http://www.bridgeportct.gov/OPEDExecutive/Pages/OPED.aspx.Click on"RFP!Development Opportunities" and select "Derecktor Asset list". The shipyard alsofeatures a 600 metric ton capacity travel lift that is owned by a leasing company which hasprovided a quote of $2,200,000 to purchase or $27,OOO!month to lease. The extent towhich these items may be purchased or leased from the parties that own them is outside

    the scope of this RFP. The City of Bridgeport and BPA take no position with respect tothe condition, availability or value of these assets. Notwithstanding the foregoing,proposers should indicate (as part of the Operations Plan required by Section 7-E below)what equipment, improvements and other resources they will seek to retain or bring to thesite.

    3. land Use/Regulatory/Environmental /SecurityA. The BRMC abuts the Yellow Mill River and as such must satisfy Connecticut Department

    of Energy & Environmental Protection (DEEP)preferences for "water dependent" usesalong its waterfront and is also subject to a CAM (Coastal Area Management) review bythe City of Bridgeport Planning and Zoning Commission, Harbor ManagementCommission approval, and specific permits for waterfront construction if below thehigh tide line from Connecticut DEEP. The property is zoned Heavy Industrial and ashipyard is a permitted use. Continuing the current use and occupancy of the facilitiesis not expected to require additional permits and approvals. However, the addition of(or modification to) buildings on site or alterations in the shoreline may require theapproval of one or more of the above-listed agencies, in addition to BPA approval.

    B. Prior to the previous tenant's occupancy, the BPAconducted a comprehensiveenvironmental investigation of the BRMC. Based on that investigation, the BPAprepared and implemented a Remediation Action Plan (RAP), which was approved bythe Connecticut Department of Environmental Protection (now the ConnecticutDepartment of Energy and Environmental Protection, or CTDEEP). The RAPis availablefor review at the BPA's office. The impact of the previous tenant's use on theenvironmental condition of the BRMC has not yet been determined.

    C. The BRMC enjoys certain protections provided by a port security system and is arecognized viable port asset as determined by the U. S. Department of HomelandSecurity.

    4. Time Schedule for Selection ProcessA. All submissions must be submitted to the BPA no later than 4:00 p.m. EDSTMay 18,

    2012. No submission will be accepted after this date and time, or at any other location.B. At the discretion of the BPA, interviews and/or presentations may be requested of one

    or more proposers as part ofthe evaluation of proposals.C . The following schedule represents the anticipated timeline for the final selection of a

    shipyard operator. It may be altered by the BPAasthe need arises.

    D. Upon selection as the shipyard operator, a lease agreement shall be negotiatedbetween the operator and the BPA. A number of public agencies and legislative bodiesmay be required to sign-off and approve the final negotiated agreement.

    B. The Bridgeport BPAreserves the right to respond or not to respond to specificquestions, clarifications or requests concerning the RFPprocess. The BPAacknowledges that information contained in the submissions of respondents may beconsidered public information under the provisions of the Freedom of Information Act(FOIA). Each respondent to this RFPmust indicate in its submission any specificinformation which it considers to be proprietary. Proprietary information shall bepresented in a separate section of the Proposal and clearly marked as "Proprietary-Not Subject to FOIA" on each page.

    C. Potential respondents who wish to receive any updates to this RFPmust send amessage (subject line: "Shipyard RFPContact") to [email protected] respondents should carefully examine the contents of this RFPand relateddocuments. Any ambiguities or inconsistencies must be brought to the attention ofthe BPA in writing by 10:00 a.m. April 27,2012. Failure to do so will constituteacceptance by the respondents of any subsequent interpretation or decision by the

    BPA. No interpretation of the meaning of this RFPwill be made orally. In the eventthat any interpretation is provided by the BPA,only written interpretations will bebinding upon the BPA. All questions, responses to questions, and clarifications will bedistributed to all respondents who have provided an email contact.

    D. It is the responsibility of each respondent to advise the BPA of the appropriate name,telephone, fax, email and address for the sending of any communication, interpretationor addendum. The BPA reserves the right in its sole and absolute discretion to extendany of the actual or proposed dates in the time schedule, and further reserves the rightto reject any and all submissions from any or all respondents and to republish the RFP.The BPAalso reserves the right in its sole and absolute discretion to terminate the RFPprocess at any time prior to actual execution of a lease and operating agreement.

    E. The BPAmay elect to deem a submission non-responsive if the submission fails tocomply with specific requirements of this solicitation. The BPAreserves the right toreject any and all proposals at its sole discretion.

    6. Proposal Format & ContentA. Duplicates & Formal Letter of Interest

    Twelve (12) copies of the complete respondent's proposal package must besubmitted. An electronic version of the entire package must also be sent via email [email protected]. The package must begin with a Letter of Interestindicating (a) contact name, address, telephone and email for the proposer, and (b)the proposer's intended method of operation (sole proprietor, partnership,corporation, Limited Liability Company, etc).

    B. Executive SummaryProvide a brief synopsis that provides an overview of the major points ofthe proposal,including a full description of the respondent's principal firm (and its related entitiesand subsidiaries), the activities to be provided within the shipyard; improvements, levelof investment to be made, operational plans, financial proposal, and, why you believe itwill be successful.

    C . Background & ExperienceProvide detailed information on the proposer's experience operating a shipyard and invessel maintenance/repair/construction and related maritime fields. Brochures andcollateral material on the firm(s) can be included as appropriate, but should notsubstitute for a narrative description. Please include identification, description andresumes of key personnel ofthe principal entity and proposed team members who willoperate this site.

    D. Narrative DescriptionOutline the substance of the proposal and highlight the strengths of your firm (or team)and your intent to maximize the shipyard's potential. The Narrative Description mustdetail the following:

    i. Proposed Activities - specifically identify the services and operations to beprovided at the shipyard and how these will meet the BPA's Objectives (listedin Section 1 on page 3 above).

    li, Investments & Schedule - provide an itemized estimate of the investmentrequired to make your plans operational, including the estimated time it willtake to become operational after the lease is signed.

    iii. Financial Proposal- Indicate a proposed rent structure for each year of aminimum lO-year Lease. Proposer will be responsible for all utilit ies requiredand other expenses associated with the operation of the concept(s) proposed.The BRMC is Port Authority property and is not subject to local real estate tax,however personal property tax will be assessed.

    E. Operational PlanDetail all aspects of your planned management, maintenance and operation of theshipyard. Specific items to be addressed include, at a minimum, the following:

    i. Leased Area and Layout Plan - indicate if you are choosing LeaseOption A - theentire approximately 23 acre site, or Lease Option B- a smaller portion of thesite (see the sketches provided in Appendix A). Provide a site plan depictingareas of specific activities and any improvements, equipment and fixtures to beinstalled by the proposer.

    ii. Business Development - identify target customers, industry opportunities andcompetitive advantages of your approach, your team and the BRMC shipyard;Please explain in detail why you will succeed in running a profitable shipyard.

    iii. Staffing Plan - include number of jobs to be created, job titles, pay rates, andstrategies to find, train and employ local Bridgeport and area residents, andsubmit the shipyard management structure.

    iv. Provide your plan to involve Minority & Women-Owned Enterprises as suppliersand vendors.

    v. Describe the marketing and promotional strategies that you intend to use toposition the BRMC as a premier maritime facility for the North Eastern UnitedStates.

    F. Principal Operator Financial CapacityA major criterion for selection of a shipyard operator will be a determination of thefinancial condition and/or capacity of the respondent to undertake the managementand operation ofthe site. The Selection Committee will evaluate the respondent'sfinancial qualifications based on documentation indicating both the current financialcondition ofthe submitting firms, its past demonstrated ability to obtain debt andequity financing, and its projections for growth and fiscal management. Greatestweight will be given to information providing clear and well-documented disclosure offinancial capacity. A list of suggested documentation is provided below:

    i. Consolidated financial statement of parent company of the principal entity,whether publicly traded or privately held.

    ii. Dun & Bradstreet report or ID number of parent company of the principalsubmitting respondent, whether publicly traded or privately held.

    iii. Personal financial statements of all individuals with 10% or more ownershipinterest in the principal respondent entity. An alternative may be a list ofthenames of such individuals indicating percentage of ownership and total networth figure to be supported by personal financial statements.

    iv. A statement of what financial security the proposer is willing to provide (l.e.,personal guaranty, letter of credit, surety bond, etc.).

    v. NOTE: Audited financial statements for the most recent accounting year shouldbe complete and include a balance sheet, profit and loss statement, statementof cash flow and notes to the statements. Financial statements which arereviewed, compiled or prepared in-house will be accepted but are notpreferred. Financial documentation for the last two years will be givengreatest weight.

    vi. NOTE: Documents submitted under this section may be provided underseparate cover to ensure confidentiality. If you choose to submit thisinformation separately, please note it clearly in the appropriate location of thesubmission.

    G. ReferencesAll submissions must include a minimum offive references who in the opinion of therespondent can best attest to the shipyard operating experience of the respondent orrespondent's team members. A minimum of two references must attest to thesubmitting firm's financial capacity, including one financial reference that representsthe principal bank or lender of the respondent.

    H. litigationRespondents and team members must identify and describe any current, pending orthreatened litigation against them related to their business or real estate dealings.

    I. Ownership DisclosureRespondents and team members must complete and submit the attached BidderInformation, Non-Collusion and Ownership Disclosure and No Conflict Form as part oftheir submittal.

    J. Disqualification FactorsThe BPA has the right to disqualify a respondent, or member ofthe respondent's team,if any entity or person has been convicted of a crime chargeable as a felony orpunishable by a fine in excess of $10,000 within the past five (5) years, if any entity orperson has defaulted on a previous BPA, City of Bridgeport or State of Connecticutproject and/or been removed as a participant in such project, has been the subject of avoluntary or involuntary bankruptcy or insolvency proceeding in the last five (5 ) yearsthat was not dismissed within 60 days of filing, or has admitted in general its inability tomeet its debts when they became due, has made misrepresentations of fact in itssubmission, and similar acts indicating poor business judgment, unethical conduct, ordisreputable business practices. The BPAmay also elect to disqualify any party if it is indefault of any obligation to, or in litigation with, the BPA,City of Bridgeport, State ofConnecticut, the u.s . government, or any agency or authority thereof.

    K. Incomplete or Incorrect SubmissionsIn the event that a respondent fails to submit any part of these required materials withits submission, or if any submitted item is incomplete or incorrect, the BPAhas theright to disqualify and deem the respondent non-responsive. If the BPA notifies arespondent of missing, incomplete or incorrect materials, respondent shall have anadditional three (3 ) business days from the day it is notified to submit the information.Failure to complete, submit or correct the required information will result in therespondent's proposal being considered in the form in which it was originallysubmitted.

    7. Selection CriteriaThe following Selection Criteria shall be used as a guide to evaluate all submissions to thisRequest for Proposals.

    A. The proposer's commitment to: comprehensive shipyard services; investment in thesite; affording the opportunity for multiple users of the BRMC; quality of marketing and

    operational plans; quality and experience of primary personnel; and, commitment tolocal hiring, training and diversity.

    B. The proposer's experience, knowledge, reputation, financial strength, level and type offinancial security provided, and any other matter that, in the BPA's sole opinion, affectsthe ability of the proposer to maintain and professionally operate the shipyard.

    C . A proposer responding to this RFP,as a minimum, must include as a primary entity afirm that has operated a shipyard, or had as its principal business vessel maintenance,vessel repair or vessel construction, for at least ten (ten) years or the three (3) yearsimmediately preceding April 2011. Any proposal that fails to meet or to comply withthe requirements or conditions of this RFPwill be disqualified from consideration.

    D. The BPAwill review all proposals submitted and select among them for possibleinterviews and negotiations. Should the BPA be unable to negotiate an agreementwith a preferred proposer(s}, it may choose to either select from the remainingproposers, based on the next highest rankings, or re-solicit. The BPA reserves the rightto waive specific requi rements of this solicitation and reserves the right to reject anyand all proposals.

    8. Selection Committee and Final DeterminationA. A Selection Committee, consisting of at least two (2) Board members of the BPA,the

    Executive Director ofthe BPA, and such other persons as the Executive Director mayrequire, shall review all Proposals. The Selection Committee may enlist suchtechnical assistance or input as it may deem appropriate. The Selection Committeeshall make a determination of the successful respondent and shall present itsfindings to the full Board of the BPAfor approval.

    B. The lease entered into as a result ofthis Request for Proposals ("RFP") is anticipatedto be for a term of ten (10) years, with a mutually agreed upon option term of up toan additional ten (10) years dependant on the nature of the Proposal. The decisionto allow any such option shall be at the BPA's discretion and shall be based on theselected proposer's performance and compliance with all agreement terms andconditions during the initial term.

    C. The BPA, at its sole discretion shall have the right to rescind without prejudice itsselection, cancel negotiations, and/or terminate the RFPprocess at any time prior tothe BPA's execution of the final agreement. No proposer shall have any recourse forthe costs and expense of preparing a response to this RFPor negotiating any lease oragreements, including all costs, expenses, legal or consultant fees in connectiontherewith. for lost opportunity costs, or special or exemplary damages of any kind.

    APPENDIXA - SITEDESCRIPTION

    The Shipyard atThe Bridgeport Regional Maritime Complex

    Bridgeport ConnecticutRevised 4.13.12

    The BMRC shipyard is a modern facility owned by the Bridgeport Port Authority.located at 837 Seaview Avenue on the East End of Bridgeport, the shipyard offers 1,350 linearfeet of waterfront, with easy access from the long Island Sound and no blockage by bridges orother obstacles. Bridgeport is a deep-water, ice-free harbor capable of year-round operations.Currently, this 23 acre-site contains three (3) buildings. However, this location (along withadjacent Port Authority property) includes significant expansion space for new buildings andfacilit ies. Features of the Bridgeport yard include:

    23 Acre site on Bridgeport harbor, directly off 1-95 at Connecticut Exit 29, approximately 2hours from Providence, RI and 1 hour from New York City and major airports

    160' pier, 360' bulkhead. Can accommodate vessels up to 300' length (90 meters), 60' beam(18m), 18' draft (5.5), height - unlimited

    Steel floats moored to steel piles provide an additional 300 feet of dock space for smallervessels.

    Power includes 480 volt 3-phase power; 208 volt single and 3 phase; 110 volt single phase. 3500 ton dry dock, which can accommodate vessels up to 350 ft. in length, 82 ft. beam, and 21

    ft. draft, certified to U.S.Coast Guard standards. [It is unknown if this asset will remain onsite.] 600 metric travel lift [it is unknown if this asset will remain onsite] and custom-built travel lift

    pier. Direct deepwater (20+ feet) access to long Island Sound. Fabrication Building (55,000 sq ft] containing CNC plasma cutting table, plate storage and

    rolling areas, panel assembly area and sub and module assembly areas. [It is unknown if theseassets will remain onsite.]

    Main Assembly Building (45,000 sq ft) containing two bays; primary bay 300'xl00'x75', secondbay 300'xl00'x40'. This building is temperature controlled and air filtered, allowing for largevessels to be built under prime conditions with minimal disruption 24 hours a day.

    Paint Shed - approximately 10,000 s.f Office space for management, sales, engineering and design. Secure storage area for high-value items such as electronics. Dock/apron area for repair and outfitting with 480 volt 3-phase power. Can accommodate

    vessels to 300' length, 60' beam, 18' draft (ft.). There is additional Port Authority-owned acreage contiguous to the site that can also

    potentially be leased out for maritime related functions. The Bridgeport Regional Maritime complex has been designated a MARSEC facility and is

    improved with certain site security features. The site is a designated General Purpose Site inForeign Trade Zone No. 76.
