When you read this both Easter and The Photography Show will be receding into memory – so, if

you were one of those exhibiting, how was Europe’s biggest annual photographic trade event for you this year? Did visitors, customer interest and, for the retailers, your takings, live up to expectation?

BPI News attended on the Sunday and the Monday, mainly so we could gauge any difference between what might be generally (and traditionally) perceived as a consumer day at the weekend and a ‘professionals day’ on the Monday. And also because our March TPS preview issue of BPI News was being given away at the event – all copies had gone by close of play on the Monday. Our thoughts, findings and photographs can be found on pages 16 and 17 this issue, followed by a picture-led celebration of the trade members who are finalists in our 2016 BPI News Trade Awards, starting on page 18.

‘T’ TIME FOR LEICA

THE PHOTO stalwart has announced a new Wi-Fi and NFC equipped entry level 1300D DSLR – shared with journalists at The Photography Show last month. The starter camera features an 18 megapixel APS-C sensor and compatibility from the off with more than 80 EF lenses and accessories. Light sensitivity is expandable to ISO12800 equivalent and Full HD video can also be captured. LEICA showed off its just announced Leica Summilux-TL 35mm f/1.4 ASPH prime lens (above) for the first time at The Photography Show late March – an addition to its own ‘T’ system that features an internal focusing system. Designed in Wetzlar, Germany, as indicated by the ‘TL’ in its name, the Leica Summilux-TL 35mm f/1.4 ASPH is the first of two new prime lenses for the Leica T Camera System that is fully compatible with the bayonet mount of the Leica T, as well as the L-mount of the Leica SL-System. The second TL lens, the Leica APO Macro-Elmarit-TL 60mm f/2.8 ASPH arrives this coming Autumn. Available in black or silver, the 35mm is priced at £1,650 SRP.Speaking of the SL-System, it also

GHI Computers have chosen to join the Kodak Express network.

GHI Computers started trading in 2001, and by 2004 had moved to the shop they currently have in the Viking Shopping Centre in Jarrow, Tyne & wear. Two years later saw an expansion for the business when they secured the adjacent retail premises, linked the two sites and created one large store.

Here we speak to store owner Gavin Holder.

Gavin, congratulations on your new Kodak Express membership.

What was the driver for adding the dedicated photo business to your existing retail operation?We have provided a photo printing and passport ID service within the GHI Computers shop since purchasing a Kodak instant print kiosk around 5 years ago. With the single kiosk and just one window vinyl displaying the service, we’ve received a steady income stream and have regularly joked that the kiosk had won ‘Employee of the Month’ due to its continued success.

This led to us investigate what we could achieve if we went from a single square meter of the stores footprint to dedicating a large retail space to photo. Following a very thorough evaluation, and getting advice from a wide variety of sources, we decided to create a separate business offering photo services and products with investment in new Kiosks, the Apex system and wide format printing.

The large GHI store remains as one open space but we now have two clearly defined trading areas with separate external signage and internal styling.

So why Kodak Express?The Kodak brand remains the leading name on the high street for photo services and we felt this identity would give our business the greatest chance for success

We visited the Demo Kodak Express Store of Tetenal (managers of the Kodak Express network in the UK & Ireland) in Leicester office and this gave us the confidence and inspiration to see what we could achieve under the Kodak Express banner.

You have dedicated a large graphic area to Passport and ID. What’s the thinking behind this?Photo ID services form a key part of our strategy and since creating the Kodak Express store and installing the Passport and ID station with the large graphic wall section, we have instantly jumped from doing half a dozen passport prints a day to over twenty – and this is before we have completed the store and begun advertising/marketing the services properly.

What plans do you have for Marketing the new business?We are working through the final details of completing the store interior and will be doing a leaflet distribution in the local area along with press advertising, PR, and promotions in the Viking Shopping Centre that we are based in.

Soon after the new signage went up we were approached by a local photography club to provide services to them and provide their club members with a ‘special club offer’.

Through some further work and word of mouth this has already led us to building a relationship with half a dozen clubs in the area – all with 20 to 30 or more members.

As we’ve flagged up in previous issues, PhotoXport is official distributor of

Noritsu dry lab printers to the UK photo trade. At The Photography Show, it was keen to show and moreover celebrate the heritage and history Noritsu has, stretching back almost 50 years.

Bringing things bang up to date it introduced innovative new solutions like its Green QSS (Quick Service Systems) series drylab line up, plus also brand new multi platform HPT kiosk solution (introduced in BPI News March), which helped tell the story of the journey ‘from image to print’ for those in attendance. The Windows and iOS compatible HPT kiosk (shown top right) will officially launch in Japan in June, but PhotoXport will start rolling it out before then.

“Noritsu has probably the most accessible, workable connectable system on the planet – and now we’ve got a great kiosk as well to bundle with the system to make the installation easier,” PhotoXport MD Derek Fieldhouse told us. “It’s beautiful too; state of the art.”

Take a page out of PhotoXport’s photobook

Another one of the highlights at The Photography Show was PhotoXport demonstrating how fast it was possible to produce a Quick Service High Quality Photobook; namely in under 20 minutes. Photobooks are still something of a largely untapped but potentially very profitable market.

“The samples of the photobook are so stunning that everyone I show it to, says ‘wow, really?’ It’s a great little product,” enthuses Derek.

The annual event also witnessed a visit from Noritsu President Michio Fujimoto, who was interviewed by Noritsu’s Director, WorldWide Strategic Sales & Planning, Ron Kubara, about recent developments, including the fact that Noritsu Koki Company transferred their shares for Noritsu Koki Works to a private company last month. This marked an occasion Noritsu has called its ‘independence day’, witnessing a name change to Noritsu Precision Company – though obviously customers will continue to see just the familiar, long term ‘Noritsu’ branding. The gist is that it’s

of years. We wanted to show the timeline of innovation on our stand as the backdrop, from 1979 to present day, with three or four key milestones leading up to the ‘perfection’ of the Green II dry lab.”

If The Photography Show wasn’t enough to whet your appetite for one of Noritsu’s Green labs, then perhaps the fact that many big name multi site retailers make use of them might convince: “For example, long-standing Noritsu customers including Snappy Snaps and Jessops have got several too, along with other multi site retailers and independents… of course they’re not all new machines, so that’s our soft market – those people with Noritsu’s will want to look at the next generation Noritsu’s,” reasons Derek. “Noritsu is already really embedded in the photo retailing market in the UK. The equipment’s been around a long time; it was always leading edge and is leading edge again.”

Perhaps the last word should go to Noritsu’s President Michio Fujimoto, who, when asked how his company determines what will be required by the photo retailer of tomorrow, replies: “That is the focus of every Noritsu representative worldwide. We listen to our Noritsu customers, as well as our competitors’ customers, to understand their current market challenges. We watch consumer behavior worldwide and when we see a pattern forming we target this developing need. We ensure our hardware and software is leading edge technology balanced with simplicity, to ensure tomorrow’s market requirements are met.”

Photo-Me used the platform of The Photography Show last month to introduce its brand

new photo kiosk concept known as ‘Life’, the aim of which is to meet the key demands consumers place on photographic retailers. The kiosk and software are designed to deliver multiple print sizes and formats – plus, as shown in our product images, the look of the kiosk with its large touch panels is also designed to be very user friendly, and to some extent resembles a giant tablet computer.

“Many consumers use smartphones and tablets,” reasons Photo-Me Marketing Manager François De Freitas. “So in order to make the client more comfortable with this new kiosk, the Life software took inspiration from smartphones and tactile PC interfaces. It’s immediately approachable and the user interface is very intuitive to use.”

A bright idea, from screen to print

The ‘Life’ kiosk’s print options are selectable via a 23-inch touch screen. With the all-in-one kiosk also featuring media readers and computer, customers can transfer their photos from smartphones and tablets, as well as USB cards and memory sticks. The screen itself, boasting a Full HD resolution, is very much the heart of the concept, and can be tilted or even placed horizontally.

Customers or staff are able to tap and drag or pinch images, just as they are able to do on their phone or tablet PC. Software allows them to order prints from 6x4-inches up to 12x16, photomontage prints from 6x8-inches to 12x16-inches, plus greeting cards and calendars.

For customers, the Life kiosk from Photo-Me is a powerful display tool allowing them to choose the size of previewed photos, thus facilitating navigation. For the retailer, thanks to the software configuration menu, the kiosk enables them to choose which products are available and define several parameters in order to adapt the kiosk to their customers’ wishes.

Measuring 580x37x464mm overall the kiosk is compatible with Fuji Frontier, Noritsu QSS, Epson Surelab and a handful of DNP printers too. It additionally offers compatibility with the Mitsubishi 9810 and Shinko 1245.

Each year Fujifilm Digital Imaging Service (FDIS) members meet for their

National Conference. This year the conference was held on Saturday, March 19th, just a stone’s throw from the NEC where The Photography Show – at which Fujifilm also enjoyed a prominent stand near the main entrance – was simultaneously taking place.

On hand at the Conference were Inspires Consultancy, the dedicated business sales and marketing advice consultancy run by business expert Wendy Gray and Julia Tiller, Software Product Development Manager at Fujifilm, along with Neill Harris, General Manager and Peter Wigington, Marketing Manager for Photo Imaging at Fujifilm UK.

Welcoming those in attendance, Neill guided the assembled through a presentation that focused on the state of the photo industry, followed by latest FDIS marketing schemes and results from Peter Wigington and an update on software support.

Neill outlined the fact that the past year has seen the opening of the first dedicated one-stop Fujifilm Wonder Photo Shop in Europe (formerly a preserve of Japan), amidst a difficult year for some others. And, in fact, Fujifilm has now been in Europe for 50 years, Fuji Photo Film Europe

FDIS 2016 CONFERENCE & AWARDS REPORTOnce a year, coinciding with The Photography Show, Fujifilm holds a Conference for the nationwide members of its Fujifilm Digital Imaging Service (FDIS) topped off by the Fujifilm Business Endeavour Awards and a handful of lucky and worthy recipients. BPI News reports on what happened at this year’s event…

GmbH having been entered in the commercial register in Dusseldorf in 1966. Expanding in 1976, it came first to the UK then spread across the continent.

Bringing things bang up to date, Neill revealed that the latest print market report from Futuresource Consulting suggests that the European photo prints market (film and digital combined) fell by 8% in volume in 2015 to just under 8.9 billion prints. The report states that the UK photo prints market saw a similar decline in overall print volume (film and digital combined) for the same period, which is an improved position on previous forecasts.

“Overall the news for the UK market is more positive than previous reports suggest, and we see this as the start of the turn around in consumer photo printing behaviour,” added Neill. “The UK Smartphone market is expected to grow to 56 million units during 2016, generating some 33 billion images. Providing consumers with easy channels to print is key to driving future print volume growth. The emergence of more photo related apps is seen as a contributing factor in helping to reverse the recent trends in consumer photo printing behaviour.”

A case in point, Fujifilm has now launched over 60 apps (38 in Japan,

23 elsewhere) to stimulate the market to print. The positive news continues in that The European photobook market continues to show good growth, and volumes were up 3% in 2015, reaching 24.85 million units. The UK market has seen stronger growth, with volumes up by 5.5% in 2015 to 2.53m units, some 10% of the European market. The UK market is further set to grow, at a greater rate, as it continues to play catch-up on Europe. It is forecast that the volumes of books will rise to 3.02m units by 2019, which will be 11% of the European market.

Marketing Manager Peter Wigington’s presentation revealed that FDIS group membership currently stood at 175, with eight new members since last year. Current FDIS promotions include a ‘mini bragger photo book promotion’, deliverable to the customer courtesy of 8x12-inch mini montage templates set up in Fujifilm Imagine software. New POS material also includes a poster kit, while FDIS members were also encouraged to register on supplier Swains website for special offers, new product notifications and a monthly FDIS newsletter. There is also a new FDIS members section on the Swains website, coming this April.

Software Product Development Manager Julia Tiller then spoke about

further improvements in 2016 being made to the Fujifilm Imagine app – to include photobooks and collages, the ability to include subfolders within the main categories on the app and continued server security checks. Julia also introduced the new Apple Airprint service that will enable Apple iPhones and tablets to easily communicate with Fujifilm Imagine kiosks using Apple’s propriety Airprint option to transfer files via Wi-Fi to the in-store kiosk. Since 70% of all the Imagine mobile app downloads are to Apple devices this was a well received and welcomed product launch.

The second half of the Conference was given over to keynote speaker Jim Steele. Jim is said to be fascinated by the nature of peak performance and has spent much of the last decade working with highly successful individuals from business and from the world of sport. Jim’s interactive and entertaining talk was focused on presenting the group with ideas and strategies to improve customer interaction and engagement.

followed and included presentations to the Fujifilm Business Endeavour Award (FBEA) winners and the announcement of the FDIS Member Retailer ‘Shop of the Year’ – see side column on this spread for the full list of winners.

Making the most of a winning streak

This year saw the introduction of two new award catergories – FDIS Shop Assistant of the Year and Outstanding Contribution to Independent Photo Retail.

The Shop Assistant of the Year was decided from nominations requested from FDIS store owners. This year’s winner was Tom Fletcher of J&A Cameras, Barnstaple. Tom’s boss had written a glowing report which included these comments: “Thanks to Tom’s dedication, customers are now printing more, printing bigger, and printing from home. We are enjoying ever increasing revenue from our print department and thanks to Tom it has been an easy transition from our old print systems. Customers will come in especially to see and speak to Tom, from professional photographers and businesses looking to assign their own colour profiles, to the older generation who like that extra level of help and support with their prints, gifts and photobooks. Tom’s enthusiasm, attention to detail and level of customer support is a joy to work alongside and this is reflected by the sheer volume of boxes of chocolates, donuts and biscuit tins he receives as gifts from happy customers. Luckily Tom is also great at sharing!”

The inaugural Outstanding Contribution to Independent Photo Retail was presented to Nigel Trigwell, of Fotobox.

Fotobox began life as Seaford Lighting in 1991, run by Nigel’s father Barry and his wife Freda. This then is also the store’s 25th anniversary year – so double the reason to celebrate!

Having initially installed a Fujifilm Compact wet lab, over the years the photo side of the business took over from the lighting and they invested in the Frontier 570 wetlab. They moved to bigger premises in 2003 as a specialist photo retailer. Nigel developed his own mobile photo app, which he launched in 2012 to great success. “We were one of the first photo ordering services for mobile devices in the UK,” he recalls.

His latest purchase has been four new Fujifilm Imagine DPC10’s. “Although a great deal of our business is generated online through our website and photo ordering app, our shop is still the heart and soul of Fotobox providing a professional and specialised service to all our customers from the High Street,” he notes. “In the past year we have almost doubled our staff and annual turnover, we have invested in more machinery and we are now one of the largest Fuji Digital Imaging Service Labs in the country.”

So what is it about Nigel that not only makes him a winner but an outstanding one?

Fotobox strongly believes in moving with the changing times and providing an up to date service to meet the altering needs of its customers. “We offer a selection of photo services tailored to our shop based customers, ranging from passport photos and frame products, to bespoke services such as photo restoration and personalised photography in our studio,” Nigel says. “We are on first name terms with many of our customers and

some will even travel from nearby towns to visit us. We have many online and app orders to print out and post on a daily basis but we do take the time to edit each one before it’s printed so that our customers receive the best quality images from their photographs. We believe that it is because of our persona that our customers rate us so highly, and will regularly return to us.”

Peter Wigington of Fujifilm tells us that: “The reason we chose to present the inaugural Outstanding Contribution to Independent Photo Retail award to Nigel was in recognition of the past 25 years that have witnessed him growing his photo business into a successful photo retail store, offering a full

range of professional photo products and services. He has welcomed the challenges involved in developing the business.

“Always looking for new ideas, he embraced the FDIS marketing taking full advantage of everything we offered and including it with his own. He was the first independent photo retailer to come out with his own app in 2012. The fact he has been with Fujifilm since the beginning is something I am very proud of too. Nigel and his amazing team are a testament to how the independent can make a real difference to consumer awareness of photo as a way of sharing and enhancing life’s special moments.”

As the sun sets on the third outing for The Photography Show across four days at Hall 5 of the NEC, Birmingham, we feature some of the pictorial highlights plus feedback from exhibitors. So, how was it for the trade?

BPI News attended The Photography Show on the Sunday and Monday

this year, as official partners of organisers Future, and with our show preview edition of the magazine distributed by the Selfie Wall next to the Canon stand. Though a busy Sunday lunchtime gave way to a refreshingly more relaxed afternoon (apparently there was something called a football match on), the Monday – traditionally the professionals’ day – was jam packed from start to finish. We arrived on the dot of 10am and it was literally fight-your-way-in full. Everybody has their own story and angle on the event, naturally, but generally the mood we picked up on was very positive. Manufacturers looked happy and retailers, including Cameraworld and LCE, were non-stop rammed with paying customers, eager to snap up offers such as Panasonic’s double cashback deal for the show.

In fact, the brand’s trade facing Product Specialist Mark Barber told us: “It has exceeded all of our expectations in terms of sales, footfall and the customer reaction to our products. We feel like customers have listened to our messages over the last year, and have used The Photography Show to try and buy our products. It’s a great platform for us.”

A fellow Mark, in Olympus’ Mr Thackara, added: “There is something marvellous about the interaction at The Photography Show and the quality of visitors and this year has been better than ever – we’ve really enjoyed it.” Olympus’ stand not only showed off the new PEN-F – you could have your own monogrammed leather strap made up for the camera for free if you bought the body at the show.

Future had reportedly worked hard to try an attract more of a

diverse and increased female attendance at the event, and manufacturers such as Sony seemed to recognise this: “Visitors are becoming more diverse and we have seen more interested young customers, which for us, is key,” claims the brand’s Head of Imaging Frederik Lange.

Product Marketing Manager at Canon UK, Daniel Benjamin, who we spoke to for our feature in BPI News March, also seemed pleased: “We’ve seen a huge number of visitors to our new stand location and there has been much excitement for our new products, including the EOS-1D X Mark II and EOS 80D. TPS is a great opportunity for us to speak directly to people buying our kit and using our products and hear their thoughts.”

Group Marketing Manager at Nikon, Jeremy Gilbert adds: “We’ve seen a constant stream of people, including broader reach in terms of demographic, giving us a fantastic mix of customers but it has also been a great opportunity to show off core DSLR products to our core audience. The show has been superb and we will be back next year.”

Finally, Event Manager for The Photography Show, Cassandra Grant, sums up 2016’s event: “We ended the show this year on a high. Combined with the hugely positive comments from our exhibitors, this highlights the fact that the photography industry is still very much an exciting place and we are already looking forward to developing the show further for 2017.”

The Photography Show returns to the NEC in March 2017. The dates for your diary are the 18th to the 21st.

Don’t fear the Goblin

We first illuminated the advantages of the cool-to-the-touch but with the

potential to sell-like-hot-cakes Neo LED light last year in BPI News, as a worthy addition to your stock range with the memorable headline ‘Using the Neo is like having the Force’, a quote from its brand ambassador, US photographer Jason Lanier.

to fall off more, then I just hold it up with the handgrip (an optional accessory) attached. “

The photographer, who has been shooting professionally for 8 years, adds that the advantages this gives him are “Exponential. Not having to worry about where the flash goes, for one. I use flash a lot and am pretty good at controlling it but sometimes flash is like a wild animal – you don’t know where it is going to go, so being able to utilise the Neo is tremendous. The other advantage is the softness of the light. You put a filter on and it’s skin softening galore – but it’s not that artificial plastic skin softening that we all hate. If you only photograph people you can just keep the skin softening diffuser on there, which is really going to cut down on your editing. Then there’s the fact of being able to use the Neo in so many conditions. Plus they’re so much lighter than normal Nikon or Sony flashguns.

“I shoot a lot of weddings and if I’m shooting the first dance I’ll put these Neo’s up in a circular fashion. And it will make your clients look like

movie stars. They will come up to me and say ‘Oh my gosh, you made me look amazing – how much did you have to pay for all this stuff?’ But I will also put one right on the camera’s hotshoe. If you’re using flash and a wedding guest is coming straight at your camera, that potentially magical moment can end up blown out and there’s no re-creating that.

“And when I put the Neo right on top of my camera, the shoot turns into a club atmosphere, and guests start mugging for the camera. They’ll be going nuts just because they know the light is on them – like moths to a flame. These lights are revolutionary for me – and I use a lot of different kinds of continuous lights. I’m an ‘Artisan of Imagery’ for Sony and I’ve used the Sony lights but they’re very top heavy and I’ve broken the foot off them so many times. With the Neo the weight is spread out.

“The Neo also enables me to get the shots and results that I want faster. A lot of us have circumstances where we don’t have time and need to get in and out quick: particularly if I’m shooting in some crazy urban

environments. I can shoot holding the Neo in my hand. No wonder these comprise 70% of what I do. There are a lot of uses, from adding catch lights to the eyes when you’re shooting against the sun, to macro photography.”

Asked to give three reasons why your customers should buy a Neo, Jason Lanier responds: “Firstly the power on these things is tremendous – that’s going to be the number one takeaway – and being able to adjust the power output too, with the roundness of the design giving you that beautiful catchlight and the throw. The ability to change the white balance is huge too – I can put the model in Antarctica, the California sun or somewhere in between. Thirdly there are a lot of photography products that are junk, but these are high quality and I’ve dropped them enough times to know. These things are handmade here in the UK and I could not be more impressed with the quality.

The Neo even handles the elements; the only thing I would add to these is the ability to sync with

your phone, so your handset can act as a remote – but that’s more of a dream than a gripe.”

(28mm lens), dp2 Quattro (45mm) and dp3 Quattro (75mm or 90mm with dedicated 1.2x conversion lens – sold separately) will all be available for your customers to choose their kit option. KENRO SPOTLIGHTS NEW NANGUANG & NISSIN KIT

BPI News 2016 Trade Awards finalist Kenro was firing on all cylinders at The Photography

Show in March, with plentiful product lines on display – but it was one new strand that BPI News found most illuminating: NanGuang lights, launched at the show with Kenro as its official UK and Ireland distributor. On show at the NEC last month were NanGuang products including its Portable LED Photo Lighting Cases – which are portable studio cases utilising high efficiency LEDs to enable photographers to take shadow-less pictures of small objects. These are supplied ready to use with six backgrounds and built-in soft LED lights, which can be individually dimmed to achieve the desired effect. Medium and large models are available, whilst a protective carry case is provided.

light ideal for portraits or product photography or video. Obviously the key advantage with LED lights is that not only do they provide even illumination – they are also cool to the touch.

Photographers looking for alternatives to use in the studio will also want to look at NanGuang’s LED Fresnel Light offerings (in the CN-20FC and CN-30F) which are designed for studio use and include Fresnel lens for alternating the light between a narrow or wide beam plus ‘barn doors’ via which to further control the light. Also new and previewed at the show was the Nissin i60A flashgun, the latest in a line of award winning, critically acclaimed products from that Kenro distributed brand. It’s coming initially in a mirror-less Sony

There are also a handful of NanGuang Portable Photo Lights – LED panels that can be used hand held, attached to a stand or attached to the camera itself. As well as being easy to transport, the lights are ideal for use in confined spaces or as a fill-in light.

The pitch here is ground breaking design and advanced engineering, dramatically reducing the size and weight (at 300g) of the flash unit. As a result the claim here is that the Nissin i60A is the smallest and lightest in the high power portable flash market segment. As the name suggests it can offer a high power output of 60GN at ISO100, 200mm zoom head position and comes with a built-in diffuser and softbox accessory.

It is also compatible with the 2.4 GHz wireless Nissin Air System – just expanded with the new Nissin Receiver Air R range, described as a ‘game changer’. It is often said that we should live our lives as if we were going to die tomorrow. This advice

is particularly true for businesses owners. But sadly, this group is often the least likely to have made the appropriate arrangements.

An unhealthy proportion of people don’t have a Will. Throw a business into the mix, and their private and business affairs are heading for disaster.

Firms need appropriate provisions in the Partnership Deed or Articles of Association covering the scenario of one of the partners possibly dying in service. Many businesses operate in the absence of any or adequate governing documents.

Documents may provide an option for the surviving partners to purchase the deceased’s share of the business. An agreement should deal with a valuation of the assets, including any value attributed to goodwill. It should also provide for referral of any dispute to an agreed arbitrator.

Many partnerships consider putting in place insurance policies to provide funds enabling them to purchase the deceased’s interest in the business. This avoids the difficulties that will be faced by the firm having to raise a potentially large amount of cash to buy out the deceased’s estate.

Every business owner should have a properly drafted Will. It is particularly important, as the rules of intestacy (dying without having made any legal provisions) do not make provision for unmarried partners. In addition, the will can make several provisions that cover the choice of executors – and it may be sensible to appoint a special executor to deal with the business.

The executor’s authority commences immediately on death, whereas if there is no Will, an administrator will have to be appointed and this can take time.

Wills can also assist with tax planning. Business Property Relief of 100% is available to reduce the potential inheritance tax liability arising in relation to business assets.

Business owners need to plan ahead as soon as possible. It may mean having uncomfortable discussions with a family or business partners, but procrastination can result in serious problems.

Extending the life of a family business

A lot of long-term photo businesses tend to be family businesses. And the dynamics of managing a family business are always going to be different to a venture between partners who aren’t related by blood. One of the key steps for success is making sure that the family aren’t strangers to each other’s goals and desires. Setting up a ‘family council’ to deal with the business’s affairs, separately from the rest of family concerns, is a significant first step.

Communications in a family business may be worse than in any other company. Among the reasons for setting up a family council is that every family member involved in the business needs to understand their rights and responsibilities. The borders between the business and the family need to be clarified and all members of the family, including those at junior levels in the business or those outside it, such as spouses, should be allowed to air their views. The aim is that a ‘family council’ should generate a shared vision and

guide its development.Taking professional advice on

how to structure the meetings, and engaging a professional facilitator to keep things running smoothly, is a worthwhile expense. Bringing an outsider into the meetings will reinforce the importance of meetings, and help to confirm the distinction between family and business.

There are a number of practical points to bear in mind too. Meetings

need to be held somewhere neutral, so that everyone feels able to contribute equally. Set up a proper agenda and timetable and stick to it. There should be a council chair who runs the meetings and has the scope to keep the discussion moving. To make sure that the council is a long-term success, start small and settle simple issues. That’ll give everyone a chance to see that the council can work, and the confidence to address bigger long term considerations.

Your business’ consumer rights

Where do businesses stand when they buy in products and services that subsequently fail to live up to the promises made? The starting point is to look at the contract, as protection against unfair contract terms being imposed by larger suppliers can be sought under the Unfair Contract Terms Act 1977. The Act regulates the use of exclusion clauses – and whether terms are enforceable depends on those terms being reasonable.

as ‘breach of statutory implied terms’, which covers description of the item, satisfactory quality and fitness for purpose; plus breach of contract and even death or personal injury caused by negligence.

Unfair terms aside, businesses also have protection from misleading advertising through the Business Protection from Misleading Marketing Regulations 2008. These implement an EU directive and ban advertising that is misleading, while also setting out what is acceptable.

Savvy consumers know that section 75 of the Consumer Credit Act 1974 makes credit card companies liable for any breach of contract, or misrepresentation, by a seller. Crucially, for businesses, there is no requirement that the purchase must be for individual or non-business related use. However, if the credit agreement is entered into wholly or mainly for business purposes, or the amount loaned exceeds £25,000, then section 75 will not apply.

Avoid a lease becoming a liability

While most of the focus is on headline costs when acquiring commercial leased premises, firms taking on leased premises need to be aware of the many hidden liabilities that landlords set.

Where a tenant has a right to terminate a lease, any conditions imposed by the lease must be strictly complied with, or the right to terminate is lost. As a result, tenants should resist any conditions that are extremely difficult to comply with.

And any lease obligation to keep the property in repair means that if a property has any defects or disrepair at day one, the tenant will be liable for bringing the property up to a good state of repair and decoration before they start trading. This could be costly.

Leases in excess of five years often include upwards-only rent reviews based on the open market value at that time. Tenants should only agree yearly increases calculated using the initial (year

one) base rent as the benchmark. Few realise that overlooked

service charges and rates can often double charges due under the lease. Good examples include any monies paid into a reserve fund; construction and building equipment costs; refurbishment of the building; the costs of lease renewals, rent reviews, lettings, collection of rents and arrears etc. from other tenants; and costs of services from which the tenant does not benefit. As usual, it’s a case of caveat emptor: buyer beware.

Lastly, whilst not an HMRC tax, business rates can represent a significant cost to businesses. The Chancellor confirmed in the recent Budget that 100% small business rate relief will continue for properties with a rate-able value of £6,000 or less. From April 2017, 100% small business rate relief will be extended to properties with a rate-able value of £12,000 or less. Businesses with a property with a rate-able value between £12,000 and £15,000 will receive partial relief.
