RULES

RULES. i—NAME.

The Cactus and Succulent Society of Great Britain.

2—OBJECTS.

To collate information of all kinds in respect to cacti and succulents, organize exhibitions, issue publications, take steps to create and further the interests of all cultivators of cacti and succulents.

3—MEMBERS.

Members shall be designated Honorary Members, Members, or Associates. Honorary Members may be elected at the Annual General Meeting and they shall have full rights, but shall not be called upon to pay subscriptions. Members shall have the right of voting at all General Meetings of the Society and shall receive, free of charge, all publications or notices issued by the Society except those otherwise decided upon by the Council. Associates shall not have voting rights, but shall have the right of attending, free of charge, any meeting of the Society, and shall have the right of receiving any publication or notice issued by the Society on payment of such fee as the Council may decide. There shall be no distinction between professional and amateur members. The qualification of a member to be anyone who is interested in the objects of the Society and who pays the subscriptions and other dues required. Firms count as one member, but shall only be entitled to act as members in the person of one individual who is a member of the firm as a shareholder or who has proprietorial rights. If more than one person is to receive membership rights, subscriptions must be paid in respect of the extra person or persons. A list of names and addresses of members will be issued from time to time.

4—RESIGNATION.

Any member who decides to resign must give the Honorary Secretary three months' notice of his decision before the end of the year, otherwise the subscriptions for the ensuing year may be claimed.

5—MANAGEMENT.

(a) The property of the Society shall be vested in the Council and Officers of the Society for the time being during their term of office.

(b) The affairs of the Society shall be conducted by a Council consisting of President, Honorary Secretary, Honorary Treasurer, together with nine ordinary members, three to retire annually in rotation, but retiring members shall be eligible for re-election. Less than 50% attendance of Council meetings shall render retiring members ineligible for re-election. Ex-officio members to retire annually, but are eligible for re-election at the Annual General Meeting.

(c) The Council shall have power to conduct all matters concerning the objects of the Society, excepting such matters as are specified in these rules. They shall have power to fill the place of any officer or councillor who shall have resigned or died.

(d) Any motion at any Council or any General Meeting entailing the ex­penditure of an amount exceeding twenty-five pounds shall not be carried unless supported by at least two-thirds of the members present with voting rights.

(e) The Council shall have power to appoint any of its members or appoint ordinary members not on the Council or appointed as an Officer to act on their behalf in any matter. No committee or individual members so appointed shall have power to incur expenditure without the written authority of the Council.

(/) The Council shall, at the end of each year, prepare a report and accounts for presentation to the members at the Annual General Meeting.

(g) The Council shall have power to decide on any matter not covered by these rules, and their decision in such matters shall be binding on all members of the Society, but if any alteration or amendment of a rule is involved, it must be ratified at the next Annual General Meeting after the decisions have been made.

6—OFFICERS.

(a) The President shall preside at all General and Council Meetings. (b) A Chairman selected by the Council from their members shall automatically fill the place of the President at any General or Council Meeting should the President be absent ; and in the absence of both the President and the Chairman of the Council, any member may be nominated for the chair. (c) The Secretary shall conduct the correspondence of the Society and he shall carry out the instructions of the Council and Meetings of Members. (d) The Treasurer shall receive and expend the moneys of the Society in accordance with the instructions of the Council and Meetings of Members.

7—QUORUM.

General or Extraordinary Meetings, twenty members. Council Meetings, five members.

8—MEETINGS.

(a) The Annual General Meeting shall be called during the month of January in each year.

(b) Ordinary Meetings shall be held monthly or at such other times as the Council may decide.

(c) Extraordinary General Meetings shall be called at the discretion of the Council or upon the requisition of not less than thirty ordinary members of the Society.

9—VOTING POWERS.

Each member of the Council present at the Council Meeting shall have one vote. Each member of the Society present at any General Meeting shall have one vote. Associates shall not have the power of voting. The President or such other member in the chair at any meetings of the Society shall have a casting vote, in addition to his vote as a member, in the event of a tie.

io—EXPULSION.

The Council or Annual General Meeting may, at their discretion, expel any member for breach of these rules, or for any other matter which they consider justifies the expulsion, but there must be three-quarters of the meeting voting for the motion of expulsion.

i i — S U B S C R I P T I O N S .

Members shall pay io/- per annum. Associates shall pay 5/- per annum.

12—BRANCHES.

The Council shall have power to form local branches ; members of local branches shall be members of the Society and pay their dues to the Society's Treasurer ; the local Secretary (or Treasurer, if one be appointed) may apply to the Hon. Treasurer of the Society for an amount to cover the local expenses : this amount shall depend on the number of members belonging to the branch and shall be not more than 25% of each subscription.

13—EXHIBITIONS.

The Council shall have power to hold Exhibitions, and all Exhibitors shall conform to the rules and regulations as notified them by the Council or its Committee.

14—AFFILIATIONS.

The Council shall have power, at their discretion, to affiliate with any other Society or contract such obligations of a similar nature which they consider of benefit to the Society's work.

15—LIBRARY.

The Council shall have power to acquire books, obtain photos of plants, and do all things necessary to provide or collate information for the members.

16—RULES.

Alterations or amendments or additions thereto of the rules shall not be made except at the Annual General Meeting, and notice of such change of rules must be sent to the Honorary Secretary fourteen days before the date of the meeting, and such alterations shall be included in the agenda sent to the members seven days before the meeting.
