PART1‐GENERALPROVISIONS

1.1 FORMATIONANDGENERALPURPOSEOFTHEDISTRICT

Calleguas Municipal Water District (District) was formed on December 10, 1953undertheCaliforniaMunicipalWaterDistrictActof1911.ThegeneralpurposeoftheDistrict is toprovide its serviceareawitha reliable supplyof regionaland locallydevelopedwater.

1.2 TITLEANDPURPOSEOFTHEADMINISTRATIVECODE

ThisAdministrativeCodeshallbeknownas the"CALLEGUASMUNICIPALWATERDISTRICT ADMINISTRATIVE CODE”, and is sometimes referred to as the“AdministrativeCode”orthe“Code”.ThisCodecontainscertainoperationalpoliciesoftheDistrictandsupersedesandreplacesOrdinanceNo.13(whichwasrepealedbytheDistrictin2002)andallpreviouslyadoptedversionsoftheCode.

1.3 DEFINITIONS

AsusedinthisCode,unlessotherwisespecificallyprovidedorthecontextotherwiserequires:“Auditor”referstothefirmwhichperformsanannualauditoftheDistrict’sfinancialstatementsandinternalfinancialcontrols."Board"referstotheBoardofDirectorsofCalleguasMunicipalWaterDistrict.“Board Officers” or “officers” refers to the then serving officers appointed by theBoardfromamongtheBoardmembersasprovidedinthisCode."Director"referstoanelectedorappointedmemberoftheBoard."District"referstoCalleguasMunicipalWaterDistrict.

“DistrictCounsel”referstothethenservinglegalcounseltotheBoard."Employee"referstoaDistrictemployee."GeneralManager"referstothethenservingGeneralManageroftheDistrict.“Metropolitan” or “MWD” refers to Metropolitan Water District of SouthernCalifornia.

"Person"referstoanyperson,firm,orlegalentity."President"referstotheDirectorthenservingasPresidentoftheBoard."SecretaryoftheBoard"referstotheDirectorthenservingasSecretaryoftheBoard.“ClerkoftheBoard”referstotheGeneralManager’sExecutiveSecretary."State"shallmeantheStateofCalifornia."Treasurer"referstotheDirectorthenservingasTreasureroftheBoard."VicePresident"referstotheDirectorthenservingasVicePresidentoftheBoard.

1.4 INTERPRETATION

WhereverthesepoliciesandproceduresrefertocertainprovisionsofCalifornialaw,including without limitation certain sections or provisions of the Brown Act, theWater Code, CEQA, and the Government Code, it is understood that the entireapplicable lawshallgovern,andthesepoliciesandproceduresshallnotserveasasubstituteforreviewoftheentireapplicablelawthenineffect.Ifreferenceismadeto any portion of this Code, or to any ordinance or resolution of the District, thereferenceshallapplytoallamendmentsandadditionsthereto.

1.5 MAINTENANCE

AcopyofthisCodeshallbedistributedtoeachDirectorandtosuchotherpersonsastheGeneralManagerortheBoarddeemsappropriate.Atleastonceeverythreeyears,and otherwise as needed as determined by the Board, the General Manager willreview this Code and prepare and present amendments to the Board forconsideration.

1.6 ACTSBYDEPUTIES

Wheneverapowerisgrantedto,oradutyisimposedupon,anofficerorEmployeeofthe District, whether by statute, ordinance, resolution, or order of the Board, thepowermaybe exercised or the dutymaybeperformedby a deputy, assistant, orEmployeeauthorizedbysuchofficerorEmployee

1.7 SEVERABILITY

IfanypartofthisCodeis,foranyreason,heldtobeinvalidorunenforceable,suchdecisionsshallnotaffectthevalidityoftheremainingportionsofthisCode.

1.8 AMENDMENT

This Codemay be amended,modified, changed or repealed only by action of theBoard,initssolediscretion.

1.9 GENDER,TENSES,ANDNUMBER

AsusedinthisCode,thepresenttenseincludesthepastandfuturetenses,andthefuturetenseincludesthepresenttense;themasculinegenderincludesthefemininegender, and the feminine gender includes themasculine gender; and the singularincludestheplural,andtheplural,thesingular.

PART2‐BOARDOFDIRECTORS

2.1 ELECTION

Members of the Board are elected to office in accordance with applicable lawincludingtheprovisionsoftheMunicipalWaterDistrictLawof1911.EachDirectorshallholdofficeforatermof fouryears fromandafterthedateof takingoffice.ADirectormaybeelectedtomultipletermsinaccordancewithapplicablelaw.

2.2 APPOINTMENT

WhenavacancyoccursontheBoard,theremainingmembersoftheBoardmayfillsuch vacancy by appointment in accordance with California Water Code Section71254 and California Government Code Section 1780, or the correspondingprovisionsofanysuccessorstatute.

2.3 OATHOFOFFICE

PersonselectedtotheBoardshalltakeofficeatnoononthefirstFridayinDecemberafterthegeneralelectionasprescribedbyCaliforniaElectionsCodeSections10505and10554.PersonsappointedtotheBoardshalltaketherequiredoathofofficepriortoassumingoffice.ANotaryPublicshalladministertheoath.

2.4 DIVISIONSANDREAPPORTIONMENT

TheDistrict isdivided into fiveDivisionsasshownon theOfficialMapofDivisionBoundaries on file at the County of Ventura Elections Division. Each Division isrepresentedbyoneDirectorwhoshallbearesidentoftheDivision.Notwithstandingtheforegoing,theDistrictissubjecttore‐divisioninaccordancewiththeproceduressetforthinCaliforniaWaterCodeSection74450etseq.

2.5 POWERS

All powers of the District shall be vested in the Board except for those powersdelegated to the General Manager as set forth herein and in the Ordinances andResolutionsoftheDistrictorashereafterdelegatedbytheBoard.

2.6 ELECTIONOFBOARDOFFICERS

AtthefirstMeetinginJanuaryoftheyearfollowinganyelectionatwhichanyDirectorisqualified,theBoardshallelectoneofitsmembersasitspresidingofficer,whoshallhavethetitleof“PresidentoftheBoard”.Atthesametime,theBoardshallalsoselectDirectorstoserveasVicePresident,Treasurer,andSecretaryoftheBoard.TheBoardmay,atanytimebymajorityvote,removeanyDirectorfromanyofficetowhichhe

hasbeenappointedandelectanotherDirectortofill theoffice. ThenewlyelectedofficersshalltakeofficeattheconclusionofthemeetingatwhichtheyareelectedunlesstheBoarddesignatesanothertime.

2.7 DESIGNATIONOFMETROPOLITANBOARDREPRESENTATIVE

The District’s representative(s) to the Metropolitan Water District of SouthernCalifornia Board of Directors will be selected and shall serve as outlined in theMetropolitanWaterDistrictAct,Section51.

2.8 GENERALDUTIES

TheBoardofDirectorsshall:

(a) EstablishtheDistrict’spolicies,mission,andgoalsbymajorityvoteatpublicmeetingsandholdtheGeneralManagerresponsible if thepolicies,mission,andgoalsoftheDistrictarenotimplemented.

(b) AssurethattheDistrictisresponsivetotheinterestsofthoseitrepresents.(c) ComplywiththelawanduseDistrictpowerslawfully.(d) Insistthatcriticalandstrategicinformationfromwhichtomakedecisionsand

exercisejudgmentsisavailableinatimelymanner.(e) Assiststaffbyassessingissuesfromabroaderperspective,providingoutside

perspectiveandguidance.(f) ProtecttheassetsoftheDistrict. (g) AssurethattheDistrictiswellmanaged.(h) SelecttheDistrict’sofficers,GeneralManager,DistrictCounsel,andAuditorin

accordancewithCaliforniaWaterCodeSection71340.(i) AssurethattheDistrict’slong‐termplansaredesignedtomeettheDistrict’s

missionandpurpose.(j) Reviewandassesslong‐termplanningfortheDistrict.(k) Establish policies thatwill provide for the effective conduct of the Board's

meetings.(1) BepreparedforthemeetingsoftheBoard.

(m) Approveandadopttheannualbudgetandanyamendmentsthereto.(n) Approve and adopt a salary schedule and positions set forth in the

organizationchartforDistrictEmployeesandanyamendmentsthereto.(o) FileForm700StatementsofEconomicInterestsasrequiredbytheDistrict’s

ConflictofInterestCode.(p) Participateintwohoursofsexualharassmentpreventiontrainingeverytwo

yearsinaccordancewithGovernmentCodeSection12950.1.(q) Participate inethics trainingevery twoyears inaccordancewithCalifornia

GovernmentCodeSection53235,includingat leasttwohoursoftraininginethicsprinciplesandethicslawsrelevanttohisorherpublicservice.

2.9 LEAVESOFABSENCE

In accordance with California Government Code Section 1062, no Director shallabsenthimselffromtheStateformorethan60days,unlesstheabsenceisforDistrictbusinessorhasbeenapprovedbytheBoard.Inthecaseofillnessorotherurgentnecessity,aquorumoftheBoardmayapproveanextensionofaDirector’sabsencefromtheState.

2.10BOARDDIRECTIONTODISTRICTSTAFF

(a) The Board provides guidance and instruction to the General Manager.IndividualDirectorsshallnotinstructtheGeneralManagerintheexecutionofhisorherpowersandduties.

(b) All general business of theDistrict, including requests for information and

instructionstoEmployeesaretobeconductedthroughtheGeneralManager,orintheabsenceoftheGeneralManager,theActingGeneralManager. Theexceptionstothislimitationare:(1)coordinationwiththeClerkoftheBoardrelatedtohisorherdutiesdescribedinPart6thisCode,(2)coordinationwiththeManagerofHumanResourcesonaDirector’sDistrict‐providedbenefits,and (3) coordination between the Board Treasurer and the Manager ofFinanceonDistrictfinancialmatters.

(c) The General Manager shall promptly provide information requested by

Directors as necessary to assist in decision making and policy direction.Routine requests by individual Directors for readily available writteninformation,documents,reports,studies,analyses,orcompilationsshallnotrequire formal Board approval. If requests for staff assistance or for suchinformationordocumentsareestimatedtorequiremorethanfourhoursofstafftimeorconsultingtime,oriftheywillrequirelessthanfourhoursbutare

of a recurring nature, these requests shall be submitted in advance to theBoardofDirectorsbytheindividualDirectorforformalapproval.

2.11 COMPENSATIONANDREIMBURSEMENT

2.11.1GENERALRULES

(a) Compensation and reimbursement of expenses for Directors isauthorizedby,andsubjectto,CaliforniaWaterCodeSections71255etseq.and20200etseq.,andCaliforniaGovernmentCodeSection53232.

(b) The Board’s compensation rules and rates are set forth in District

OrdinanceNo.15.Annually,theBoardwillreviewthecompensationpaid to Directors and may make changes to the establishedcompensationratebyamendingOrdinanceNo.15andsettinganewcompensationrateinaccordancewithapplicablelaw.

(c) Subject to Ordinance 15 and applicable law, Directors may be

compensatedforeachday’sattendanceatmeetingsoftheBoardandfor each day’s service to the District rendered at the request of theBoardortheGeneralManagernotexceedingatotalof10daysinanycalendar month. Any Director who represents the District on theMetropolitan Board is also entitled to receive compensation andexpensereimbursementfromtheDistrictwithrespecttosuchserviceforatotalof10additionaldaysinanycalendarmonth.

(d) Subject to the requirementsofCaliforniaGovernmentCodeSections

53232.2and53232.3,aDirectormaybereimbursedforanyactualandnecessaryexpensesincurredintheperformanceofdutiesrequiredorauthorizedbytheBoard,includingwithoutlimitationreimbursementforauthorizedtravelandotherexpenseswhenonofficialdutyorwhenactingonbehalfoftheBoard.

(e) BoardMembersshallprovideabrieforalreportoneachcompensable

meetingattendedatthenextregularlyscheduledBoardmeeting.

2.11.2AUTHORIZEDACTIVITIESANDEXPENSES

The guidelines set forth below are provided to clarify activities that areauthorized for compensation and reimbursement to individual Directors.However, such guidelines at all times remain subject to applicable lawincludingwithout limitationCaliforniaGovernmentCodeSections53232etseq.andCaliforniaWaterCodeSections20201,20202,71255and71256,asmaybeamendedfromtimetotime:

(a) Only one‐day’s compensation may be paid for activities performedwithinacalendarday.Example:IfaDirectorattendsaBoardmeetingandanotherauthorizedmeetingonthesamedate, theDirectorshallonly be entitled to compensation for one meeting. However,reimbursement for compensablemileage,meals, andotherexpensesmaybepaidforbothmeetings.

(b) Directorsareauthorizedtoreceivecompensationandreimbursement

forexpensesforthefollowing:

(1) AttendingregularandspecialmeetingsoftheBoard.(2) Performingnecessarydutiesassociatedwith,andrequiredof,

anelectedofficialservingontheBoard,includingparticipationinrequiredtraining,eitherinpersonorviaremotemeans.

(3) RepresentingtheDistrictinanyoftheircollateralassignments.(4) Representing the District when requested by the Board, the

President, or the General Manager, including attendance atother meetings or functions of government agencies (State,County,andCity),purveyors,associations,committees,etc.

(5) Representing the District outside of the State with prior

approvaloftheBoard.(6) Participation inactivities related to theDistrict’smissionand

purposewithpriorapprovalofthePresidentorBoard.(7) Participation in conference calls ofmore thanone‐halfhour’s

durationwhich are for thepurposeof anyof the items listedabove,subjecttoapplicableapprovals.

(8) Traveltoorfromanauthorizedactivitywhenitisimpracticalto

travelonthesamedayastheactivity.

(c) A Director may elect not to receive compensation and/orreimbursementforexpensesforanyauthorizedactivity.

(d) ADirectormayappealtotheBoardanyrecommendationoftheGeneral

Manager or decision by the President to deny authorization forcompensationandreimbursement.

(e) ADirector shall securepriorapprovalof theBoardbefore incurring

expensesforhostingconferences,receptions,meetings,groupmeals,or other activities related to the duties of a Director, other than

activitiespaidforattheDirector’spersonalexpense.(f) If aDirector chooses to receiveAgendapacketsbyelectronicmeans

insteadofdeliveryofpapercopies,theDistrictwillpayforoneofthefollowing:

(1) TheDirectormayuseaDistrict‐ownedelectronictabletdevice

andcase. TheDistrictwillnotpayforanychargesassociatedwithadataserviceplan.WhentheDirectorleavesoffice,hemayeitherreturnthedevicetotheDistrictorreimbursetheDistrictforthedepreciatedvalueofthedevice.

(2) TheDirectormayuseaDistrict‐ownedcolorinkjetprinteror

similar,paper,andinkcartridgessothattheDirectormayprintthepacketsathome. WhentheDirectorleavesoffice,hemayeitherreturntheprintertotheDistrictorreimbursetheDistrictforthedepreciatedvalueoftheprinter.

2.11.3TRAVEL

(a) The District shall reimburse a Director for his or her actual and

necessaryexpensesforapprovedtravelasfollows:

(1) AllexpensesmustbeordinaryandnecessaryfortheconductofDistrictbusiness.

(2) Authorized expenses while traveling overnight on District

business may include, but are not limited to, meals, lodging,baggagehandling,tips,transportationcostsonlytoandfromthedestination required for business purposes and any otherreasonable incidental expenses of the trip which are Districtrelated rather than personal in nature. Disallowed expensesinclude,butarenotlimitedto,personaltelephonecalls,laundryservice, and in‐room movies. If a family member or guestaccompanies the Director, lodging expense may only bereimbursed at the applicable rate for a single room to beoccupiedbyonlyoneperson.Travelcosts,mealsandallotherincidental expenses for a family member or guest are notauthorizedforpaymentfromDistrictfunds.

(3) Directorshavetheoptiontoselecteitherreimbursementat1.5

alcoholicbeverages.UndernocircumstanceswilltheDistrictpayfororreimburseforanyexpensesassociatedwiththepurchaseorconsumptionofalcoholicbeverages.

b. Itemized receipts must be submitted to

substantiatetheactualcostofmeals.c. Thereimbursementamountshallnotexceed1.5

timestheM&IRate. d. Any reimbursement greater than 1.0 times the

M&I Rate is considered taxable by the InternalRevenue Service and will be added to theDirector’staxablewages.

M&Irateproratesapercentageofthedailyratetoeachmeal.Breakfastis20%,Lunchis25%,andDinner55%ofthedailyM&Irate. Thesevaluesapplyonlytodayswhenfewerthanthreemealsarereimbursed.

b. Perdiemratesmustbeadjustedinthefollowing

circumstances:

On the first and last days of travel, theDirector is entitled to per diemreimbursementforonlythosemealseatenwhiletraveling.

When the conference attended providesmeals as part of the registration fee, theperdiemrateforthatdaywillbereducedbytheappropriatepercentageforthemealprovided.

(4) Transportation shall be selected on the basis of the lowest

overall cost to the District after all costs are considered. Allairlinetravelshallonlybebyairplanecoachoreconomyclassexceptwhencoachoreconomyseatsareunavailableatthetimeofticketing,orwhereaphysicalproblem,essentialbusiness,orexceptionalcircumstancewarrantstravelinahigherclass.

(5) A Director who purchases airline tickets for the purpose of

combiningpersonaltravelwithDistricttravel,orfortravelwitha familymember,shallonlybereimbursedfor thecostof theDirector’sticketwhichisrequiredfortheworkrelatedpurposeofthetravel.

(6) ADirectorshallnotbereimbursedbytheDistrictforanexpense

reimbursedbyanotherparty.

(b) DirectorswhoincurexpensesonbehalfoftheDistrict,orwhotravelonorengageinDistrictbusinesswhichrequirestheexpenditureoffundson their behalf, shall prepare an expense claim form to document,substantiate,andaccountfor,allexpenses.

(1) AllreimbursementclaimsshallbesubmittedtotheClerkofthe

Boardbeforereimbursementwillbemade.(2) Receiptsanditemizedbillsmustbeattached.(3) Whenclaimingexpensesforbusinesspurposesforoneormore

guests, the original receipt and an itemized bill stating theamountofthemeal,adescriptionofthepurposeofthemealandthenamesof thepeoplepresentandtheiraffiliationsshallbeprovided.

(4) Requestsforpaymentat1.5timestheM&Iratesdonotrequire

documentation.

(c) IndividualexpensesincurredbyandforaDirectorandreimbursedbytheDistrict inexcessof$100.00arereported inanannualreportasrequiredbylaw.

2.13 MEETINGSANDMINUTES

2.13.1 GENERAL

(a) AllproceedingsoftheBoardandanyAdvisoryBody(asdefinedbelow)shallbeheldinaccordancewiththeapplicableprovisionsoftheRalphM.BrownAct(GovernmentCodeSection54950etseq.)asamendedfrom time to time (the "Brown Act"). Should any of the followingprovisions conflictwith any of the provisions of the BrownAct, theBrownActshallbedeemedcontrolling.

(b) AllmeetingsoftheBoardandanyAdvisoryBodyshallbeopentothe

public,andallpersonsshallbepermittedtoattendexceptasotherwiseprovidedintheBrownAct.

(c) Asusedherein:

(1) “AdvisoryBody”meansa"legislativebody"asdefinedinSection

54952(b) of theBrownAct including any decision‐making oradvisorybodycreatedbyordinance,resolution,orformalactionoftheBoard.InaccordancewithSection54952(b),anadvisorycommittee composed solely of two or fewermembers of theBoardisanAdvisoryBodyonlyifthecommitteehascontinuingsubject matter jurisdiction or meets pursuant to a schedulefixedbyordinance,resolution,orformalactionoftheBoard.

(2) “Meeting”meansanycongregationofamajorityofthemembers

of theBoardorAdvisoryBodyat the same timeand location(including teleconference location as permitted by Section54953 of the BrownAct) to hear, discuss, deliberate, or takeactiononanyitemthatiswithinthesubjectmatterjurisdictionoftheBoardorAdvisoryBody.

(d) Amajorityof theMembersof theBoardorAdvisoryBody shallnot,

outside a meeting authorized by the Brown Act, use a series ofcommunications of any kind, directly or through intermediaries, todiscuss,deliberate,ortakeactiononanyitemofbusinessthatiswithinthesubjectmatterjurisdictionoftheBoardortheAdvisoryBody.

(e) Nothing contained herein shall be construed as preventing an

Employee or official of the District from engaging in separateconversationsorcommunicationsoutsideofameetingwithMembersof the Board or the Advisory Body in order to answer questions orprovide information regarding District business, as long as thatEmployeeorofficialdoesnotcommunicatetomembersoftheBoardorAdvisory Body the comments or position of any other Member orMembersofsuchbody.Furthermore,themeetingrequirementsoftheBrownActshallnotapplytoanyofthesituationsdescribedinSection54952.2(c)oftheBrownActincludingthefollowing:

(1) IndividualcontactsorconversationsbetweenaMemberofthe

BoardorAdvisoryBodyandanyotherpersonthatdonotviolatesubsection(d)ofthisSection.

(2) Theattendanceofamajorityof theMembersof theBoardor

AdvisoryBodyataconferenceorsimilargatheringopentothepublicthatinvolvesadiscussionofissuesofgeneralinteresttothepublicortopublicagenciesofthetyperepresentedbytheBoard or Advisory Body, provided that a majority of themembersdonotdiscussamongthemselves,otherthanaspartof the scheduled program, any business of a specified naturethatiswithinthejurisdictionoftheDistrict.

(3) Theattendanceofamajorityof theMembersof theBoardor

Advisory Body at any of the following events or gatherings;providedthatamajorityoftheMembersdonotdiscussamongthemselves, other than as part of the scheduled meeting orprogram, business of a specific nature that is within thejurisdictionoftheBoardorAdvisoryBody:

(i) Anopenandpublicizedmeetingorganizedtoaddressa

topic of local community concern by a person ororganizationotherthantheDistrict;

(4) Theattendanceofamajorityof theMembersof theBoardor

Advisory Body at an open and noticedmeeting of a standingcommittee of the Board or Advisory Body; provided that theMembersoftheBoardorAdvisoryBodywhoarenotMembersofthestandingcommitteeattendonlyasobservers.

(f) AllregularmeetingsoftheBoardandallmeetingsofanyAdvisoryBody

shallbeheldwithintheboundariesoftheDistrictexceptasfollows:

(1) TocomplywithStateorFederallaworcourtorder;(2) To inspect real property or personal property that cannot be

moved;(3) Tomeetonamulti‐agencymatterat the facilityofoneof the

participatingagencies;(4) Todiscusslegislativeorregulatorymatterswithstateorfederal

officials;(5) Todiscussmattersrelating toaDistrict facilityat the facility;

and(6) Toconsultwithlegalcounselatcounsel’sofficeifsodoingwill

resultinareductionincosttotheDistrictassociatedwiththemeeting.

2.13.2 REGULAR/SPECIAL/EMERGENCYMEETINGS

(a) TheBoardshallholdregularmeetingsonthefirstandthirdWednesday

of eachmonth at the hour of 5:00 p.m., unless otherwise noticed inaccordancewithapplicablelaw,attheDistrict’sheadquarterslocatedat2100OlsenRoad,ThousandOaks,California.AregularmeetingmaybeadjournedbytheBoardorbylessthanaquorumtoanothertime.Anadjournedregularmeetingisaregularmeetingforallpurposesifheldwithinfivedaysoftheregularmeeting.Iftheadjournedmeetingisheldmore than fivedaysafter the regularmeeting, anewagendashallbeposted.

(b) InaccordancewithSection54956oftheBrownAct,specialmeetingsmaybecalledbythePresident(or,intheabsenceofthePresident,bytheVicePresident)orbyamajorityoftheBoardupon24hours’noticetoeachDirector.

(c) InaccordancewithSection54956.5oftheBrownAct,intheeventofan

"emergencysituation"theBoardorAdvisoryBodymayholdaspecialemergency meeting without complying with the 24 hour noticerequirementoragendapostingrequiredforspecialmeetings,ifpromptaction is necessary due to disruption or threatened disruption ofDistrict facilities. An "emergency situation" includes both an"emergency"anda"direemergency"asdeterminedbyamajorityoftheBoard.An"emergency"isaworkstoppage,cripplingactivity,orotheractivity that severely impairs public health or safety, and a "direemergency" isacripplingdisaster,massdestruction, terroristact,orthreatened terrorist activity that poses peril so immediate andsignificantthatprovidingtheonehournoticeofmeetingrequiredforanemergencywouldendangerpublichealthorsafety.InaccordancewithSection54956.5(b)(2)oftheBrownAct,noticeoftheemergencymeeting must be given to each local newspaper and radio andtelevisionstationthathasrequestednoticeofspecialmeetingsatleastonehourpriortothemeetinginthecaseofanemergencymeetingandatornearthetimenoticeisgiventotheBoardMembersinthecaseofa dire emergency. The Board or Advisory Bodymaymeet in closedsessionduringanyemergencymeetinginaccordancewiththeBrownActifagreedtobyatleasttwo‐thirdsofthemembersoftheBoardorAdvisoryBody,oriflessthantwo‐thirdsoftheMembersarepresent,byunanimous consentof theMemberspresent. Except asprovidedherein, all emergencymeetings shall be held in accordancewith allotherspecialmeetingrequirements.

(d) Each Advisory Body may establish a time and place for regular

meetingsandmaycallspecialmeetingsandemergencymeetingsinthesamemannerastheBoard.

2.13.3RECORDOFPROCEEDINGS

(a) TheClerkoftheBoardshallrecordminutesshowingactiontakenby

theBoardinopensessionandbyeachAdvisoryBody.Theapprovedminutes shall be available for public inspection. If meetings arerecordedonaudiotapeordigitalfile,theaudiotapeordigitalfileshallbeavailable forpublic inspection forat least thirtydaysonaplayerprovidedbytheDistrictbeforetheaudiotapeordigitalfileiserased.

(b) Anypersonattendinganopenmeetingof theBoardmay record the

proceeding on audio or video media unless the Board finds therecordingcannotcontinuewithoutnoise, illuminationorobstructionofviewconstitutingapersistentdisruptionofproceedings.

2.13.4RULESOFCONDUCT

(a) The affirmative vote of at least three Directors is necessary for the

Boardtotakeaction.TheBoardshalltakeactionbymotion,resolutionorordinance.Motionsandresolutionsmaybeadoptedonvoicevote.RollcallshallbetakenifrequestedbyanyDirectororDistrictCounsel.Ordinancesshallbeadoptedonrollcallvote.

(b) Neither theBoardnoranyAdvisoryBodyshall takeactionbysecret

ballot,whetherpreliminaryorfinal.(c) AdvisoryBodiesshalladoptrulesoforderappropriatetotheirwork.(d) Ifanymeetingiswillfullyinterruptedbyagrouporgroupsofpersons

so as to render the orderly conduct of suchmeeting unfeasible andorder cannot be restored by the removal of individuals who arewillfully interrupting themeeting, theBoardmayorder themeetingroomclearedandcontinueinsession.Onlymattersappearingontheagendamaybeconsidered insuchasession. Representativesof thepress or other news media, except those participating in thedisturbance,shallbeallowedtoattendsuchasession.TheBoardmayestablishaprocedureforreadmitting individualsnotresponsible forwillfullydisturbingtheorderlyconductofthemeeting.

(e) TheBoardshallnotprohibitpubliccriticismofthepolicies,procedures,

programsorservicesoftheDistrictoroftheactsordecisionsoftheBoard. However, no privilege or protection is hereby conferred forexpressionbeyondthatotherwiseprovidedbylaw.

2.13.5AGENDA

(a) The General Manager will determine the agenda for each Board

meeting.InadditiontothoseagendaitemssetbytheGeneralManager,anyDirectororDistrictCounselmayrequestan itembeplacedonafutureBoardmeetingagendaduringBoarddiscussionoffutureagendaitems.AgendaitemsmustbeprovidedtotheClerkoftheBoardatleastsixcalendardayspriortothenextscheduledregularBoardmeeting.Forexample, if aBoardmeeting is scheduled for5p.m.Wednesday,Agenda itemsmust be submittedby5 p.m. the precedingThursday.Agendaitemsmaybeprovidedclosertothemeetingdateforaspecialoremergencymeetingprovidedthereissufficienttimetocomplywith

noticingandpostingrequirementssetforthin2.13.2(b)and(c)ofthisCode.

(b) At least 72 hours before a regular meeting or adjourned regular

meeting,oratleast24hourspriortoaspecialmeeting,theClerkoftheBoard shall post an agenda specifying the time and location of themeeting. The agenda shall be posted in a location that is freelyaccessibletothepublic,andshallcontainageneraldescriptionofeachitemofbusinesstobetransactedordiscussedatthemeeting,includingtheitemstobediscussedinclosedsession.

(c) Theagendaforallmeetingsshallincludetheopportunityforthepublic

toaddresstheBoardpriortotakingactiononanymatter.Theagendafor regular and adjourned regular meetings shall include theopportunityforthepublictoaddresstheBoardonmatterswithinthejurisdictionoftheDistrictbutnotontheagenda.

(d) Exceptasotherwiseprovidedherein,nosubstantivediscussionshall

occurnoractionshallbe takenonmattersnotshownon thepostedagenda.However,Directorsmaybrieflyrespondtostatementsmadeor questions posed during public comment, request clarification,provideareferencetostafforotherresourcesforfactualinformation,requeststafftoreportbacktotheBoardatasubsequentmeeting,ordirectstafftoplaceamatterofbusinessonafutureagenda.TheBoardmaytakeactionon itemsnotappearingonthepostedagendaunderanyofthefollowingconditions,providedthatpriortodiscussingsuchitemtheBoardpubliclyidentifiestheitem:

(1) UponadeterminationbyamajorityvoteoftheBoardthatan

emergencysituationexists,asdefinedinSection54956.5oftheBrownAct.

(2) Uponadeterminationbyatwo‐thirdsvoteoftheBoardpresent

at themeeting,or, if less than two‐thirdsof themembersarepresent,aunanimousvoteofthosememberspresent,thatthereisaneedtotakeimmediateactionandthattheneedforactioncametotheattentionoftheDistrictsubsequenttotheagendabeingposted.

(3) TheitemwaspostedforapriormeetingoftheBoardoccurring

notmorethan5calendardayspriortothedateactionistakenontheitem,andatthepriormeetingtheitemwascontinuedtothemeetingatwhichactionisbeingtaken.

(e) Theagendashalldescribematterstobediscussedinclosedsessionin

substantiallytheformspecifiedforsuchmatterinSection54954.5of

2.13.6CLOSEDSESSIONS

(a) TheBoardmayconductaclosedsessiontodiscussandconsiderthose

itemsauthorizedforclosedsessionundertheBrownAct. Bywayofexample, but without limitation, the Board may conduct a closedsessionto:

(1) Consider property acquisition or disposition by eminent

domainorotherwise;(2) Considerpendingorpotentialclaimsorlitigation;(3) Considerthreatstopublicservicesorfacilities;

(4) Consider the appointment, promotion or job performance of

Employees;(5) ConsiderchargesleviedagainstanEmployee;(6) Establish the District’s position regarding Employee

negotiations;or(7) Conduct any District business when public session is not

possibleduetoriotorotherinterruption.

(b) Ifpossible,theBoardshallavoidtakingactioninclosedsession.Actiontaken in closed session and the vote, abstention, or absence of eachmembershallbereportedinaccordancewiththeBrownAct(CaliforniaGovernmentCode§54957.1).

2.13.7MINUTES

(a) The Clerk of the Board shall prepare or delegate the preparation ofwrittenminutesofeachmeetingreflectingallofficialactionstakenbythe Board, the disposition of all items on the agenda, specificstatementsofDirectorsrequestedbythemtobeincludedwhenrelatedtoreasonsforvotinginaspecificmanner,andmattersrequestedbyaDirectortobeincludedasanagendaitemforthemeeting.Thenumberandtitleofallordinancesandresolutionsshallappearintheminutes.

(b) Writtenminutesmust be approved by amajority of the Board and

signedbytheSecretaryoftheBoard.OriginalcopiesofallminuteswillbemaintainedintheDistrict’sminutebooksmaintainedbytheClerkoftheBoard.

3.2.1PRESIDENTOFTHEBOARD

(a) ThePresidentmaymakeandsecondmotionsandshallhaveavoiceandvoteinallproceedings.ThePresidentshallberesponsiblefor:

PART4‐GENERALMANAGER4.1 GENERALPOWERS

TheGeneralManageristhechiefexecutiveofficeroftheDistrict.Subjecttoapplicablelaw,theGeneralManager’sgeneralpowersandauthorityareassetforthbytheBoardintheformofordinances,resolutions,motionsandthisCode.TheGeneralManagershall be responsible to the Board for, and have jurisdiction over, the properadministration of all affairs of the District, as established by the Board, includingthose matters specified herein and in CaliforniaWater Code Sections 71362 and71363.

4.2 SIGNATUREAUTHORITY

InadditiontothedocumentssignedbytheGeneralManagerintheordinarycourseof administrating the affairs of the District, the General Manager is specificallyauthorizedbyOrdinanceNo.18,asmaybeamendedbytheBoardfromtimetotime,toenter intoandsigncertaindocumentsandinstrumentsforandonbehalfof theDistrict,eitheraloneortogetherwithcertainofficersasspecifiedinOrdinanceNo.18.

4.3 COMPENSATION

The General Manager shall be paid a salary commensurate with his or herresponsibilities,whichsalaryshallbeestablishedbycontractandanyadjustmentssubjecttoapprovalbytheBoard.UnderthetermsofthecontractwiththeDistrict,theGeneralManagerservesatthediscretionoftheBoard.

4.4 EMERGENCYPOWERS

(a) TheGeneralManagerhastheauthoritytodeclareanemergencywhichallowsthe General Manager to take the actions described herein if the GeneralManager determines that the District’s ability to provide services isjeopardizedbyunanticipatedevents.Ifanemergencyhasbeendeclared,andiscontinuingasprovidedherein,theGeneralManagerisempoweredtotakethose actions authorized under California Public Contracts Code Section22050,includingtheauthoritytorepairorreplacepublicfacilities,takeanydirectly related and immediate action required by that emergency, andprocurethenecessaryequipment,services,andsuppliesforthosepurposes,without giving notice for bids to let contracts. The GeneralManager shallmaintaingoodandaccuraterecordsofallpurchasesmadeundertheauthorityofthisSection.

(b) If an emergency is declared as provided in subsection (a), theBoard shall

reviewtheneedforcontinuationoftheemergency,andtheactionstakenbytheGeneralManager,inaccordancewithapplicablelawincludingCaliforniaGovernment Code Section 8630. At each Board meeting at which theemergency is considered, the General Manager shall report to the Boardjustifying why the emergency will not permit a delay resulting from acompetitivesolicitationforbidsandwhytheactionisnecessarytorespondtotheemergency.TheBoardshalldeclaretheterminationoftheemergencyattheearliestpossibledatethatconditionswarrant.

4.5 GENERALDUTIES

(a) TheGeneralManagershallhavethefullpowerandauthoritytoemployanddischargeallEmployees(otherthanthoseofficersappointedbytheBoardinaccordancewithCaliforniaWaterCodeSection71340)athisorherpleasureandprescribetheirdutiesandfixtheircompensation,subjecttosalaryrangesandnumbersandtypesofpositionsapprovedbytheBoard.SalarieswillbeidentifiedonthesalaryscheduleadoptedandamendedbytheBoard.

(b) Additionally, the General Manager is authorized to employ additional

assistanceasmayberequiredfromtimetotimeasdeterminedbytheGeneralManager:

(1) ToprovidesubstitutesforEmployeesonleave;

(2) To fill a position in advance of termination or retirement of an

Employeecurrentlyoccupyingthatposition;or(3) Toperformemergencywork.

(c) TheGeneralManagershallmaintaintheoperationofaconfidentialemployee

hotline. Reports submitted through the hotline are to be provided to thePresident and General Manager unless the complaint is about the GeneralManager,inwhichcasereportsaretobeprovidedtothePresidentandDistrictCounsel.TheGeneralManagershallrevieweachreportonitsmeritsandtakethenecessaryaction(s)tobringthemattertoasatisfactoryresolution.

(d) The General Manager will provide the Board with the following summary

information:

(1) InJanuaryandJulyofeachyear:

(i) AlistofeachEmployeehired,promotedorterminatedduringthe preceding six‐month period. As appropriate, the list willinclude:thedateofhiring,promotion,ortermination,andthepresentandformerjobtitleandpresentandformersalary.

(i) Acurrentsalaryschedule,scheduleofratesforon‐call,special

duty incentive pay, tuition reimbursement maximumcontribution,andLakeBardleaserates.

(ii) Acurrentorganizationchart.(iii) A listingof thecurrent InternalRevenueServicemileage rate

andtheGovernmentMealsandIncidentalrateforthecitiestowhichtheDirectorsandDistrictstaffareexpectedtotravelinthenext12months.

(3) InJanuary,April,JulyandOctoberofeachyear:

(i) A summary of all reports submitted through the confidential

employee hotline.

(e) TheGeneralManager isauthorized tomakeadjustmentsbetweenaccountswithin theaccountsof thebudget that comprise “OperatingAdministrationExpenses”providedthatthetotalbudgetamountdoesnotchangeandthattheBoard is notified of the adjustment within the next month as part of themonthlyfinancialsummaryreport.

(f) TheGeneralManagerisauthorizedtoapproveissuanceofchecksoutsidethe

monthlyscheduleforBoard‐approveddisbursements(“ManualChecks”andElectronicFundsTransfers,or“EFTs”)providedthat(1)thereisavalidreasonthatissuanceofthecheckcannotwaituntilthetimefortheBoard‐approveddisbursementsand (2) information regardingeachManualCheckorEFT isreportedtotheBoardinthenextmonthlydisbursementreport.

4.6 DELEGATIONOFAUTHORITYBYGENERALMANAGER

ThepowersanddutiesoftheGeneralManagermaybedelegatedasfollows:

(a) UnderthedirectionoftheGeneralManager,DistrictstaffshallperformdutiesassignedbytheGeneralManagerwithlikeeffectasthoughsuchdutieswereperformedorrenderedbytheGeneralManager.TheGeneralManagershallalsodelegateauthorityinhisorhersteadintheeventtheGeneralManagerisabsentorunabletoactinperson.

(1) TheBoardshallestablishinadvancebyresolutionthepersonwhoisto

assumethepositionof“ActingGeneralManager”intheabsenceoftheGeneral Manager. The individual who serves as Acting GeneralManager shall report to the General Manager when the GeneralManagerispresent,butintheabsenceoftheGeneralManager,he/sheshallhavetheauthorityandpowersoftheGeneralManager,andwillserveuntiltheGeneralManagerisagainavailableandabletoserve,oruntiltheBoardappointsasuccessor.

(2) If both the General Manager and the person designated as Acting

GeneralManagerareunavailableorunable to serve, theBoardshalldesignateanotherEmployeetoserveasActingGeneralManager.

(3) The GeneralManager shall inform the Board in advance of planned

absenceslongerthanonedayinduration.(b) EachdulyauthorizeddelegateunderthisSectionshallactinthenameofthe

GeneralManager,exceptwhenempoweredbylaworinwritingbytheBoardtoact inhisorherownname,andhisorheractsshallbeequallyeffectivewhetherdoneinhisorherownnameor,ifsoempoweredbytheBoard,inthenameoftheGeneralManager.

4.7 TRAVELANDEXPENSEREIMBURSEMENT

(a) AlltravelbytheGeneralManagermustbeapprovedinadvancebytheBoardPresidentandissubjecttotherulesapplicabletoBoardmembersassetforinSection2.11.3ofthisCodeexceptthatmealsarereimbursableattheM&IRate,notat1.5timestheM&IRate.

(b) AllexpensesincurredbytheGeneralManagermustbeapprovedinwritingby

theBoardTreasurerorBoardPresidentbeforeheisreimbursed.

PART5‐DISTRICTCOUNSEL5.1 POSITIONAUTHORIZED

BycontractapprovedbytheBoard,theDistrictshallengageanattorneytoserveasGeneralCounsel to theDistrict (“DistrictCounsel”). Byapprovalof theBoard, theDistrictmayalso retainsuchother legal counselas theBoarddeemsnecessary toadvisetheDistrict.ThecontractsforalllegalcounselretainedbytheDistrictshallbebaseduponanagreedfeeschedule.

5.2 GENERALDUTIES

DistrictCounselshallberesponsiblefor:

(a) RepresentingtheDistrict,theBoard,andanyofficeroftheDistrict,inalllegalactionsbroughtbyoragainsttheDistrict,theBoard,oranyofficerofDistrict,inhisorherofficialcapacity.

(b) SubmittingadviceoropinionstotheBoardwhenrequestedtodosobythe

Board.(c) Submitting advice or opinions on District‐related matters to the General

Managerwhenrequestedtodosobyhim/her. (d) Reviewingandmakingappropriatecommentonmattersorrecommendations

presentedinwrittenororalform.(e) Reviewing notices, resolutions, ordinances,minutes, agreements, contracts,

andsupportingmaterialsinadvanceofmeetings.(f) AttendingeachmeetingoftheBoard,unlessexcusedinadvanceorduringa

meetingbythePresidentoftheBoard.(g) Attending meetings involving the District as requested by the General

Manageror,inthecaseofameetingofanAdvisoryBodyoftheDistrict,uponrequestoftheGeneralManagerortheAdvisoryBody’sChairperson.

(h) Reviewing each report that he receives through the confidential employee

hotlineandtakingthenecessaryaction(s)toaddresstheconcernsraised.(i) Testing the functionality of the confidential employee hotline at least once

eachcalendaryeartoconfirmthatclaimsabouttheGeneralManagerarebeingdelivereddirectlytotheBoardPresidentandDistrictCounsel.Thetestistobe performed at different dates in different years and without advancecoordinationwiththeGeneralManager.

ThedutiesoftheClerkoftheBoardinclude,withoutlimitation:(a) AttendingtoalladministrativesupportneedsoftheDirectorsincludingcoordinating

schedules, transportation, meals, and lodging, as needed, in support of meetingsinvolvingDistrictbusiness(MWD,MemberAgencies,ACWA,AWA,etc.);

(b) Attending to the administrative requirements of the Brown Act with respect to

schedulingandpreparingforallregular,special,andemergencyBoardmeetingsandAdvisoryBodymeetings,includingwithoutlimitation:

(1) Preparing the agenda and supporting documents for each meeting, and

arrangingfordistributionofagendapackets.(2) PublishingandpostingnoticesrequiredbytheBrownAct.(3) Duringmeetings,recordingtheactionsoftheBoard.

(c) Makingcertifiedcopiesofofficialcorrespondence.(d) Maintaining the records and documents of the Board (minute books, resolutions,

ordinances,policies).(e) Receiving documents addressed to the Board including acceptance of service of

processfortheDistrict.(f) AdministeringtheDistrict’sConflictofInterestCodeasfollows:

(1) NotifyingDirectors,staff,andconsultantsoffilingdeadlinesrelatedtoannual

Form700sandStatementsofAssumingorLeavingOfficeandprovidingthemwiththenecessaryforms.

(2) MaintainingrequireddocumentsattheDistrictandfilingrequireddocuments

withtheCountyofVentura.

(g) AdministeringtheOathofOfficetomembersoftheBoardasaNotaryPublic.(h) CoordinatingwiththeCountyofVenturaconcerningDivisionelections.(i) Coordinatingwith the President of the Board, the designatedMetropolitanWater

DistrictDirectorrepresentative,andguestsforallinspectionorinformationtours.

(j) MaintainingcustodyoftheDistrictseal.

PART7‐RECORDSREQUESTSANDMAINTENANCE

7.1 GENERALLY

All public records requests, oral or in writing, received by the District shall bepromptlyforwardedtotheClerkoftheBoardforconsiderationandprocessing.AllsuchrequestsshallbehandledinaccordancewiththeapplicablerequirementsoftheCaliforniaPublicRecordsAct ("PRA")and the federalFreedomof InformationAct("FOIA”).TheGeneralManager,inconsultationwithlegalcounsel,willmakeallfinaldecisionsonanyquestionsregardingcompliancewiththeseacts.TheDistrictmaychargeforthecostofmailingandcopyingcostsnottoexceedthemaximumallowablestatutoryfeeunderthePRA,asmaybeamendedfromtimetotime.

7.2 AGENDAPACKETS

SubjecttoSection7.1,above,thefollowingspecificprocedureswillapplytorequestsforcopiesoftheDistrict'sBoardmeetingagendapackets(the"Packet"):(a) A standing request for a copy of the Packet made in accordance with

GovernmentCodeSection54954.1shallbevalidforthecalendaryearinwhichmade.AllrequestswillexpireonDecember31oftheyearinwhichsubmitted.If an individual or groupwishes to continue to receive information after arequest has expired, a new requestmust be submitted. The requestmustspecifytheaddresstowhichtheresponseistobetransmitted.

(b) AllotherrequestsforacopyofaPacketshallbeprocessedinaccordancewith

Section7.1,above.7.3 RECORDSRETENTION

(a) The District has adopted a records retention program establishing orderlyproceduresforretainingDistrictrecordsinactivefilesandininactivefilesandfordisposingofrecordswhentheyarenolongerneededforadministrative,fiscal,historical,orlegalpurposes.

(b) Theprocedureswill promote the efficient and cost‐effective conductof the

District’sbusinessbyreducingthenumberofrecordsintheactivefileareas,eliminating unnecessary retention of duplicate or obsolete documents, andproviding for timelytransferof inactiverecords. TheresultwillenabletheDistricttofunctionefficientlywithaminimumoffileequipment,willfacilitatethe retrieval of records, and will establish a tradition of good recordsmanagementfortheDistrict.Inaddition,therecordsmanagementprogramwillensurethatrecordswithlong‐termvalueareretainedandprotected.

(c) TherecordsofallDistrictdepartmentsarecoveredbytherecordsretentionprogram.Thatis,therecordsretentionprogramcoversallpapers,maps,andother documentary recordsmade or received by theDistrict in connectionwith itsbusiness,andpreservedbytheDistrictasevidenceof its functions,policies,decisions,operations,orotheractivities,orbecauseofthevalueoftheinformationtheycontain.

7.4 DISTRICT‐RELATEDELECTRONICDATAINPERSONALDEVICES

ORACCOUNTS IfapublicrecordsrequestismadeforinformationrelatedtoDistrictbusinessthatcouldbestoredinaBoardMemberorEmployee’spersonalelectronicdevice(suchasa phone, tablet, or computer) or personal email or texting account, the followingprocedurewillbefollowed:

(a) TheGeneralManagershallsendawrittenoremailrequesttoeachaffected

Director or Employee directing him to (1) search his personal devices andaccountsforaspecifictypeorcategoryofrecord,(2)providecopiesofallsuchrecordstotheClerkoftheBoardwithin7calendardaysoftherequest,and(3)signanaffidavitthathehassearchedallofhispersonalelectronicdevicesandaccountsandhasproducedalldocumentsresponsivetotherequest.

(b) Withintherequested7calendardays,theDirectororEmployeeshalleither

(1)providetherequestedrecords,ifany,totheClerkoftheBoardinelectronicorpaper format and the signedaffidavit inpaper formator (2)provideanexplanation why more time is needed to complete the request. Up to 10additionalcalendardaysmayberequestedifthesearchandproductionoftherequesteddocumentswilltakesubstantialtimetofindandproduce.

(c) If additional time is requested, theDirector or Employee shall provide the

requested records, if any, to the Clerk of the Board in electronic or paperformatandthesignedaffidavitinpaperformatbeforetheendoftheextendedtimeperiod.

PART8‐ANNEXATIONS

8.1 MEMBERSHIPINMETROPOLITANWATERDISTRICT

AnyannexationtotheDistrictshallalsobeaconcurrentannexationtoMetropolitanWaterDistrictofSouthernCalifornia.

8.2 GOVERNINGLAW

AnyannexationtotheDistrictshallbeaccomplishedinaccordancewiththisCode,DivisionIIIoftheMetropolitanAdministrativeCode,andapplicablelawincludingtheCortese‐Knox‐HertzbergLocalGovernmentReorganizationAct of2000 (CaliforniaGovernmentCodeSection56000etseq.).

8.3CRITERIA

(a) An area proposed for annexation shall not, after annexation, leave an un‐annexed area entirely surrounded by an area annexed to the District (a"window") unless the Board finds that the District's interests will not beadverselyaffectedbytheexistenceofsuchawindow.

(b) Anareaproposedforannexationshallneithercreateanislandbyincluding

landthatdoesnotshareacommonborderwiththeexistingDistrictserviceareanorincludeanarrow,meanderingpathoflandfortheexpresspurposeoflinkingpropertiesproposedforannexationunlesstheBoardfindsthattheDistrict’sinterestswillnotbeadverselyaffectedbytheexistenceofsuchanislandorannexedland.

(c) Proposedannexationsshallincludetheentiretyofalllegalparcelswhichare

thesubjectoftheproposedannexationunlesstheBoarddeterminesthattheDistrict’s interests will not be adversely affected by a proposed partialannexation.

(d) Annexations will be considered only when the subject property is located

whereitisphysicallyandeconomicallypracticalforaDistrictMemberAgencytoprovidewaterservice,asdeterminedbytheDistrict.

(e) Anyareaproposedforannexationtoamembermunicipalityorwaterdistrict,

or joining the service area of a purveyor deliveringwater supplied by theDistrict,andnotalreadywithintheDistrict,shallbeannexedtotheDistrictconcurrently.

8.4 MANDATORYCONDITIONS Alltermsandconditionsofannexationshallcontainthefollowingprovisions:

(a) ThesaleanddeliveryofallwaterbytheDistrict,regardlessofthenatureandtimeofuseofsuchwater,shallbesubjecttoregulationspromulgatedbytheDistrict.

(b) ExceptupontermsandconditionsspecificallyapprovedbytheBoard,water

sold and delivered by the District shall not be used in anymanner whichintentionally or avoidably results in the direct or indirect benefit of areasoutside theDistrict including use of suchwater outside theDistrict or usethereofwithin theDistrict in substitution for otherwater used outside theDistrict.

(c) TheDistrictshallnotbeobligatedtoprovideorpayforanyadditionalworks

orfacilitiesnecessitatedbytheannexation.8.5 PROCEDURE

8.5.1BOARDAPPROVAL

TheBoardwillconsiderandmayapproveannexationsinathree‐stepprocessassummarizedbelow:

(a) TheBoardadoptsaresolutioninitiatingtheannexation;

(b) If Metropolitan approves “Informal Terms and Conditions” of the

proposedannexation,theDistrictBoardadoptsaresolutionrequestingthat Metropolitan approve “Formal Terms and Conditions” andrequestingapproval by theVenturaCountyLocalAgencyFormationCommission(“LAFCO”);

(c) After the District receives the Metropolitan and LAFCO resolutions

grantingtheapprovalsdescribedinsubparagraph(b),above,theBoardadoptsa finalresolutionacceptingMetropolitan’sFormalTermsandapprovingtheannexation.

8.5.2REQUESTFORANNEXATION

Arequestforannexationshallbemadeinwritingbytheownerofthelandtobeannexed,ortheowner’sauthorizedagent(the“Applicant”).

8.5.3 INITIATIONOFANNEXATION Forinitiationofannexation,therequestshallinclude:

(a) A legal description and a detailed map of the area proposed to beannexed, showing existing District and Metropolitan annexationboundaries, andclearly indicating themetesandboundsof theareaand the gross and net acreage for the area with sufficientdocumentationtosupportthegrossandnetacreagespecified;

(b) The Assessor’s Parcel Numbers of all parcels included in the area

proposedtobeannexed;(c) Thepresentvestingand legaldescriptionsofeachparcel in thearea

proposedtobeannexed;(d) Adescriptionof:

(1) Present use of each of the parcels included within the area

proposedtobeannexed;(2) Existingorproposeddevelopmentplansforsuchparcels;

(e) Aplanforimplementingthewateruseefficiencyguidelinessetforthin

Section3107oftheMetropolitanAdministrativeCode;(f) A signed Landowners’ Request to Annex and Approval of Parcel

Chargesforeveryparcelintheareaproposedtobeannexed;(g) A deposit against administrative annexation expenses in accordance

withthisCode;and(h) AnyotherinformationanddocumentationrequestedbytheDistrict.

8.5.4APPROVALBYMETROPOLITANANDLAFCO

Prior to the Board’s consideration of a resolution requesting approval byMetropolitanandLAFCO,theApplicantshallsubmittotheDistrict:

(a) Anychangestotheannexationdocumentationsubmittedpreviously.(b) Documents demonstrating project compliance with the California

8.5.5FINALAPPROVAL

Prior to the Board’s consideration of a resolution of final approval of anannexation,theDistrictmusthavereceivedallofthefollowing:

(a) A certified resolution of the Metropolitan Board of Directors fixing

FormalTermsandConditionsfortheannexation;(b) AcertifiedresolutionfromLAFCOapprovingtheannexation;(c) Payment by the Applicant of all annexation fees required by

MetropolitanandtheDistrictinaccordancewiththisCode;and(d) All other documents and information required by the District as

providedherein.

8.5.6NOTICEOFCOMPLETIONTOLAFCO

Within5businessdaysofthefinalapprovalofanannexationbytheBoard,theDistrictshallsendaRequestforNoticeofCompletiontoLAFCO.

8.6 FINANCIALPOLICIES

8.6.1DIRECTADMINISTRATIVECOSTS

TheApplicantshallpayalldirectadministrativecostsincurredasaresultofannexationinvestigation,evaluationandproceedings.

(a) Before annexation is initiatedorDistrict funds expendedon a given

annexation,theApplicantshalldeliveradepositsufficienttopayforallroutinecostsofannexationascalculatedandrequestedinwritingbytheDistrictafterpreliminaryreviewoftheannexationproposal.

(b) Intheeventannexationiscommencedbutnotcompletedandfundsare

advanced by the Applicant, but not expended, such funds shall berefundedtotheApplicant.

8.6.2CALLEGUASANNEXATIONFEE

In addition to the expenses listed in this Section 8, Applicants for areasannexingtotheDistrictshallpaytotheDistrictaperacreannexationfeebasedonthenetpresentvalueofpropertytaxesduetotheDistrict.:

8.6.3METROPOLITANANNEXATIONFEE

The District shall collect from the Applicant the Metropolitan AnnexationProcessing Fee and the Metropolitan Annexation Fee in accordance withMetropolitan’sAdministrativeCode(Sections3100(b)7and3300),asmaybeamendedfromtimetotime.

(a) TheMetropolitanAnnexation Processing Fee shall be transferred to

Metropolitan with the Request for Approval of Informal Terms andConditions.

(b) TheMetropolitanAnnexationFeeshallbetransferredtoMetropolitan

beforerecordationoftheannexation.

8.6.4PAYMENTREQUIREMENTS

TheApplicantshallpayalladministrativeannexationexpenses,MetropolitanAnnexationFeesandDistrictAnnexationfeesinfullpriortocompletionoftheannexation.

8.6.5DISCRETIONARYWAIVEROFCHARGEANDFEE

TheprocessingfeeandtheannexationchargemaybewaivedincaseswheretheBoardrequestsasmallannexationtopreventorclosea"window"inanexistingmemberpublicagencyorasotherwisespecifiedinthisCode.

8.6.6ANNUALREVIEWOFCALLEGUASANNEXATIONFEE

ThePer‐AcreFeeandtheBackTaxComputationshallberecalculatedbytheDistrictannuallyandtheadjustedfeeshallbecomeeffectiveasofthefirstdayofeachcalendaryear,oronanotherdateselectedbytheBoard.

PART9‐CALIFORNIAENVIRONMENTALQUALITYACT(CEQA)

9.1 ADOPTIONOFCEQAGUIDELINES

Section15022(d)oftheStateCEQAGuidelines(the“Guidelines”)allowsagenciestoadopttheGuidelinesbyreferenceinordertocomplywithcertainCEQAprovisionsrelatingtopublicagencyimplementingprocedures.TheBoardhasdeterminedthatadoptionof theGuidelinesas theDistrict’s implementingprocedureswill result inincreasedadministrativeefficiencybyavoidingtheneedtocontinuallyreviewandupdateDistrict‐developedimplementingprocedures.Accordingly,theGuidelines,asamended from time to time, are adopted as the District’s CEQA ImplementingProcedures.

9.2 DELEGATIONOFRESPONSIBILITYFORCEQACOMPLIANCE

9.2.1RESPONSIBILITYOFBOARDOFDIRECTORS TheBoardshallhaveresponsibilityforadministeringCEQAasfollows:

(a) Reviewing and considering or, as applicable, certifying a finalEnvironmental Impact Report (EIR) or approving or, as applicable,adoptingaNegativeDeclarationpriortoapprovingaproject.

(b) Making all findings required by Sections 15091 and 15093 of the

Guidelines.(c) TakingsuchotheractionsasCEQArequiresoftheBoard.

9.2.2RESPONSIBILITYOFTHEGENERALMANAGER

TheGeneralManageror,undertheGeneralManager’sdirection,Districtstaff,shallhaveresponsibilityforadministeringCEQAasfollows:

(a) DeterminingwhetheraprojectisexemptfromcompliancewithCEQA,

includingwithoutlimitationdeterminingwhetheraparticularprojectsatisfiesoneoftheexemptionsspecifiedinSection9.2.3,below.

(b) ConductinganInitialStudyanddecidingwhethertoprepareadraftEIR

orNegativeDeclaration.(c) PreparinganEIRorNegativeDeclaration.(d) Determining that aNegativeDeclaration has been completedwithin

thestatutorytimeperiod.

9.2.3EXEMPTIONS

TheDistricthasdeterminedthatthefollowingspecificDistrictactivitiesarewithintheexemptionsestablishedbytheCEQAGuidelinesandbystatute:

(a) Annexations to the District of areas containing existing public or

private structures developed to the density allowed by the currentzoningofthegainingorlosinggovernmentalagencywhicheverismorerestrictive,provided,however,thattheextensionofutilityservicestotheexistingfacilitieswouldhaveacapacitytoserveonlytheexistingfacilities.(GuidelinesSection15319)

(b) Annexationofindividualsmallparcelsoftheminimumsizeforfacilities

exempted by Section 15303 of the Guidelines. (Guidelines Section15319)

(c) Emergency repairs toDistrict facilities, pipelines and appurtenances

necessarytomaintainservice.(PublicResourcesCode21089(b)(2)(d) SalesofDistrictsurpluspropertyexceptthatifrealpropertyislocated

in an area of statewide, regional or area wide concern pursuant toSection5206(b)(4)oftheGuidelinesinwhichcasesuchsalewouldbeexemptonlyif:

(1) The property does not have significant values for wildlife

habitatorotherenvironmentalpurposes,and(2) Anyofthefollowingconditionsexist:

(i) Thepropertyisofsuchsize,shape,orinaccessibilitythat

itisincapableofindependentdevelopmentoruse;or(ii) Thepropertytobesoldwouldqualifyforanexemption

under any other class of categorical exemption in the

(e) Basic data collection, research, experimental management, andresourceevaluationactivitiesof theDistrictwhichdonotresult inaseriousormajordisturbancetoanenvironmentalresourceeitherforinformation gathering purposes, or as part of a study leading to anactionwhichtheDistricthasnotyetapproved,adopted,orfunded.

(f) InspectionsbytheDistrictoritsconsultantstocheckforperformance

ofaDistrictoperation,orquality,health,orsafetyofaDistrictproject.(Guidelines15309)

(g) Operation,repair,maintenance,permitting,leasing,licensing,orminor

alteration of existing District structures, facilities, mechanicalequipment, or topographical features, involving negligible or noexpansionofuse.(Guidelines15301)

(h) Replacement, relocation or reconstruction of existing District

structures, pipelines or facilities on the same site with structures,pipelines or appurtenant facilities serving substantially the samepurpose and with substantially the same capacity as the existingstructure,pipelineorfacility.(Guidelines15302)

(i) ThenormaloperationsofDistrictheadquartersforpublicgatherings

includingbutnotlimitedtoBoardmeetings,publicmeetingsonwaterrelatedissues,watershedgrouporstakeholdermeetingsandthelike.(Guidelines15323)

(j) Minoralterations in theconditionsof land,water,and/orvegetation

whichdonotinvolveremovalofhealthy,mature,scenictreesincludingbutnotlimitedtominorgrading,gardening,landscaping,trenchingandbackfilling,maintenance dredging and fuelmanagement activities ofthetypesetforthinGuidelinesSection15304.

(k) Constructionandlocationoflimitednumbersofnew,smallfacilitiesor

structures;installationofsmallnewequipmentandfacilitiesinsmallstructures; and the conversionof existing small structures fromoneusetoanotherwhereonlyminormodificationsaremadeintheexteriorof the structure such as installation of newpiping, instrumentation,pumps,valves,aircompressors,rectifiersorpowersupplies.

(l) ChangesintheorganizationoftheDistrictaslongasthechangesdonot

changethegeographicalareainwhichpreviouslyexistingpowersare

exercised.Examplesincludetheestablishmentofasubsidiarydistrictor the consolidation of the District with another district havingidenticalpowers.

(m) Determination of Capital Construction Charges to be assessed on

annexed property and assessment thereof pursuant to DistrictOrdinanceNo. 14 (Ministerial acts/projects ‐ PublicResourcesCode21080(b)(1)).

(n) Actionsnecessarytopreventormitigateanemergencyinvolvingthe

District’sfacilitiesorthreateningtheDistrict’sfacilities(notincludinglongtermprojectswithalowprobabilityofshort‐termoccurrence).

(o) Projectsoflessthanonemileinlengthwithinapublicstreetorhighway

oranyotherpublicright‐of‐wayfortheinstallationofanewpipelineor the maintenance, repair, restoration, reconditioning, relocation,replacement, removal, or demolition of an existing pipeline. Forpurpose of this section, “pipeline” includes subsurface facilities butdoes not include any surface facility related to the operation of theundergroundfacility.(PublicResourcesCode21080.21)

(p) Rejectedordisapprovedprojects.

Thislistingofexemptionsisnotintendedtobeexclusiveandtheavailabilityofeachexemptionmustbedeterminedbasedontheparticularfacts.Withoutlimitingtheforegoing,thecategoricalexemptionslistedaboveshallnotapplywhere: (1) a reasonable possibility exists that the activity may have asignificant environmental impact because of unusual circumstances; (2)projectcumulativeimpactswouldbeconsiderableandthereforesignificant;(3) theprojectoccurs incertainsensitiveenvironments(asspecified intheGuidelines);(4)aprojectaffectsscenicresourceswithinofficialstatescenichighways; (5) a project is located on a toxic site listed by the CaliforniaEnvironmental Protection Agency; (6) a project causes substantial adversechangesinsignificanthistoricresources.

10.2PROCUREMENTOFPROFESSIONALSERVICES

(a) Professionalservicescontractsshallbeawardedtoconsultantsdemonstratingexpertiseandexperienceinthetypeofworktobeperformedandaprovenhistoryofhighqualitywork.Contractswilltypicallybefora“not‐to‐exceed”fee associated with a particular scope of work. Work for which it is notpossible to define a scope in advance may be performed on a time andmaterialsbasis.

(b) Thefollowingcriteriashallbeusedtoqualifycandidatesforconsultantsand

professionalservices:

(1) Specializedexperienceandtechnicalcompetenceoftheproposerandits personnel considering the type of services required and thecomplexityoftheproject.

(2) Theconsultant's familiaritywith typesofproblemsapplicable to the

project.(3) Past record of performance on projects with the District, other

governmental agencies or public bodies and with private industry,includingsuchfactorsascontrolofcosts,qualityofworkandabilitytomeetschedules.

(4) The consultant's capacity to perform the work (including any

specialized services) within the time limitations andwith proposedstaff,consideringthefirm'scurrentandplannedworkload.

(5) Theconsultant'sleveloffinancialresponsibility.(6) Feeproposalfortheproposedservices.(7) Otherkeyfactorsasappropriateforthetypeofservice.

10.3APPROVALANDSIGNATORYAUTHORITY

(a) InaccordancewithOrdinanceNo.18,theGeneralManagerhastheauthorityto approve the following procurement‐related contracts. All procurementcontractsnotlistedbelowmustbeapprovedbytheBoardofDirectors.

(1) Professional services contracts for engineering services, engineering

10.4DISBURSEMENTOFFUNDS

OncepermonththeBoardwillreceiveamonthlydisbursementreportandbeaskedtoapproveoutstandingbills forpayment. Inorder tobeplacedon the report, aninvoicemusthavebeenapprovedbyadepartmentmanager,theExecutiveSecretary,ortheGeneralManager.FundswillbedisbursedaftertheBoardapprovesthebillsforpaymentexceptwhenthetimingofthedisbursementdoesnotallowforsuchpriorapproval.Insuchcases,therequestsfordisbursementwillbesignedbytheGeneralManagerandreportedtotheBoardinaseparatesectionofthesubsequentmonthlydisbursementreport.

10.5 CODEOFCONDUCT

(a) No Director or Employee shall participate in the selection, award oradministrationofacontractifaconflictofinterest,realorapparent,wouldbeinvolved.SuchaconflictwouldarisewhentheEmployeeorBoardmember,any member of his or her immediate family, his or her partner, or anorganizationwhich employs, or is about to employ anyof the above, has afinancialorotherinterestinthefirmselectedforaward.

(b) DirectorsandEmployeeswillneithersolicitnoracceptgratuities, favorsor

anythingofvaluefromcontractorsorconsultantsorpotentialcontractorsorconsultantswhomight in anyway benefit from a decisionmade or actiontakenbythatBoardmemberorEmployeeinthecourseofhisorherduties.AlthoughtheDistrictdiscouragescontractorsandconsultantsfromdonatinggifts,ifanEmployeeorDirectorreceivesanunsolicitedgift,itshallbedonatedtotheEmployeeholidaypartytoberaffledofftoEmployeeswhodonottakepartinprocurementdecisions.

10.6PETTYCASHFUND

A petty cash fund of no more than $1,400 shall be maintained in the FinanceDepartmentvault for thepurposeofproviding ready cash for small expenditures.PettycashshallbedisbursedinaccordancewiththeDistrict’sprocedureforexpensereimbursements. Petty cash requests should be limited to less than $100. TheManagerofFinanceorGeneralManagercanauthorizeexpenditurereimbursementsabove$100. Thepettycashfundwillbereconciledandreplenishedonamonthlybasis.

“Temporary”. TemporaryEmployeesareEmployeeshiredonatemporarybasisandpaidonanhourlybasis.TemporaryEmployeesarenoteligibleforEmployeebenefitsbeyondthestatutorybenefitsrequiredbylaw.Examplesof Temporary Employees include student interns, seasonal and summerEmployees, andpersonsneeded to fill‐in fora temporary (i.e., less thansixmonths)staffingneed.“Hourly”. As a municipal corporation the District is exempt from theprovisionsoftheCaliforniaIndustrialWelfareCommissionWageOrders, tothemaximumextentprovidedbylaw.TheEmployeeswith“Manager”intheirjobtitlewhoreportdirectlytotheGeneralManagerare“exempt”pursuanttotheFLSAandwillbepaidonasalarybasisandnotaccrueovertime.“RegularlyScheduledWorkdays”areMondaythroughFridayexceptasfollows:

(a) AsupervisormayassignanEmployeetoworkonSaturdayand/orSundayasregularlyscheduledworkdaysiftheEmployeeisallowedtotakeoffanequivalentnumberofdaysfromMondaytoFriday.ThisactionrequirestheEmployeetoworkfive,eight‐hour,dayswithinthedefinedseven‐dayworkweek.

(b) ForOperatorsassignedtoa12‐hourdayornightshift,

“RegularlyScheduledWorkdays”arethosedaysonwhichtheEmployeeisassignedtowork,aslistedonthepublishedmonthlyschedule.

(c) For all employees except Operators, start and stop times may be changed by a supervisor with 12 hours notice in order to meet District needs. Regular pay will apply to the first 8 hours and any overtime will be calculated as described in 12.4.2.1 Overtime.

12.4.2EMPLOYEECOMPENSATION

(a) Salary ranges for positions will be adopted by the Board (“Salary

Schedule”). AnychangestotheSalarySchedulemustbeapprovedinadvancebytheBoard.

(b) InDecemberofeachyear,theGeneralManagershallrecommendtothe

Board a percentage cost‐of‐living adjustment (COLA) based on theFederalConsumerPriceIndexReportforthe12monthperiodendinginNovemberfortheurbanareainclosestproximitytotheDistrict.AnyCOLA approved by the Board shall become effective January 1 andapply to salaries, tuition reimbursement amounts, special dutyincentivepay,anddailystandbypay.TheCOLAdoesnotapplytothesalary of the General Manager and compensation of the DistrictCounsel.

(c) Each Employee’s salary is subject to adjustment in accordancewith

theirassignedsalaryincrementintherangeassignedtotheirposition.

(d) Because of the substantial responsibilities of the General Manager

position, it is intended that the Acting General Manager becompensated forhisorherduties servingasGeneralManagerat anappropriate salary. The amount is to be calculated based on theassumption that the General Manager is absent from the office anaverageofonemonthperyear.Theamountiscalculatedasfollows:

12.4.2.1OVERTIME

TheDistrictwillvoluntarilypaydailyovertimetocertainnon‐exemptEmployeesasfollows:

(a) For Temporary, Hourly and Regular Employees, overtime of

timeandone‐halfofregularrateofpaywillbepaidforalltimeworkedthatismorethaneightandnotmorethan12hoursonanyRegularlyScheduledWorkdayorwhenthenumberofhourspaidattheregularrateexceedsfortyinaworkweek.Overtimeoftimeandone‐halfwillbepaidforallhoursworkeduptoeighton any day which is not one of the Regularly ScheduledWorkdays.Double‐timeispaidforallhoursworkedover12inaRegularlyScheduledWorkday. Inaddition,double‐timewillbepaidforallhoursworkedinexcessofeighthoursonanydaywhichisnotoneoftheRegularlyScheduledWorkdays.

(b) For Temporary, Hourly and Regular Employees, in instances

when approved work hours are continuous into the nextworkday, the calculation for overtime or double‐time willcontinuetotheadvantageoftheEmployee.

(c) ForOperations,overtimewillbepaidonlywhenthenumberof

12.4.2.2COMPENSATORYTIMEOFF

Compensatory timeoff (“CompTime”) fornon‐exemptEmployees isallowed in lieuof a cashpayment forovertimeworkas longas it isprovidedorpaidataratenolessthanoneandone‐halfhoursforeachovertimehourworked.

(a) Employeesmaynot accrue combinedCompTimeand annual

leave in excessof theamounts set forth in the sectionof thisCodeentitled“AnnualLeave”.

(b) AnEmployeewhohas reached themaximumaccrual amount

willbepaidovertimecompensationforanyadditionalovertimeworkattheapplicableovertimeratewhenitisincurred.

(c) Uponterminationofemployment,Employeesshallbeentitled

to cash payment for unused Comp Time credit accumulatedpriortotheseparationdate.

(d) Exempt Employees do not accrue Comp Time. In order to

calculate sick or Annual Leave time used by an ExemptEmployee,thesicktimeand/orAnnualLeavetimeusedwillbethe difference between total hours in a pay period and totalhoursworkedinthatpayperiod.

12.4.2.3HOLIDAYPAY

TheDistrictshallpayholidaypayforDistrictHolidays(asdefinedinthisCode)asfollows:

(a) RegularEmployeeswhodonotworkontheDistrictHolidaywill

receive eight hours of regular pay. Regular Employees whowork on the District Holiday will be paid at the applicableovertimerateforanyhoursworkeduptoeightanddouble‐time

for hours in excess of eight hours worked on the DistrictHoliday.

(b) WithexceptionofDistrictCounsel,hourlyEmployeeswhodo

not work on the District Holiday will receive four hours ofregular pay. Hourly Employees who work on the DistrictHolidaywillbepaidattheapplicableovertimerate.

(c) OperatorswhodonotworkontheDistrictHolidaywillreceive

eighthoursofregularpay.OperatorswhoworkontheDistrictHolidaywillbepaidattheapplicableovertimerate.

(d) TemporaryEmployeeswhodonotworkontheDistrictHoliday

willnot receiveanypay for thatDistrictHoliday. TemporaryEmployeeswhoworkonaDistrictHolidayshallbepaidtheirregularrateofpay.

(e) Whenaholidayfallsonaweekendandthedayoffisscheduled

foraFridayorMonday,anEmployeewillreceivepayforonebutnotbothdaysasdescribedabove.

12.4.2.4STANDBYSTATUS

TheManagerofOperationsandMaintenancemayassignanyEmployeestandby statusoutsideofhisorher regularduty schedule. StandbystatusdoesnotrestricttheEmployeeotherthantorequireEmployeeto respond by telephone to a telephone/beeper notice within 20minutesandtoarriveatthesiteoftheemergencywithinonehouroftheoriginaltimenotified.Employeeswillreceiveaperdiempaymentforeachdaytheyareassignedon‐callduty.

12.4.2.5CALL‐BACKPAY

EmployeesmayoccasionallyberequestedtodispatchtoaDistrictfacilitybeforeoraftertheirregularlyscheduledhours.TherespondingEmployeewillreceiveaminimumof2hoursofovertimepayeachtimetheEmployeeisdispatched.TheEmployee'scall‐backpaidtimebeginswhenheleaveshometoperformtheworkandthepaidtimestopswhenhereturnshome,excludinganytimeforpersonalerrands.Forcall‐backsthatflowcontinuouslyintoaregularly‐scheduledshift,thecall‐backismeasuredfromthetimetheEmployeeleaveshomeuntilthetimehisorherregularshiftbegins.Alltimeworkedaspartofacall‐backperiodwillbepaidattheovertimerateunless,withsupervisorapproval,theEmployeeusesthecall‐outhourstocompletehisorherRegularlyScheduledWorkday.

12.4.2.6SHIFTDIFFERENTIALPAY

Inaddition tohisorher regular compensation, anEmployeewillbeentitled to receive a shift differential payment of ten percent of theEmployee’sregularrateofpayif(a)heworksbetweenthehoursof7p.m.and7a.m.,(b)isbeingpaidattheregularrate,and(c)theschedulewasrequestedbyasupervisorormanagerandnotbytheEmployeeorfortheEmployee’sconvenience.ShiftdifferentialpaywillbecalculatedontheEmployee'sHourlyRateandonlyinincrementsof15minutes.Shift differential paywill apply only to pay (not benefits) for actualhoursworkedandwillnotapply to theuseofearnedcompensatorytime,leave,orholidaysnotworked.

12.4.2.7DISCRETIONARYBONUS

(a) The General Manager has the sole discretion to approve or

disapproveadiscretionary,performancebasedbonusofupto3% of an Employee’s total compensation during the yearprecedinghisorherannualperformancereview.AnEmployeeis only eligible for a bonus after he has attained the highestproficiencylevelathisorherpositionontheSalarySchedule.

(b) At the Employee’s request, and subject to accrual limits

describedherein,thebonusmaybeconvertedtoAnnualLeave.The conversion shall be calculated at the Employee’s currentsalaryrate,thatis,theamountanEmployeeispaidforonehourofworkshallbeconvertedtoonehourofAnnualLeave.

12.4.2.8SPECIALDUTYINCENTIVEPAY

EmployeesassignedtoserveontheHazardousMaterialsTeamortodrive vehicles requiring a Class “A” Driver License are eligible toreceive special duty incentive pay at the time of his or her annualperformance review if the Employee served in this capacity for 12monthspriortohisorherreview.Selectionfortheseassignmentsmustbe voluntary, a vacancy must exist, and the Employee must beapprovedbytheGeneralManager.

12.4.3RETIREMENTBENEFITS

(a) The Board has approved retirement benefits by contract with theCaliforniaPublicEmployees’RetirementSystem(CalPERS).

(1) For Employees who were hired prior to January 1, 2013 oremployeeshiredafterJanuary1,2013whowouldqualifyunderthe CalPERS definition of a “Classic” employee, the contractprovidesabenefitof2%ofsalaryatage55withthefinalaveragecompensationperiodof36months.

(2) ForEmployeeswhowerehiredafterJanuary1,2013anddonot

qualifyundertheCalPERSdefinitionofa“Classic”employee,thecontractprovidesabenefitof2%ofsalaryatage62withthefinalaveragecompensationperiodof36months.

(b) Wherethelawallows, theDistrictprovidesthatthenormalmembercontributions are paid by the District to PERS on behalf of theEmployee. These contributions are reported as additionalcompensationunder theprovisionsof theGovernmentCodeSection20691.

(c) RetirementbenefitsaresubjecttolawsgoverningtheCalPERSsystem.

12.5ELECTIVEBENEFITS

Elective benefits apply only to Regular Employees. Where “Employee” or“Employees” are referenced in this section, it shall mean “Regular Employee” or“RegularEmployees.”Notwithstanding anything to the contrary provided herein, the Board, in itsdiscretion,maychange,modify,ordiscontinuealtogetheroneorallof theelectivebenefitsdescribedhereinorotherwiseprovidedbytheDistrict.12.5.1MEDICALPLANS

12.5.1.1GENERALLY

TheDistrictwillmaintainmembershipinatleastonegrouphealthplan(hereinafter“groupplan"),asselectedandapprovedfromtime‐to‐timebytheBoard.EacheligibleEmployeemayparticipateinagroupplanuponcompletionoftheminimumamountofserviceestablishedbythegroupplan.

12.5.1.2DEFINITIONS

ForthepurposesofSection12.5.1:

“CalPERS”meansCaliforniaPublicEmployeesRetirementSystem.“EligibleMember”or“Member”meansaRegularEmployee,retiredEmployee,andtheirdependents.ItmayalsoincludepresentandpastBoardMemberswithinthelimitsofprevailinglaw.“Dependent"meansthespouseandallunmarrieddependentchildreneligibleforcoverageunderthegroupplan.“HourlyRate”meanstheEmployee’sannualsalarydividedby2,080hours.“Retiree”meansanEligibleMemberatleastfiftyyearsofagewhohasmettheeligibilityrequirementsoftheDistrict’sretirementsystem,hasappliedforCalPERSretirementpaymentstobeginatthetimethatheleftemploymentattheDistrict,andisreceivingoriseligibletoreceivearetirementstipend.“Level of Enrollment” shall mean the appropriate level of healthinsurancecoverage:single‐party,two‐partyorfamily.“StyleofCoverage”shallrefer to thetypeofcoverageeitherHealthMaintenanceOrganization(HMO)orPreferredProviderOrganization(PPO).

12.5.1.3MEDICALBENEFITSFORACTIVEEMPLOYEES

It is the intent of the District to ensure that medical benefits areavailabletoallEligibleMembers.Tothatend,thefollowingguidelinesareprovided:

(a) For Employees, the District will pay the full cost of medical

insuranceuptotheannualcostofthemaximumHMOorPERSChoice premium of the health plans available to the DistrictthroughCalPERS.ThecoveragewillincludetheEmployeeandalldependentsallowedbytheCalPERSHealthBenefitprogram.Employees may change the Level of Enrollment and Style ofCoverage as allowed by the enrollment rules published byCalPERS.IfachangeinLevelofEnrollmentorStyleofCoverageincreases the cost of the health plan above the cost of themaximum of HMO or PERS Choice, for an equal Level of

(b) Thefollowingexceptiontothecostlimitationaboveappliesonly

toEmployeeshiredbytheDistrictbeforeJuly1,1995.IftheseEmployeeswere enrolled in health benefit plans on June 30,1995,thatexceedthemaximumHMOorPERSChoicepremium,the cost of continued enrollment for the same Level ofEnrollmentandStyleofCoveragewillcontinuetobepaidbytheDistrict.

12.5.1.4MEDICALBENEFITSFORRETIREDEMPLOYEES

TheDistrictprovidesthefollowingmedicalbenefitsforRetirees:

(a) Continuing medical insurance coverage after retirement for

Employees and their dependents is subject to the lawsgoverningtheCalPERSmedicalprogram.Employeesmustmeetthe requirements established by CalPERS to be eligible toreceivethiscoverageundertheDistrict’shealthinsuranceplan.

(b) Regardlessofdateofhire,ifaRetireeorhisorherdependent

chooses to participate in the District’s CalPERS medicalinsurancecoverageandsuchRetireeordependentisqualifiedtodoso,theDistrictpaystheMinimumEmployerContributionasdefinedinSection22892ofthePublicEmployeeMedicalandHospitalCareActdirectlytoCalPERS.Itistheresponsibilityofthe Retiree or dependent to pay CalPERS directly for theremainderofthecostofthemedicalinsurance.

(c) Coverage for Retirees is subject to the following added

condition:whenaRetireeattainsMedicareeligibleage,hemustenrollinandretainbothPartsAandBofMedicareinordertocontinuecoverageinaMedicareSupplementgroupplanofferedbyaDistrict‐authorizedcarrier.

(d) IfaRetireeorhisorherdependentschoosetoparticipateinthe

District’sCalPERShealthinsurancecoverageandarequalifiedtodoso,theDistrictwillreimbursethemforthecostofhealthinsuranceasfollows.

July 1, 1995 who have worked at the District for fivecontiguousyears,theDistrictwillreimbursethemforthetotal cost of health insurance for the Retiree and anyqualifieddependents.IftheseRetireeswereenrolled(asEmployeesorRetirees) inhealthbenefitplanson June30,1995thatexceedthemaximumHMOorPERSChoicepremium,thecostofcontinuedenrollmentforthesameLevelofEnrollmentandStyleofCoveragewillcontinueto be paid by the District. Upon the death of theEmployee, the District will continue to reimburse theEmployee’sdependentsfortheirhealthcarepremiumsas long as they are allowed to remain insured underCalPERSrulesandregulations.

(2) For Retirees hired as Employees by the District on or

afterJuly1,1995andbeforeJanuary1,2013whohaveworked at the District for 12 contiguous years, theDistrictwillreimbursethemforthetotalcostofhealthinsurancefortheRetireeonly(nodependents)uptothemaximum HMO or PERS Choice premium. Upon thedeathoftheEmployee,theDistrictwillcontinuetopaythe current CalPERS health insurance plan MinimumEmployer Contribution for the Employee’s dependentsas long as they are allowed to remain insured underCalPERSrulesandregulations.

(3) For Retirees hired as Employees by the District on or

afterJanuary1,2013,theDistrictwillprovidenodirectreimbursement for the cost of health insurance. TheDistrictwillonlyberesponsiblefortheCalPERShealthinsuranceplanMinimumEmployerContribution.UponthedeathoftheEmployee,theDistrictwillcontinuetopaythecurrentCalPERShealthinsuranceplanMinimumEmployer Contribution for the Employee’s dependentsas long as they are allowed to remain insured underCalPERSrulesandregulations.

(e) EmployeeshiredonorafterJanuary1,2013shallparticipatein

a Health Savings Account Plan (HSA) designed to providereimbursementofQualifiedMedicalExpensesuponretirement.“Qualified Medical Expenses” are those expenses authorizedundertheprovisionsofSection213(d)oftheInternalRevenueServiceTaxCode.

50% of the then‐current maximum monthlypremiumforasinglepartyHMOavailablefromCalPERSMinusthethen‐currentCalPERShealthinsuranceplanMinimumEmployerContribution.

(2) Employees shall be fully vested for all District

contributions made on their behalf after one year ofemploymentattheDistrict.IfanEmployeeworksfortheDistrictforlessthanoneyear,thefundsinhisorherHSAPlanshallreverttotheDistrict.

12.5.2DENTALANDVISIONPLANS

TheDistrictwillmaintainmembershipinagroupdentalandvisionplan,asselectedandapprovedbytheBoard,subjecttothefollowing:(a) ForEmployees,theDistrictwillpaythefullcostofdentalandvision

insurance.ThecoveragewillincludetheEmployeeandalldependentsallowedbytheinsuranceplan.

(b) EachEligibleMembermayparticipateintheseplansuponcompletion

oftheminimumamountofserviceestablishedbythegroupplan.(c) TheDistrictdoesnotpay foreitherdentalorvisionbenefits forany

Retiree.RetireesareeligibleundertheprovisionsestablishedthroughConsolidated Omnibus Budget Reconciliation Act (COBRA) tocontinuetheircoverage.

12.5.3DEFERREDCOMPENSATIONPLAN

EmployeesoftheDistrictmaydeferportionsoftheircompensationpursuantto the provisions of Section 457 of the Internal Revenue Code. DeferredcompensationplansshallbeapprovedbytheBoardbyresolutionorcontract.

12.5.4FLEXIBLESPENDINGACCOUNTS

Employeesmay annually contribute to flexible spendingaccounts (IRS125Plan)maintainedbytheDistrict.AnEmployeemaycontributethemaximumallowedbylawinanyplanyeartoa“DependentDaycareAccount”and/oran“UnreimbursedMedical Expense Account”. Flexible spending accounts aresubject to the provisions of prevailing tax law regarding limitations,administrationanddisbursements.

12.5.5EMPLOYEEASSISTANCEPROGRAM(EAP)

In order to helpmaintain thewell‐being of its Employees, the District hasestablishedanEmployeeAssistanceProgram(EAP)thatprovidesassessmentandreferralwhenproblemsofapersonalnatureaffecttheEmployee’slifeandwork. Participation in the Program shall be confidential and shall not begroundsfordiscipline.

12.5.6LIFEINSURANCEPROGRAM

The District provides each Employee with limited Life Insurance andAccidentalDeathandDismembermentCoverageintheamountof$100,000.ThiscoverageisprovidedatnocosttotheEmployee.ThiscoverageamountmaybereducedafterEmployeesreachacertainageduetolimitationsintheinsurancepolicy. Additionally, Employeeshave theoption to, at their ownexpense,purchaseadditionalinsuranceforthemselvesandtheirdependents.

12.5.7HOLIDAYTIME

(a) Employeesareentitledtoleaveofabsencewithoutlossofpayonthe

followingdesignatedholidays(“DistrictHolidays”):January1st;MartinLuther King, Jr.’s Birthday; President’s Day; Memorial Day; July 4th;Labor Day; Veteran’s Day; Thanksgiving Day; the day followingThanksgivingDay;andDecember25th.

(b) IfaDistrictHolidayfallsonSunday,thefollowingMondayisaholiday.

IfaholidayfallsonSaturday,theprecedingFridayisaholiday.(c) As determined by the General Manager, department managers and

supervisors, if December 25th falls on a Tuesday, one‐half of theEmployeesshallhavetheprecedingMondayasaholiday;theotherhalfoftheEmployeesshallhaveDecember31stasaholiday.IfDecember25th falls on a Thursday, one‐half of the Employees shall have thefollowingFridayasaholiday;theotherhalfoftheEmployeesshallhaveJanuary2nd(theFridayofthefollowingweek)asaholiday.

12.5.8FLOATINGTIMEOFF

(a) Employees shall be creditedwith 16 hours of floating time off eachcalendaryear.ThetimewillbecreditedinJanuaryeachyear.

(b) Floatingtimeoffmustbeusedduringthecalendaryearinwhichitis

credited. Unusedfloatingtimeoffwillnotbecarriedforwardtothenextcalendaryear.

(c) New Employees are creditedwith eight hours of floating time off if

hiredonorafterJuly1standcreditedwith16hoursoffloatingtimeoffifhiredbeforeJuly1st.

(d) AnyaccruedbutunusedfloatingtimeoffispaidtotheEmployeeupon

terminationofemployment.12.5.9ANNUALLEAVE

(a) Employees begin to accrue annual leave from the date of hire.

Thereafter,forcontinuousservice,annualleavecreditshallbeearnedatthefollowingrates:(1) Employmentstartthroughyearfour,eighthourspermonth,(2) Fivethroughnineyears,10hourspermonth,(3) 10through14years,12hourspermonth,(4) 15through19years,14hourspermonth,(5) Over20years,14.66hourspermonth.

(b) In order to attract experienced candidates for key positions, theGeneral Manager may, for the purposes of calculating annual leaveonly,creditanewEmployeewithadditionalyearsofemploymentatthe District commensurate with that Employee’s relevant workexperience.

(c) Unused leave credit shall be accumulated and carried forward frommonth‐to‐month.AnEmployeemayaccrueupto480hoursofannualleaveandCompTimecombined.OnceanEmployee’saccrualbalancereachesthatlimit,theEmployeewillnolongeraccrueadditionalleave.

(d) TwiceeachyeartheDistrictwillofferEmployeesanoptiontoconvert

annualleaveandearnedCompTimeintoacashpayment.Inthecaseoffinancialhardship,theconversionmaybedoneatothertimeswiththeapprovaloftheGeneralManager.(1) Foreachhouroftimeconverted,theEmployeewillreceivecash

in the amount of his or her current Hourly Rate of pay, lessapplicabletaxes.

(2) Inordertoqualifyforthisconversion,theEmployeemust:

(i) havetakenatleast80hoursofannualleavetimeand/orCompTimeoffduringthepreceding12months,and

(ii) have at least 80 hours of combined annual leave andComp Time remaining in his or her accrual after theconversionhasbeencompleted.

(e) Uponterminationofemployment,Employeesshallbeentitledtocash

payment for unused annual leave credit accumulated prior to theseparationdate.

(f) The District reserves the right to deny annual leave time if it would result

in a payment beyond the normal salary payment for any pay period.

12.5.10PAIDSICKLEAVE

(a) Sickleaveforpaycreditshallbeaccumulatedattherateofoneday’sleaveforeachcalendarmonthofemployment.

(b) Sickleavecreditshallbeaccumulatedandcarriedforwardfrommonth

tomonth.(c) IfanEmployeeretiresfromtheDistrict,unusedaccumulatedsickleave

may be converted to additional PERS service credit based on theguidelinesestablishedundertheDistrict’sPERScontract.Unusedsickleaveisnototherwisecompensable.

(d) Thereisnolimitationonthenumberofaccumulatedsickleavehours.

(e) ThepurposeofsickleaveistoallowanEmployeetofill inthehours

neededtoreceiveafullsalarypaymentforanypayperiod.TheDistrictreserves the right to deny the payment of sick time if the paymentwouldincreasetheamountofpayreceivedbeyondthenormalsalarypaymentforanypayperiod.“Denialofuse”meansthattheEmployees’sickleaveaccountwouldnotbereducedandthetimerequestedwouldnotbepaid.

(f) Uponterminationofemployment,Employeesarenotentitledtocash

paymentforunusedsickleave.(g) ToprovideassistancetoanEmployeewhenheorafamilymemberhas

aseriousorcatastrophicillnessorinjury,sickleavemaybetransferredfromoneormoreEmployeestotheaffectedEmployee,subjecttothefollowingconditions.

(1) TheillnessmustqualifythereceivingEmployeefortimeoffin

accordancewiththeFamilyandMedicalLeaveAct(FMLA)andCaliforniaFamilyRightsAct(CFRA).

(2) Sickleaveshallbetransferredonanhourforhourbasis,andthe

transferringEmployeemusthaveatleast240hoursofsickleaveremainingafterthetransferhasbeencompleted.

(3) The transfer may not be made from any Employee to anEmployeewhosignshisorherannualperformancereviews.

(4) The donation request must be made in writing by the

transferringEmployee.(5) ThedonationissubjecttotheapprovaloftheGeneralManager

andmaybedeniedathisorhersolediscretion.

12.5.11DISTRICTHOUSING

The District may lease District‐owned residences at Lake Bard to certainEmployeessubjecttocertaindutiesasspecifiedinthelease.

12.5.12PROFESSIONALDUES

TheDistrictwillpayfortherenewalofprofessionalduesforEmployeeswhensuchduesarerelatedtotheirfulfillmentofdutiesfortheDistrictpursuanttoauthorizationbytheGeneralManager.

12.5.13TUITIONREIMBURSEMENT

Toencouragetrainingandprofessionalcareeradvancement,theDistrictmayreimbursethecostsoftuition,registration,books,laboratoryandparkingfeessubjecttothefollowingtermsandconditions.

(a) CourseworkmustberelatedtotheEmployee’spresentpositionwith

the District or will provide the District with future benefit.Notwithstandingtheforegoing,coursesnotrelatedtotheEmployee’spresentpositionwiththeDistrictorwhichdonotprovidetheDistrictwithfuturebenefit,butarerequiredtocompleteanapproveddegree,mayqualifyforreimbursementprovidedsuchcoursesareapprovedinadvancebytheGeneralManager.

(b) Themaximumrateofreimbursementfortuitioncostswillbelimited

tomaximumreimbursableamountsperquarterunitorsemesterunit.TherateofreimbursementisadjustedannuallyinaccordancewiththeproceduredescribedhereininCodeSection12.4.2(b).

(c) Coursework is limited to 12 units per quarter or semester, as

applicable.(d) In order to be eligible for reimbursement, the Employee must

successfullycompleteallcourseworkforwhichreimbursementistobepaidwithagradeof “C”orbetterorapassinggrade if studentsaregradedonlyona“passorfail”basis.
