THIS AGREEMENT MADE THIS 15th DAY OF June 2015 between:

hereinafter referred to as the "COMPANY"

W ITN ESS ETH :

It is the desire ofthe parties to this Agreement to establish, promote and foster a good relationship that will be enduring and of mutual benefit to both the Union and the Company.

It is the essence ofthis Agreementthat there be a maximum of co-operation and of help from the associates of the Company to obtain all possible business and expand the operation of the Company and the parties hereto pledge their full support and co-operation In this regard.

ARTICLE 1- RECOGNITION

1:01 This Agreement shall cover all associates in the employ of Canada Bread Company Limited at the distribution centres located in Belleville, Peterborough and Grafton, Ontario, save and except supervisors, persons above the rank of supervisor, office staff, students employed for the school vacation period, and persons regularly employed for not more than 24 hours per week.

1:02 NOW THEREFORE, the parties hereto agree as follows:

The Company agrees to recognize the Milk & Bread Drivers, Dairy Employees, Caterers and Allied Employees Local Union No. 647, affiliated with the International Brotherhood of Teamsters as the sale collective bargaining agency for all such associates coming within the bargaining unit.

ARTICLE 2 - UNION CONDITION

2:01 All associates of the Company covered by this Agreement must become and remain members of the Union in good standing during the life of this Agreement as a condition of employment.

2:02 The Company will inform all new associates hired (who are to be covered by this Agreement), that Union membership is a condition of employment after thirty days.

2:03 The Union will not hold any meetings on the Company property except as agreed to by the Company.

2:04 The shop steward shall be informed of all new associates. Ifthe associate fails to sign his union card he shall be taken off the job at the written request ofthe Union.

ARTICLE 3 - CHECK-OFF

3:01 Each month the Company shall deduct from the pay due to each associate who is covered by this Agreement commencing with the associates' first day of employment a sum equal to two and one half (21/2) times his/her hourly rate for Union Dues, plus any assessments, including delinquent dues, for Union purposes. The Company agrees to a check-off of the Union initiation fee at the rate of $10.00 per week beginning with the associate's first pay; such fee to be forwarded to the Union office when the initiation fee has been fully paid by the associate. The Union shall notify the Company as to the amount of the Union Dues and initiation fee and any changes in these amounts. The Union shall supply the Company with the necessary "check-off authorization cards". The card must be completed in full and forwarded with the dues to the Union office by the 20th of the following month.

3:02 In case of an associate being off work for any reason when dues are to be deducted, said dues will be deducted fully from the first full pay upon return to work, unless otherwise instructed. Dues will be deducted from vacation pay.

Temporary associates will be required to pay an amount eqUivalent to regular Union dues during each week in which they work. The Company shall deduct such amount from the first pay due to a temporary associate and shall thereafter deduct such amount on each pay day of each week in which they work. Sums so deducted shall be forwarded to the Union as set forth in Clause 3:01.

3:03 The Union agrees to save the Company harmless from any suit or judgment arising from the above check-off arrangements.

ARTICLE 4 - STEWARDS

4:01 There shall be a steward in each sales or distribution centre. He shall be 'elected by the Union members of the location concerned and shall be an associate of the place in which he is the steward.

4:02 The steward shall have no authority to alter, amend, violate or otherwise change any part of this Agreement. He shall report any violation of the Agreement to the Distribution Centre Managerwho shall promptly deal

with the matter.

4:03 The Manager shall recognize the steward, and shall inform him of all laying off or discharge and all Union personnel changes. This information shall be considered confidential.

4:04 The Company shall entertain no grievance involving an alleged breach of any provision of this Agreement until the complaining party has given a written statement of such grievance to the steward or business agent.

4:05 The steward shall be allowed reasonable time to service any grievance, providing it does not interfere with the completion of his regular duties.

4:06 A copy of Company bulletins pertaining to Union members shall be given to the steward.

4:07 The Union representative, with permission, shall have access to the Company premises at any reasonable time to see that the Agreement is being complied with.

4:08 The Company will supply Union notice boards. The Union shall have the right to post on the notice board on the Company's property, only such notices as shall have been previously submitted and approved by the Manager of the Branch. Management will not unduly withhold authorization or approval olthe posting of said notices.

4:09 The Union shall notify the Company in writing as to the names of stewards, and in a like manner shall notify the Company of any changes.

4:10 Stewards shall be paid their regular earnings for days attending at collective bargaining meetings.

ARTICLE 5 - GRIEVANCE PROCEDURE

5:01 Associates through their accredited representatives shall have the right to discuss at a suitable time any grievance involving any controversy, complaint, misunderstanding or dispute arising from the Collective Agreement with the Distribution Centre Manager of the Company. This meeting shall be held within seven working days of the time of the alleged grievance. The Distribution Centre Manager shall give his answer within two working days.

5:02 If the reply is not satisfactory the grievance shall be submitted in writing, to the steward or business representative of the Union and the Area Manager. A meeting shall be held between the Area Manager and the Union representative within five working days. He shall give his answer within a further five working days. If the reply is still not satisfactory, a meeting shall be arranged between the Union representative and a representative of the Human Relations Department ofthe Company within five working days. He shall give his reply in writing within a further five working days. If the grievance remains unsettled it shall then be subject to arbitration.

5:03 It is understood that in order to be considered by the Company an associate's grievance must be lodged with the Company as in Clause 5:01, within five working days of the time of the alleged violation unless the Company and the Union agree to an extension of the above time limit.

5:04 It is further agreed that the Union and the Company shall have the right to originate a grievance at a time not later than three months from the date of the alleged grievance with regard to any dispute in the interpretation or manner in which the contract is being complied with. The Union and the Human Relations representative shall first discuss the complaint, such complaint to be either discussed or resolved within a period of three working days. If no actual agreement is reached, either party may submit to the arbitration procedure.

5:05 Arbitration:

Within five (5) days after the final discussion between the Union and the Human Relations representative, the party desiring arbitration shall notify the other party in writing. The parties shall attemptto agree upon the selection of the Sale Arbitrator within five (5) days after the notice of arbitration has been received. If parties fail to agree on an arbitrator within the five (5) days period mentioned above, they shall apply to the Ministry of Labour for the Province of Ontario who shall appoint an Arbitrator.

The Arbitrator shall not have the rightto alter or change any provisions of this Agreement or substitute any new provisions in lieu thereof, or to give any decisions inconsistent with terms and provisions of this Agreement. Each of the parties hereto will bear the expenses of its appointee to the Board and the parties will equal bear the fees and expenses of the Arbitrator. The decision of Arbitrator shall be final and binding on both pa rties.

5:06 The time limits outlined above may be exceeded only by mutual agreement between the Union and the Company.

ARTICLE 6 - RULES APPLYING TO TERMINATION OF EMPLOYMENT

6:01 The Company may discharge or dismiss any associate for just cause upon one week's notice or one week's pay in lieu of notice, except that the Company shall have the right to summary dismissal or discharge upon any of the following grounds or similar serious causes, The above reference to notice or pay does not apply in the case of probationary associates,

1. Stealing or dishonesty,

2, Drinking while on duty, or being under the influence of liquor or narcotics while on duty,

3, Direct refusal to obey orders given by the proper party unless such orders jeopardize life, health, or safety of the associate,

6:02 Each associate who desires to terminate his employment must give the Company one week's notice, If he fails to do so, he shall, upon complaint from the Company be dealt with by the Union,

6:03 Any associate leaving a sales branch or Distribution Centre shall be furnished with a reference upon request, provided his work has been satisfactory,

ARTICLE 7 - SENIORITY

7:01 A seniority list for each location and craft group showing the length of service of each associate shall be posted on the notice board, New associates shall be added immediately on completion of their probationary period, subject to verification by the steward, The seniority list shall be revised every six months and a copy forwarded to the Union.

7:02 There shall be two craft group for the purpose of seniority,

Group 1 - Wholesale Salesmen, Retail and Composite salesmen, Route Foremen, Special Delivery and Canvassers.

Group 2 - Shippers and Thrift Centre associates

7:03 An associate's seniority shall be terminated for all purposes if he:

1, Is discharged and not subsequently reinstated through the provisions of the grievance procedure,

2, Resigns from the employ of the Company,

3, Is laid off or on W,I./U,I.C./ extended disability for more than twelve months,

4, Is absent from work for any reason other than proven illness or authorized leave of absence, without furnishing a reasonable excuse.

5, Does not, within three days after notice to return to work following a lay-off has been sent by registered mail to his last address on the employment records of the Company, either return to work, or notify the Company of his intention to return to work, and returns to work within seven days thereafter,

7:04 Probationary Period:

New associates shall be considered on probation and shall not be entitled to seniority rights until they have completed 60 days of work with the Company. Upon completion of the probationary period, seniority shall be dated from date of employment. During an associate's probationary period he shall be considered as being employed on a trial basis and may be discharged or laid off at the discretion of the Company.

7:05 Leave of Absence:

Leave of absence without pay may be granted by the Company for a period of up to six months without 1055

of seniority in the event of illness in the family or for other legitimate personal reasons. This leave of absence may be extended in proven cases of extreme necessity following discussion between the Company and the Union.

7:06 No associate shall request, or be given, leave of absence for the purpose of accepting other employment.

7:07 When an associate is selected to become a business representative of the Union he shall be given a leave of absence for a period of one year.

7:08 Leave of absence for necessary Union business other than negotiations meetings will be granted on two weeks prior notice from the Union for a period up to two weeks and no more than one associate at anyone time.

7:09 An associate who is transferred from a position within the bargaining unitto one outside the unit and is later returned to the unit shall retain his previous seniority provided such transfer is made within six months. If he returns after six months, his seniority shall be forfeited and he shall be considered a new associate in the bargaining unit for purpose of seniority.

7:10 Lay-off:

In the event of a reduction in the work force associates will be laid off in reverse order of their seniority starting with the junior associate in the craft group. Laid off associates will be recalled in order of seniority to fill job vacancies not filled through the job posting procedure.

7:11 Severance:

Any associate with tWo years of service or more, whose employment is terminated by the Company as a direct result of the closing the Branch shall receive severance pay of one week's pay at the individual's base rate for each full year of service to maximum of26 weeks. In any event, no severance pay will be payable if employment is offered elsewhere in the Company acceptable to the associate. Any associate who accepts severance pay shall forfeit all seniority rights.

ARTICLE 8 - JOB VACANCIES

8:01 All job vacancies within the bargaining unit will be posted on the notice boards in all distribution centres covered by this Agreement for a period of three working days (72 hours) excluding Sunday.

8:02 Job postings shall show the time posted, the closing time, and the craft group.

8:03 A new route shall be established when route earnings are at least equivalent to the minimum guarantee over a consecutive four week period.

8:04 Bids must be made in writing with one copy for the Company and one copy for the steward.

8:05 Bids will not be accepted after the closing time shown on the posting.

8:06 The vacant job shall be filled by the most senior associate capable and willing to do the job.

8:07 Successful bidders will be notified within twenty-four hours of the closing time.

8:08 The first and second vacancy created by the filling of a posted job will also be posted. Any further vacancy thus created will be filled at the discretion of the Company.

8:09 No bidding will be finalized during the vacation period until associates absent on vacation at the closingtime of the posting have had 48 hours following their return to submit a bid. However, if associates are notified prior to their vacation that there is a possibility of a job vacancy within their vacation period, they shall be required to submit their bid prior to taking vacation if it is an associate's intention to bid on the vacancy.

8:10 An associate who has been awarded a job as a result of bidding on a vacancy or who has refused to accept an award after bidding will not be eligible to bid again in the succeeding twelve months.

8:11 Ajob vacancy which occurs as a result of the lay-off at a particular location of a junior associate shall not be posted, but shall be assigned to a senior associate who is displaced at the time of the lay-off. Such assignment shall not constitute a bid for the senior associate at a particular location.

8:12 Job vacancies which have not been filled through the job posting procedure shall first be filled by recalling laid off associates in order of seniority.

8:13 In the event of temporary vacancies resulting from illness or other emergency, associates shall be selected and assigned to such temporary vacancies, if they meet the employment requirements olthe Company. In the event that a vacancy occurs in the sales branch or distribution centre at which they are employed during their temporary employment, such temporary associates shall be privileged to exercise their seniority in competition with the regular associates of the Company for the purpose of bidding for such vacancy, subject to existing rules and regulations. In the event that they are successful in obtaining such vacancy, they shall thereupon immediately be classified as permanent associates.

ARTICLE 9 - DAYS OF WORK, HOURS OF WORK AND OVERTIME

9:01 The normal work week shall be five days. It is understood that the Company may, after discussion with the Union, institute other work weeks and delivery system and methods.

Overtime at time and one-half to be applicable after forty (40) hours per week for shippers and special delivery and after eight (8) hours per day for thrift store associates with a minimum of four (4) hours when called in for an additional day or on their scheduled day off.

All hours worked by a shipper on any shift that commences or finishes on a paid holiday shall be paid at time and one-half the regular hourly rate of pay.

Each associate who has completed the probationary period will receive not less than 40 hours' pay (including any paid holiday to which he is entitled at this regular straight time wage for each week in which he is scheduled to work provided):

a) he reports for work for all of each working hour assigned by the Company

b) he performs whatever work the Company assigns

The terms of this clause will not apply to part time associates, nor shall these terms have any application when the Company is prevented from working because of any circumstance beyond its control, such as fire,

flood and Acts of God. It is further understood that overtime premiums will not be used to make up the weekly pay guarantee.

9:02 In the event that a change in giving days off is instituted, the Company shall guarantee to the salesman or salesmen affected, the same average earnings for the twenty-six weeks subsequent to such change as the salesman had enjoyed in the thirteen weeks prior to such change.

9:03 Overtime shall be applicable after 32 hours of work in a week in which one paid holiday falls or after 24 hours of work in a week in which two paid holidays fall. Craft Group 2 and Craft Group 1- Special Delivery­shall be paid at time and one half. A Wholesale salesman shall receive an additional 30% of his wages forthe one week pay period in which the holiday falls for each extra day of work. No other overtime premiums shall be applicable under the above situation.

9:04 When, due to an emergency, an associate works on his scheduled day off, such associate will be paid 30% of his wages and commissions earned during the one week period in which the scheduled day off is worked. Should the associate not work the full period mentioned above, earnings will be pro-rated.

9:05 An associate who is absent from work, with or without permission, shall have deducted from his earnings for the one week pay period, 20% of such earnings for each day absent of $15.00 for each of the first three consecutive working days he is away from work for a verified illness. After that time or if he is absent from work for any other reason, with or without permission, he shall have his one week earnings reduced by 20% for each working day absent. Amounts deducted shall be a percentage of the basic weekly rate of pay for thrift centre, shippers, special delivery associates and sales clerks.

9:06 An exception to this rule will be at the discretion of the Company and shall not be subject to grievance procedure.

9:07 Attendance Bonus:

A perfect attendance bonus shall be paid a regular associate who is not absent from his posted shift schedule (except for vacation, jury/witness duty, bereavement or attending negotiations), during each quarter, paid on the basis of $75 in the following quarter, with an additional $100 bonus for the calendar year completed without absence. ($400.00 maximum).

Associates on layoff will have the attendance bonus pro-rated by the number of days worked during the quarter, and the appropriate percentage of the year end bonus based on the number of full quarter bonuses received during the year.

ARTICLE 10 - VACATIONS

10:01 Vacations with pay will be granted to associates having the required service:

Vacation pay shall be based on gross earnings as per the individual's T4 slip of the previous calendar year including taxable benefits or the individual's base rate for each week of entitlement whichever is the greater, providing the associate has worked in excess of 26 weeks in the previous calendar year.

10:02 The choice of vacation period will be given to associates in the particular location according to seniority. Associates having more than two weeks' vacation may have such vacation continuous if taken outside the normal vacation period which is May 1st to September 30th, otherwise they shall have two weeks during the

regular vacation period and balance of vacation before May 1st or after October 1st.

10:03 An associate leaving the service of the Company prior to taking his annual vacation shall receive vacation pay, in the appropriate percentage according to his length of service as detailed above, for the period for which he has not previously received vacation or vacation pay,

10:04 Where a statutory holiday, the celebration of which is provided for under this Agreement, falls within the vacation period of the associate, one day's holiday shall be granted at a time mutually satisfactory to the Company and the associate,

10:05 Continuous service for the purpose of computing vacations with pay will be determined by associates' anniversary date each year,

ARTICLE 11- PAID HOLIDAYS

11:01 The following days shall be considered as holidays forthe purposes of this Agreement:

New Year's Day Good Friday Victoria Day

Canada Day Civic Holiday Labour Day

Thanksgiving Day Christmas Day Boxing Day

Family Day

11:02 An associate will receive paid holiday pay as provided below if he has worked his scheduled working day preceding and his scheduled working day following the day designated for the observance of the paid holiday,

11:03 Paid holiday pay of one-fifth (1/5th) the regular weekly pay rate,

11:04 Shippers and Thrift Centre associates with one year's service will receive one-fifth (1/5th) of their regular weekly rate for their birthday,

11:05 An associate who is unable to work his scheduled working day before or after a paid holiday of illness verified by his doctor shall receive his paid holiday pay,

11:06 Associates will receive an additional paid holiday if and when such is declared by the Ontario Provincial Government.

ARTICLE 12 - UNIFORMS

12:01 The Company agrees to provide uniforms paid for by the Company,

12:02 Winter uniforms shall consist of one windbreaker, 2 pairs of pants and 5 shirts, One heavy jacket may be supplied, if required every second year,

12:03 Summer uniforms shall consist of 2 pairs of pants and 5 shirts (5,5,),

ARTICLE 14 - ROUTE CUTS

14:01 Route cut earnings shall be guaranteed on the basis of weekly loss of earnings for the average of the six weeks prior sales for that customer(s) paid in a lump sum for the equivalent of 13 weeks at the time of the route cut.

14:02 If the route cut exceeds 15% of earnings the payment will be on the basis of 26 weeks,

ARTICLE 15 - SAFETY

15:01 All associates shall report immediately on supplied forms to the proper authority any defect in equipment.

15:02 The Company will do everything in its power to see that vehicles are in safe driving condition,

15:03 The Union will do everything possible to encourage the highest degree of safety and will issue bulletins in co-

operation with the Company in an effort to ensure Company health and safety standards are followed by its members. Representatives or shop stewards ofthe Union shall be permitted to attend safety meetings.

15:04 All trucks will be equipped with heaters, defrosters and windshield washer in working order.

15:05 Associates shall not be fined by the Company or required to pay the Company for damages to their trucks because of accidents. Each associate, however, must be capable of operating his vehicle in a safe manner, and in the event of an unsatisfactory record, will be subject to discipline or dismissal.

15:06 The Company shall provide all associates with a $130.00 towards the purchase of CSA certified safety shoes each calendar year.

ARTICLE 16 - FRANCHISE

16:01 The Company agrees that during the term ofthis Agreement, it shall not force any associate covered by this Agreement to enter into a franchise agreement with the Company.

16:02 This above undertaking, however, does not prohibit an associate from voluntarily approaching the Company to request a franchise dealer agreement and subsequently entering into such an agreement.

16:03 No associate will be allowed to franchise a Company operated route unless he has completed his probationary period.

16:04 The Union will be advised thirty days prior to a route being franchised.

16:05 When a franchise route is given up, and the Company is unable to refranchise the route within three (3) months, the route reverts to a Company operated basis and the Company will advise the Union as per Article 16.04 prior to a route being refranchised.

16:06 The Company will notify the Union immediately when a franchise route has been dropped.

ARTICLE 17 - SALE OR ACQUISITION

17:01 The Company will notify the Union whenever the Company purchases any bakery or sells any of its own bakeries, when such purchase or sale changes the routes assigned to the Company's retail or wholesale salesmen in Belleville, Peterborough and Grafton area. Such notification shall be given not later than the effective date of such purchase or sale.

ARTICLE 18 - MANAGEMENT RIGHTS

18:01 Management has the right to manage its business in all respects subject to the terms of this Agreement.

ARTICLE 19 - GENERAL NOTES

19:01 Any associate receiving at the present time, more than the attached schedule sets forth, shall suffer no reduction in pay.

19:02 No associate shall be asked or permitted to make any verbal or written agreement which may conflict with this Agreement.

19:03 Associates are not permitted to engage in any other major occupation or business during the course of their employment or while on leave of absence.

19:04 (a) In view of the orderly procedure established by this Agreement for settling disputes and the handling of grievances, the Union agrees that there shall not be any strike or picketing during the life of this Agreement.

(b) The Company agrees that there shall be no lock-outs during the life of this Agreement.

19:05 Wage Appendix "A" is recognized as part of this Agreement.

19:06 Bereavement:

(a) In the event of a death in the immediate family, father, mother, brother, sister, children, mother-in­law or father-in-law of an associate covered by this Agreement, the Company will grant the necessary time off without loss of pay up to four days, if absence is justified.

(b) Necessary time off without loss of pay for one day will be granted for the death of a brother-in-law or sister-in-law or grandparent.

(c) In the event of death of the spouse or 'declared spouse' of an associate covered by this Agreement, the Company agrees to grant the necessary time off without loss of pay up to five consecutive days, if absence is justified.

19:07 Jury Duty:

Where an associate is called for jury duty, he shall be paid his full pay by the Company. Such associate will give his jury duty pay cheque to the Company in return but shall be permitted to retain any allowance for expenses.

19:08 Where an associate is subpoenaed as a witness he shall be paid his full pay by the Company. Such associate shall give any witness fee to the Company in return, but shall be permitted to retain any allowance for expenses.

19:09 If the Company claims that a salesman is short on his balance, the Union business agent shall, upon request, be furnished with the necessary records relative to such a shortage within three days after notice of the shortage.

19:10 Associates' pay cheques will be in envelopes. Associates shall be paid by Direct Deposit.

19:11 Supervisors:

No person excluded from the bargaining unit will be allowed to perform duties of an associate in the bargaining unit except in the case of an emergency or absence through illness or authorized leave of the associate regularly performing such duties.

ARTICLE 20 - WELFARE

20:01 Associates will be eligible for the following benefits beginning with the first full pay period following the completion of their probationary period. Such benefits will be provided at the expense of the Company.

(c) Weekly Indemnity Equivalent to the 1997 UIC maximum sickness benefit.

Benefits shall be paid from 1st day accident, 4th day sickness, up to 26 weeks per non-occupational disability.

Associates' weekly indemnity benefit will be extended beyond 26 weeks after completion of the maximum UIC sickness benefit to a combined maximum of 104 weeks paid up to age 65 during which time all welfare benefits will be covered excluding weekly indemnity.

Associates age 50 with 10 years or more service or associates with 15 or more years of service regardless of age who are totally disabled through sickness or non-compensable accident will have

their weekly indemnity extend beyond the 104 weeks for one year for each full five years of service at a rate of $1100.00 per month paid up to age 65 less any CPP/QPP or other legislated benefit.

(d) Ontario Health Insurance Plan and group insurance premiums will be maintained at the expense of the Company for associates on Workmen's Compensation to a maximum of 52 weeks.

(e) Drug Prescription Plan· based on 100% of the prescription costs.

(f) Dependents shall be as defined in OHIP regulations.

1) Semi·Private Hospital coverage.

(g) Dental Plan·based on 100% Company paid premiums. The current ODA Free Guide will be in effect­for associates with one year's service and each dependent - 100% of Routine Treatment and 50% of MajorTreatment with no deductible, maximum limit of $1,500 per associate and $1,200 each eligible dependent per calendar year.

(h) Optical Plan· based on 100% Company paid premiums, nil deductible, nil co-insurance, with a maximum of $250 over a 24 month period for associates with one year's service and their dependents.

ARTICLE 21 • DURATION OF AGREEMENT

21:01 This Agreement shall be in full force and effect from January 1, 2015 to December 31,2020 and thereafter from year to year until terminated or amended by either party as hereinafter provided. Within 60 days prior to December 31, 2020 or any subsequent anniversary date, either party may notify the other party in writing of his desire to negotiate amendments, and itemized statement of desired changes shall be submitted at the time of giving notice. Negotiations with respect to the proposed amendments must commence not later than thirty days after the notice of such changes has been received. During the negotiations the terms of this contract shall remain in full force and effect.

The plan is available upon request from associates with two (2) years continuous company service. This
