1. Call to Order

The President, Marc Bibeau called this meeting to order at 16:05 hours and asked The Secretary- Manager to read CIFFA’s Competition Bureau Canada clause. M. Massoud read the following: Commitment to full compliance with both the letter and the spirit of the antitrust laws is a fundamental commitment of the Canadian International Freight Forwarders Association (CIFFA). The Competition Bureau of Canada is an organization that investigates anti-competitive practices and promotes compliance with the laws under its jurisdiction. The following is CIFFA's directive:

“All meetings will be conducted in compliance with the provisions of the Competition Act. Meetings will not discuss or take action on any subject related to restraint of trade, price fixing, compensation, reimbursement, rate setting, marketing strategies and any other topics that could be considered anti-competitive.”

The President welcomed all present to CIFFA’s 63rd Annual General Meeting and asked everyone in attendance to sign the register; reminding Regular Members that they only have one vote per company. Call for proxies from the floor. M. Massoud confirmed three proxies have been received, and there are 18 Regular voting Members and 3 proxies for a total of 21 votes and a quorum are present.

5. President’s Address – M. Bibeau Dear Colleagues: It is with great pride that I look back over the past three years, my tenure as CIFFA President and the opportunity to serve with our esteemed Board of Directors. The association’s commitment to value creation, innovation and ‘raising the bar’ was central to the core initiatives championed by CIFFA and our membership, with great success. Some of our combined accomplishments that I would like to highlight are, but not limited to, membership, education, advocacy, networking and relationship development with key industry stakeholders. It goes without saying that these initiatives are brought forth and made possible thanks to the dedication and commitment of the association’s volunteers. I am referring of course to the men and women who provide their professional expertise, knowledge, experience and passion by volunteering on the Board of Directors and who we must recognize for their industry leadership. Membership CIFFA has never lost sight of the importance of membership and its role in the association’s success. We are well positioned to grow, expand and continue providing value for membership for years to come. In order to sustain our continuous improvement and reach the goal of becoming one of the best service providing nations in the world, CIFFA needs you, the member to get involved. Participation is rewarding on so many levels and the wealth of knowledge gained is immeasurable. Last fall, the Board approved new criteria for regular membership in CIFFA, designed to raise the level of professionalism and commitment within the association. We have established a higher set of expectations for freight forwarding companies in Canada. All Regular CIFFA members will have two years meet the new requirements. As of January 1, 2012, new applicants are required to meet the revised criteria before being welcomed to the association. Two years in the drafting, the new qualifications require members to invest in the training, regulatory compliance and security that creates industry leading companies. Four short years ago at the Annual General Meeting in 2008 at the height of the boom, CIFFA had 211 Regular Member firms and 112 Associate Members. Today, at our 63rd AGM, 245 Regular and 132 Associate Members are on the roster. Companies recognize the value of membership in CIFFA, even in tough times. At this time, I would like to thank membership for all the support and for electing me President of CIFFA for the past three years.

Education Education has always been the catalyst of CIFFA and we continue to develop new ways to educate our students with better tools, teaching methods and technology in preparation for the next generation. As Paul Glionna will share in the Education Report, more than six years after CIFFA introduced our first e-learning Certificate programs, we have moved to a new, state of the art education management system. This year Stephen McDermott joined the education team at the Secretariat and we are moving forward with our electronic offerings. An enhancement to the classroom and textbook method, the web based platform that will be fully rolled out by the end of 2013. We are also investing in standardized facilitator guides and introducing more engaging teaching techniques in our classrooms. Proof of CIFFA’s education program excellence is the recent licensing of our education platform to the National Association of Freight Logistics (NAFL) in Dubai. Discussions with other organizations are in the works and there are many opportunities on the horizon. Advocacy The forwarding community looks to the CIFFA for advocacy leadership in many areas. The association’s work on e-manifest, container inspections and policy has made monumental strides thanks to the dedication of Chris Gillespie, Bob Walker and their respective committees. Their voice was instrumental in the design of programs and drafting of policy that support and protect membership’s best interest. During the past year CIFFA has written representation from Directors and the Secretariat to several government Ministers and agencies. As Bob Walker will report as Customs Chair, CIFFA has a seat at the Canada Border Services Agency stakeholder input forum, the Border Commercial Consultative Committee and representation on every subcommittee of the BCCC. As previously mentioned we are especially active in eManifest and anticipate a high level of work at the newly formed Cargo Control and Sufferance Warehouse Modernization Sub-Committee. We also have a seat at the table for the Major Projects steering committee, which will bring these transformational projects to completion. The dialogue at all levels is important and we will continue to press for national standards and improvements at the operations level. Our work with Transport Canada and Air Cargo Security continues. Last year, I twice represented the cargo sector at industry meetings in Ottawa, called by the Assistant Deputy Minister. Communication between the association and Transport Canada remains strong as we work towards the fast approaching December 2012 deadline for 100% screening. Networking Over the last three years, the Executive Board has elevated CIFFA to new levels with an international presence where we are recognized as ‘best in breed’, ‘best in class’. Through FIATA, historically with Bill Gottlieb and Chris Gillespie, we are represented at such inter-governmental organizations such as the WCO and ICAO. CIFFA actively promotes the World Bank’s Logistics Performance Index survey, designed to provide international benchmarking data. During my tenure as President I have been proud to represent CIFFA at three FIATA World Congress events and two FIATA HQ meetings. Stakeholders I have been vocal with our Executive Board that if Canada wants to be considered a world class logistics operator to foreign countries, our infrastructure, roads, airports and ports, must continue to evolve. Government and industry must raise the bar with greater investment and improved cargo flow if we are to remain competitive with international markets. To this end, CIFFA has developed great professional relationships with all stakeholders in turn benefitting membership and better assisting importers and

exporters system wide. I must commend CP Rail and CN Rail for their efforts, investment and contribution to CIFFA. Three short years ago, both railways were considered by membership to be unresponsive. The lines of communication from the rails were weak and access to knowledgeable staff was a rarity. Today, both railways have dedicated executives at a very senior level and customer service representatives to communicate directly with membership. They have exposed members to product knowledge, worked to overcome challenges and focused on improving services and visibility to our industry. The initiatives with both national railways have been successful and the groundwork for strong lasting partnerships laid. Thank you. The relationship between CIFFA and carriers upon whom we rely to serve our customers has never been stronger. Regardless of the precarious economic climate in which we found ourselves last year, our Forwarders Choice Awards (FCA) gala dinners again brought forwarders and carriers together in record numbers. This year, following feedback received from many members as well as carriers, the program was revised by the three Chairs of the Regional Committees along with Directors and membership. Our new awards highlight those carriers that focus on customer service, operational excellence and innovation. We introduced a new voting process and communication plan to support the changes and we are proud to report that CIFFA’s Central Region FCA, held last April in Mississauga was a success. I say farewell to you with great pride and conviction that CIFFA’s new President, Ms. Donna Letterio of DHL, who could not be with us today, will continue our great work in ‘raising the bar’ and creating opportunities for CIFFA and our industry as a whole. I would like to thank Ruth Snowden, Executive Director of CIFFA and the entire staff at the Secretariat who work passionately and contribute to make CIFFA one of the leading associations in our industry. It is a group effort and it is our great team that makes the association world class. On a special note, this spring, after 30 years of service, Marilyn Massoud has decided to transition to a reduced work-load of three days a week. We will continue to rely on Marilyn’s in-depth knowledge of the association and her contribution as Recording Secretary to the Board. I would like take a moment to extend my sincere gratitude to all the dedicated professionals who have served alongside me on the Board of Directors. These individuals work as volunteers and dedicate endless hours and experience in benefit of membership and our industry as a whole. Their commitment, passion and contribution are unrivalled. It was a true pleasure and I thank the industry and membership for the opportunities and wealth of experience I was so fortunate to acquire. R. Walker thanked Gary for his kind words. Presentation to Marc Bibeau Bob asked Marc Bibeau to stand. Marc, on behalf of the Board and the membership we would like to recognize your accomplishments today and thank you for your hard work. Marc Bibeau has done many things for your association. When he started his presidency he held a Board strategic planning session in September 2009 at the very beginning of his Presidency and identified 8 strategic imperatives that CIFFA would focus on. Marc has guided the Board and the Secretariat to take action to ensure we invest and focus on the three most important imperatives demonstrating …” ‘Best in Class Membership”, ‘Excellence Through Education’, ‘Advocacy Leadership’ Here are just a few of the highlights of Marc’s tenure as president: Best in Class Membership - raising the bar to best in class –for example by ‘stick-handling’ the new Regular Membership criteria through a two year Board discussion and successfully implementing new application form and criteria in January of this year - support of the Regional networking events, ensuring the Secretariat has the resources to help the Regional volunteers to produce excellent gala FCA events, well attended golf tournaments etc. - leading the revisions to the Forwarders’ Choice Awards criteria and voting procedures: well-received by Associate Member carriers, transparent, more reflective of the essential elements that a forwarder looks for from a carrier: Customer Service; Operational Excellence; eBusiness; Innovation Excellence Through Education - increasing professionalism within the industry – leading the association to ensure that employees of Member firms have the professional training they require to meet our Mission - supportive of eLearning investment, new Learning Management System, enhancing classroom learning experience – i.e. with standardized teacher guides, clicker technology Advocacy Leadership - front and center in raising the profile and professionalism of the freight forwarder, with ocean + air carriers – example: our new, strengthened relationship with the railroads, both CN and Canadian Pacific are example of Marc’s leadership. - with community and carriers – for example at TPM the annual Los Angeles conference - on the international stage, promoting CIFFA through meetings with other associations overseas while traveling. Supporting CIFFA at FIATA – attending two World Congresses, two headquarters meetings, - promoting CIFFA and the international freight forwarding community at meetings with government and industry leaders such as Transport Canada and the CBSA. - very supportive of the new National Sponsorship program and instrumental in encouraging carriers to participate in the National Sponsorship program. APPLAUSE. R. Walker presented Marc with a gift from the association. Marc thanked Bob, the board and the membership for this recognition and pledged to continue to work for the good of the association.

6. Treasurer’s Report – G. Vince Ladies and Gentlemen, The Accounting firm of Collins Barrow of Toronto has audited CIFFA's financial statements for fiscal year ending December 31, 2011. I would like to note that this is the first fiscal year that CIFFA has worked with Collins Barrow and would like to compliment them on the work they have done so far. They have provided the secretariat and the board with some valuable guidance on both current and future finance planning. I would also like to thank Ruth and the Secretariat for their continued support and dedication. The final draft has been duly circulated and approved by your Board of Directors. Printed copies of the final financial statement are available at the AGM, or can be requested from the CIFFA Secretariat via email. The full minutes of this AGM will be posted on the Members Only section of our website by June. As your Treasurer it gives me great pleasure to be able to share these financial data with you. CIFFA continues to return a positive balance while supporting strong member value. 2011 Revenues - 1,715,432 2011 Expenditures - 1,735,214 End of year fund surplus 746,659 While our revenues are generated from several areas, the largest portion of our revenues (and expense) remains within our education program. Various education and training revenues account for almost nine hundred thousand dollars of revenue and remain one of CIFFA’s core areas for strategic growth. Education continues to reflect our first priority. The Member surplus remains invested in various guaranteed investment certificates and short-term deposit notes with major financial institutions. Highlights from 2011 I am very pleased to report on our Highlights from 2011. Participation in our education and training programs grew in several areas. In 2011 we saw strong growth in Air Cargo Security programs, Air Dangerous goods and participation in workshops. In 2011:

• Participation in Air Cargo Security programs grew by 78 %

• Participation in the Certificate Program grew by 12%

• Participation in Dangerous Goods Programs grew by 12 %

• In total, participation in all CIFFA education and training initiatives grew 17% over 2010 That means that in 2011, CIFFA Education touched 2,042 participants

I am very appreciative of the continued support of our Members in 2011. Being a not-for-profit association, we heavily depend on Member support to fill our programs with participants and because of that support, CIFFA Education is able to revise and update current programs, while developing new program offerings. For 2012, we anticipate a slow and steady increase in participants overall, and our first quarter has shown an increase over the first quarter of 2011. Major Accomplishments in 2011 Below are the major accomplishments that CIFFA Education has provided for our Members:

• CIFFA has completed its two year project to update the content and materials in the Certificate and Advanced Certificate Programs. All Textbooks and student Workbooks were assessed and content was updated in all.

• Modules, Instructor Power Points and paper based Exams are redone. The exams were rebranded, and a project to add “response card technology” was implemented in order to increase class participation and provide real time class feedback and results.

• In 2011 work begun to launch a new Learning Management system at www.ciffa.learning.com . This new site offers students the ability to communicate with each other in a social networking type of environment, while also taking our online course offerings.

• This new environment will control all registrations for classroom and online training effective 2012.

• CIFFA’s partnerships with Colleges across the country continued to grow. More and more students enroll for the CIFFA certificate, and interest in the program from the College community is growing.

Dangerous Goods • A lot of work went into the partnering with ICAO by members of our board (in particular Bill

Gottlieb), to create a new Air Dangerous goods program. CIFFA is proud to announce that we are the first training school certified by ICAO, and are issuing ICAO certificates.

o CIFFA was also re-certified by IATA in 2012 • As was piloted in 2011, the blended online Air Dangerous goods training are being offered

each month to great success. • Road Dangerous goods online training will be available to members and non members in the

3rd quarter of 2012. Certificate programs

• Online Exams - CIFFA completed a successful pilot of online exams for its E-learning students. Online exams mirror paper based exams in content. We are preparing to provide this option to our class room students. Benefits include:

o Potential expense reductions (printing, graders, room costs) o Students receive instant grade o Administration of final grades and certificates is simplified

• Workbooks – CIFFA’s paper based workbooks will be provided as an online homework assignment for students. These workbooks will compliment in class learning and E-learning, and will allow CIFFA to provide participation grades and give the students a stronger learning opportunity.

• In class- Response card technology was implemented into the class environment, and is being improved to maximize the benefits of its use by the start of our new classes in September.

C. Gillespie, Seafreight chair was asked to present his report. 8. Seafreight – C. Gillespie Ladies and Gentlemen: Since our last report, your Seafreight Committee has been busy working hand in hand with our Secretariat and in particular, Ruth Snowden, our Executive Director. We have grappled with a number of issues, sadly many of which have carried over from the previous year, surrounding ongoing problems with regard to customs inspections and in fact on marine imports’ manifesting/re-manifesting issues. While a great deal of work has been done to improve the import inspection process and difficulties that arose concerning “fumigants” and subsequent ventilation, the crux of our concerns and those of virtually every importer impacted by this program remain to this day, of concern and unaddressed. We have been unable to determine who is accountable when inspections appear to spin out of control, for want of a better descriptive adjective. There is no cost equity for a national program. In most regions there is no cost transparency. We as freight forwarders and carriers themselves are both the brunt of most of the justifiable aggravation on the part of importers as a consequence of this program. For example, in the past year in one instance concerning the import of a 40’ container of stone from China, stone in cartons on pallets with an open crate over pack, was pulled for inspection, cost for which exceeded $2,000.00 and evidenced only two pallets at the door has having been opened and inspected. The unloading time for this container, according to the inspection facility, was in the vicinity of 28 hours. It was reloaded in 2 ½ hours. While customs claim they are not responsible for the loading/unloading and costs related, when the inspection facility is approached for evidence such as photographic evidence of the inspections’ process, importers are informed that even though this evidence exists, it cannot be provided without customs’ authority. The import inspection process is one of the best examples of catch 22 that we have seen in many years. It is all very well and good to suggest to everyone that there is nothing we can do; it is a government program, but a government program for which they assume no responsibility. This is a program that is supported by the small and medium sized importers and one which penalizes the innocent for the failing of a guilty party with regard to CFIA infractions such as non-compliant wood packaging or presence of soil on a pallet in a consolidated container. When we presented CFIA with our concerns, they were unmoved and in fact suggested that we had been consulted concerning this policy. The truth of the matter was that we had never been consulted as an

industry through CIFFA or otherwise and no proof of this consultation on their side was forthcoming. While we fully understand and appreciate the need and the function of the CFIA requirements, our research into policies in place in other countries has revealed that we appear to be one of very few, if not the only one, with instances of the return of containers on a regular basis. On investigating countries such as Australia and New Zealand who are the most notoriously stringent countries on the face of the earth with regard to wood packing requirements, we found that although they have the provision to return containers, they never do. We have also recently been advised that in the U.S., the pallets themselves may be ordered returned, but the goods are entered into the country. In a recent instance of the return of a 40’ consolidation with no evidence of insects or insect activity, we understood that CFIA does allow for a CBSA’s inspector’s latitude concerning the return or not. In this instance the penalty to innocent parties i.e. those with compliant cargo was severe, some with exhibition cargo and one who expected to encounter half a million dollars in production down time. None of these concerns had any impact whatsoever on the decision maker and the container was returned to the U.K. We have the ability to address these containers with fumigation and even though the answer we were given was ‘we do not fumigate containers in Canada’, the truth is when insects or evidence of same are identified, prior to the containers’ return, they are ordered fumigated. While it still appears ludicrous to order any containers exported, it is fundamentally absurd to do so for consolidations. While we continue to experience the problems encountered for import inspections, a new and even more foreboding item is on the horizon and embraces export inspections. Here again a fundamental lack of accountability, no less evident than in the case of imports. Simple requests for information and indeed, questions from exporters are responded to by dogmatic information that any of us who have been in this business for more than a year would be well aware of. Instances of containers for clients on summary reporting on a whim or inspection of the same exporters’ shipments three times in the course of three months for movements from the same shipper to the same consignee from the same port of load to the same destination of the same commodity, illicit questions on the part of the exporters which, when presented to customs, are simply ignored and, what of the decision on the part of the customs’ analysis resulting in a “no load” because the importer is a trucking company and in the view of what we can only assume was an individual, this company could not possibly by an importer which in fact they were. Ruth and I have both struggled with re-manifesting issues and a host of concerns seem to have arisen overnight resulting in manifest rejections for missing seal numbers and the failure to insert information in the body of an A8A even though the information is clearly shown on the 8 ½ x 11 page, only half of which is occupied by the official form and which in effect is too small to enter the added data therein. Customs’ suggestion – enter the additional information in a handwritten form on the A8A. We also had the occasion to remind our members once again of the importance to alert importers and their truckers as to their responsibility to return containers within the prescribed time and in a clean and undamaged condition. Several of our members have encountered costs relating to the repair or cleaning of an import container arising months after the import transaction has been completed and in fact on investigation, the carriers themselves have encountered late billings for CFIA and other related incidents. On an issue of a more international flavour, the chairman addressed, in his capacity as MTI Chair of FIATA, the growing desire on the part of the IMO to consider the weighing of all containers prior to loading on board vessels, this to prevent serous marine casualties such as that of the MSC NAPOLI where the evidence of improperly declared container weights they believe contributed significantly to this incident. Of interest in this matter was the fact that a significant number of containers being transported as empty apparently were loaded with cargo.

Our view is that for the most part and we would expect this to be a global view, responsible exporters know the weight of the cargo they are loading in containers, especially those moving commodity cargoes. Any small variance should fall well within the accepted margin of error. It is our belief that a random sampling would be an effective manner in which to identify those whose containers are misdeclared and in fact, unless containers were weighed at their point of origin, the exposure and risk to public life and limb is perhaps far greater while the goods are moving from their point of origin to the port of loading. Ruth and I addressed and reminded our members of growing concerns when dealing in waste cargo and so many global jurisdictions are tightening their regulations concerning waste or commodities described as scrap or used. Again the importance of knowing your shipper and commodity can never be over stated. I also personally encountered an issue of interest concerning our forwarder 8000 series bond and identified the customs agency/entity to whom renewal should be confirmed each year. It does not appear to be a generally known or understood requirement, but this is in fact necessary. Finally in closing, Ruth and I were recently parties to a customs and CNSC conference call related to the recent detection of radioactive material entering Canada in import containers. Most significantly these were identified on the west coast in Vancouver and at one point could have amounted to as many as twenty containers. The detections were related to surface contamination on the container or commodities therein as a result of the Japanese nuclear incident. Some related to commodities manufactured using raw material (steel) that had been contaminated by the introduction of cobalt 60 irradiated metal. In all cases but one which we understand remains, containers were returned to origin. In any case the level of radioactivity was determined to be less than that which would exceed the threshold required for transport regulations. It is interesting to know that while affected cargo could be separated and returned or in fact could be imported, the costs surrounding the requirements to do so are in fact prohibitive and in the latter case of permissive ability to import, it is unlikely any Canadian company would want to risk public knowledge of their sale of radioactive products regardless of how insignificant the level might be which seems to be something most of us fail to realize when purchasing ceramic tiles, granite counter tops and indeed, apparently even bananas. What I expect is most important however in our analysis of the result of this meeting was that the return of the container is an issue between the carrier and party who contracted the carrier to move the container to Canada, that being the shipper of record on the marine carrier’s bill of lading. While we as a consignee on say a consolidated container or for that matter as a consignee on an import box, should and are willing to extend every effort possible to resolve the problem, we cannot be held responsible. In this report I have tried to address the issues of key concern that have arisen in the past year and while Ruth and I may address a multitude of small concerns and requests for information from our members, to include these in this report would render it far longer than it already is. 9. Airfreight – J. Cullen M. Bibeau advised that as Jeff Cullen, our airfreight chair is not able to join us today, I would ask Bill Gottlieb to present his report. Colleagues: Airfreight continues to be a world plagued by instability, volatility and uncertainty on a global basis. 2011 was another challenging year for the airfreight industry as a whole, with some progress being made in the first half of 2011 over 2010, and then a slowing toward the end of the year. The outlook for 2012 continues to be somewhat fragile and cautious; an environment characterized by economic and political instability in the Middle East and the Euro Zone, coupled with rising fuel prices, 2012 will be another year of survival and stabilizing. The Canadian market continues to be a beacon of hope for survivability and prosperity for our industry in 2012 and beyond. I believe we can take pride and solace in the fact that we as an industry have survived despite enduring continuous change and rigor on many fronts, including security, currency devaluation or escalation, all while once stable world economies are teetering on the brink of financial collapse. Amazingly, we have survived, and despite it all, we continue to thrive in Canada as an industry and we adapt to the ever changing global market. The global industry continues to be tossed about by volatile and rising fuel prices and capacity issues attempting to match demand, while continuing to be impacted by increasing security and administrative demands globally. Despite the complicated world that is evolving, we continue to see Canada characterized by growth and opportunity. Highlights of the past year: IATA – (ALWG = Agent Liaison Working Group / LCAGC) / Cass Import / e-freight CIFFA has continued to remain in contact with IATA in an effort to keep communication lines open to ensure CIFFA and the membership remain appraised of issues that affect the industry. There have been no direct industry meetings with IATA over the past year, but CIFFA continues to act as the advocate for the industry with IATA and CASS. During the course of 2011, CIFFA did engage with IATA / CASS over issues with communication on the release of the version 3.1 for CASS Agent User Manual where there had been no discussion with CIFFA directly, or even through the ALWG. CIFFA remains hopeful that meaningful progress can be made in the coming year by keeping open dialogue with IATA and its constituents. Air Cargo Security in Canada Air Cargo Security continues to be a fast changing and continuously evolving animal. Canada now moves towards the USA model of 100% screening requirements by the end of 2012. This is a reality and must be accepted as the future if we want to ensure the wheels of commerce continue to roll. Carriers are

preparing for this eventuality, but many questions remain to be answered prior to the final requirements implementation at the end of 2012. Transport Canada has almost completed phase one consultations with stakeholders to develop the procedures for the new security requirements. Further consultations are, and will take place as the final details of the plans for the new regulations and strategy. In Canada, security has recently reached the forefront with the hardening of security requirements and the formalizing of ACSP (Air Cargo Security Program). CIFFA engaged with Transport Canada and was vital in the communication to the CIFFA membership of the deadlines and requirements for the new security regime. CIFFA went further with the development and deployment of programs offered in house for companies investing in their secure supply chain. The security of the supply chain has become more onerous and the role of the freight forwarder to ensure compliance throughout the entire chain is vital. CIFFA remains engaged with Transport Canada and CIFFA constituents are appraised of the changes coming fast and furiously at us all. E-manifest and E-Freight E-Freight continues to be a priority for IATA in 2012, but the biggest stumbling block continues to be readiness of the IATA member airlines and the industry as a whole. This will continue to garner attention in 2012 as security measures increase and the need for swift and secure transmission of information increases.

• E-Manifest in Canada is moving along with the highway sections slated for final implementation in the fall of this year, and airfreight to come on line in 2013. CBSA are holding online webinar demonstrations to help clients understand the process and to set up their E-manifest accounts. The intention of E-Manifest is to ‘enhance security and ease of movement of low risk goods’: (quote from the CBSA website on E-Manifest)

Making the Border Smarter and More Secure

eManifest, the third phase of the Advance Commercial Information (ACI) program, is about getting the right information at the right time to enhance the ability of the Canada Border Services Agency (CBSA) to identify potential threats to Canada, while facilitating the movement of low-risk shipments across the border.

On June 11, 2009, Bill S-2, Customs Act Amendments, was granted Royal Assent, the final stage required for the Bill to become law. This allows the CBSA to mandate various members of the trade community to submit pre-arrival data for risk assessment purposes.

When fully implemented, eManifest will require carriers, freight forwarders and importers in all modes of transportation (air, marine, highway and rail) to electronically transmit cargo, conveyance, house bill / supplementary cargo and importer data to the CBSA prior to loading in the marine mode and prior to arrival in the air, rail and highway modes.

In closing, I would like to impress upon all of us how vital the efforts of CIFFA are. CIFFA remains engaged on many fronts as an advocate for the industry. The mandate of the CIFFA Airfreight Committee is to maintain a powerful, pro-active national forum working on behalf of Canada's International Airfreight Forwarders. It is to maintain ongoing dialogue with air carriers and their worldwide association IATA, to uphold and represent the interests of CIFFA member companies. In recent years CIFFA has experienced a significant increase in the number of important issues confronting the airfreight industry. To ensure proper and professional representation on these issues, the committee has structured Working Groups to address individual topics of concern such as CASS, Agency

In addition to the formal Sub-Committees, I must thank all of the many numbers of CIFFA Member employees who have who have met with the CBSA Operations in Montreal and Toronto at formal and informal meetings or participated in CIFFA’s internal discussions on eManifest Technical and Design groups, Export Reporting, or Container Examinations. Over the past year CIFFA has been represented by myself at all the BCCC meetings and also the first ever Security Perimeter Town Hall Meeting in Niagara Falls NY. There are PPT presentations describing various aspects of each of these meetings and should any member wish to receive, they can ask the Secretariat who will gladly supply same. At this time I would like to confirm that the eManifest design committee has performed as much as we can do and that the freight forwarders functions within this program should be finalized. That said, there is still some confusion concerning the carriers and the Cargo Control and Sufferance Warehouse Modernization sub-committee that has just started – last month having its first meeting. In both areas, the freight forwarders can only go forward when the carriers and warehouses help us create a totally electronic – de-consolidation program. CBSA advises that the freight forwarders aspect will become reality as of spring 2013 so there will still be a lot of work ensuring our partners continue properly. CIFFA continues to “discuss; argue; fight” with CBSA at various levels over the lack of consistency concerning manifesting throughout this country. If I was politically correct I would not be able to say at times we run into a government wall and have to listen to explanations that sometimes leave us “astonished”. Nirvana is coming with eManifest, or so we are told. (It will definitely have to have one single system country-wide.) Another major problem is container examination and I am sure Chris Gillespie will go into in more details but I think CIFFA should be pushing for a general user fee or universal assessment from CBSA for all containers instead of having single importers or exporters pay at time of an examination. Gottlieb Dear Ladies and Gentlemen; Over the past year CIFFA members have been kept well informed on the actives of our global organization, through the bi-monthly FIATA Review, and the FIATA-Flash Email updates sent as issues arise. I will therefore only briefly touch on a few areas of interest; The FIATA annual Congress was held in Cairo last October, amidst concerns of ongoing political unrest, while this did limit the number of participants, those in attendance had only to deal with the notorious Cairo traffic, and we thank our hosts, the Egyptian International Forwarders Association for their warm hospitality. In March 2012 FIATA held its spring Headquarters meeting in Zurich, with a record 254 participants from 61 countries, attendees included, our President Marc Bibeau, our Executive Director Ruth Snowdon, in addition to Chris Gillespie Chair of the FIATA Multimodal Institute and myself. This year FIATA welcomed a new President Mr. Stanley Lim Hwee Hong of Singapore, as well as a new Director General, Mr. Marco Sorgetti, following the retirement of Mr. Marco Sangaletti, who had served in this position for the past 15 years. Mr. Sorgetti was previously the Director General of CLECAT, the European association for forwarding, transport logistics and customs services, based in Brussels. FIATA’s continues in its role to advocate on behalf of the forwarding industry, taking direction from its membership, which has grown to 115 national association members and over 5,600 individual members. At the Zurich session, CIFFA’s education course was successfully re-validated by the Advisory Body Vocational Training, following a presentation to the group by our Executive Director Ruth Snowdon. CIFFA also received congratulations as the first FIATA member to launch the ICAO/FIATA Dangerous Goods Training Program, and for its support this very significant training initiative. FIATA’s Airfreight Institute continues to dialogue with its fellow stakeholders in the air cargo supply chain, having co-founded GACAG, the Global Air Cargo Advisory Group, with The International Air Cargo Association (TIACA), The Global Shippers Forum and IATA. This group focuses on Security, eCommerce, Customs Facilitation and Sustainability. Talks continue with IATA to seek a new industry relationship between forwarder and airline to reflect today’s reality. These talks have taken on renewed vigour with the arrival of Mr. Tony Tyler as IATA’s new Director General. At the recent IATA World Cargo Symposium, Mr. Tyler pledged to work closely with FIATA and he expects to deliver a report and roadmap to the IATA Board of Governors by year’s end. While Canada was not one of the finalist for last year’s FIATA Young International Freight Forwarder Award, now in its 14th year. CIFFA continues to be a strong supporter with yearly nominations, and our success rate in finalists and a winner is quite impressive. The award is supported by the TT Club of London, and invites finalists to the FIATA World Congress, all expenses paid, with the winner receiving additional training opportunities with the TT Club. We welcome all young participants in the CIFFA education programs to consider applying for this prestigious award. The 2012 FIATA Congress will be held from October 8 – 12 in Los Angeles, returning to the USA after

G. Magrath, CIFFA’s legal counsel, presented his report. 12. Judicial – G. Magrath Dear Colleagues, I consider the following developments to be of interest to the Membership: Canada Not-For-Profit Corporations Act: On 17 October 2011 the Federal Government declared the new Canada Not For Profit Corporations Act in force, beginning the three year transition period set out in the Act. Some key changes in the new regime include:

• a progressive structure of increasing financial reporting requirements. CIFFA currently undergoes an audit by a public accountant and will not be affected by these new requirements;

• Ministerial approval of By-Laws no longer required; • Many procedural matters formerly left to by-laws are now mandated in the legislation; • Minority rights to classes of members similar to class rights for classes of shareholders in

corporations. All Federal non-profit corporations must transition to the new regime by 17 October 2014 or their articles will expire. While the required “Articles of Continuance” is only 2 pages and there is no fee for filing, a review of our by-laws to ensure compliance and eliminate redundancy with the new legislation is both timely and necessary. Accordingly, the NBD has set aside time and required counsel to review the By-Laws and prepare a series of recommendations, as well as the Articles of continuation, for approval by board and membership with a target date for transition of either year-end 2012 or 2013.

Cami v Westwood: Bills of Lading + Waybills: The appeal of this August 2011 Federal Court decision was rejected in January 2012, confirming key legal findings of interest to members:

• Waybills and straight bills distinguished: A key issue was the nature of the transport document: the Court held that in Canada a Straight Bill is a document of title and must be presented to obtain delivery; a waybill is not.

• Importance of Marks: While the decision of the Court that the document was a Waybill was highly fact dependent, the Court extensively discussed the conflicting marks that are unfortunately quite common in our industry.

• Legal application of Hague-Visby confirmed: A recurring problem with the H-V rules is their application only to bills of lading ‘or similar documents of title’; the Court confirmed this application and, accordingly, that the H-V rules are not of mandatory application to international carriage by sea under a Waybill.

• Application of contractual limitation: The key issue to the parties was the applicable limitation: COGSA’s $500/pkg or the substantially higher H-V limit. The Court had no difficulty enforcing the COGSA limit that was incorporated in the standard terms.

The facts and reasoning in this case formed the basis for a breakfast seminar held by CIFFA in Toronto in February which will also be available through live webcast on 29 May 2012. Rotterdam Rules: No developments. Spain remains the only nation of 24 signatories to have ratified the rules domestically. No action is expected from the USA until 2013. CIFFA also continues to use print and electronic media to promote our Members and our robust education programs and of course to advertize newly developed programs, workshops and information seminars. We continuously update and design new ads that are placed in multiple industry publications like Canadian Sailings, Canadian Transportation and Logistics, Logistics Quarterly, CME, MM&D etc. CIFFA also uses partnerships with other associations like ieCanada, SCL and CITA to promote Association education activities and other events. We have developed a strong reciprocal relationship with the Montreal Traffic Club. The daily eBulletin continues to provide timely and relevant information to our Members. We follow worldwide issues and keep our ever growing audience informed on potential impacts to their businesses. We raise concerns and deal with issues regarding carriers, government, ports and other infrastructures. We help create partnerships with other stakeholders by reaching out through our bulletins; and we gather and share information through it. Our audience is ever increasing through ripple effect and word of mouth. Advertising revenues from ads placed in CIFFA publications, The Forwarder magazine – published bi-annually and the annual CIFFA Membership Directory was a combined $47,230.00. Industry related companies are still finding advertising value in our publications. In 2012 our National Sponsorship Program was extremely successful, resulting in new revenues of $47,200.00. As part as our “Going Green” initiative, CIFFA will be surveying our Members as to whether it is time to eliminate the hard copy membership directory, and go completely electronic. Again this year CIFFA encourages Regular Members to promote our $3000.00 scholarship to their employees. One poster is available to each Regular Member, and can be picked up from the side table before leaving the meeting today. Please post this in your lunchrooms for your employees to see. Your Directors and Secretariat have been very busy representing CIFFA Members by participating on numerous regulatory committees, industry committees, FIATA meetings across the country and around the world. In addition CIFFA Directors and its Secretariat have been attending, chairing, and speaking at industry seminars and functions. These activities continue to provide CIFFA and its Members with the profile and clout in the industry confirming that CIFFA is the Voice of the Freight Forwarding Industry in Canada. Dear Members: Membership in CIFFA remains at an all-time high. CIFFA membership stands at 246 regular members and 152 associate members as illustrated in the attached graphs. The CIFFA secretariat continues to pursue new members that meet the best in class criteria and as a result strengthen your association. As mentioned in my previous report, one of CIFFA’s strategic imperatives was “Best in Class Membership”. A working group was formed and has met several times over the past year to continue its quest to professionalize the industry, and has developed further requirements for Membership in CIFFA. In the past when you renewed your membership in CIFFA you agreed to abide by the following requirements:

• Trade under the Standard Trading Conditions (or those no less onerous) • Have current Legal Liability Insurance including E&O, in the minimum amount of $250,000.00

per occurrence • Abide by the Code of Ethics, and • Have Air Cargo Security and DG trained staff as applicable • Maintain carrier’s liability insurance, in addition to the LLE&O insurance, to insure the liability

when issuing the FIATA FBL and FWB documents These requirements are still be in place, but because logistics and supply chain has become a very intricate industry, governments are implementing more and more security measures for freight forwarders and CIFFA needs to “keep up with the times”. You will remember this past March CIFFA’s Best in Class Membership Committee sent out a survey asking members for input to membership requirements. After consideration of all the responses, the Committee has developed a new set of membership criteria to reflect these comments and government regulations. Highlights of the new requirements:

• Perspective New Members must be in business for at least 36 months • Must have trained staff in both Air and Ocean Dangerous Goods at each location • Must have trained staff equivalent to CIFFA’s Certificate Program • Be a member of CBSA’s PIP program • Be a member of Transport Canada’s Air Cargo Security Program

All future Members will have to fulfill these membership requirements. There will be a two year transition period for existing members and each new criterion will give Members an opportunity to explain why they do not meet a specific criterion, e.g. “Do not handle air cargo” (Timeline: January 1, 2012 – December 31, 2013). CIFFA believes having these new requirements in place will once again take CIFFA and its membership to a higher level of professionalism and leadership. CIFFA is Canada’s leading industry association, representing Members’ interests in the provision of international trade logistics and supply chain management services. Our Mission is ‘to represent and support Members of the Canadian international freight forwarding industry in providing the highest level of quality and professional services to their clients.

R. Snowden, Executive Director expounded by saying that staff should be trained in at least the general awareness course, which will allow your employees to identify possible DG. This training does not have to be the courses offered by CIFFA, as long as there is a certificate of completion submitted to the CIFFA Secretariat. Member, T. Chazin commented that even if you are as to quote on a shipment, the various regulations should be known. As Donna Letterio, our Ethics & Standards Chair is unable to be at this meeting, M. Bibeau asked Mark Soubry to present her report.

15. Ethics & Standards – D. Letterio Ladies & Gentlemen: In 2011 we had several complaints and concerns addressed to the Ethics and Standards Chair. The Secretariat investigated every complaint and ultimately it was determined that no CIFFA Member firm was in breach of any Ethics and Standards guidelines. In some instances, the complaints were commercial or identified a failure by a Member firm to follow best practices and no official complaint was filed. Of the official complaints that were received, in one instance, a client issued a complaint against a CIFFA Member for ‘misdirection/ cross-labelling’ of cargo. The CIFFA Member had engaged counsel and the subject was before the courts. It was determined that there was no breach of ethics in this case. Another complaint against a CIFFA Member was received from an individual regarding an export shipment of personal effects. The Member firm was asked to correspond more directly and frequently with the customer and did so. Finally, CIFFA spent considerable time and consideration on a complaint of non-payment of funds and inappropriate release of cargo by a freight forwarding company in Pakistan against a CIFFA Member. This complaint was taken up by the Pakistan International Freight Forwarders Association (PIFFA) who also raised the issue to FIATA. It was addressed twice by the National Board of Directors. It was decided that CIFFA cannot investigate or determine guilt or innocence in a specific commercial situation. The matter is more properly dealt with legally, through the courts and thus CIFFA declined to take action either for or against this particular Member. When the matter has been resolved by the courts, the association may take action against the Member firm – which may include revoking its membership. However, the complexities of this complaint caused the CIFFA National Board of Directors to consider how future complaints should be addressed. At the November 24, 2011 National Board of Directors’ meeting it was agreed that a small subcommittee would address the issues. Under the leadership of the Chair of the Ethics Committee and with guidance from Mark Soubry, Chair of the By-Laws Committee, Gavin Magrath, Legal Counsel and Ruth Snowden Executive Director we reviewed how the Secretariat and the Chair of the Ethics Committee might triage complaints and determined that there was a need for policy and directions for the Secretariat and Ethics Chair in these matters. Discussions revolved around the Code of Ethics and the first two items of the Code of Ethics which may be subject to interpretation or definition.

Every C.I.F.F.A. Member pledges to abide by this professional code of conduct which states:

• The CIFFA Regular Member must discharge its duties with honesty and integrity. • The CIFFA Regular Member pledges a standard of competence to its client, to perform in a

conscientious, diligent and efficient manner, services undertaken on the client’s behalf.

At the Board meeting on February 9, 2012 the new complaints form, policy and procedures were approved and subsequently posted to the CIFFA website at http://ciffa.com/members_filing_complaint_guidelines.asp. The following policy was adopted and posted:

Policy CIFFA takes complaints against Member firms seriously and has a mechanism to handle complaints. Complaints, however they are received, are recorded. Complaints which have been filed on the appropriate form are investigated by the Secretariat and when warranted are forwarded to the Chair of the Ethics Committee of the National Board of Directors. At the discretion of the Chair of the Ethics Committee, complaints may be reviewed by the National Board of Directors and further action taken. The association does not investigate or take action on commercial disputes. If a Member is found to have breached the Code of Ethics, the only sanction that the association can implement is to cancel the Membership of the company.

Boat Cruise The 2011 Boat Cruise was a huge success, and was the first year that it was not held in conjunction with the Central Graduation. This allowed the 162 members in attendance to network, enjoy the music and dance to the tunes all evening long. This year’s event has been booked for Thursday, June 14, 2012. Golf – Cardinal Golf Course Last year our golf tournament was a great success with 152 golfers. We booked the same 18 hole course and upgraded from the previous year by adding chandeliers in the tent for a pleasant evening dinner. Woodbine Race Track – Night At The Races This was a new Central event for 2011 and was a success, filled with friendship and camaraderie. This was a break-even event. FCA Everyone has committed a great deal of time to ensure that the FCA event in Central attracts support from for all of our Members and provides excellent entertainment for all those who attend. Anecdotal evidence suggests, Business has generally been good for members in this region despite the uncertainly in the marketplace. Members continue to commit to the association through involvement on committees and attendance at our events. Specifically we had several committee members resign for various reasons this year but we had many more than we can handle step forward. It is great to see the high level of volunteerism in our industry and in our region. I have highlighted our new committee members for this year below. Such as life is, we lost a very highly regarded member in this past year. Everyone knew Craig McKay as a fellow that was always there to give advice, and provide help in every way he knew how. Craig was Western Region Chair for many years and most recently National Education Chair as well as many other CIFFA capacities over the years. He was my mentor for this role and one of my main mentors in this business. Craig has left a very big hole that will never be filled but he lives on in our hearts, in the spirit of how we conduct business on this committee, in this region and as an industry. Our social activities continue to be well attended and profitable enough to give back to our organization; support our various educational causes; and once again supporting local charities. Our golf, FCA and other social events continue to be events valued by our members for their fun and networking opportunities. We continue to foster mutually beneficial relationships in our region with Government and industry partners that include meetings in the past year with CBSA (as a permanent member on the Pacific Commercial Committee), Port Metro Vancouver (i.e. Container stakeholders committee and Nominations committee) and the Asia Pacific Gateway Table.
