Congratulations to Drs. Misti James and Marc Worob for their

nominations for 2014 Texas Academy of General Dentistry Dentist of the Year, and Dr. Trisha Kimes for her nomination for Texas Academy of General Dentistry New Dentist of the Year. All three were honored at the TAGD LoneStar Dental Conference in September.

Let’s face it, the real estate portion of your practice involves significant financial commitment. There

are two basic parts to every commercial lease: monetary and lease terms. While the lease terms may not seem monetary in nature, when not properly negotiated they can affect the tenant’s pocketbook significantly. Negotiating a successful dental lease contract depends largely on a tenant’s ability to understand what landlords want and why they want it. It is crucial that the terms and conditions protect the tenant’s assets by limiting his or her perilous liabilities and obligations. The following are a few nonmonetary provisions that should be included in a lease prior to signing.

Problem: Lease grants the landlord the right to terminate the lease in the event of sale or sublease of the practice. Solution: The lease should contain a provision that the landlord must be reasonable in granting lease assignment, and that renewal option rights must convey in the event of sale or sublease of the practice. Coupled with long lease terms and renewal options at predefined rates, this provision guaranties the continuity of the practice location and may increase the value of the practice at the time of sale.

Problem: Lease contains a typical provision that forces the tenant to pay contested claims from contractors and vendors to avoid mechanics’ liens on the property. The tenant must pay the contractor even if there is a disagreement on the quality, quantity, or pricing of the improvements. Following payment, the tenant can then sue the contractor or vendor to recover the disputed amount. Landlords typically are firm about this provision, as their mortgage holders don’t want liens clouding up the property titles. Solution: To compromise with the landlord in this situation, the tenant should be granted the right to provide the landlord with a payment bond from an approved bonding company. The bond guarantees payment of the claim, and gives the tenant time to contest the contractor’s claim without losing total control of his/her funds. The bond company will also take on the responsibility of hiring a replacement contractor to complete the job, adhering to original quality, quantity, and pricing.

This time of year always gives me pause. Maybe it is the

cool evenings or the shortening days that create within an extra sense of awareness. Transitions as simple as the end of one year and the beginning of another offer a natural opportunity

for this heightened sense of awareness to focus on the past and to peer into the coming future.

Often when we reflect on the past in such a way the negative memories are crowded out by the positive ones. The passing of Time seems to soften the tragedies and highlight the triumphs making the positive all that more memorable. Whenever these cherished memories emerge they evoke a deep sense of Thankfulness & Gratitude for all that we have been Blessed to receive.

As I remained in this vein of thought, it slowly occurred to me that Thankfulness & Gratitude, while often used interchangeably to express appreciation, are actually different parts of a continuum.

Thankfulness is a feeling of appreciation often expressed through words; Gratitude is the outward manifestation of that feeling. It is in this tangible

expression of Thanks that Gratitude takes on its true meaning.

Dentists occupy a unique space in healthcare. Much of what we do is of an intimate nature. Patients, in a relatively short period of time, are asked to lie down and bare one of the most psychologically vulnerable areas of their body to a

near complete stranger. To effectively help people with their oral health and overcome this natural reluctance we strive to create a relationship in which we earn our

This feature will allow you to bypass the line at the meetings and spend more time socializing with your colleagues!

To register for a meeting, please go to our website www.capitalareadental.org and log in. If you have forgotten your password, there is a password recovery option that will automatically help you get logged in. Once signed in, click on the green “more” button on the General Meeting announcement, then click on the blue “RSVP and Pay Online” link. You will be given the option to choose your meal ticket, and then just add your ticket to your cart and check-out. You will also be given the option to save your credit card information for future purchases. CADS will email you a confirmation and a receipt for your records.

Another great feature in the registration area, you can export the event to your smart phone or tablet calendar with Google Calendar and iCal export features.

If you choose not to register and pay online, you will still have the option to pay at the meeting, but you are asked to bring a check instead of paying by credit card.

A Report from the 2014 ADA House of Delegates

The 2014 American Dental Association Annual Session was held in San Antonio on October

9th- 14th and the House of Delegates met during the session. Several resolutions were passed, some defeated; the following is a short summary of the actions.

Nimble, risky, and change were words heard over and over. There is an impression that the ADA is an archaic, dinosaur of an association, and yet even with the significant downturn of the American economy since 2007, ADA has maintained at least a 66% membership level of all dentists in the United States. This level of support is what has kept the ADA strong and relevant. The ADA “Power of Three” campaign is attempting to more efficiently coordinate the benefits of the organization for its members across the country at the national, state and local levels. If you simply look at what the Capital Area Dental Society has accomplished, you would see many avenues of improvement the ADA is considering. Not that we have solved all membership issues, but we are being innovative in many ways. Our young dentists are empowered, and our society is the envy of all in Texas. Be proud of our model for a society. We engage new dentists in leadership, we have an active new dentist group, and we have a strong charitable arm to serve our community.

A resolution was proposed to modify the necessary percentage of votes required to change ADA bylaws. Historically, parliamentary procedure was set up to have a 67% majority to enact a bylaws change. The resolution proposed a 60% “Super Majority”, primarily to facilitate the perceived necessity to expedite change. The resolution was supported by many younger dentists, arguing the need to be nimble and take risks for positive change. The motion failed by a considerable number of votes (62%). The House of Delegates did however mandate a complete review and revision of the ADA Bylaws, which have not undergone a rewrite since the mid-1940s. The goal will be to keep the foundational and governing rules within the wisdom of the 2/3rds parliamentary mandates, but to remove the perceived operational issues from the bylaws and place in an operational manual which will be more “nimble.” This MASSIVE undertaking is mandated to take place this next year and be reported to the 2015 ADA HOD. ...continued on page 7

When a dispute occurs between a landlord and a tenant, the lease contract has the final word. It is imperative that the tenant be granted favorable terms and conditions that will meet his/her long-term business goals and provide protection against potential perilous exposure. Market conditions set the lease rate. A well-negotiated lease with protective terms and conditions leads to a successful tenancy.

I have always had a hard time figuring out which generation

I belong to. Chronologically, I am either late Gen X, or early Millennial, depending on which Wikipedia page you get your dates from. Through extensive research (i.e. Googling) I decoded that, according to writer Marc Prensky, I am also in limbo somewhere between a digital native (born in the age of our smartest gadgets) and a digital immigrant (forced to adapt to our smartest gadgets). This might help explain my take on technology, in which like my generation designation, I am somewhere in the middle. I realized not too long ago that it might be time for a change.

I had three ongoing to-do lists; one for home, one for the office, and one for CADS, each in its own designated spiral bound notebook or legal pad. I had a stack of journals and articles I was going to read someday. I had a seldom used laptop, and I had a jump-drive for transferring data from work to home. I even had an iPad for playing games, and an iPhone for texting. Everything fit nicely in my 20 pound bag that I would haul around each day. It was my perfect world of organized chaos, and it had worked for me since middle school…which was a long time ago.

At a recent CE meeting I was introduced to some fairly new smart phone apps. At that moment it occurred to me that I had the knowledge and the tools to simplify my life, I just needed to take the leap and use it. Now I let my tablet, smart phone, and computer work together as a system and it has helped me eliminate a lot of clutter. The most basic part of the system is “the cloud”. As most of us have learned in the last few years, the cloud is not much more than off-site data storage that is accessed via the internet or a cellular connection. Whether used for office computer backup, or just as personal data storage, we no longer have to use portable devices like jump-drives. Data can also be shared with other users, which is great for sending pictures of the kids to their grandparents. Two of the most popular cloud based storage solutions are Dropbox and Carbonite. Dropbox has a free version for personal use, with upgrade options for larger storage. Carbonite has varying levels of service ranging from individual user to mega-server backup,

and offers HIPAA compliant packages for patient data backup.

Another innovation that evolved alongside the cameras on our smartphones is smart scanning technology. There are several apps that “scan” a picture of a document then read the information and put it into a more useable format. CamCard is an app that will read a picture of a business card, organize the information and automatically create a new contact in your address book, then share the contact info with any email accounts you designate. The CamScan app allows you to take a picture of a document, then save

as a searchable PDF on your cloud, or send via fax or email. The scan quality is generally just as good as a traditional table top scanner. Expensify takes pictures of your receipts and then generates a customizable itemized expense report. You can save the report as a PDF or email it. This works great for your staff’s business or CE related travel.

My to-do lists are now neatly organized with the Wunderlist app. It is an account based app, so when I make a change to my lists on my tablet, it also updates on my

phone. Lists are also sharable with other users. I also recently started using CloudOn, an app that allows me to edit and create Microsoft Office documents from my phone or tablet. I’ve linked CloudOn to my Dropbox folder, so I can create and save, then open and edit from another device.

All of my documents, photos, contacts, notes, list, calendars, reminders, messages, movies, music, and books are accessible with any device I own. The above mentioned apps are just the ones that I use, but there are several similar ones available that do the same thing, and almost all are available for Android and Apple operating systems. I will make no claims about security or how well these technologies will integrate with your life (or your practice), but they have helped me be more productive, more organized, and less stressed. Take a look at your cluttered desk and figure out what things you have been doing the same way for 20 years. Chances are, there’s an app for that!

Financially the ADA is in excellent condition. We passed a surplus budget for fiscal year 2015. ADA dues will remain at $522 for the third straight year. Because of a regulatory decision that released surplus insurance reserves built up by Great West Life Insurance Group, the ADA was recipient of a $6 Million dollar windfall this year. As a consequence of this ongoing transfer of funds, a strategy to develop a “Royalty Fund” was established. Six million dollars will go annually to the reserve fund until it reaches $100 million, then interest and returns on the investments will be put into ADA member benefit programs and utilized to stabilize dues. This may take 10-15 years and may seem like a good idea for financial stability of the association, but with membership numbers down, the need for sound programs funded by ADA is critical. A sound association through the Power of Three gives the ADA relevancy for our members, for our advocacy at all levels of the tripartite, and becomes our best asset to attract new members and retain existing members.

The young dentists were very much a topic of many resolutions as the HOD realizes our future depends on membership. One of the most discussed resolutions was the change of the New Dentist Leadership Conference from a stand-alone summer meeting to scheduling it alongside the ADA Annual Session in the fall. The argument from ADA for moving the meeting was to establish an environment where more than the usual 250 new dentists would be available to attend while at the ADA meeting. Concerns were expressed about the meeting being diluted by the ADA meeting as well as increased expenses for those attending due to the ADA being held in more expensive cities. In fact, the decision

had already been made by the ADA Board of Directors, and the HOD resolutions came forward to challenge that decision. The compromise was a three year “trial period” with the possibility to move it back to a summer meeting.

A resolution passed encouraging legislative action to expand existing laws focused on the student debt problem. Suggested changes included concepts of capping interest accumulation and having payback to be commensurate with income. These varied ideas to reduce debt burden are recommendations for ADA lobbyists in Congress.

In his second year as Speaker of the House, Dr. Glen Hall of Abilene did a wonderful job in controlling the sometimes heated discussions on the floor of the house. Dr. Hilton Israelson, the 15th District (Texas) Trustee from Richardson, announced his candidacy for the ADA President Elect position. There are two other announced candidates: Dr. Gary L. Roberts DDS from Louisiana, and Dr. Gary Yonemoto DDS, MS from Hawaii.

Dr. Carol Summerhays from California is your new president-elect of the ADA. Dr. Summerhays will follow Dr. Maxine Feinberg, from New Jersey, your newly inducted ADA President. Dr. Feinberg and Dr. Summerhays are the 3rd and 4th female Presidents of the ADA. This trend is reflective of the ADA membership and also shows that change can and will happen in our association.

Dues NoticeDues notices for the 2015 tripartite membership were mailed out from the TDA office in November. These dues are due and payable January 1st. We urge you to renew your commitment to organized dentistry. Our strength is in our numbers! The TDA has several methods of payment for your dues:

1. Dues payments can be made by credit card (AMEX, Visa, MC, Discover) by phone or online at TDA.org.

2. Prepayment Plan – Payments are divided into 11 payments and drafted from your checking account, or charged to your credit card. Upon payment of your current dues, you may join the prepayment plan and begin paying your dues for the next year in advance with 11 installments. This plan must be set up with the TDA.

3. Installment Plan – Dues payments are divided into three installments due January 15, February 15 and March 15. It is up to you to request this plan by December 15 and make payments when due.
