("Debtor"') has filed with the United States Bankruptcy Court a Motion of the Debtor to Extend

Period of Exclusivity for Filing of Disclosure Statement and Plan of Reorganization Pursuant to

Simply Wheelz LLC, d/b/a Advantage Rent-A-Car, the Debtor and debtor-in-possession

in this reorganization proceeding (the "Debtor"), by and through its undersigned attorney, files

this Motion of the Debtor to Extend Period of Exclusivity for Filing of Disclosure Statement and

Plan of Reorganization Pursuant to § 1121(d)(1) (the "Motion"), which requests that the Court

grant it an additional ninety (90) days within which to file the proposed Plan of Reorganization

(the "Plan") and Disclosure Statement; and a similar extension of ninety (90) days within which

to solicit acceptances on such a Plan, and in support of this Motion, the Debtor respectfully

represents as follows:

I. JURISDICTION

1. This Court has jurisdiction over this Motion pursuant to 28 U.S.C. §§ 157 and

1334. Venue is proper in this Court pursuant to 28 U.S.C, §§ 1408 and 1409. This matter is a

core proceeding under 28 U.S.C. § 157(bX2)(A) and (O).

II. BACKGROUND

2. On November 5, 2013 (the "Petition Date"), the Debtor filed a voluntary petition

for relief, and thereby commenced a case under chapter 11 of title 11 of the United States Code



(the "Bankruptcy Code"), in the United States Bankruptcy Court for the Southern District of

Mississippi (the "Court").

3. Pursuant to sections 1107(a) and 1108 of the Bankruptcy Code, the Debtor is

authorized to operate its business and manage its property as debtor-in-possession. As of the

filing of this Motion, no trustee or examiner has been appointed, and no official committee of

creditors or equity interest holders has been established.

4. The Debtor is a Delaware limited liability company doing business under the

brand name Advantage Rent-A-Car. The Debtor provides retail rental car services for leisure,

lifestyle, business, and insurance replacement customers and, as of the Petition Date, maintained

a fleet of approximately 23,000 vehicles in 73 locations throughout the United States. The

Debtor is the fourth largest retail rental car provider in North America and, as of the Petition

Date, employed approximately 1,800 employees and outside contractors. The Debtor's principal

place of business is located at 1052 Highland Colony Parkway, Suite 204, Ridgeland,

Mississippi.

5. Additional information about the Debtor's business and the events leading up to

the Petition Date can be found in the Declaration of Thomas P. McDonnell, III in Support of the

Debtor's Chapter 11 Petition and First Day Motions [Docket No. 12].

6. On or about November 12, 2013, the Debtor filed that certain Motion, Pursuant to

Bankruptcy Code Sections 105(a), 363, 365, 503 and 507, Bankruptcy Rules 2002, 3007, 6004,

6006, 9007 and 9014 for Entry of: (A) Order (I) Approving Bidding Procedures in Connection with

Sale of Assets of Debtor, (II) Approving Form and Manner of Notice, (III) Scheduling Auction and

Sale Hearing, (IV) Authorizing Procedures Governing Assumption and Assignment of Certain

Executory Contracts and Unexpired Leases, and (V) Granting Related Relief; and (B) Order (I)



Approving Purchase Agreement, (II) Authorizing Sale Free and Clear of All Liens, Claims,

Encumbrances, and Other Interests, and (III) Granting Related Relief [Docket No. 71] (the "Sale

Motion")1 for entry of an order, seeking, among other things, authority and approval for the sale

of substantially all assets of the Debtor.

7. On November 22, 2013, the Court entered an order approving the Bidding

Procedures and granting other related relief [Docket No. 109] (the "Bidding Procedures Order''').

8. On December 9, 2013, an Auction was held in accordance with the Bidding

Procedures Order, and the Debtor determined that The Catalyst Capital Group Inc., on behalf of

one or more funds managed by it and/or through certain affiliates or its designee(s) (the

"Purchaser") had submitted the highest or otherwise best offer for the Purchased Assets at the

Auction and that such offer constituted the Prevailing Bid (as defined in the Bidding Procedures

Order).

9. On December 17, 2013, the Court conducted a hearing on the Sale Motion (the

"Sale Hearing") at which time all interested parties were offered an opportunity to be heard with

respect to the Sale Motion. At the Sale Hearing, the Court reviewed and considered the Sale

Motion, the APA, the Bidding Procedures Order, the record of the hearing before the Court on

November 22, 2013 (the "Bidding Procedures Hearing'''), the Notice to Counterparties to

Executory Contracts and Unexpired Leases Debtor May Assume and Assign [Docket No. 126], the

Notice to Counterparties to Executory Contracts and Unexpired Leases with Debtor Who Filed

Timely Objections to Sale Motion [Docket No. 226], the Notice of Prevailing Bid and Prevailing

Bidder at Auction and Notice of Back-up Bidder [Docket No. 205], and the Notice of Filing of

Executed Asset Purchase Agreement Between the Debtor and the Catalyst Group, Inc. on Behalf of

Funds Managed by It [Docket No. 265], all responses and objections to the Sale Motion, heard

statements of counsel, and considered the evidence presented in support of the relief requested in

the Sale Motion at the Sale Hearing. The Court found that the relief requested in the Sale Motion

was in the best interests of the Debtor, its estate, its stakeholders and all other parties-in-interest

and granted the relief sought in the Sale Motion.

10. On January 2, 2014, the Court entered that certain Order (I) Approving Purchase

Agreement, (II) Authorizing Sale Free and Clear of All Liens, Claims, Encumbrances, and Other

Interests, and (III) Granting Related Relief [Docket No. 326] in which the Court granted the Sale

Motion and approved the sale of the Purchased Assets to the Purchaser.

11. As reflected in the Notice of Filing of Executed Asset Purchase Agreement Between

the Debtor and The Catalyst Capital Group Inc. on behalf of Funds Managed by It [Docket No.

265], the Purchaser is to purchase all Seller Purchased Assets and FSNA Purchased Assets, which

exclude, among other Excluded Assets, all Excluded Contracts and Excluded Airport Concession

Agreements (the "Transaction").

12. The Debtor and the Purchaser have made significant progress in a short amount of

time with respect to closing the Transaction. Indeed, one of the major hurdles to closing the

Transaction, obtaining the approval of the Federal Trade Commission, has just now been cleared.

On January 30, 2014, the Debtor received notification that the Federal Trade Commission had

approved the Transaction, as reflected in that certain Notice of Approval of Federal Trade

Commission ofApplication of Franchise Services of North America to Sell Advantage Rent A Car to

The Catalyst Capital Group, Inc. [Docket No. 408].



13. The Purchaser has not yet made a final decision on which locations may fall

within the category of Excluded Assets ("Non-Transferred Locations ") or which locations may

be assumed and assigned to the Purchaser or to some third party.

14. Further, the Purchaser and the Debtor are contacting various airport authorities to

coordinate with those authorities their procedures for obtaining authorization to transfer the

leases, concession agreements and other operating rights, but this process may take additional

time.

15. Additionally, the Debtor and its financial advisors, in conjunction with the

Purchaser and its financial advisors, are evaluating the operations at each of the presently

existing operations to determine whether it is advisable to close any of these locations prior to

the Closing of the Sale of the Purchased Assets to the Purchaser (the "Closed Locations").

III. RELIEF REQUESTED

16. Since the Petition Date, the Debtor has dealt with the above issues, among others.

In light of these events, coupled with the activity and resources required for the operation of the

business and the administration of the case, the Debtor has been unable to consummate the

Transaction.

17. It is in the best interest of the Debtor and the bankruptcy estate for the Debtor to

complete as many of these Transaction-related matters as practical before propounding a Plan

and a Disclosure Statement. Accordingly, it has not been practical for the Debtor to finalize and

propose a Plan within the initial time period provided by the Bankruptcy Code.

18. Section 1121(b) of the Bankruptcy Code provides for an initial 120-day period

after the Petition Date (the "Plan Proposal Period") within which the Debtor has the exclusive

right to file a Plan. Section 1121(c)(3) further provides for an initial 180-day period after the



Petition Date to solicit acceptances on such a Plan (the "Plan Solicitation Period'''). The

Debtor's Plan Proposal Period and the Plan Solicitation Period (collectively, the "Exclusivity

Periods") are presently set to expire on March 5, 2014 and May 4, 2014, respectively.

19. Section 1121(d)(1) provides that the Court for cause may increase the 120-day

period and 180-day period of Section 1121(b) and (c).

20. Accordingly, the Debtor seeks an extension of ninety (90) days of the Plan

Proposal Period, until and including June 3, 2014, during which the Debtor has the exclusive

right to file a Plan and Disclosure Statement and a corresponding extension of ninety (90) days

of the Plan Solicitation Period, until and including August 2, 2014, within which to solicit

acceptances on such a Plan.

21. The Debtor does not seek this extension for purposes of delay, but rather, to allow

the Debtor an opportunity to fully formulate and file its proposed Plan and Disclosure Statement.

22. The extension requested will not result in any undue prejudice to any creditor or

other party-in-interest.

23. The request is made within the respective periods specified in subsections (b) and

(c) of section 1121 of the Bankruptcy Code.

24. The requested extension of the Exclusivity Periods does not exceed the eighteen

(18) month limitation of section 1121(d)(2)(A) of the Bankruptcy Code.

WHEREFORE, the Debtor respectfully requests that the Court: (A) extend the Plan

Proposal Period until and including June 3, 2014 (a 90-day extension from the current deadline

of March 5, 2014), (B) a similar extension of the Plan Solicitation Period until and including

August 2, 2014 (a 90-day extension from the current deadline of May 4, 2014); and (C) for such

other relief to which the Debtor is entitled.
