•Indemnity Agreements-Transfers liability from one party to the other •Can vary widely from narrow forms to broad forms •Narrow forms indemnify another party for the losses caused by your own negligence •Broad forms can indemnify another party for the other party’s negligence •Even Narrow Indemnities are risky because Professional Liability Insurance does not cover contractually obligated duties, could render your insurance ineffective

•Indemnity – Hold Harmless Clauses: •Form: Engineer agrees to indemnify and hold the owner harmless if the owner sustains losses, and pick one:

•Due to Engineer’s negligence on the project, (Narrow Form) •Due to any action taken by the engineer on the project, or •Due to any cause including the owner’s negligence (Broad Form)

•Be Aware of increased liability exposure you have if you agree to indemnify your client

•Broad Form makes you liable even for the owner’s negligence •Narrow Form may void your liability insurance coverage
