CITY g=ss ORDINANCE No. 2015-10-04 An Ordinance Annexing Approximately 6.6 acres to the City (Banks Lumber Mill & Gen Becker Trust) The City Council for the City of Banks adopts the following findings: WHEREAS, the Banks Lumber Company and the Gen Becker Trust collectively own approximately 6.6 acres of land contiguous with the City's current boundary and within the City's Urban Growth Area (the "Annexation Territory" - more specifically described in Exhibit A, attached hereto and incorporated herein by this reference), and have requested annexation of the Annexation Territory; and WHEREAS, to warrant annexation approval, the Annexation Territory must be within the City's Urban Growth Area and contiguous to the city boundary. The annexa-tion applicant must also demonstrate compliance with each of the applicable approval standards set foMh in Section 30.02 of the Banks Code of Ordinances ("BCO"), and, pursuant to Charter Section 3, the annexation request must be approved by a simple majority of the electorate votingin an election on the question of annexation; and WHEREAS, on May 11, 2015, the Banks Planning Commission convened a duly noticed public hearing, took public testimony on the annexation request and recommended approval of the annexation as proposed; and WHEREAS, on June 9, 2015, the City Council convened a duly noticed public hearing on to take public testimony and evaluate the Planning Commission's recommendation, and at the conclusion voted to recommend approval of the annexation subject to the requirement that the annexation requestors and owners enter into the Annexation Agreement set forth in ? B, attached hereto and by this reference incorporated herein; and WHEREAS, on September 15, 2015 a majority of registered voters in the City of Banks voted to approve the annexation of the 6.6 acre Annexation Territory owned by Banks Lumber Company and the Gen Becker Trust, and the Washington County Elections Omcial certified those election results on September 30, 2015. NOW THEREFORE, based on the foregoing, the Banks City Council ordains as follows: Section 1 - Annexation. The real property described in Exhibit A, attached hereto and by this reference incorporated herein, comprising approximately 6.6 acres (collectively the "Annexation Territory") is hereby annexed and incorporated into the City of Bams, subject to the terms and conditions of the Annexation Agreement executed between the City and the annexation requestors/owners set forth in Exhibit B, attached hereto and by this reTerence incorporated herein. An Ordinance Annexing Approximately 6.6 acres to the City(Banks Lumber Mill & Gen Becker Trust)

The City Council for the City of Banks adopts the following findings:

WHEREAS, the Banks Lumber Company and the Gen Becker Trust collectively ownapproximately 6.6 acres of land contiguous with the City's current boundary and within the City'sUrban Growth Area (the "Annexation Territory" - more specifically described in Exhibit A,attached hereto and incorporated herein by this reference), and have requested annexation ofthe Annexation Territory; and

WHEREAS, to warrant annexation approval, the Annexation Territory must be within theCity's Urban Growth Area and contiguous to the city boundary. The annexa-tion applicant mustalso demonstrate compliance with each of the applicable approval standards set foMh in Section30.02 of the Banks Code of Ordinances ("BCO"), and, pursuant to Charter Section 3, theannexation request must be approved by a simple majority of the electorate votingin an electionon the question of annexation; and

WHEREAS, on May 11, 2015, the Banks Planning Commission convened a duly noticedpublic hearing, took public testimony on the annexation request and recommended approval ofthe annexation as proposed; and

WHEREAS, on June 9, 2015, the City Council convened a duly noticed public hearingon to take public testimony and evaluate the Planning Commission's recommendation, and atthe conclusion voted to recommend approval of the annexation subject to the requirement thatthe annexation requestors and owners enter into the Annexation Agreement set forth in ?B, attached hereto and by this reference incorporated herein; and

WHEREAS, on September 15, 2015 a majority of registered voters in the City of Banksvoted to approve the annexation of the 6.6 acre Annexation Territory owned by Banks LumberCompany and the Gen Becker Trust, and the Washington County Elections Omcial certifiedthose election results on September 30, 2015.

NOW THEREFORE, based on the foregoing, the Banks City Council ordains as follows:

Section 1 - Annexation. The real property described in Exhibit A, attached hereto and by thisreference incorporated herein, comprising approximately 6.6 acres (collectively the"Annexation Territory") is hereby annexed and incorporated into the City of Bams,subject to the terms and conditions of the Annexation Agreement executed between theCity and the annexation requestors/owners set forth in Exhibit B, attached hereto and bythis reTerence incorporated herein.

Section 2 - Annexation of public rights-of-way. All federal, state, and local public rights-of-way within or abutting the Annexation Territory are hereby annexed and incorporatedinto the City of Banks.

Section 3 - Land Use Designations and Zoning. Land within the Annexation Territory ishereby subject to Iand use planning, regulation and permitting by the City of Banksunder its duly adopted Comprehensive Plan and Iand use regulations, pursuant to whichthe Annexation Territory (TL 400 on Washington County map 2N331 00) shall be zonedIndustrial (l).

Section 4 - Assessment and Taxation. Land within the Annexation Territory shall beassessed and taxed by the City in the same manner as other similarly situated propertywithin the City as of the effective date of this Ordinance.

Section s - Severability. If any portion of this ordinance is found to be invalid or unenforceablefor any reason, that finding shall not affect the validity or enforceability of any otherprovision of this ordinance.

Section 6 - Transmittal. Pursuant to ORS 222.1 77 and Section 30.06 of the Banks Code ofOrdinances, the City Recorder shall:

1. File a certified true copy of this Ordinance with the Oregon Secretary of State andthe Washington County Assessor.

2. File with the Oregon Secretary of State an abstract of the September 30, 2015election results within the City on the Banks Lumber Mill Annexation measure.

3. File with the Oregon Secretary of State a copy of the statement of Iandownerconsent to this annexation.

Section 7 - Effective Date: This ordinance and the annexation it declares shall be effectiveupon filing with the Secretary of State's Office in accordance with ORS 222.180.

Brought before Banks City Council and read for the first time October 13, 2015.

Read for the second time and adopted November 10, 2015.

This Ordinance becomes effective December 10, 2015.

WHEREAS, Baiiks Lumbcr is the applicauit for the annexation and re-zoning cfaapproximately 6.6 acres adjacent to the City of Banks (thc "Property"), which is uihollyosyned by the Gen Becker Living Trust, and those applications arc knosvn as City filesANX?-15 and ZCI-15; and

Wl{EREAS, thc City has reviewed the application submitted by Banks Lumberand concludcd that thc materials in the record demonstrale that an adeq?iate level of urbanservices and inirastmcturc is availabie, or iiill be made available in a timely manner toserve the Properts", and

2. Effective Date, Term and Modifieation. aJahis Agrcet'nent shall be efrectiveupon signature by both parties and shall havc a pcrpctual duration, unless modified by theparties as described below, or until satisfaction of the condition idcntificd in paragraph labove- lliis Agreement may be modified or temiinated sooner than described above onlyupon the ivriffen agreement signed by the authorized representatives of ah parties.

3. Assignment and Transfer. This Agrcemcnt shall bc f?iily assignable andtransferable.

4. Remedies for Breach. Should cithcr party breach this Agreement, remediesavailable under Oregon law for breach of contract arc available tci thc parties, includingdamages and injunctive relief.

7. Severabilitv Clause. The parties to this Agrccmcnt agrce that if any temi,provision, coiienant, condition or porlion of this .Agreement is hcld to be illegal, invalid,void, voidable or unenfcirceable, the remainder *if the provisions shall remain in f?dl forceand effcct as a scparate contact and shall in no way be a:ffected, impaired or iiivalidated.

8. Attorney's Fees. If legal action by either party is brought against the othcrbccause of an alleged de[ault under this .=igreemen? or to enforce a provision of thisAgreemem, the prevailing party shall bc entitled to reasonable attorneys' fees and courtcosts at trial and on appeal.

9. %. No waiver of any provision of this Agreement shall bc effective unlessit is in a ivriting signed by party waiviiig the provision.

10. No Third-Partv Beneficiaries. All the provisions of this ,/Igreement are iiitendedto bind and benefit only Banks Lumber and City, and their rcspectivc pcrmittcdsuccessors and assigns. Tt is not iiiterided that any such provisions benefit, and it shall notbe construed that tliesc provisions bcnefit or are enforceable by. any creditors, contractorsor other third parties.
