IVORY RIDGE (SINGLE FAMILY HOMES) Purchase Reservation Agreement

Ivory Homes, Ltd., “Seller”, for and in consideration of a purchase reservation fee in the amount of TWO THOUSAND DOLLARS AND NO/100 ($2000.00) paid by (Name)_____________________________________________________________________of (Address)___________________________________________________, “Buyer”, hereby grants Buyer the right to purchase a unit in IVORY RIDGE CLUBVIEW located in LEHI, Utah, based on a priority number assigned by Seller on the date of receipts by Seller of the purchase reservation fee provided herein*. Based on Buyer’s priority number, Buyer may select a single unit being offered to the public by Seller as soon as the property is offered for sale by Seller. Buyer’s purchase reservation fee shall be deposited with Seller’s broker, in an interest bearing real estate trust account and any interest thereon shall accrue to the benefit of Seller. Buyer’s priority right to purchase granted hereunder is subject to the following:

1. Seller’s right to set aside units for model homes or signage needs; 2. Seller’s right to first offer units to employees, family members and key associates; and 3. Seller’s right to regulate and limit the number of sales during any period.

Seller in its sole discretion shall determine the number of offers to be accepted during any calendar month. Upon such determinate, Seller will notify Buyer according to priority number herein assigned and will provide current pricing and lot availability. Offers will then be accepted according to the priority number until the prescribed number of offers have been received and accepted by the Seller. Once Buyer is given notice that its priority number is eligible to submit an offer, Buyer shall have twenty-four (24) hours in which to tender to Seller an executed, binding Real Estate Purchase Agreement. Lots will only be offered to Buyers building a home with Seller. THIS AGREEMENT IS NOT BINDING, IN ANY WAY, ON EITHER PARTY. YOU ARE NOT ESTABLISHING A LEGAL RIGHT OR CLAIM TO ANY UNIT OR PURCHASE PRICE BY SIGNING THIS PURCHASE RESERVATION AGREEMENT. Buyer may withdraw its name from the priority list for any reason and receive a full refund of its purchase reservation fee at any time prior to signing the Real Estate Purchase Agreement. Upon execution of the Real Estate Purchase Agreement, Buyer’s purchase reservation fee shall convert to the initial deposit required under the Real Estate Purchase Agreement and immediately become non-refundable. Seller may terminate this grant at anytime prior to Buyer’s execution of the Real Estate Purchase Agreement by refunding the Buyer’s purchase reservation fee. TO REAL ESTATE PURCHASE AGREEMENT

THIS ADDENDUM (the "ADDENDUM") is attached to and forms part of a "Real Estate Purchase Agreement" (the "AGREEMENT") that is entered into by Ivory Homes, a Utah limited partnership ("SELLER"), on the AGREEMENT DATE, with the BUYER and for the LOT described below. The provisions of the AGREEMENT are modified, supplemented or deleted as follows; otherwise, all of the terms and provisions of the AGREEMENT shall remain in full force and effect. 1) Buyer acknowledges receipt of the “Declaration of Conditions, Covenants and Restrictions” for Ivory Ridge. 2) Buyer agrees to pay $100/month Homeowners Association fee. 3) Buyer agrees to pay at closing $500 to be appropriated to the Homeowners Association for the capital account and the

reserve account. 4) Upon transfer of ownership to Homeowner, Homeowner understands, agrees, and assumes the responsibility of

remaining in compliance with all requirements of the EPA Storm Water Pollution Plan and will prevent sediment and debris from leaving their property and entering the storm water drainage system.

5) DEPOSIT NON-REFUNDABILITY. Notwithstanding anything to the contrary in any of the contracts between the

Buyer and the Seller, including but not limited to sections 2.2 and 2.3 of the “General Provisions to Ivory Homes” Real Estate Purchase Agreement, all deposits, including the Initial Deposit, are unconditionally non-refundable.

Comparable Lot Pricing for Ivory Ridge -Lehi-

Development: Brooks Meadow and Alpine Vista Estates – Building Dynamics, 810 E 3200 N [Lehi] Lot Pricing: Average $225,000 - .33 acre lots Notes: These are the closest development to Ivory Ridge and probably the best comps. He could only give me an estimate for on his lots. Lots range from .25 to .33 acres. In March, he quoted me a 3,600 total sq ft, 1,800 finished rambler at $429,000. He now quotes the same home at $471,900. Development: Foxrun – Liberty Homes, 3020 N 1120 W [Lehi] Home Pricing: $450,000-$550,000 range for homes on .25 to .50 acre lots Notes: Sales agent said they sold too fast (due most likely to under pricing their lots) and have shut down sales for the last 3 months. They have about 20 lots left they are preparing to release for sale in 2 to 3 weeks. New pricing will not be released until then. Development: Traverse Mountain, Vista Ridge Phase 1 – 4338 North Crest Ridge [Lehi] Lot Pricing: $229,900 to $360,000 - .25 to .28 acre lots $300,000-$400,000 - .33 acre lots Notes: 40 total lots in phase 1. The whole phase was purchased by an Arizona investor who is listing all lots through Allpro Realty. Behind the Eagle Summit division, a more upscale Traverse neighborhood, 45 total lots. Development: View Point – Multiple Builders, SR 92 and Park Drive [Highland] Lot Pricing: $190,000-$230,000 - .19 to .24 acre lots Notes: This development sits on a plateau at the mouth of the American Fork Canyon. Lots are flat and similar in size to Ivory Ridge. Development: Highland Springs – Multiple Builders, 750 North 1400 East [Lehi] Lot Pricing: $219,000 .33 acre lot, $269,000 .35 acre lot Notes: Bordering the northwest end of Hunter’s Grove. The two lots listed above have the same size, slope and view. It’s a small development with several lots and spec homes remaining. Development: Hansen Hills Estates – 1717 North 180 East [Lehi] Lot Pricing: $215,000 - .37 acre lot Notes: Southwest of Ivory Ridge, north of Hunter’s Grove. Lot sold in June for just under listing price—last lot in the community. Congratulations on your decision to purchase a home in a beautiful “Club Ivory” community, Clubview at Ivory Ridge. Living in a master planned community is not like living in a typical neighborhood. At Clubview at Ivory Ridge residents share common elements and amenities. Because of this sharing, restrictive covenants are not only worthwhile, they are absolutely necessary for everyone’s comfort and enjoyment. The benefits of living in a Club Ivory community require cooperation with others in order to maintain and protect the integrity of the common architectural scheme, and enhance the use, quality, attractiveness and value of your home. The standards are enumerated specifically in the governing documents of the HOA, which include but are not limited a Declaration of Conditions, Covenants and Restrictions (the “CC & R’s”), By-Laws, Annual Budget, and the Rules and Regulations. By signing this form you acknowledge that you have received, read and will abide by the governing documents, as they may be amended from time to time, and that you will pay all assessments in a timely manner. This summary page is not intended to replace any of the governing documents, but rather to address in summary fashion some of the most frequently asked questions by those living in a master planned community. It is strongly recommended that you familiarize yourself with all of the governing documents. If there is any conflict or dispute between this document and the governing documents, the governing documents shall prevail. The Ivory Ridge master planned community contains the following different neighborhoods: Single Family Residential, Townhomes, Lofts, and Commercial/Corporate. Each of these different neighborhoods will have their own individual Declaration of Conditions, Covenants and Restrictions (the “CC & R’s”), By-Laws, Annual Budget, and Rules and Regulations. Because each of these communities will share in the common areas and facilities, all of the different neighborhoods will join together to form a Master Home Owners Association (MHOA) governing the overall community. The MHOA is governed by a Board of Delegates or management committee of the MHOA, which will be comprised of nine members, consisting of 1 delegate from each of the 4 Neighborhoods and 5 delegates appointed by the Developer. Each individual neighborhood association will hold a vote to determine the individual or delegate to serve on the MHOA board. The MHOA is responsible to maintain, repair, replace, administer and regulate, all of the Common Area and Facilities, Swim and Tennis Club and such other areas in the community. A professional property management company will be hired by the MHOA to assist the MHOA in the day to day management, enforce the covenants, billings and collection of HOA dues, and maintain common areas to maintain the quality of the community. Ivory Ridge will contain a unique and special amenity that will be unlike any common amenity built in Utah before, called the Ivory Ridge Swim and Tennis Club. Due to the special nature of this facility the MHOA will delegate all of the powers and duties of maintaining and managing the Ivory Ridge Swim and Tennis Club to a separate Club Committee. The Club Committee is the board of directors or management committee of the Swim and Tennis Club, which shall be comprised of five members, consisting of 2 members appointed by Developer, 1 member appointed by the Preferred Members, 1 member appointed by the single family Neighborhood, and 1 member appointed by the Townhome and Lofts Neighborhoods. The Club Committee will be responsible for the budgets, maintenance, and control of the club. The Club Committee will contract with individuals or companies to manage the club and the tennis facilities. As a resident of Ivory Ridge you will have an Equity membership in the Swim and Tennis Club and will maintain the right to use the facilities as long as you live in the Ivory Ridge Community. The fee for the Club is included in your monthly HOA dues. Each single home, townhome, and loft will have membership in the Club. In addition to the residents of Ivory Ridge there will be additional memberships issued to a select number of individuals that do not live within the Ivory Ridge community. These memberships will be called “Corporate”, “Temporary” and “Preferred”. A Temporary Membership can be issued by the Club Committee to individuals on a short term basis and can be revoked at will, and will have no voting rights with the Club Committee. A limited number of Preferred Memberships will be sold by the Club Committee. The Preferred Membership is a non-equity membership that is transferable, with voting rights in the Swim and Tennis Club. 1. Changes, Additions or Alterations to the Lot or the Exterior of the Home. Material changes or structural alterations to your Lot or the exterior of your home may require the approval of the Architectural Review Committee (the “ARC”). Examples of improvements that must be submitted for review include but are not limited to the following: swimming pool, tennis courts, basketball court, accessory buildings (e.g., storage sheds, detached garage structures, etc.) fencing, landscaping, decks, and walls. In addition, any alterations of whatsoever kind or nature to the primary structure, including changes in colors or construction materials, awnings, roofing, windows, porches, courtyards, and so forth must also be submitted to the ARC for review and approval. In addition, all architectural designs, plans and specifications showing the nature, kind, shape, color, size, materials, location and so forth of all exterior changes or improvements must be submitted to the ARC for review and approval prior to construction. All approvals must be written.

2. Business Use. This is a residential community; however, some home based businesses are allowed under limited circumstances, although they must comply with the governing documents and community guidelines. The prior written consent of the managing committee is required for any type of home based business. No businesses are allowed that have employees of any kind, or that have any customers who are not residents of the community, and they may not create a nuisance, bother, annoy or disturb other residents, or interfere with their right to the quiet and peaceful enjoyment of their homes. 3. Storage and Parking of Vehicles. The driving, parking, standing, and storing of motor vehicles in, on or about the community is strictly regulated. Overnight parking on the street is not allowed. Recreational, Commercial, and Oversized Vehicles may only be stored on a properly constructed garage or parking pad (cement or concrete pad), and then only if certain conditions are satisfied. Eighteen-wheel semi-trailers and similar oversized transportation devices are not allowed. 4. Aerials, Antennas, and Satellite Systems. All exterior aerials, antennas and satellite dishes must be approved by the managing committee in advance and be positioned so that they are screened from view from the street. 5. Animals and Pets. Large animals are not allowed. No pets, animals, livestock, or poultry of any kind may be commercially bred at the property. Up to two (2) domestic pets per Lot are allowed, provided they are properly licensed and registered, and do not create a nuisance.

6. Signs. No signs, billboards or advertising structures or devices of any kind may be built, installed or displayed on the Property or any Lot except for a single sign with a maximum size of 2' x 2' for specific purpose of advertising the sale of a home. No “For Rent” or “For Lease” signs are allowed within the community, in the common area, on a lot, or in, on or about the home, at any time or for any reason. 7. Landscaping. Each home owner is required to submit a landscaping plan to the Management committee which must be approved by the managing committee in advance of the installation of the landscaping plan. All Lot landscaping, including the installation of an automatic sprinkler/irrigation system, planting of trees and laying of sod, must be completed within nine (9) months of the date of closing on the purchase of a home. In this community the Developer will be responsible for the initial planting of trees in accordance with the Street Tree Planting Plan, a description of which is attached to the CC & R’s. Each home owner is responsible for the maintenance and care of the street trees in a manner consistent with Community-Wide Standards and the quality of design and construction originally established by Developer. 8. Easements and Slopes. Easements for utilities, drainage systems and facilities, and irrigation are reserved on the recorded Plat. A Buyer may not do any landscaping, grading or work, or install any structure, building, improvement, planting or other materials which may damage or interfere with the installation and maintenance of utilities, or which may change the direction of flow of drainage channels in, on or about the easements and rights of way, or which may obstruct or retard the flow of water through the drainage channels in the easements and rights of way. If a drainage channel is altered by the Buyer, Ivory and/or the HOA reserve the right to enter onto the property to restore the area at the cost of the Buyer. 9. Nuisances. Nothing may be done which may be or may become an annoyance, disturbance, bother or nuisance to the neighborhood, or which might interfere with the right of other residents to the quiet and peaceful enjoyment of their property. 10. Management Committee. Until the last home is sold and closed in the final phase of the development, the Developer reserves the exclusive, unilateral and irrevocable right to appoint the members of the ARC, Management Committee and/or the Managing Member. 11. Leasing Restriction. A Buyer is prohibited from leasing or renting his or her home for a period of at least one (1) year after the date of closing. All homes must be owner-occupied for the first one (1) year following the purchase of the home. 12. Transfer Fee. An Owner shall pay to the Association a sum equal to five percent (5%) of the gross sales price on the home as a transfer fee if his Lot is sold or if he enters into a Lease/Option or similar Agreement on the home during the initial one (1) year period after closing. 13. Fencing. Wrought iron, masonry, and select types of vinyl fencing are permitted in the side and rear yard areas; Fence heights are restricted to 6’ in the rear and side yards. Front yard fencing of any kind is prohibited (the only exceptions may be on corner lots and/or collector roads if approved in writing by the Board of Delegates); Fencing inside fencing is prohibited; . 14. Entries and Entry Monuments. If a Buyer purchases a home on a Lot which includes a common improvement, including by way of illustration but not limitation an entry, entry monument, planter, planter box, planter strip, perimeter fence, wall, street light, exterior lighting or other landscaping treatment of any kind, shall not improve his property or place any plant, hedge, tree, bush, shrub or object, including any animate or inanimate object, behind or in front of or so as to impair, obstruct, block or impede the view or purpose of the entry, entry monument or other monument, planter box or any such special landscaping feature. 15. Cooperation. Each Owner shall use his best efforts to understand the intent of the developer and strictly comply with the letter and spirit of the governing documents.
