    (2) TheCommissionmayconductaninquirytodecidewhethera determination shouldbemade, either

    (a) inresponsetoawrittenrequestfromaperson;or

    (b) onitsowninitiative.

    (3) Notwithstandingsubsection(1), theCommission shallnotconduct an inquiry unless it is satisfied that the matter is ofsignificantinteresttoeitherthepublicortocurrentorprospectivelicenseesunderthisAct.

    (4) AninquiryshallbecarriedoutinaccordancewithChapter3ofthisPart,andatastandardandinamannerconsistentwith

    theprovisionsofthisActanditssubsidiarylegislationandanyinstrument issued,madeorgivenunder thisAct.

    (5) Withinforty-fivedays from theconclusionof the inquiry,theCommissionshall determine thematter.

    (6) Anydetermination by theCommission shall be consistentwith the objects of, and any requirements provided in, thisActwhich are relevant to theparticularmatteror activity.

    (7) AdeterminationmadebytheCommissionunderthisChaptershall be registeredas soon aspracticable.

    (8) A determination shall come into force on the date ofregistration or such later date as theCommissionmay specify.

    (9) AdeterminationshallexpireonsuchdateastheCommissionmay specify or, if no date is specified, the determination shallbeinforceuntilthedeterminationisrevoked.

    Modification, variation or revocation of a determination bythe Commission

    56. (1) Subject to the provisions of this Act, the Commissionmay modify, vary or revoke a determination, in response to awrittenrequestoronitsowninitiative.

    (2) The procedures set out in section 55 shall apply mutatis

    mutandis inrespectofanymodification,variationorrevocationof thedetermination.

    57. TheCommissionshallmaintainaregisterofalldeterminations

    made by the Commission, including any written instrumentmodifying, varying or revoking a determination, in accordancewithChapter6ofthisPart.

    Chapter3

    Inquiry

    Inquiry by the Commission

    58. (1) The Commission shall, in response to a Ministerialdirection,holdapublicinquiryonanymatterofageneralnaturewhich relates to the administration of thisAct or its subsidiarylegislationwhichwillservetheobjectsofthisAct.

    (2) The Commission may hold a pub lic inqui ry undersubsection (1)

    (a) inresponsetoawrittenrequestfromaperson;or

    (b) onitsowninitiative,

    only if it is satisfied that thematter is of significant interest toeither the public or to current or prospective licensees underthisAct.

    Combining two or more inquiries

    59. TheCommissionmaycombinetwoormoreinquiriesintoasingle inquiry.

    Conduct of an inquiry

    60. (1) An inquiry under this Part is to be conducted as andwhentheCommissionthinksfit.

    (2)TheCommissionmay,forthepurposesofaninquiry,exerciseany or all of its investigation and information-gatheringpowersunderChapters4and5ofthisPart.

    Inquiry shall be public

    61. (1) Subject to section 62, if the Commission decides to

    holdapublicinquiryorisdirectedtoholdapublicinquiry,theCommissionshallpublish,inthemannerthatitdeemsappropriate,noticeof

    (a) thefactthatitisholdingtheinquiry;

    (b) theperiodduringwhichtheinquiryistobeheld;

    (c) the natureof thematter towhich the inquiry relates;

    (d) theperiod,ofatleastforty-fivedays,withinwhich,andthe form in which, members of the public are invitedto make submissions to the Commission about thatmatter;

    (e) themattersthattheCommissionwouldlikethesubmissionstodealwith;and

    (f) theaddressoraddressestowhichthesubmissionsmaybesent.

    (2) The Commission does not need to publish at the same

    timeorin the samemannerthenoticeof allmatters referred toin subsection (1).

    (3) TheCommission shall consider any submissions receivedwithin the time limitas specified in the notice.

    (4) Thesubmissionsmadeby themembersof thepublicshallbeintheformandofthenatureasspecifiedinthenotice.

    Exceptions to a public inquiry

    62. Notwithstandingsection61,aninquiryorapartofaninquirymay be conducted in private if the Commission is satisfiedthat

    (a) the documents or information that may be given, or amatter that may arise during the inquiry or a part oftheinquiry,isofaconfidentialnature;or

    (b) aninquiryorpartofaninquiryofamatter,orpartofamatter, inpublicwould not be conducive to the dueadministrationof thisAct.

    (3) The Commission shal l not include in the report anymaterial

    (a) thatisofaconfidentialnature;

    (b) thedisclosureofwhichislikelytoprejudicethefairtrialofaperson;

    (c) which would involve the unreasonable disclosure ofpersonal informationabout any individual (includingadeceasedindividual);or

    (d) that is the subject of a direction under section 63 or64.

    Protection from civil action

    66. Civilproceedingsshallnotlieagainstapersoninrespectofanyloss,damageorinjuryofanykindsufferedbyanotherpersonbecauseof anyof the followingacts done ingood faith:

    (a) themakingofarequestundersection58;or

    (b) themaking of a statement, orgivingof adocument or

    information,totheCommissioninrelationtoaninquiryunderthisChapter.

    Register of reports

    67. TheCommissionshallmaintainaregisterofallreportsmadepursuanttoaninquiryunderthisChapter,inaccordancewiththeprovisionsinChapter6ofthisPart.

    Chapter4

    Investigation for Purposes of Administration, Inquiry, etc.

    Investigation by the Commission

    68. Notwithstanding the provisions of any other written law,the Commission shall investigate any matter pertaining to theadministrationof thisActor its subsidiary legislation if

    (a) the Minister directs the Commission to conduct aninvestigation into any civil or criminal offence under

    this Act or its subsidiary legislation which may havebeenormaybecommitted;or

    (b) the Commission has grounds to believe that a civil or

    criminaloffenceunderthisActoritssubsidiarylegislationwas,isorwillbecommitted.

    Complaints to the Commission

    69. (1) TheCommissionmayconductaninvestigationonamatterreferred to in section 68 upon awritten complaint by aperson.

    (2) The complaint shall specify the person againstwhom the

    complaint ismade (the respondent).

    (3) If it appearstotheCommission that

    (a) apersonwishestomakeacomplaint;and

    (b) thepersonrequiresassistancetoformulatethecomplaintortoreduceitintowriting,

    it is the duty of the Commission to take reasonable steps toprovide appropriate assistance to theperson.

    (4) IfacomplainthasbeenmadetotheCommissionunderthissection, the Commissionmaymake inquiries of the respondentforthepurposeofdeciding

    (a) whether the Commission has power to investigate themattertowhichthecomplaintrelates;or

    (b) whethertheCommissionshould,initsdiscretion,investigatethematter.

    (5) If the Commission decides not to investigate, or not toinvestigate further, a matter to which a complaint relates, itshallassoonaspracticableandinsuchmannerasitthinksfit,inform the complainant and the respondent of the decision andthereasons for thedecision.

    Conduct of investigation

    70. (1) Before beginning an investigation of amatter towhich

    thecomplaintrelates,theCommissionshallinformtherespondentthat thematter is tobe investigated.

    (2) An investigationunder this Part is to be conductedastheCommissionthinksfit.

    (3) TheCommissionmay,forthepurposesofaninvestigation,obtaininformationfromsuchpersonsasitthinksfit.

    (4) Subjecttosubsection(5),itisnotnecessaryforacomplainantorarespondenttobegivenanopportunitytoappearbeforetheCommission in connectionwith an investigation.

    (5) TheCommissionshallnot,asa resultoftheinvestigation,makeafindingthatisadversetoacomplainantorarespondentunlessithasgiventhecomplainantorrespondentanopportunity

    tomake submissions about a matter towhich the investigationrelateswithinatimeperiodofnotlessthanthirtydays.

    (6) TheCommission shall consider the submissionsmade bythe complainant or the respondent under subsection (5) beforemaking itsdecision.

    Report on investigation

    71. (1) After concluding an investigation, theCommissionmayprepareandgivetotheMinisterareport.

    (2) The report under subsection (1) shall cover

    (a) the conduct of the investigation concerned;

    (b) anyfindingsthattheCommissionhasmadeasaresultoftheinvestigation;

    (c) theevidenceandothermaterialonwhichthosefindings

    were based;and

    (d) such other matters relating to, or arising out of, theinvestigation as the Commission thinks fit or as theMinisterdirects.

    Publication of reports

    72. TheMinistermaydirecttheCommissiontopublishareportofaninvestigationiftheMinisterissatisfiedthatthepublication

    wouldbeinthenationalinterest.

    Chapter 5

    Information-gathering Powers

    Provision of information

    73. (1) ThissectionappliestoanypersoniftheCommissionhasreasontobelievethattheperson

    (a) hasanyinformation(includingbutnotlimitedtoaccountsand records) or any document that is relevant to theperformanceoftheCommissionspowersandfunctionsunderthisActoritssubsidiarylegislation;or

    (b) iscapableofgivinganyevidencewhichtheCommissionhasreasontobelieveisrelevanttotheperformanceoftheCommissionspowersandfunctionsunderthisActoritssubsidiarylegislation.

    (2) Notwithstanding the provisions of any other written law,theCommissionmay,byawrittennotice,directanyperson

    (a) to give the Commission, within the period and in themanner and form specified in the notice, any such

    information;

    (b) toproducetotheCommission,withintheperiodandinthemannerspecifiedinthenotice,anysuchdocuments,whether inaphysical formor inan electronicmedia;

    (c) tomake copiesof any such documents and toproducethose copies to the Commissionwithin the period andin themanner specified in the notice;

    (d) if the person is an individual, to appear, at a privatehearing, before the Commission at a time and placespecifiedinthenoticetogiveanysuchevidence,eitherorally or inwriting,and produce any such documents,whether in aphysical formor inan electronicmedia;

    (e) ifthepersonisabodycorporateorapublicbody,tocausea competentofficerof the body toappear, ataprivatehearing, before the Commission at a time and placespecifiedinthenoticetogiveanysuchevidence,either

    orally or inwriting,and produce any such documents,whether in a physical form or in an electronic media;or

    (f) ifthepersonisapartnership,tocauseanindividualwhois a partner in the partnership or an employee of thepartnership to appear, at a private hearing, before the

    Commissionatatimeandplacespecifiedinthenoticeto give any such evidence, either orally or in writing,andproduceanysuchdocuments,whetherinaphysicalformorinanelectronicmedia.

    (3) TheCommissionshall allowthe person so directed undersubsection (2) a reasonable time to give and to produce anyinformation and/ordocumentsspecified in the notice.

    (4) Any person required to p rovide information under

    subsection (2) shall ensure that the information provided istrue, accurate and complete and such person shall provide arepresentation to that effect, including a representation that heis not aware of any other information which would make theinformationprovided untrueormisleading.

    Offence for non-compliance

    74. Notwithstanding section 53, a person who fails to comply

    withadirectionoftheCommissionunderthisChaptercommitsan offence and shall, on conviction, be liable to a fine notexceedingtwentythousandringgitortoimprisonmentforatermnotexceedingsixmonthsortoboth.

    Offence for giving false or misleading information, evidenceor document, etc.

    75. Notwithstandingsection53,apersonwhofailstodiscloseor

    omitstogiveanyrelevantinformationorevidenceordocument,orprovidesinformationorevidenceordocumentthatheknowsorhas reason to believe is falseormisleading, in response toadirectionissuedbytheCommissioncommitsanoffenceandshall,onconviction,be liableto afinenotexceedingtwentythousandringgit.

    Proof of compliance

    76. (1) A personshall, ifat any timecalledupon inwriting bythe Commission to do so, produce to the Commission all suchevidenceandprovideallsuchinformationasthepersonmayhave

    relating tohiscompliancewithanyoftheprovisionsof thisActor its subsidiary legislation, as the Commission may generally,orinrelationtoanyparticularcase,require.

    (2) Subsection (1) shall not affect anyother powerconferredontheCommissionunderthisAct.

    Commission may retain documents

    77. (1) The Commission may take, and retain for as long asis necessary, possession of a document produced under thisChapter.

    (2) Thepersonotherwiseentitledtopossessionofthedocumentis entitled to be supplied, as soon as practicable, with a copycertifiedby theCommission tobe a truecopy.

    (3) Notwithstanding the provisions of any other written law,the certified copy shall be received by all courts and tribunalsasevidenceasifitweretheoriginal.

    (4) Until a certified copy is supplied, the Commission shall,atsuchtimesandplacesastheCommissionthinksappropriate,permitthepersonotherwiseentitledtopossessionofthedocument,orapersonauthorizedbythatperson,toinspectandmakecopiesof,ortakeextractsfrom,thedocument.

    Incorrect record

    78. Apersonshallnot,inpurportedcompliancewitharequirement

    imposed by the record-keeping rules made under section 268,makearecordofanymatteror thinginsuchmannerthatitdoesnotcorrectlyrecordthematterorthing.

    Record of information

    79. (1) TheCommissionshallmaintainarecordofallinformation,evidenceordocumentsreceivedpursuanttothedirectionsgivenundersubsection73(2).

    (2) The record shallbemade available to thepublic.

    Publication of information

    80. (1) TheCommissionmaypublishinformationreceivedinthe

    courseofexercisingitspowersandfunctionsunderthisChapterifitissatisfiedthatthepublicationisconsistentwiththeobjects

    ofthisAct.

    (2) TheCommissionshallconsiderthecommercial interestof

    thepartiestowhomtheinformationrelatesbeforepublishingthe

    information.

    (3) The Commission shall not publish any information or

    any part of any information disclosed to it if the publicationwould

    (a) disclose amatterofa confidential character;

    (b) belikelytoprejudicethefairtrialofaperson;or

    (c) involvetheunreasonabledisclosureofpersonalinformation

    about any individual (includinga deceasedperson),

    but the Commission may publish an abstract relating to such

    informationprovidedthattheparticularsintheabstractshallnot

    be arranged in any waywhich would compromise or prejudice

    thepersonprovidingsuchinformation.

    Chapter 6

    Register

    Register of all matters

    81. (1) TheCommissionshallmaintainaregister,inbothphysical

    formand electronicmedia, of all matterswhich are required to

    be registeredunder thisAct and its subsidiary legislation.

    (2) A person may, on payment of the charge (if any) to be

    decided by theCommission

    (a) inspect the register; and

    (b) make a copy of, or take extracts from, the register.

    82. (1) A dispute between two or more persons (the parties)regarding anymatter under thisAct or its subsidiary legislationshall first be attempted to be resolved by negotiation betweenthe parties.

    (2) If one of the parties to the dispute has provided anundertakingwhichisrelevanttothesubject-matterofthedisputeand the undertaking has been registered by the Commission inaccordancewith Chapter 11 of this Part, the parties may adopt

    the conditions of the undertaking for the purposes of resolvingthedispute.

    (3) Ifthepartiestothedisputecannotorotherwisefailtoreachan agreement, and no relevant undertaking has been registered,orifoneofthepartiestothedisputedoesnotwishtoadopttheconditions of the undertaking, the parties may seek resolutionof the dispute by the Commission, if thisAct or its subsidiarylegislation expresslyprovides for such resolution.

    Notification of a dispute

    83. Apartytoadisputemay,inwriting,notifytheCommissionofthedispute.

    Commission to act only upon notification

    84. Subject to section 83, the Commission may only resolvea dispute under this Chapter if it is notified in writing of thedispute.

    (2) AdecisionmadebytheCommissionunderthisChaptermaybe enforced by the High Court as if the decision is a judgmentof such Court provided that a certificate has been issued bythe Commission to the complainant for leave to proceed to theCourt for the enforcement of the decision except in the case ofan injunction.

    (3) No certificate is required if an action is taken by theCommission under this section.

    Chapter8

    Registration of Agreements

    Application for the registration of agreements

    90. The part ies to a wri tten agreement shal l apply to theCommission for the registration of the agreement, if this Actrequires such registration.

    When the Commission shall register the agreement

    91. TheCommission shall register thewritten agreement if theCommission is satisfied that theagreement is consistentwith

    (a) theobjectsofthisAct;(b) any relevant instrumentunder thisAct; and

    Effect of registration

    92. (1) Anagreement,whichisrequiredtoberegisteredunderthis

    Act,shallonlybevalidandenforceableuponitsregistration.

    (2) The Commission may direct any party to a registered

    agreement to complywith the registered agreement.

    (3) AdirectionmadebytheCommissioninrespectofaregistered

    agreementmaybeenforcedbytheHighCourtasifthedirection

    isajudgmentofsuchCourtprovidedthatacertificatehasbeen

    issuedbytheCommissiontothecomplainantforleavetoproceed

    to the Court for the enforcement of the direction except in the

    case ofan injunction.

    (4) No certificate is required if an action is taken by the

    Commission under this section.

    Content of the register of agreements

    93. (1) TheCommissionshallmaintainaregisterofallagreements

    required to be registered under this Act, in accordance with

    Chapter6ofthisPart.

    (2) Theregistershall contain

    (a) the namesof the parties to the agreement;(b) a general description of the matter pertaining to the

    agreement; and

    (c) thedateoftheagreement,

    butnotthetermsandconditionsoftheagreement.

    (3) Notwithstanding subsections (1) and (2), a copy of the

    agreement shall bedepositedwith the Commission.

    Chapter 9

    Voluntary Industry Codes

    Industry forum

    94. (1) TheCommissionmaydesignate an industry body tobeanindustryforumforthepurposesofthisActbynotifyingthatbodyinwriting,iftheCommissionissatisfiedthat

    (a) the membership of the body is open to all relevantparties;

    (b) thebodyiscapableofperformingasrequiredunderthe

    relevant provisionsof thisAct; and

    (c) thebodyhasawrittenconstitution.

    (2) The body shall agree in writing to be an industry forumbefore the designationmay be registered.

    (3) TheCommissionmaydecidethatanexistingindustrybodythat was previously designated under subsection (1) to be anindustry forum isno longer an industry forum for the purposes

    ofthisAct,iftheCommissionissatisfiedthatthebodynolongermeetstherequirementssetoutinsubsection(1).

    (4) A designation or withdrawal of designation under thissection shall take effect from thedateof registration,or a laterdate specified.

    Code by the industry forum

    95. (1) AnindustryforummayprepareavoluntaryindustrycodedealingwithanymatterprovidedforinthisAct

    (a) onitsowninitiative;or

    (b) upon request by the Commission.

    (2) Thevoluntary industry code shallnotbe effectiveuntil itis registered by theCommission.

    (3) TheCommissionmay refuse registration of thevoluntaryindustry code, under subsection (1), if the Commission is notsatisfied that sufficient opportunity for public consultation has

    occurred in the development of the voluntary industry code bythe industry forum.

    (4) TheCommission shall register a voluntary industry codeifitisconsistentwith

    (a) theobjectsofthisAct;

    (b) any relevant instrumentunder thisAct; and

    (c) any provisions of this Act which are relevant to theparticularmatteror activity.

    (5) TheCommissionshalleitherregisterorrefuseregistration

    of a voluntary industry code.

    (6) Ifregistrationofavoluntaryindustrycodeisrefused,thenthe Commission shall notify the relevant industry forum of itsdecision inwritingandprovide the reasons for it.

    (7) IftheCommissionneither registersnorrefusesto registeravoluntaryindustrycodewithinaperiodofthirtydaysfromthedatethatthevoluntaryindustrycodewassubmittedforregistration,the Commission is deemed to have refused the registration of

    thevoluntaryindustrycodeunlessthe industry forumreceivesawrittennoticeofregistrationofthevoluntaryindustrycodeafterthat period.

    Commission may determine a voluntary industry code

    96. (1) The Commission may determine a voluntary industrycode,inaccordancewithsection55,if

    (a) a voluntary industry code is not developed under anapplicablesection of thisAct; and

    (b) theCommissionissatisfiedthatavoluntaryindustrycodeis unlikely to be developed by the relevant industryforumwithina reasonable time.

    (2) ThevoluntaryindustrycodeformulatedbytheCommissionunder subsection (1) shall be registered.

    (3) The voluntary industry code shall only take effect uponregistration.

    Applicable voluntary industry code

    97. (1) The Commission shall ensure that there is only one

    voluntary industry code in operation that is applicable to aparticularmatterforaparticularpersonorclassofpersonsatagiven time.

    (2) Ifthereisanyuncertaintyorambiguity,apersonmayapplyto the Commission for its opinion on which voluntary industrycode is the applicable code in relation to the circumstances oftheapplicant.

    (3) The Commission shall provide its opinion within thirtydays from the dateof receipt of the application.

    (4) The Commission shall take into account any relevantMinisterialguidelines and any relevant previousopinions.

    (5) Theopinion shall be bindingon theCommission and theapplicantforaperiodofthreeyearsfromthedatethattheopinionisprovided under subsection (3).

    (6) The Commission shall maintain a register of opinionsprovidedunderthissection,inaccordancewithChapter6ofthisPart.

    (7) Notwithstanding subsection (5), the Commission maywithdraw an opinion under this section if the Commission issatisfiedthatthenatureoftheactivityengagedinbytheapplicanthas changedmaterially.

    Compliance with a registered voluntary industry code a legaldefence

    98. (1) Subject to section 99, compliance with a registeredvoluntary industry code shall notbemandatory.

    (2) Compliancewitharegisteredvoluntaryindustrycodeshallbeadefenceagainstanyprosecution,actionorproceedingofanynature,whether in a court or otherwise, taken against a person

    (whoissubjecttothevoluntaryindustrycode)regardingamatterdealtwithinthatcode.

    Directions to comply with a registered voluntary industrycode

    99. TheCommissionmaydirectapersonoraclassofpersons,inaccordancewithsection51,tocomplywitharegisteredvoluntaryindustry code.

    Civil penalty for non-compliance

    100. (1) Notwithstandingsection53,apersonwhofailstocomplywithadirectionoftheCommissionthatthepersoncomplieswithanyprovisionofavoluntaryindustrycodeshallbeliable topay

    to the Commission a fine not exceeding two hundred thousandringgit.

    (2) Notwithstanding the provisions of any other written law,thefinepayableunderthissectionmay,withoutprejudicetoanyotherremedyorsanction,berecoverableasacivildebt.

    Revocation of a code

    101. TheCommissionmaydeterminetherevocationofavoluntaryindustrycode,inaccordancewithsection55,ifitissatisfiedthatthe voluntary industry code is no longer consistentwith all thematters listed in paragraphs 95(4)(a), (b) and (c).

    Submission of new voluntary industry code by an industryforum

    102. (1) Anindustryforummaysubmitanewvoluntaryindustrycode to replace an existing voluntary industry code for thatindustry.

    (2) The submission of the new code shall be subject to theprovisionsofthisChapter.

    (3) If an industry forum submits a new voluntary industrycodetotheCommissionwhichdealswiththesamematterasanexistingregisteredcode,theexistingregisteredcodeistakento

    beinvalidtotheextentofanyconflictwiththenewcodeatthetime that the newcode is registered under section 95.

    103. The Commission shall maintain a register of all current

    voluntary industry codes, in accordance with Chapter 6 of thisPart.

    Chapter10

    Mandatory Standards

    Determination of a mandatory standard

    104. (1) TheCommissionmaydetermineamandatorystandardfor anymatter whichmay be the subjectmatter of a voluntaryindustry code if the Commission is satisfied that the voluntaryindustry code has failed, and will continue to fail, to promoteindustry conductwhich is consistentwith

    (a) theobjectsofthisAct;

    (b) any relevant instrumentunder thisAct; or

    (c) any relevant provisions of this Act or its subsidiary

    legislation.

    (2) The Commission shall determine a mandatory standardif it is subject to a direction from theMinister to determine amandatory standard inplaceofa voluntary industry code.

    (3) AMinisterialdirection,todetermineamandatorystandard,may include reference to

    (a) matters which shall be dealt with in the mandatory

    standard; and(b) themannerinwhichthosemattersaretobedealtwith.

    (4) The determination of the Commission under this sectionshallbeinaccordancewithsection55.

    Mandatory standard to be consistent

    105. (1) A mandatory standard determined by the Commission

    under thisChapter shall beconsistentwith

    (a) theobjectsofthisAct;

    Chapter11

    Undertakings

    Undertaking by a person

    110. (1) ApersonmayprovideanundertakingtotheCommission

    regarding any matter which may be the subject of a voluntary

    industrycodeunderthisActorforwhichthisActmakesexpressprovision.

    (2) Anundertakingprovidedbyapersonundersubsection(1)may

    (a) setoutthetermsandconditionsfor theundertaking;or

    (b) adoptthemodeltermsandconditionsfromaregistered

    voluntary industry code,

    and the undertaking may include the effective date of the

    undertaking and/or the date of itsexpiry.

    Registration of an undertaking

    111. (1) An undertakingprovided under thisChapter shall only

    bevalid and enforceableupon its registration.

    (2) ApersonmaysubmitawrittenapplicationtotheCommissiontohaveanundertakingregisteredbytheCommission.

    such undertakings as if they were respectively signed by eachpersonandcontainedagreementsonthepartofeachpersonforhimself and for his successors to observe all the provisions of

    the rules.

    (2) TheCommissionmaydirectapersonreferredtoinsubsection(1)tocomplywiththerulesmadeundersubsection(1)andanyregisteredundertakings issuedunder thisChapter.

    Withdrawal of an undertaking

    113. A person providing an undertaking may withdraw theundertaking a t any t ime by notifying the Commiss ion inwriting.

    Replacement of an undertaking

    114. IfapersonsubmitstotheCommissionanewundertakingwhich deals with the same matter as an existing registeredundertaking provided by that person, the existing registeredundertaking is taken to be invalid to the extent of any conflictwith the new undertaking at the time that the new undertakingis registeredunder section 111.

    Register of undertakings

    115. The Commission shall maintain a register of all existingundertakings, in accordancewith Chapter 6.

    Enforcement of an undertaking

    116. (1) Subjecttosubsection(2),theCommissionorapersonmayapplytoacourtfortheenforcementofaregisteredundertakingagainst the person providing the undertaking if an undertakinghasnotbeencompliedwith.

    (2) If a sum of money is payable by any person, or whereanything, other than the payment of money, is required to bedone ornot tobe done by any person because of anydirectiongivenbytheCommissionundersection112,andthedirectionhas

    not been compliedwith by the person towhomit is addressed,thenthedirectionshall,forallpurposes,beenforceableasifthe

    direction is a judgement of the HighCourt, in accordancewithsuch rules of court as may be applicable or in such manner astheCourtmaydeemjustorexpedientprovidedthatacertificate

    (3) No certificate is required if an action is taken by theCommission under this section.

    Chapter12

    Regulatory Forbearance

    Regulatory forbearance

    117. (1) Notwithstanding anything contained in this Act, theMinistermay,ontherecommendationoftheCommission,directthe Commission to forbear from applying any provision of thisActoritssubsidiarylegislationtoalicenseeorclassoflicensees,or to a person or class of persons, if the Minister determinesthat

    (a) the enforcement of such provision is not necessary toensuretheachievementoftheobjectsofthisAct;

    (b) theenforcement of suchprovision is not necessary fortheprotectionof consumers;

    (c) theforbearancefromapplyingsuchprovisionisconsistentwith thenational interest; and

    (d) the forbearance from applying such provisionwill notimpede the administrationof thisAct.

    (2)Thedirectionby theMinistershallbemade inaccordancewithsection7.

    Determination by the Minister

    118. (1) TheMinistershallconsiderthewrittenrecommendationoftheCommissionbeforemakingadetermination,inaccordance

    withsection10,toforbearfromapplyingtherelevantprovisionsof thisActor its subsidiary legislation.

    (2) The Minister shall provide a written notice as soon aspracticable of his determination on whether to forbear fromapplying suchprovision and thereasons for his determination.

    (3) If the Minister determines to forbear from applying aprovision of thisAct or its subsidiary legislation, the MinistershallpublishthenoticeofforbearanceintheformofanexemptionorderintheGazette.

    (4) Anexemptiondeterminedundersubsection(3)mayormaynotbesubjecttoanyconditions.

    Chapter13

    Review of Decisions

    Review by the Commission

    119. (1) Apersonwhoisaggrievedorwhoseinterestisadverselyaffected by any decision of the Commission made pursuant totheperformanceofitspowersandfunctionsunderthisActoritssubsidiary legislationmay request inwritingto theCommissionfor a statementof the reasons for the decision.

    (2) TheCommissionshall,uponsuchwrittenrequest,provideacopyofastatementofreasonsforthedecisionandanyrelevantinformation taken into account inmaking the decision within aperiod of notmore than thirty days from the date of receipt ofthe request by theCommission.

    (3) TheCommissionisnot required topublish,or to disclose

    toapersontowhoseaffairsitrelates,astatementofreasonsora partof a statementof reasons if the publicationordisclosurewould

    (a) disclose amatterofa confidential character;

    (b) belikelytoprejudicethefairtrialofaperson;or

    (c) involvetheunreasonabledisclosureofpersonalinformationabout any individual (includinga deceasedperson).

    (4) InthisChapter,decisionincludesanyaction,order,reportor delegated authority.

    Review by the Appeal Tribunal

    120. (1) Subject tosubsection(2),apersonwhoisaggrievedor

    whose interest is adversely affected by a decision or direction(but not a determination) of the Commission made pursuant tothe performance of its powers and functions under this Act oritssubsidiary legislation,may appeal to theAppealTribunal fora review of the merits and the process of certain decisions ordirectionsof theCommission,unlessthematterisnotsubjecttoanappeal to theAppealTribunal.

    (2) Subjecttosubsection17(1),theMinistermaydeterminethe

    decisionsor directionsof theCommissionwhicharenotsubjectto appeal to theAppealTribunal under subsection (1).

    Judicial review

    121. (1) A person affected by a decision or other action of theMinister or Commission may apply to the court for a judicialreviewofsuchdecisionorotheraction.

    (2) Apersonshallnotapplyto thecourt fora judicial reviewunlessthatpersonhasfirstexhaustedallotherremediesprovidedunderthisAct.

    Chapter14

    Regulatory Review

    Review of subsidiary legislation by the Commission

    122. (1) TheCommissionshallreviewallrulesandregulationsmadeunderthisActthatareineffectatthetimeofthereview.

    (2) A review of the rules and regulations shall be conductedbytheCommission

    (a) everythreeyears;or

    (b) as andwhen theMinister so directsunder section 7.

    (3) TheCommission shall provide awritten recommendationto the Minister to modify or vary, or to repeal, any rules orregulationsmade under thisAct

    (a) which are no longernecessary in the national interest;

    (b) which are no longernecessary toensuretheobjects ofthisAct;or

    (c) for any other reason that the Commission thinks isrelevant.

    Chapter15

    Monitoring and Reporting

    Report to the Minister on industry performance

    123. (1) The Commission shall monitor all significant mattersrelatingtotheperformanceofnetworkfacilitiesproviders,networkservice providers, applications service providers and contentapplications service providers and report to theMinister at the

    end of each financialyear.

    (2) In performing its functions under subsection (1), theCommission shall have regard to such industry performanceindicators as theCommissionconsiders appropriate.

    Matters to monitor and report

    124. Matters upon which the Commission shall monitor and

    reportinclude,butarenotlimitedto,thefollowing:

    (a) the operation and administration of this Act and itssubsidiary legislation;

    (b) theefficiency inwhich licenseesprovidefacilities andservices;

    (c) the qualityof services;

    (d) the rates paidby consumers for services;

    (e) thedevelopment of industry self-regulation;

    (f) the level ofcompliancewith voluntary industry codes,mandatory standards andundertakings;

    (g) theadequacyofservices and availabilityofservices in

    (i) other matters that the Commission is satisfied arerelevant.

    Report to be published

    125. TheCommissionshallpublishthereport,inthemanneritdeemsappropriate, as soon aspracticablefollowing the date onwhich the Commission conveys the report to theMinister.

    PartVI

    ECONOMICREGULATION

    Chapter 1

    Licensing

    Licensing of network facilities, network services and applicationsservices

    126. (1) SubjecttosuchexemptionsasmaybedeterminedbytheMinisterbyorderpublishedinthe Gazette,nopersonshall

    (a) own orprovideany network facilities;

    (b) provideanynetworkservices;or

    (c) provideanyapplicationsservices,

    except under and in accordance with the terms and conditionsof

    (aa) avalidindividuallicencegrantedunderthisAct;or

    (bb) a class licence grantedunder thisAct,

    expresslyauthorizingtheownershiporprovisionofthefacilitiesorservices.

    (2) A person who contravenes subsection (1) commits anoffenceandshall,onconviction,beliabletoafinenotexceedingfive hundred thousand ringgit or to imprisonment for a term

    notexceeding fiveyears or toboth andshall alsobe liable toafurther fine of one thousand ringgit for every day or part of aday duringwhich theoffence is continuedafter conviction.

    Compliance with licence conditions

    127. (1) TherelevantstandardconditionsofalicenceunderthisPartshallbeinaccordancewiththeSchedule.

    (2) Any special or additional conditions of a licencemay bedeclaredbytheMinisterandincludedinthelicence.

    (3) AlicenseeunderthisPartshallnotprovideanyfacilityorservice except in accordance with the conditions of the licencegranted to that licensee under this Part or the conditions of aclasslicencetowhichthelicenseeissubject.

    Definition of network boundary

    128. (1) TheMinistermay determine thenetwork boundary forthepurposesofthisAct.

    (2) Intheabsenceofsuchdetermination,thenetworkboundaryshall be

    (a) the first equipment socket in a privateresidence;

    (b) themaindistribution frame ina building; or

    (c) apointagreedtobythecustomerandthenetworkfacilities

    provider.

    (3) Theownershipofanynetworkfacilitiesandtheprovisionof any network services or applications services, solely on thecustomer side of the network boundary, are exempted from theprovisionsofthisPart.

    Exemption for applications service provider not subject to aclass licence

    129. An applications service provider who is not subject to aclasslicenceundersection126shallbedeemedtobeexempted

    fromtheprovisionsofthisChapter,butnotfromtheprovisionsofPartVII regarding technical regulation.

    Nominated facilities provider

    130. (1) The Minister may, on the recommendation of theCommission,determinethatalicensednetworkfacilitiesprovider,other than the owner of any network facilities, be a nominatedfacilities provider for the network facilities for the purposes ofthisAct,iftheMinisterissatisfiedthatthenominationwillnotimpede

    (a) the achievement of the objectsof thisAct; and

    (b) theadministrationof thisAct.

    (2) Uponthedeterminationofthenominatedfacilitiesproviderunder subsection (1), the owner shall then be deemed to beexempted from theprovisionsof this Chapter.

    Providers under a class licence shall register

    131. Apersonshallnotoperateunderaclasslicenceinrespectofanynetworkfacilitiesornetworkserviceorapplicationsserviceunless that person is registeredby theCommission.

    Separate licence

    132. AlicenceobtainedunderthisChapterdoesnotexemptanyperson from the obligation to obtain a licence under any otherrelevant section of thisAct.

    Chapter 2

    General Competition Practices

    Prohibition on anticompetitive conduct

    133. A licensee shall not engage in any conductwhich has thepurposeofsubstantiallylesseningcompetitioninacommunications

    134. (1) TheCommissionmay publish guidelineswhichclarify

    themeaningofsubstantiallesseningofcompetition.

    (2) Theguidelinesmay include reference to

    (a) therelevant economicmarket;

    (b) global trends in therelevantmarket;

    (c) theimpactoftheconductonthenumberofcompetitorsinamarketandtheirmarketshares;

    (d) the impact of the conduct on barriers toentry into themarket;

    (e) theimpactoftheconductontherangeofservicesinthemarket;

    (f) theimpactoftheconductonthecostandprofitstructuresinthemarket;and

    (g) anyothermatterswhichtheCommissionissatisfiedarerelevant.

    Prohibition on entering into collusive agreements

    135. Alicenseeshallnotenterintoanyunderstanding,agreementorarrangement,whetherlegallyenforceableornot,whichprovidesfor

    (a) rate fixing;

    (b) market sharing;

    (c) boycott of a supplier of apparatus; or

    (d) boycott ofanother competitor.

    Prohibition on tying or linking arrangements

    136. A licensee shall not, atany timeor in any circumstances,make it a condition for the provision or supplyof a productorserviceinacommunicationsmarketthatthepersonacquiringsuchproductorserviceinthecommunicationsmarketisalsorequiredto acquire or not to acquire any other product or service eitherfromhimself or from another person.

    Determination of dominant licensee

    137. The Commission may determine that a licensee is in a

    dominantposition in a communicationsmarket.

    Guidelines as to the meaning of dominant position

    138. (1) TheCommissionmay publish guidelineswhichclarifyhow itwill apply the testof dominantposition toa licensee.

    (2) TheguidelinesmayspecifythematterswhichtheCommissionmay take into account, including

    (a) therelevanteconomicmarket;

    (b) globaltechnologyandcommercialtrendsaffectingmarketpower;

    (c) themarketshareofthelicensee;

    (d) the licensees power to make independent rate settingdecisions;

    (e) thedegreeofproductorservicedifferentiationandsalespromotioninthemarket;and

    (f) anyothermatterswhichtheCommissionissatisfiedarerelevant.

    Commission may direct a licensee in a dominant position

    139. (1) The Commission may direct a licensee in a dominantposition ina communicationsmarket tocease a conduct in thatcommunications market which has, or may have, the effect ofsubstantiallylesseningcompetitioninanycommunicationsmarket,andtoimplementappropriateremedies.

    (2) The Commission may only i ssue a direction undersubsection (1) if the Commission is satisfied that the directionis consistentwith

    (a) theobjectsofthisAct;and

    (b) any relevant instrumentunder thisAct.

    for a termnotexceeding fiveyearsorto both andshall also beliable to a further fine of one thousand ringgit for every dayor part of a day during which the offence is continued after

    conviction.

    Minister may make rules

    144. (1) Subjecttosubsection(2),theMinistermaymakerules,tobepublishedintheGazette,inrespectofagreementsbetweenlicensees,underthisAct,andforeignnetworkfacilitiesprovidersand/ornetworkservice providers.

    (2) TheMinister shallonlymake therules,undersubsection (1),whichareintendedtopreventormitigate

    (a) anyconductbyforeignnetworkfacilitiesprovidersand/or network service providers which will, or is likelyto lead to, a substantial lessening of competition in acommunicationsmarket;or

    (b) the misuse of market power in a communicationsmarket.

    Chapter 3

    Access to Services

    Facilities and services which may be included in the accesslist

    145. (1) Thelistoffacilitiesandserviceswhichmaybeincluded

    in the access list, as determined by the Commission under thisChapter,are

    (a) network facilities;

    (b) network services; and

    (c) otherfacilitiesand/orserviceswhichfacilitatetheprovisionof network services or applications services, includingcontent applications services.

    (2) Thefacilitiesor services listed in paragraph(1)(c) donothave tobe ownedorprovided by the licensees under thisAct.

    Determination of facilities and services by the Commission

    146. Subjecttosubsection147(2),theCommissionmaydetermine

    that (a) a networkfacility;

    (b) a networkservice; or

    (c) any other facilities and/or serviceswhich facilitate theprovision of network services or applications services,includingcontentapplicationsservices,

    shall be included in or removed from the access list.

    Recommendation by access forum

    147. (1) Theaccess forummay recommend to theCommissionthat

    (a) a networkfacility;

    (b) a networkservice; or

    (c) any other facilities and/or serviceswhich facilitate theprovision of network services or applications services,includingcontentapplicationsservices,

    shall be included in or removed from the access list.

    (2) The Commission shall determine that the recommendednetworkfacilitiesorclassofnetworkfacilitiesornetworkserviceor class of network services be included in the access list, if

    it is satisfied that the access forum has consulted with personswho have an interest in the recommendation, and that not lessthannine-tenthsofthemembersoftheaccessforumsupporttherecommendation.

    (3) NotwithstandingChapter 3 of Part V, the Commission isnotrequiredtoconductaninquirybeforemakingadeterminationundersection55,ifthedeterminationrelatestoarecommendationmadebytheaccessforumunderthissectionbutnothinginthis

    sectionshallpreventtheCommissionfromconductinganinquiryifitdeemsitnecessary.

    Register of access list

    148. TheCommission shallmaintain a register of

    (a) networkfacilities;

    (b) networkservices; and

    (c) otherfacilitiesand/orserviceswhichfacilitatethesupplyof network services or applications services, includingcontent applications services,

    includedintheaccesslist.

    Standard access obligations for facilities and services

    149. (1) SubjecttosuchexemptionsasmaybedeterminedbytheMinister by order published in theGazette, a network facilitiesprovider and a networkservice provider shall provide access totheir network facilities or network services listed in the accesslisttoanyother

    (a) networkfacilitiesprovider;

    (b) networkservice provider;

    (c) applications serviceprovider; or

    (d) content applications serviceprovider,

    whomakesawrittenrequestforaccesstosuchnetworkfacilitiesprovider or network service provider on reasonable terms andconditions.

    (2) Theaccessprovidedbyoneprovider(thefirstprovider)

    to another provider under subsection (1), shall be

    (a) ofatleastthesameormorefavourabletechnicalstandardandqualityasthetechnicalstandardandqualityprovidedon the first providers network facilities or networkservices; and

    (b) on an equitableanda non-discriminatorybasis.

    (3) A person who contravenes subsection (1) commits an

    offenceandshall,onconviction,beliabletoafinenotexceedingfivehundredthousandringgitortoimprisonmentforatermnotexceedingfiveyearsortoboth.

    (d) protectionofcommercialinformation;

    (e) provisioningoffacilities;and

    (f) sharingoftechnicalinformation.

    (4) Theaccesscodemayprovidefordifferenttermsandconditionsforthedifferentnetworkfacilitiesandnetworkserviceslistedintheaccesslist.

    Registration of the access code

    154. TheCommissionshallnotregisteranaccesscodeunlessitis

    satisfiedthattheaccesscodeisconsistentwiththestandardaccessobligations.

    Industry access undertakings

    155. (1) Alicenseemayprovideanaccessundertaking,inaccordancewithsection110.

    (2) An access undertakingmay specifymore than one set of

    termsandconditionsforaccesstoaparticularnetworkfacilityornetworkservicelistedintheaccesslist.

    Registration of an undertaking

    156. TheCommissionshallnotregisteranundertaking,inaccordancewithitsgeneralpowersinsection111,unlessitissatisfiedthattheundertakingisconsistentwiththestandardaccessobligations.

    Spectrum Assignment

    (2) TheregulationsmadebytheMinisterundersection158mayprovideforthethirdpartyoperationofanetworkfacilitywhichisthesubjectofanapparatusassignmentbypersonsauthorizedbytheholderoftheapparatusassignment.

    Maximum term for an apparatus assignment

    168. Anapparatus assignmentshallnotbevalid foraperiodofmorethanfiveyearsfromitsdateofissue.

    Class assignment

    169. (1) The Commission may issue a class assignment whichconfersrightsonanypersontouseanyfrequencybandorbandsforaspecifiedpurpose.

    (2) AclassassignmentissuedunderthissectionmaybesubjecttosuchconditionsastheCommissionmayimpose.

    Class assignment to comply with spectrum plan

    170. Aclassassignmentshallnotbeissuedunlessitisconsistent

    withthespectrumplandevelopedunderthisPart.

    Situation where class assignment shall not be issued

    171. The Commission shall not issue a class assignment thatauthorizestheuseofthespectrumthatisdeterminedforspectrumassignments.

    Spectrum plan

    172. (1) TheCommissionmaydevelopaspectrumplaninrespectofanypartorallofthespectrum.

    (2) The spectrum plan shall be made available to the public(includinginanelectronicmedia)forafeetobedecidedbytheCommission.

    Contents of spectrum plan

    173. (1) Aspectrumplanshalldefinehowthespectrumshallbeusedanddefinethemethodologyforassignmentandreassignmentofthespectrum.

    agreementsincluding,butnotlimitedto,theInternational

    Telecommunication Union and its radio regulations as

    agreedtoandadoptedbyMalaysia.

    Preferential rights

    174. TheMinistermaydeterminethatspecifiedspectrumassignment

    and/orapparatusassignmentmayonlybeissuedtoparticularpersons

    orclassesofpersonswhosatisfysuchconditionsasarespecified

    inthedeterminationpublishedintheGazette.

    Dispute about interference

    175. ( 1) The Commiss ion may r esolve d is pu te s about

    interference.

    (2) Theresolutionofdisputesundersubsection(1)shallcomply

    withChapter7ofPartV.

    Minister may determine spectrum for spectrum assignment

    176. (1) The Minis ter may, after taking into account the

    recommendation of the Commission, determine that a certainspectrumistobereallocatedforspectrumassignments.

    (2) Thedeterminationmadeundersubsection (1)mayinclude

    limitsontheamountofspectrumavailable,eithergenerallyorto

    particularpersonsorclassesofpersons.

    (3) Thedeterminationmadeundersubsection(1)shallbedeemed

    toincludethetermthatthespectrumassignmentshallnotexceed

    twentyyears.

    177. The spect rum p lan may inc lude procedures for theassignment of spectrum assignments and apparatus assignments

    (a) proceduresfortheassignmentofspectrumassignmentsandapparatusassignmentsbyauction;

    (b) proceduresfortheassignmentofspectrumassignmentsandapparatusassignmentsbytender;

    (c) proceduresfortheassignmentofspectrumassignmentsat

    afixedpricetobedeterminedbytheMinister;(d) proceduresfortheassignmentofapparatusassignmentsata

    fixedpricetobedeterminedbytheCommission;and/or

    (e) aconversionplanfortheconversionofdesignatedapparatusassignmentsintospectrumassignments.

    Compulsory acquisition of assignments in determinedspectrum

    178. (1) The Minister may direct the Commission to developproceduresforthecompulsoryacquisitionbytheCommissionofassignmentsinadeterminedspectrum.

    (2) The Commission may recommend to the Minister thatassignments inadeterminedspectrumbecompulsorily acquiredbytheCommissioninaccordancewithareassignmentofspectrumconsistentwiththespectrumplan.

    (3) TheMinistermay,aftertakingintoaccounttherecommendationoftheCommissionundersubsection(2),direct that assignmentsin a determined spectrum be compulsorily acquired by theCommission.

    (4) TheCommissionmaypayareasonableamountofcompensationtotheholderofanassignmentwhoseassignmenthasbeenacquiredpriortoitsexpiry,byadirectionmadeunderthissection.

    (5) No compensationmaybe payable if an assignment is notrenewed.

    179. (1) TheCommissionshallbevestedwiththecontrol,planning,administration, management and assignment of the numberingand electronic addressing of network services and applicationsservices.

    (2) TheCommissionmaydelegate anyor all of its functions

    underthisChapter.

    Numbering and electronic addressing plan

    180. (1) TheCommissionshalldevelopanumberingandelectronicaddressing plan for the numbering and electronic addressing ofnetworkservicesandapplicationsservices.

    (2) Thenumberingandelectronicaddressingplanmaysetout

    ruleswhichinclude,butarenotlimitedto(a) theuseofdifferentnumbersandelectronicaddressesfor

    differentkindsofservices;

    (b) theassignmentofnumbersandelectronicaddresses;

    (c) thetransferofassignednumbersandaddresses;

    (d) theuseofassignednumbersandelectronicaddresses;

    (e) the portability of assigned numbers and electronicaddresses;

    (f) the requirements for network service providers andapplications service providers to maintain a plan forassigning and reassigning numbers and electronicaddresses; and

    (g) the rates for the assignment and transfer of numbersandelectronicaddresseswhichm
