Description LOT I Ready-Mix structural concrete to be used as replacement material in the repair of deteriorated Portland Cement Concrete bridge elements. NOTE TO AUTHORIZED USERS:

When placing purchase orders under the contract(s), the authorized user should be familiar with and follow the terms and conditions governing its use which usually appears at the end of this document. The authorized user is accountable and responsible for compliance with the requirements of public procurement processes. The authorized user must periodically sample the results of its procurements to determine its compliance. In sampling its procurements, an authorized user should test for reasonableness of results to ensure that such results can withstand public scrutiny. The authorized user, when purchasing from OGS contracts, should hold the contractor accountable for contract compliance and meeting the contract terms, conditions, specifications, and other requirements. Also, in recognition of market fluctuations over time, authorized users are encouraged to seek improved pricing whenever possible. PRICE:

Clause 23b of the general specifications has been modified to include the following: Price shall be net, F.O.B. destination as designated by the ordering agency including all basic delivery charges per cubic meter for Lot 1 and per cubic yard for Lot 2. Admixtures (with the exception of air-entraining) and surcharges shall be bid as additional costs.

Periodic Price Adjustment - The base bid prices shown in the initial CONTRACT AWARD NOTIFICATION may be adjusted in accordance with changes in the US Bureau of Labor Statistics Producer Price Index for Ready-mixed Concrete as follows:

Government Mandated Program Price Adjustment - An adjustment in price may be permitted if a government mandated program such as a new standard for emissions takes effect and suitable documentation is furnished to the State and the State determines the requested price change is verifiable and is reasonable. Such a price adjustment may be permitted for only a limited time since such an adjustment would eventually be reflected in the PPI.

Unworkable Price Structure - Should the price structure utilized by the parties become unworkable, detrimental or injurious to the State and/or Contractor or result in prices which are not truly reflective of current market conditions, and the price is deemed unreasonable or excessive by the Commissioner and no adjustment in price is mutually agreeable, the Commissioner reserves the sole right upon 10 days written notice mailed to the contractor to terminate any contract resulting from this bid opening. If the contractor is unable or unwilling to meet contractual requirements in whole or in part based on an unworkable price structure, it shall immediately notify the State of that fact in order that the State may take appropriate action. Such notification shall be in writing and shall be directed to the Office of General Services, Procurement Services Group. Such notification shall not relieve the contractor of its responsibilities under the contract.

The State reserves the right to implement changes in price based on unforeseen factors such as dramatic changes in availability, delivery, costs, etc., for product, supplies, etc., that substantively affect the contractor’s business processes or that may impact contract pricing. Such changes may be based on information from the U.S. Bureau of Labor Statistics, industry data, or other sources.

Price Reductions - Contractors are permitted to reduce their pricing any time during the contract term. In addition, contractors may choose to offer lower prices in specific instances or for particular projects. Contractors may do so through the agencies’ use of the “Quick Quote” procedure (See Below).

QUICK QUOTE/PRICE CALCULATION WORKSHEET:

During the course of this award, agencies may wish to try to obtain lower prices and contractors may wish to lower their contract price for various reasons, i.e. excess supply, slow business, etc. Each quick quote situation is unique and the price is firm for that particular project only. The use of the quick quote format is optional. Agencies may simply use the contract prices to fill out the Price Calculation Worksheet to determine who has the lowest price. If any agency wishes to try to obtain better pricing they must send a quick quote form to the contractors within proximity of the project. If bid security is an issue, the agency can require bids to be sealed and/or opened publicly. Agencies are to accept the lowest bid meeting their specific need. There are no negotiations permitted following this "Quick Quote" and prices cannot be changed once offered. Failure to adhere to all quick quote procedures may cause any non-state agency to lose the privilege of using State contracts. If for some reason the lowest bid is not taken, the agency must prepare detailed documentation explaining the action taken (i.e., the low contractor could not provide the product in the time frame required). This explanation along with the worksheets must be made a part of the record. State Agencies are required to send copies of all worksheets along with the purchase order to the Office of the State Comptroller. Contractors are not required to lower prices when they receive a quick quote. They may quote the contract price. However, at no time, may a price be quoted that is higher than the contract price. Any awarded item including admixtures and surcharges can be lowered by the contractor during quick quote process.

CONTRACT PAYMENTS:

Payments cannot be processed by State facilities until the contract products have been delivered in satisfactory condition or services have been satisfactorily performed. Payment will be based on any invoice used in the supplier's normal course of business. However, such invoice must contain sufficient data including but not limited to contract number, description of product or service, quantity, unit and price per unit as well as federal identification number. State facilities are required to forward properly completed vouchers to the Office of the State Comptroller for audit and payment. All facilities are urged to process every completed voucher expeditiously giving particular attention to those involving cash discounts for prompt payment. If the contract terms indicate political subdivisions and others authorized by law are allowed to participate, those entities are required to make payments directly to the contractor. Prior to processing such payment, the contractor may be required to complete the ordering non-State agency's own voucher form. See "Contract Billings" in Appendix B, OGS General Specifications.

METHOD OF ORDERING: General - Orders for the purchase of material will be placed with the contractor whose source of supply offers the lowest ultimate cost to the State or authorized user for the delivery specified and who can deliver within the time frame requested by the ordering agency. The lowest ultimate cost includes the FOB Plant (or if applicable, supply location) Price, total Haul Cost (based on cost per net Metric ton kilometer), additional Charges (ferry and/or bridge tolls), and price per day for equipment. The ultimate cost for each contractor will be computed based on the location from which the material is being supplied, not necessarily the location of the approved plant where it was manufactured. Purchase Order Instructions - Delivery shall be made in accordance with instructions on purchase order from each agency. If there is a discrepancy between the purchase order and what is listed on the contract, it is the contractor’s obligation to seek clarification from the ordering agency and, if applicable, from the Office of General Services, Procurement Services Group. (SEE ALSO SEPARATE CLAUSE ON “PURCHASE ORDERS AND INVOICES”.)

CONTRACT PERIOD AND RENEWALS/EXTENSIONS:

General - It is the intention of the State to enter into a contract for the term stated. Price Adjustment - Prices quoted are to be firm through March 31, 2007. Thereafter price adjustment (up OR down) may be made in accordance with provisions in the "PRICE" clause. Price decreases are permitted at any time. Unilateral Short Term Extension by the State - In the event the replacement contract has not been issued, any contract let and awarded hereunder by the State, may be extended unilaterally by the State for an additional period of up to one month upon notice to the contractor with the same terms and conditions as the original contract including, but not limited to, quantities (prorated for such one month extension), prices, and delivery requirements. With the concurrence of the contractor, the extension may be for a period of up to three months in lieu of one month. However, this extension terminates should the replacement contract be issued in the interim. Cancellation After September 30, 2007 - Either the contractor or the State may unilaterally cancel the contract on a monthly basis any time after September 30, 2007 by providing written notification at least 4 (four) months prior to the effective date of cancellation. (NOTE: The State reserves the right to award a contract to another vendor/bid to replace a contract that may be cancelled.) Cancellation For Convenience By The State - The State of New York retains the right to cancel contract, in whole or in part without reason provided that the Contractor is given at least sixty (60) days notice of its intent to cancel. This provision should not be understood as waiving the State's right to terminate the contract for cause or stop work immediately for unsatisfactory work, but is supplementary to that provision. Any such cancellation shall have no effect on existing Agency agreements, which are subject to the same 60 day discretionary cancellation or cancellation for cause by the respective user Agencies. Contract Cancellation & Award on Another Bid - If a contract is cancelled, the State reserves the right to make award on another compliant bid for the original bid letting, but is not obligated to do so; the State is not obligated to hold another bid letting. Mutual Extension of Time Period - If mutually agreed between the Procurement Services Group and the contractor, the contract may be renewed under the same terms and conditions for additional period(s) not to exceed a total contract term of five (5) years.

NON-STATE AGENCIES PARTICIPATION IN CENTRALIZED CONTRACTS:

New York State political subdivisions and others authorized by New York State law may participate in contracts. These include, but are not limited to local governments, public authorities, public school and fire districts, public and nonprofit libraries, and certain other nonpublic/nonprofit organizations. See "Participation in Centralized Contracts" in Appendix B, OGS General Specifications. For purchase orders issued by the Port Authority of New York and New Jersey (or any other authorized entity that may have delivery locations adjacent to New York State), the terms of the "Price" clause shall be modified to include delivery to locations adjacent to New York State. Upon request, all eligible non-State agencies must furnish contractors with the proper tax exemption certificates and documentation certifying eligibility to use State contracts. EXTENSION OF USE:

This contract may be extended to additional States or governmental jurisdictions. Political subdivisions and other authorized entities within each participating State or governmental jurisdiction may also participate in any resultant contract if such State normally allows participation by such entities. New York State reserves the right to negotiate additional discounts based on any increased volume generated by such extensions.

CONTRACT MIGRATION:

State Agencies or any other authorized user holding individual contracts with contractors under this centralized contract shall be able to migrate to this contract award with the same contractor, effective on the contract begin date (retroactively, if applicable). Migration by an agency or any other authorized user to the centralized contract shall not operate to diminish, alter or extinguish any right that the agency or other authorized user otherwise had under the terms and conditions of their original contract.

USE OF RECYCLED OR REMANUFACTURED MATERIALS:

New York State, as a member of the Council of Great Lakes Governors, supports and encourages vendors to use recycled, remanufactured or recovered materials in the manufacture of products and packaging to the maximum extent practicable without jeopardizing the performance or intended end use of the product or packaging unless such use is precluded due to health or safety requirements or product specifications contained herein. Refurbished or remanufactured components or products are required to be restored to original performance and regulatory standards and functions and are required to meet all other requirements of this bid solicitation. Warranties on refurbished or remanufactured components or products must be identical to the manufacturer's new equipment warranty or industry's normal warranty when remanufacturer does not offer new equipment. See "Recycled or Recovered Materials" in Appendix B, OGS General Specifications.

OVERLAPPING CONTRACT ITEMS:

Products/services available in the resulting contract may also be available from other New York State contracts. Contract users will be advised to select the most cost effective procurement alternative that meets their program requirements and to maintain a procurement record documenting the basis for this selection.

NEW YORK STATE PROCUREMENT CARD:

See "Procurement Card" in Appendix B, OGS General Specifications. All bidders shall indicate if they will accept the NYS Purchasing Card for orders not to exceed $10,000 (see Questions at end of bid document).

PAYMENTS OF INTEREST:

The payment of interest on certain payments due and owed by a State agency may be made in accordance with the criteria established by Chapter 153, Laws of 1984 (Article 11A of New York State Finance Law) and the Comptroller's Bulletin No. A-91. The terms of Chapter 153 apply only to procurements by and the consequent payment obligations of State agencies. Neither expressly nor by any implication is the new statute applicable to non-State agency purchasers. Nor, of course, is the Office of General Services or the Office of the State Comptroller responsible for payments (see General Specification Clause 69) on any purchases made by a participating political subdivision or other authorized entity.

"OGS OR LESS" GUIDELINES APPLY TO THIS CONTRACT:

Purchases of the products included in this Contract Award Notification are subject to the "OGS or Less" provisions of Section 163.3.a.v., Article XI, of the New York State Finance Law. This means that State agencies can purchase products from sources other than the contractor provided that such products are substantially similar in form, function or utility to the products herein and are:

Agencies are reminded that they must provide the State contractor an opportunity to match the non-contract savings at least two business days prior to purchase. In addition, purchases made under "OGS or Less" flexibility must meet all requirements of law including, but not limited to, advertising in the New York State Contract Reporter, prior approval of the Comptroller's Office and competitive bidding of requirements exceeding the discretionary bid limit. State agencies should refer to Procurement Council Bulletin "OGS or Less Purchases" for complete procedural and reporting requirements.

All Bidders awarded contracts shall, upon receipt of a Purchase Order, provide a Certificate of Insurance evidencing insurance coverage at that time, in the amounts and type set forth below, and shall provide a certificate of such insurance naming the Authorized User as an additional insured. Such insurance shall in no event be construed for any purpose so as to make Contractor or the issuer of such policies liable for the negligence (joint, concurrent, independent or individual) acts, errors or omissions of the Authorized Users or its employees. All insurance required by the Contract shall be:

Obtained at the sole cost and expense of the Contractor; Maintained with insurance carriers licensed to do business in New York State; Endorsed to provide written notice be given to the Authorized User, at least thirty (30) days prior to the

cancellation, non-renewal, or material alteration of such policies, which notice, evidenced by return receipt of United States Certified Mail; shall be sent to the Authorized User's name and address;

Endorsed naming The People of the State of New York, its officers, agents, and employees as additional insureds thereunder.

The Contractor shall be solely responsible for the payment of all deductibles and self insured retentions to which such policies are subject. Deductibles and self-insured retentions must be approved by Authorized User. Such approval shall not be unreasonably withheld. The Contractor shall require that any subcontractors hired, carry insurance with the same limits and provisions provided herein. Each insurance carrier must be rated at least “A-” Class “VII” in the most recently published Best’s Insurance Report. If, during the term of the policy, a carrier’s rating falls below “A-” Class “VII”, the insurance must be replaced no later than the renewal date of the policy with an insurer acceptable to the Department and rated at least “A-” Class ”VII” in the most recently published Best’s Insurance Report. The Contractor shall cause all insurance to be in full force and effect as of the commencement date of this Project and to remain in full force and effect throughout the term of the Project and as further required by this Contract. The Contractor shall not take any action, or omit to take any action that would suspend or invalidate any of the required coverages during the period of time such coverages are required to be in effect. Not less than thirty (30) days prior to the expiration date or renewal date, the Contractor shall supply the Authorized User updated replacement Certificates of Insurance, and amendatory endorsements. The Contractor, throughout the term of this Contract, or as otherwise required by this Contract, shall obtain and maintain in full force and effect, the following insurance with limits not less than those described below and as required by the terms of this Contract, or as required by law, whichever is greater (limits may be provided through a combination of primary and umbrella/excess policies):

a) Commercial General Liability Insurance with a limit of not less than $5,000,000 each occurrence.

Such liability shall be written on the ISO occurrence form CG 00 01, or a substitute form providing equivalent coverages and shall cover liability arising from premises operations, independent contractors, products-completed operations, broad form property damage, personal & advertising injury, cross liability coverage, liability assumed in a contract (including the tort liability of another assumed in a contract) and explosion, collapse & underground coverage.

1. If such insurance contains an aggregate limit, it shall apply separately on a per job basis. b) Workers Compensation, Employers Liability, and Disability Benefits as required by New York

State. If employees will be working on, near or over navigable waters, US Longshore and Harbor Workers Compensation Act must be included. The Alternate Employer Endorsement WC 00 03 01A must be included on the policy naming the People of the State of New York as the alternate employer for only those contractors offering equipment with operators.

c) Comprehensive Business Automobile Liability Insurance with a limit of not less than $2,000,000

each accident. Such insurance shall cover liability arising out of any automobile including owned, leased, hired and non owned automobiles.

leased or rented equipment.

Waiver of Subrogation: Contractor shall cause to be included in each of its policies insuring against loss, damage or destruction by fire or other insured casualty a waiver of the insurer’s right of subrogation against OGS, or, if such waiver is unobtainable (i) an express agreement that such policy shall not be invalidated if Contractor waives or has waived before the casualty, the right of recovery against OGS or (ii) any other form of permission for the release of OGS.

In the event that a disaster emergency is declared by Executive Order under Section 28 of Article 2-B of the Executive Law, or that the Commissioner determines pursuant to his/her authority under Section 163(10)(b) of the State Finance Law that an emergency exists requiring the prompt and immediate delivery of products or services, the Commissioner reserves the right to obtain such products or services from any source, including but not limited to this contract, as the Commissioner in his/her sole discretion determines will meet the needs of such emergency. Contractor shall not be entitled to any claim or lost profits for products or services procured from other sources pursuant to this paragraph.

GENERAL REQUIREMENTS - ALL CONCRETE - ALL LOTS 1.0 - NYS DOT APPROVAL:

Product shall be delivered only from New York State Department of Transportation approved plants. 2.0 - SAMPLING AND TESTING:

The Office of General Services or any of its authorized representatives reserves the right to take samples during any pour in order to test the concrete for compliance to the specified performance standards. Any product failing to meet the minimum standards for these tests may be subject to replacement.

3.0 - DELIVERY:

Delivery shall be expressed in number of calendar days required to make delivery after receipt of a purchase order. Product shall be delivered as required, based on Agency’s needs, during the contract period, with 48 hours prior notification to contractor, by agency personnel.

LOT 1 - CONCRETE, READY-MIXED - DOT CLASSES 1.0 - SCOPE:

This specification describes various classes of ready-mixed concrete (DOT Classes A, D, DP, E, F, H, HP, & J); much of the concrete ordered through resulting contracts will be used in repairing bridges. Concrete supplied must meet all applicable (DOT) specifications. Concrete may also be ordered by other state agencies and political subdivisions for various uses. The classes of ready-mixed concrete required are as follows:

Class A - Normal Structural Concrete Class D - Thin Section Concrete Class DP - Thin section concrete - with fly ash and microsilica added Class E - Structural Bridge Deck Concrete Class F - High early strength concrete for pavement or structural slabs Class H - Concrete suitable for pumping applications Class HP - Concrete suitable for pumping applications - with fly ash and microsilica added Class J - Concrete suitable for slip forming structural median barriers, parapet walls and curbs These classes of concrete shall conform to the requirements of NYS Dept. of Transportation, Standard Specifications, Construction & Materials, dated January 2, 2002, Section 501.

2.0 - ADMIXTURES:

Per Agency request, admixtures and/or special ingredients shall be provided in various batches of the delivered concrete. Admixtures shall be provided on a “price additional” basis. The types of admixtures required are as follows:

ASTM Type A Water-Reducing Admixtures ASTM Type D Water-Reducing and Retarding Admixtures ASTM Type F Water-Reducing (High Range) Admixtures

Fibrous Concrete Reinforcement: .593 kg to .890 kg of polypropylene fibers per cubic meter of concrete as recommended by the manufacturer.

These admixtures shall conform to the requirements of NYS Dept. of Transportation, Standard Specifications, Construction & Materials, dated January 2, 2002, Section 711-08 Admixtures.

3.0 - MINIMUM ORDER:

Absolute minimum order shall be 2.0 cubic meters.

For all orders less than 5.5 cubic meters, contractor will be permitted to add a “small-load surcharge” to the invoice. Refer to contractor pricing pages for the actual amount of each small load surcharge for orders between 2 cu. m and 5 cu. m inclusive. If an agency makes an initial order of 5.5 cubic meters or more to a particular jobsite, the contractor shall not be allowed to impose a “small-load surcharge” for additional “finishing loads”, no matter how small these loads may be.

LOT 2 - CONCRETE, READY-MIXED - PERFORMANCE BASED MIXES - OGS APPROVED 1.0 - SCOPE:

This specification describes various types of ready-mixed concrete (3000 psi, 3500 psi and 4000 psi); much of the concrete ordered through resulting contracts for Lot 2 will be used for general purposes such as footings and walls, interior slab on grade, any non-exposed work and all exterior slab on grade. Concrete supplied must meet all applicable (ASTM) specifications for general use. Concrete may also be ordered by state agencies and political subdivision for various other uses. All work shall conform to the requirements of Specifications for Structural Concrete for Buildings ACI 301-96 of the American Concrete Institute, unless shown or specified otherwise. The types of ready-mixed concrete required are as follows:

3000 PSI - Footings and walls, Interior slab on grade 3500 PSI - All around general purpose for any non-exposed work 4000 PSI - All exterior slabs, ramps and stairs, garage floor slabs and loading docks

These types of concrete shall conform to the requirements of Office of General Services. Concrete materials shall conform to the following requirements:

Cement: ASTM C150, type I or II Portland Cement Fly Ash: ASTM C618, Class F Water: Potable 2.0 - ADMIXTURES:

Per Agency request, admixtures and/or special ingredients shall be provided in various batches of the delivered concrete. The types of admixtures that may be required are as follows:

ASTM C260 Air-Entraining Admixture: 6% + 1.5% by volume. This admixture shall be added as

recommended by the manufacturer.

These admixtures shall conform to the requirements of ASTM and DOT Standards and must be on the DOT Approved List. Concrete shall have a minimum slump of 2" and a maximum slump of 4" before the addition of any water reducing admixtures at the site.
