Capital Raising Process
• Any time you are taking capital from an outside investor, it is a securities offering. Must comply with state and federal securities laws. • Best way to do this is through a regulation D private placement. • Regulation D – exemption from 1933 securities act which allows an
exemptions from state securities laws by filing form D with the securities and exchange commission• Reg D has a number of rules associated with its potential offerings. Rule
506B and 506C are the ones most often used. • 506C is the most recommended because its allows an offer to generally advertise
the offering.• Regardless of the rule, all offerings require disclosures sufficient to overcome the
anti-fraud provisions of the Securities act and the most efficient way to do this is through a private placement memorandum.

Process Flow of Performing an Offering1) Pro Forma and Pitch Deck. This needs to include an easy to understand executive summary including what they are investing in, what are they going to get and what are the returns are going to be. Include appropriate disclosures in this. 2) Soft-circle money from your close network of investors. 3) Private Placement Memorandum (PPM) and Subscription Agreement. Your PPM should allow for investment at either the QOF or QOZB level. Your Investors will need to sign the Subscription Agreement to become an investor in the deal. This becomes the certificate of their investment. 4) Marketing materials, website, and video. Advertise the deal to prospects, and send potential investors the PPM and Subscription Agreement.5) Closing. Investors tender the subscription agreement back to the sponsor with their investment funds. 6) Use a custodian and/or fund administrator if you want a third party to maintain physical documents and the funds, in order to increase investor transparency and provide a communication portal.
