    Welcome Message

    Learning Outcomes

    Welcome to International Corporate Law.

    The principal legal vehicle for business in all developed economies is the limited

    liability company. Therefore any study of international business law must include a

    coherent and rigorous examination and analysis of 

    ◾ the legal framework of corporate law adopted in a range of relevant

     jurisdictions;

    ◾ the problems and issues faced by the law in this field;

    ◾ the similarities and differences of the choices made and solutions instituted;

    and

    ◾ the aims, experiences and outcomes of the operation of company law in

    those jurisdictions.

    This module is intended to provide such an examination and analysis at

    postgraduate level. It is designed to provide the opportunity to acquire a deep,

    critical and coherent knowledge and understanding of aspects of substantive and

    procedural law in this fundamental area of International Business Law and to

    engage critically in research and investigation, leading to a wide and deep

    understanding of corporate law.

    The module will provide an opportunity to participate in learning activities that

    emphasise active and participative education, through the use of methods leading

    to independent, autonomous and self-reliant learning practices which will enable

    students both to acquire and to construct knowledge and critical understanding of

    international corporate law, which will lead to the acquisition and development of

    transferable and marketable skills and knowledge for lifelong learning and

    employment opportunities.

    1. Critically analyse the principal features of international corporate law,

    including the major concepts, values, principles and rules, and the main

    institutions and procedures in the UK, the USA and principal European states.

    2. Critically analyse the historical origins, policy justifications and practical

    outcomes of relevant substantive corporate legal rules, and apply economic,

    political and ethical concepts and principles to the law.

    3. Conduct independent research into comparative international corporate law,

    corporate governance and insolvency law and present findings in an

    articulate and critical fashion.

    4. Apply the critical legal knowledge acquired or developed in an international

    context and employ strategic transferable skills to demonstrate continuing

    professional development and practice.
