Now comes Plaintiff Mazanec, Raskin & Ryder Co., L.P.A., by and through counsel, and

for its Complaint against Defendant City of Akron, states as follows:

1. Plaintiff Mazanec, Raskin & Ryder Co., L.P.A. is a legal professional association

located in Solon, Ohio and at all relevant times was and is authorized to do business

in the state of Ohio.

2. Defendant City of Akron is a political subdivision in the State of Ohio.

3. In 2014, Defendant City of Akron entered into a services agreement with Mazanec,

Raskin & Ryder Co., L.P.A. for legal advice and assistance in connection with

issues and litigation regarding Donald Schismenos.

4. A true and accurate copy of the September 24, 2014 Special Services from

Municipal Corporation Agreement is attached as "Attachment 1" of this Complaint.

5. A true and accurate copy of the November 19, 2014 First Amendatory Agreement

for Special Services from Municipal Corporation is attached as "Attachment 2" of

this complaint.

6. A true and accurate copy of the February 20, 2015 Second Amendatory Agreement

for Special Services from Municipal Corporation is attached as "Attachment 3" of

this Complaint.

7. A true and accurate copy of the May 22, 2015 Third Amendatory Agreement for

Special Services from Municipal Corporation is attached as "Attachment 4" of this

Complaint.

8. The Agreement and its subsequent Amendments were drafted by the City of Akron.

9. The Agreement and its subsequent Amendments were authorized by City of Akron

Ordinances 75-2014, 86-2015, and 351-2014.

10. Pursuant to the Agreement and its Amendments, the City of Akron is responsible

to pay for legal services rendered and costs advanced by Mazanec, Raskin & Ryder

Co., L.P.A. on the City's behalf.

11. From and after its retention, Mazanec, Raskin & Ryder Co., L.P.A. consulted and

communicated with the City of Akron regarding the Schismenos matter, conducted

extensive document review, legal research, and rendered legal advice to and for the

benefit of the City of Akron.

12. Mazanec, Raskin & Ryder Co., L.P.A. provided the aforementioned services from

2014 to January 2016.

13. Mazanec, Raskin & Ryder Co., L.P.A. performed the aforementioned services in

Solon, Ohio.


14. Mazanec, Raskin & Ryder Co., L.P.A. rendered periodic invoices to the City of

Akron for services rendered and costs advanced.

15. The City of Akron paid invoices from 2014 and March through June 2015 for

services rendered and costs advanced by Mazanec, Raskin & Ryder Co., L.P.A.

16. The City has failed to pay invoices from February 2015, and July 2015 through

February 2016 for services rendered and costs advanced by Mazanec, Raskin &

Ryder Co., L.P.A.

17. Attached to this Complaint as "Attachment 5" are true and accurate copies of

Mazanec, Raskin & Ryder Co., L.P.A. invoices # 156935, 158298, 158475,

158668, 158955, 159533, 159800, 159881 and 160229, relating to services

rendered and costs advanced to the City of Akron.

18. All outstanding invoices pursuant to the Agreement and its subsequent

Amendments were authorized by City of Akron Ordinances.

19. The City of Akron has failed and refused to pay the outstanding balance of the

aforementioned invoices in the amount of $322,861.47.

20. Mazanec, Raskin & Ryder Co., L.P.A. is entitled to payment from the City of Akron

of the outstanding $322,861.47 balance, with interest.

Count II

21. Plaintiff incorporates by reference the proceeding paragraphs.

22. Under the Agreement, "This Agreement may be terminated at any time on 30 days'

written notice in writing [sic] from either party that the employment hereunder is

to be so terminated." Attach. 1, Agreement, pg. 2.


23. Prior to January 2016, the City of Akron did not provide any written notice to

Mazanec, Raskin & Ryder Co., L.P.A. terminating the Agreement.

24. Until January 2016, without any termination of the Agreement, Mazanec, Raskin

& Ryder Co., L.P.A. continued to render legal services and advance costs for the

benefit of the City of Akron.

25. On January 8, 2016, Mazanec, Raskin & Ryder Co., L.P.A. was instructed by

Assistant Law Director Tammy Kalail in writing to produce certain work product

and to subsequently stop work.

26. Mazanec, Raskin & Ryder Co., L.P.A. produced certain work product to the City

of Akron and stopped work on or about February 3, 2016.

27. Mazanec, Raskin & Ryder Co., L.P.A. ceased to render services and advance costs

within 30 days of Assistant Law Director Kalail's apparent notice of termination of

the Agreement on January 8, 2016.

28. The City of Akron is in possession of Mazanec, Raskin & Ryder Co., L.P.A. work

product for which Mazanec, Raskin & Ryder Co., L.P.A. has not paid.

29. The outstanding balance for services rendered and costs advanced by Mazanec,

Raskin & Ryder Co., L.P.A. as of February 3, 2016 is $322,861.47.

30. By failing to pay for services rendered and costs advanced, the City of Akron

breached its Agreement with Mazanec, Raskin & Ryder Co., L.P.A.

31. Mazanec, Raskin & Ryder Co., L.P.A. is entitled to damages for the City of

Akron's breach of contract.


WHEREFORE, Plaintiff Mazanec, Raskin & Ryder Co., L.P.A. demands judgment against

the City of Akron in excess of $25,000, plus its cost, interest and attorney fees incurred here in,

and for such further and additional relief to which Mazanec, Raskin & Ryder Co., L.P.A. may be

entitled in either law or equity.

SPECIAL SERVICES FOR MUNICIPAL CORPORATION

This Agreement is entered into as of < n , 2014, between the City of

Akron, acting by the Director of Law, duly authorized'by Ordinance No. 210-2014 (the “City”), and

the law firm of Mazanec, Raskin & Ryder Co., LPA, 34305 Solon Road, Suite 100, Cleveland, Ohio

44139 (“Mazanec”).

NOW, THEREFORE, in consideration of the mutual promises, covenants, conditions and

terms to be kept and performed, the parties agree as follows:

Section 1. Purpose of Employment

The City employs to perform and render legal advice and assistance to the City’s

Director of Law in connection with legal issues and litigation regarding Donald Schismenos.

Section 2. Acceptance of Employment

Mazanec accepts the employment and promises to render the services described in Section 1

in conformity with the professional standards of the legal profession and the Ohio Rules of

Professional Conduct during the continuation of this Agreement.

Section 3. Compensation

As compensation in hill for all services to be rendered by Mazanec, the City shall pay to

Mazanec a sum not to exceed $ 100,000 to be billed at an hourly rate of $ 185.00 per hour for attorney

McLandrich a partner, $170.00 per hour for attorney Cathcart a partner, $150.00 per hour for an

associate, and $105.00 pre hour for a paralegal.

Mazanec will be reimbursed for all reasonable expenses, including but not limited to long

distance telephone, telecopy, express mail, delivery and postal charges, photocopy, and online

computer research charges incurred in connection with providing such services.

The billing statements and invoices to be rendered by Mazanec must be in a format

satisfactory to the Director of Law. The billing statements will show, on a daily basis, who

performed the services, the date the services were performed, the amount of time spent, and a

description of the services performed. The invoices will show the number of hours spent and the

hourly rate per billing cycle.

Section 4. Equal Employment Opportunity

Mazanec agrees, in performing its services under this Agreement, to abide by the terms and

provisions of Chapter 34.03 of the Code of Ordinances of the City of Akron, Ohio, regarding public

contracts as if the same be fully rewritten in this Agreement.

Section 5. Termination

This Agreement may be terminated at any time on 30 days’ written notice in writing from

either party to the other party that the employment hereunder is to be so terminated.
