Thank you for your letter of November 82000 We are very pleased that DaimlerChrysler Corporation (DC) is willing to allow us to use its trademarks for purposes of our planned 300M owners club We want to be sure that we correctly understand the guidelines that you describe in your letter so that we can fully comply with any agreement we make We do have a few questions about those guidelines which we hope you can answer all set forth below

Your letter states that we may use CHRYSLER 300M in the assumed name of our club but not in the clubs incorporated or registered name We have tentatively planned to call our club Chrysler 300M Club International and we understand from your letter that this would be acceptable to DC as an assumed name but that we cannot formally incorporate using that name This raises two questions

1 Would it be acceptable to DC for us to incorporate under the name 300M Club International without using Chrysler in the incorporated name One of our prospective members checked the US Patent and Trademark web site and reports that DC trademark reg 2362025 appears to be for the 300M graphic and not just the word phrase 300M We also note that a PT Cruiser club (found at wwwptcruiserc1uborg) appears to have the formal name ofPT Cruiser Club LLC which suggests to us that perhaps 300M Club International would be acceptable to DC as our incorporated name

2 We plan to incorporate as a non-profit corporation in Colorado where one of our prospective members is an attorney He reports that if we incorporate under a name other than Chrysler 300M Club International we would be required to file a trade name affidavit with the Colorado Secretary of State to use that as an assumed name In other words if we incorporate as 300M Club International we would have to file a trade name affidavit to operate as Chrysler 300M Club International This essentially allows the state and the public to cross-reference the formal name and the assumed name Are we correct in assuming that filing such a trade name affidavit is acceptable to DC

We would also like permission to use the 300M graphic logo which is the subject of DCs trademark registration 2362025 in connection with our club probably as an element of a clubshyspecific graphic For example here is a sample of a possible membership card that we might use which incorporates DCs 300M graphic logo

Also with regards to your request to use the 300M amp Design logo please be advised that you may use the 300M amp Design logo However please know that our guideline letter terms and conditions of November 8 will apply to the 300M amp Design logo usage by your club

The legend or credit line you described in your letter is approved with the use of the circled R ie Chryslerreg 300Mreg and 300M amp Designreg logo

Thank you for your letters of November 8 and December 20 2000 regarding our request for permission to use certain trademarks of DaimlerChrysler Corporation This letter is to advise you of the status of our Club and to confirm the Clubs agreement with the conditions set forth in your letters as described below

We incorporated in Colorado on January 5 2001 as a non-profit corporation under the formal name of New 300 Enthusiasts Club Inc On the same date we filed with the Colorado Secretary of State the required paperwork to use the assumed name of Chrysler 300M Enthusiasts Club I have since been elected as the first President of the Club We have also secured the internet domain name of 300mcluborg

The Club understands that DaimlerChrysler Corporation has given the Club permission to use these three registered trademarks Chrysler 300M and the 300M amp Design logo (the Marks) provided we agree to and comply with the following conditions

1 The Marks can be used in the assumed name of the Club but cannot be used in the formal name of the Club

2 The Club may use the Marks as part of the Clubs name on wearing apparel and merchandise sold to Club members only The Club can also use the Marks in Club stationary newsletters dash plaques posters fliers our web site and similar notices promoting Club activities only The Marks cannot be used for any commercial or for-profit purposes

4 The Club cannot file any federal or state trademark or copyright applications that include the Marks and any copyright or trademark rights obtained by use of the Marks shall inure to the DaimlerChrysler Corporation and be formally assigned thereto upon request

5 The Club agrees to defend indemnify release and hold harmless DaimlerChrysler Corporation and its agents parent companies subsidiaries affiliates and their respective officers directors and employees against all claims liabilities losses and damages arising out of acts or events in any way associated with the Club

6 The Club must always identify the Marks as registered trademarks of DaimlerChrysler Corporation and must never use the 300M mark in the plural The Club cannot state or imply that it is
