DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale is made and entered into this 29th

day of April 2012 in Angeles City, by and between:

CHING MING CHAN, of legal age, Filipino and with residence and postal address at 324 Capaya St., Maligaya Subdivision, Barangay CutCut, Angeles City, (hereinafter referred to as the “VENDOR”);

-and-

RODRIGO DESIERTO, MARTIN DESIERTO, ALAN DESIERTO, and FRANCIS DESIERTO all of legal age, Filipinos and with residence and postal address at 124 Antonio St., Maniquis Subdivision, Angeles City (hereinafter referred to as the “VENDEES”);

WITNESSETH: That-

WHEREAS, the VENDOR is the registered owner in fee simple of a parcel of land, located at Lot 14 Block 20, Magalang, Pampanga, with a total area of 5,000 sq. meters, more or less, covered by Transfer Certificates of Title No. 910111 of the Registry of Deeds for the Province of Pampanga (hereinafter referred to as the “Subject Property”), which is more particularly described as follows:

Copies of the Transfer Certificate of Title are attached hereto as Annex “A” and made an integral part hereof.

WHEREAS, the VENDOR is willing to sell, assign, transfer and convey all their rights, title and interests in and unto the Subject Properties and the VENDEES agree to purchase the same under the following terms and conditions;

NOW, THEREFORE, for and in consideration of the payment by the VENDEES of the amount of Philippine Currency: Php 1,000,000.00 (hereinafter referred to as the “Purchase Price”), receipt in full of which is hereby acknowledged by the VENDOR, the VENDOR hereby SELLS, ASSIGNS, TRANSFERS and CONVEYS unto the VENDEES the Subject Properties, including the

improvements therein contained, free and clear of all liens and encumbrances whatsoever.

The VENDOR hereby agrees that he shall bear the real estate taxes due or accruing on the Subject Properties up to the date of the execution of this Deed. Capital gains tax, documentary and other taxes imposed by the national or local government of the Republic of the Philippines due on the sale of the Subject Properties, as well as any and all expenses for the execution of this Deed of Absolute Sale, shall likewise be for the account of the VENDOR.

This Deed shall be binding upon the VENDOR, his successors, transferees and assigns, and shall inure to the benefit of, and be enforceable by, the VENDEES, their successors, transferees and assigns.
