Overview and GoalsDear Anita,

Further to our conversation about your website, we agreed that it could definitely do with a refreshto bring it up to date and into the current century!

You would like to add in new content, a Brexit page, remove the Products section and remove theBlog. We also discussed adding in sub-pages under Services, to give more information about howyou can assist a prospective client. You're very keen to bring your Canadian education to theforeground, especially with the recent referendum result in the UK.

We will use create a new custom WordPress website, designing an easy to use website with a cleanresponsive design. By responsive, we mean that the website layout will adapt and scale to whateverkind of device the user is viewing from whilst maintaining your existing look and feel and improvingoverall performance. Given that at least 40% of website traffic in 2016, on average, is from a mobileor tablet device - we need to ensure that we cater for these users so that they can browse yourwebsite effectively.

You would like your new website to be professional, current and forward looking. You do not wantyour website to be too buoyant, as this would be unsuitable for your industry. You're a big fan ofthree colours so the focus colours of the website would revolve around White, Silver and Green andwould be colour-coded to match your new logo.

The website will be designed to be fast loading and offer a great experience to your clients andprospective clients. Everything on the new website will be clean and easy to read, with a good levelof professionalism as you work on business to business basis.

Finally, we will design everything from a code-basis to be "SEO Ready". This means that, should youwant to carry out some SEO / Marketing work in the future, you'll have an advantage that will helpyou get moving quickly.

Scope of ServicesResearchThe first step is that we need to thoroughly understand your business, your business goals, yourcustomers and their expectations and behaviour, and how your website factors into all of it. We’llalso look at the competitive landscape to establish context and benchmarks for how your siteshould function and then improve on that. This stage will give us the foundation for moving forwardwith just the right recommendations for the design and development of your new responsiveWordPress website.

DesignOnce we’re armed with this information, we’ll set to work mocking up interface layouts for 3-5pages, including the home page, inner page, contact page, and any additional templates needed.The mock-up will be presented as a prototype, which you can review and we can tweak to suit.

DevelopmentOnce you've approved the design, we’ll start building the website based on the agreed prototypeusing WordPress, HTML, CSS, PHP and Javascript. We will utilise a page builder called Beaver Builder,which will allow you to easily edit content on your website in the future.

ContentAll content will be provided by you, unless otherwise agreed.

Additional RecommendationsSEO / MarketingAlthough not required, in order to generate the best results from your website it's a good idea toconsider the impact of SEO (Search Engine Optimisation). Having carried out SEO work for over 12years now, I'm fully confident of assisting clients in any industry or target market.

SEO starts with initial keyword research and competitor research, which allows us to understandyour market and the level of competition that you have. We would then carry out On-Page SEOactivities, which focus on getting the content in the right shape and ready for marketing. Finally, wecarry out Off-Page SEO activities which, in a nutshell, is the process of building links and valuetowards your website so that Google understand that your website is valuable and has authority inyour niche and thus rank you higher in the search results.

Support RetainerWe recommend retaining our services after the site is launched to assist with any further supportissues that arise. We can assist on an ad-hoc basis or you can purchase a monthly package for ourtime. For a WordPress site, I would recommend a small monthly package as a minimum since thiswill help keep the site updated, secure and we can handle any quick updates for you. For WordPressthese start at £19/month for updates, security and up-time monitoring.

SummaryWe'll always do our best to fulfil your needs and meet your expectations, but it's important to havethings written down so that we both know what's what, who should do what and when, and whatwill happen if something goes wrong. In this contract you won't find any complicated legal terms orlong passages of unreadable text. We've no desire to trick you into signing something that youmight later regret. What we do want is what's best for both parties, now and in the future.

So in short;You (ADM Risk, Regulation & Strategy Ltd), located at 82 Drayton Gardens, London, SW10 9SB arehiring us (AntiSushi Ltd) located at 120 Baxendale Road, Chichester, West Sussex. PO19 6UN toCreate a new website to showcase your services on a business to business basis. It will be feature acustom professional design for the estimated total price of £1,200.00 as outlined in this document.Of course it's a little more complicated, but we'll get to that.

What do both parties agree to do?You: You have the authority to enter into this contract on behalf of yourself, your company or yourorganisation. You'll give us everything we need to complete the project as and when and in theformat we need it. You'll review our work, provide feedback and approval in a timely manner too.Deadlines work two ways, so you'll also be bound by dates we set together. You also agree to stickto the payment schedule set out at the end of this contract.

Us: We have the experience and ability to do everything we've agreed with you and we'll do it all in aprofessional and timely manner. We'll endeavour to meet every deadline that's set and on top ofthat we'll maintain the confidentiality of everything you give us.

Getting down to the nitty grittyDESIGN

We create look-and-feel designs, and flexible layouts that adapt to the capabilities of many devicesand screen sizes. We create designs iteratively and use predominantly HTML and CSS so we won'twaste time mocking up every template as a static visual. We may use static visuals to indicate alook-and-feel direction (colour, texture and typography.) We call that ‘design atmosphere.'

You'll have plenty of opportunities to review our work and provide feedback. We'll share ourprototype and development URLs with you and have regular, possibly daily contact. If, at any stage,you're not happy with the direction our work is taking, you'll pay us in full for everything we'veproduced until that point and cancel this contract.

TEXT CONTENT

We will copy over the products, categories and existing pages from the current website. If you'd likeus to write new content or input additional text from you, we can provide a separate estimate forthat.

PHOTOGRAPHS

You should supply graphic files in an editable, vector digital format. You should supply photographsin a high resolution digital format. If you choose to buy stock photographs, we can suggest stocklibraries. If you'd like us to search for photographs for you, we can provide a separate estimate forthat.

HTML, CSS AND JAVASCRIPT

We deliver web page types developed from HTML5 markup, CSS2.1 + 3 stylesheets for styling andunobtrusive JavaScript for feature detection, poly-fills and behaviours.

BROWSER TESTING

Browser testing no longer means attempting to make a website look the same in browsers ofdifferent capabilities or on devices with different size screens. It does mean ensuring that a person'sexperience of a design should be appropriate to the capabilities of a browser or device.

DESKTOP BROWSER TESTING

We test our work in current versions of major desktop browsers including those made by Apple(Safari), Google (Chrome), Microsoft (Internet Explorer), Mozilla Firefox and Opera. We'll also test toensure Microsoft Internet Explorer 9 for Windows users get an appropriate, possibly different,experience. We'll implement a single column design for older versions of Internet Explorer and wewon't test in other older browsers unless you specify otherwise. If you need an enhanced design foran older browser, we can provide a separate estimate for that.

MOBILE BROWSER TESTING

Testing popular small-screen devices is essential in ensuring that a person's experience of a designis appropriate to the capabilities of the device they're using. We test our work in:

iOS: Safari, Google Chrome Android 4.x: Google Chrome and Firefox

We currently don't test Blackberry, Opera Mini/Mobile, Windows Phone or other mobile browsers. Ifyou need us to test using these, we can provide a separate estimate for that.

TECHNICAL SUPPORT

We're not a website hosting company so we don't offer guarantees for website hosting, email orother services relating to hosting. You may already have professional hosting and you might evenmanage that hosting in-house; if you do, great. If you don't, we can set up an account for you at oneof our preferred hosting providers, or refer you to a recommended provider. We can set up yoursite on a server, plus any statistics software such as Google Analytics.

We offer 30 days of complimentary support after the launch of your new website, where we arehappy to fix any bugs.

For on-going support, we offer WordPress Care Plans through which we are happy to help withsupport queries, adding in new features/content and liaising with the hosting company on yourbehalf for any technical hosting issues.

Changes and revisionsWe know from experience that fixed-price contracts are rarely beneficial to you, as they often limityou to your earliest ideas. We don't want to limit your ability to change your mind. The price at thebeginning of this contract is based on the length of time we estimate we'll need to accomplisheverything you've told us you want to achieve, but we're happy to be flexible. If you want to changeyour mind or add anything new, that won't be a problem as we'll provide a separate estimate forthat.

Legal stuffWe can't guarantee that our work will be error-free and so we can't be liable to you or anythird-party for damages, including lost profits, lost savings or other incidental, consequential orspecial damages, even if you've advised us of them. Finally, if any provision of this contract shall beunlawful, void, or for any reason unenforceable, then that provision shall be deemed severablefrom this contract and shall not affect the validity and enforceability of any remaining provisions.

CopyrightsFirst, you guarantee that all elements of text, images or other artwork you provide are either ownedby your good selves, or that you've permission to use them.

Then, when your final payment has cleared, copyright will be automatically assigned as follows:

You'll own the visual elements that we create for this project. We'll give you source files and finishedfiles and you should keep them somewhere safe as we're not required to keep a copy. You own allelements of text, images and data you provided, unless someone else owns them.

We'll own the unique combination of these elements that constitutes a complete design and we'lllicense its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.

We love to show off our work and share what we've learned with other people, so we reserve theright, with your permission, to display and link to your project as part of our portfolio and to writeabout it on websites, in magazine articles and in books.

PaymentsWe're sure you understand how important it is as a small business that you pay the invoices that wesend you promptly. As we're also sure you'll want to stay friends, you agree to stick tight to thefollowing payment schedule.

AntiSushi Ltd will invoice ADM Risk, Regulation & Strategy Ltd for fifty per cent (50%) of the initialfees at point of this signed contract agreement which will act as a non-refundable deposit. Theremaining 50% will be billed monthly as the service hours are spent or when the project is launched.

But where's all the horrible small print?Just like a parking ticket, you can't transfer this contract to anyone else without our permission. Thiscontract stays in place and need not be renewed. If for some reason one part of this contractbecomes invalid or unenforceable, the remaining parts of it remain in place.

Although the language is simple, the intentions are serious and this contract is a legal documentunder exclusive jurisdiction of the courts of England & Wales.

Oh and don't forget those men with big dogs and scary eyes.
