    SINGAPore: A GLoBALISed CITY STATeSingaporepossessesatotallandareaof719.9squarekilometres,housesapopulationof5.64million,andisknownforhavingoneofthehighestpopulationdensitiesintheworld.Thecountryhasnonethelessachievedahighqualityofliving.GlobalhumanresourceconsultingfirmMercerrankedSingaporeasthemostliveablecityinAsiaonits2017QualityofLivingIndex,basedonvariousfactorssuchasthepolitical,socialandeconomicenvironments,medicalandhealthconsiderations,andeducation.

    Thecitystatehasasignificantforeignpopulation,with71%comprisingcitizensandpermanentresidents(PRs),and29%non-residents.Themetropolitancityhasadiversemixofcultures,withpeopleofvariousnationalitiesworkingindifferentindustries.

    Secondary educationSecondaryschoolsplacestudentsintheExpress,Normal(Academic),orNormal(Technical)coursesaccordingtohowtheyperforminthePSLE.Eachprogrammeisintendedtocatertodifferentlearningabilitiesandinterests.

    StudentsintheExpressstreamwilltaketheGCECambridgeOLevelexaminationsattheendoffouryears,whilestudentsintheNormal(Academic)andNormal(Technical)streamwilltaketheGCENlevelexaminationattheendoffiveyears.Theirresultsintheseexaminationswillbeanimportantadmissioncriterionconsideredbyvariouspost-secondaryinstitutions.

    Therearemorethan150secondaryschoolswithdifferentannualenrolmentsinSingapore.

    Junior Colleges and Centralised InstituteStudentshavethreeoptionsforpost-secondaryeducation:Pre-universityeducation(inJuniorColleges(JCs)oracentralisedinstitute),Polytechnic,orInstituteofTechnicalEducation(ITE).

    Pre-universityeducationpreparesstudentsfortheGCEALevelExaminationattheendofatwo-yearJCorthree-yearcentralisedinstitutecourse.

    PolytechnicsTherearecurrentlyfivepolytechnicsinSingapore,eachofferingmorethan35courses.Thiseducationpathwayistypicallymorepractice-centred,andseekstotrainstudentsinrelevantandspecificskillsfortheworkplace.

    Foreign System Schools (FSS)Althoughthepublicschoolsystemoffersahighqualityeducationframework,someexpatriatesmaypreferenrollingtheirchildreninForeignSystemSchools(FSS).ThismayespeciallybethecaseforstudentswhohavenotusedEnglishasthemediumofinstructionpriortocomingtoSingapore.

    Therearecurrentlymorethan30FSSimportedfromvariouscountriesthatfollowdifferenteducationsystemsoftencongruentwiththoseofferedinthehomecountry.AsstipulatedbytheImmigrationandCheckpointsAuthority,allforeigners,exceptDependantsPass/ImmigrationExemptionOrderholders,whowishtostudyinanFSSarerequiredtoapplyforaStudentsPass.Since20June2011,FSSregisteredwiththeCouncilforPrivateEducation(CPE)needtobeawardedwithEduTrustcertificationtoofferschoolplacementforinternationalstudents.StudentsPassapplicationswillbeacceptedonlyiftheyareforinternationalstudentswhoareenrolledinanEduTrust-certifiedFSS.

    WhetheranoverseascorporationisdeemedtobecarryingonbusinessthroughabranchinSingaporedependsonthenatureoftheactivitiesproposed.TodeterminewhethertheproposedactivitieswillrequiretheregistrationofaSingaporebranch,itisadvisabletoobtainadvicefromprofessionals.

    rePreSeNTATIVe oFFICeSAforeigncompanymayestablisharepresentativeofficeinSingaporetoundertakemarketresearchandfeasibilitystudiesonbehalfoftheparentcompany.Arepresentativeofficeisnotpermittedtoengageinbusiness,concludecontracts,andopenornegotiateanylettersofcredit.ApprovalfortheestablishmentofarepresentativeofficemustbeobtainedfromInternationalEnterpriseSingapore.

    INCorPorATING A CoMPANYReservationandapprovalofanameforthecompanyisthefirststepintheincorporationprocedure.ThisisdonebysubmittingtheproposedcompanynameandrelevantinformationonlinetotheAccountingandCorporateRegulatoryAuthority(ACRA)togetherwithpaymentoftherequisitefee.

    ASingaporecompanycanbeincorporatedwithaminimumofonedirector,whomustbeanaturalperson.EverycompanymusthaveatleastonedirectorwhoisordinarilyresidentinSingapore.Likewise,acompanycanhaveaminimumofoneshareholderwhomaybeanindividualoracorporateentity.ThereisnorestrictiononforeignequityparticipationinaSingaporecompany.

    TheremustbeatleastonecompanysecretarywhoisanaturalpersonandhashisprincipaloronlyplaceofresidenceinSingapore.Thesoledirectorcannot,atthesametime,actasthecompanysecretary.EverycompanymusthavearegisteredofficeinSingaporetowhichcorrespondencemaybesent.

    Thepre-incorporationproceduresfortheformationofapubliclimitedcompanyareessentiallysimilartothoseofaprivatelimitedcompany.TheadditionaldocumentstobefiledwithACRAareastatementinlieuofprospectusandastatutorydeclarationofcompliancebythedirectorthatthecompanyhasnotissuedaprospectus.

    Inadditiontothee-notificationofincorporation,ACRAwillissueanotificationstatingthatthecompanyisentitledtocommencebusiness.
