MINUTES OF THE 2016 ANNUAL MEETING

OF THE DOUGLAS COUNTY HOUSING, INC.

BOARD OF DIRECTORS April 25, 2016 Edgewood Homes 5:30 p.m. Conference Room 1. Call of Roll. The meeting was called to order at 5:30 p.m. by Chair Fleming. Upon call of roll the following Directors answered present: William Fleming Sue Hack Brenda O'Keefe Bronson Star Director Powers was absent by prior arrangement. Also present were member of the pub-lic Pat Benabe and James Dunn, and LDCHA staff members Beverly Hyatt, Chris Lempa, Ruth Lichtwardt, and Shannon Oury. 2. Approve Minutes of the April 27, 2015 Annual Meeting of Douglas County Housing, Inc. Board of Directors. Director Hack moved to approve the April 2015 DCHI meeting minutes as presented. Director O’Keefe seconded the motion. The motion carried unanimously. 3. Receive 2016 DCHI Yearly Report and Distribution of Bylaws. Executive Director Oury presented the Bylaws, the DCHI Yearly Report, which had been filed with the Kansas Secretary of State, and the IRS Form 990-EZ, which will be filed after presentation to the Board. 4. Receive update of DCHI Activities. A PowerPoint slide show was presented by Youth Program Coordinator Chris Lempa which highlighted the DCHI's youth education and learning program activities during the year, Mr. Lempa reported that during the year 126 children and youth were served which allowed 16 parents to maintain their employment or work on educational endeavors, es-pecially during the summer months. PowerPoint presentation of activities throughout the year. Two very popular activities which were added during the year were the new Gagaball court and bicycle repair pro-grams. The children painted and refreshed the sidewalk art around the Huppee Building, which has an “Oh, the Places You’ll Go” theme. The programming focus continues to be education, good nutrition and healthy lifestyle choices. The annual ZOMBIE walk took place during a day of gloomy weather and was a little smaller, with about 60 people par-ticipating, but it went well. Mr. Lempa spoke about the growth of the Full Circle Wrenching Crew bicycle program, which he is particularly pleased with. It started with a grant from the Douglas County Community Foundation which allowed the purchase of helmets, some chain grease, and other supplies. Staff began getting involved in training the Full Circle youth in bike repairs because it was observed that bicycles were ending up in dumpsters when they were in-operable due to fairly simple repairs. Full Circle began partnering with Lawrence Un-chained, a bicycle cooperative with the goal of getting more bikes and riders into the community. That led to the Full Circle’s youth program case manager, Mary Orem, be-coming certified in bike safety instruction so now safety courses which usually cost around $30 can be provided to the participating youth for free. Two bike rodeos were held in 2015 at which youth could earn bikes, and about 20 bikes with helmets and locks were given out. One of the participants became a poster child for the Health Department’s bike riding promotion and was involved in local publicity. Mr. Lempa spoke about several grants received by DCHI for the youth programs, includ-ing the Full Circle Wrenching Crew from the Douglas County Community Foundation and an Arts Foundation grant for the community mural which was painted near the Huppee Building. Blue Cross gave $1,000 to purchase healthy snacks. LiveWell Lawrence granted funds for promoting composting. Kansas State Research Extension is working with DCHI on holding workshops on healthy nutrition and preparing cheap healthy food for both children and their parents. Several KU departments have provided volunteers. Chair Fleming mentioned that he is on the board for Frontier Farm Credit, which gives grants for community nutrition programs and suggested that DCHI look into that. He will send the contact information. Mr. Lempa spoke about the summer camp experience provided, which includes archery, horseback riding, swimming and a bonfire. He gave details about the designs in the mural and the participation of Edgewood Homes residents, Red Cross babysitting courses, and the Little Free Libraries. The older children are also encouraged to volunteer in assisting the younger children. There were some questions from the Directors about current grants and discussion about community gardens. The Directors praised the variety and quality of programming being offered to resident youth.

5. Adjournment. There being no further items of business, Director Hack moved to adjourn. Director Star seconded. The meeting adjourned at 5:49 p.m.

AGENDA ITEM 3: DCHI Yearly Report and Distribution of By-laws. CURRENT ISSUE: The 2017 Annual Meeting of Douglas County Housing, Inc. is convened to com-ply with Section 3.7 of the By-laws. The By-laws are attached for your review. The DCHI Officers and Board of Directors are the Officers and Board of Com-missioners elected annually by the Lawrence-Douglas County Housing Authority Board of Commissioners at its annual meeting in April. The Directors for the 2016-2017 term were: William Fleming, Chair; Bronson Star, Vice Chair; Shan-non Oury, Secretary; Maria Duran, Sue Hack, and Joshua Powers, Directors. Attached are the 2016 Kansas Not for Profit Corporate Annual Report and IRS Income Tax Form 990 for review. The Annual Report is to be filed electronically with the Kansas Secretary of State before June 1. The Report was submitted April 6, 2017. The agency’s Income Tax Form 990, Return of Organization Ex-empt from Income Tax, is due May 15. A copy of the 990 form that will be submit-ted is attached for your review. This is the seventh year DCHI has needed to re-port substantial income. BOARD ACTION: Receive report.
