RESOLUTION NO. _________

A RESOLUTION AFFIRMING THE DISTRICT’S AUTHORIZATION OF PROPERTY INSURANCE WITH ACE

AMERICAN INSURANCE COMPANY AND AEGIS INSURANCE SERVICES, INC.

RECITALS:

1) The District’s current Property Insurance Policy with ACE American

Insurance Company (ACE) and Liberty Mutual Insurance Company (Liberty) expired on

November 1, 2019.

2) ACE and Liberty provided a quote for renewal for a 50/50 quota share

program. The quoted premium is $603,187, plus $4,000 for engineering fees and $4,805

for jurisdictional inspection fees with a $200,000,000 limit that includes coverage for acts

of terrorism.

3) ACE and AEGIS Insurance Services, Inc. (AEGIS) provided a quote for

renewal with mostly similar terms and conditions for a 50/50 quota share program. The

quoted premium is $575,896.14, plus $4,000 for engineering fees and $4,805 for

jurisdictional inspection fees with a $200,000,000 limit that includes coverage for acts of

terrorism. The AEGIS quote does not provide coverage for physical damage of the

District’s mobile equipment or heavy trucks.

4) Everest National Insurance Company provided a quote to cover physical

damage to the District’s heavy trucks for a premium of $17,000.

5) District staff has reviewed the quotes and recommends renewal of

Property Insurance with ACE and AEGIS.

6) It is in the best interests of the District to affirm authorization of property

insurance coverage through ACE and AEGIS for the quoted premium of $584,701.14 for

the period of November 1, 2019 to November 1, 2020.

NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

District No. 1 of Douglas County, Washington, that the District’s Accounting

Assistant/Insurance Administrator will secure Property insurance coverage with ACE and

AEGIS.

RESOLUTION NO. _________

A RESOLUTION AUTHORIZING THE WESTERN INTERCONNECTION DATA SHARING AGREEMENT WITH RC

WEST

RECITALS:

1) The District is registered with the North American Electric Reliability

Corporation (NERC) as a Balancing Authority and a Transmission Operator and is

subject to the oversight of RC West as the NERC registered Reliability Coordinator.

NERC registered entities that perform reliability functions are required by NERC

standards to provide data to the Reliability Coordinator and, if this data is shared with

other registered entities, bilateral nondisclosure agreements are required to meet FERC

Order 888/889 requirements.

2) RC West has prepared the Western Interconnection Data Sharing

Agreement that will govern the terms for sharing of real-time operating reliability data

among registered Balancing Authorities, Transmission Operators, and RC West as the

Reliability Coordinator. This agreement will allow the sharing of data without the need

for individual bilateral nondisclosure agreements with other registered entities.

3) It is in the District’s best interest to enter into the Western Interconnection

Data Sharing Agreement with RC West and other Balancing Authorities and

Transmission Operators in the Western Interconnection to facilitate the sharing of

operating reliability data without the need for individual bilateral non-disclosure

agreements with the other registered entities.

NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

District No. 1 of Douglas County, Washington, that the District’s General Manager is

hereby authorized and directed to execute the Western Interconnection Data sharing

Agreement with RC West and other Balancing Authorities and Transmission Operators in

the Western Interconnection.

RESOLUTION NO. _________

A RESOLUTION AUTHORIZING THE PURCHASE OF TRIPWIRE’S SOLUTION UNDER RFP 19-21-W,

CYBERSECURITY – CYBER SYSTEM CONFIGURATION MONITORING AND MANAGEMENT SOLUTION

RECITALS:

1) Resolution 19-086 dated July 8, 2019 authorized the District to request

proposals for a configuration monitoring and management solution for cybersecurity

under RFP 19-21-W.

2) Resolution 19-117 dated September 23, 2019 authorized the District to

negotiate with Tripwire, Inc. to procure and install the proposed cyber system

configuration monitoring and management solution.

3) District staff have negotiated a final solution totaling $228,916.42. The

total price includes $99,400.00 for professional services and $129,516.42 for licensing

and software support provided by Tripwire.

4) The total estimated third-party costs for hardware and communications

equipment total approximately $42,135.66. This cost estimate may be reduced by

approximately $23,600 if some hardware can be repurposed after completing another

project.

5) It is in the best interests of the District to purchase the negotiated cyber

system configuration monitoring and management solution, professional services, and the

required third-party hardware.

NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

District No. 1 of Douglas County, Washington, that District staff are authorized and

directed to purchase the new cyber system configuration monitoring and management

solution and enter into a Professional Service Agreement with Tripwire, Inc.

A RESOLUTION DECLARING OBSOLETE DCCN ELECTRONIC EQUIPMENT SURPLUS

RECITALS:

1) The District has obsolete electronic equipment which is no longer needed

or useful to the DCCN.

2) District staff recommends this equipment be sold by public auction, or

sent to an e-waste disposal contractor if the equipment fails to sell.

3) It is in the best interest of the District to declare the obsolete electronic

equipment as surplus and no longer of use to the District and authorize it to be sold by

public auction or destroyed by e-waste contractor.

NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

District No. 1 of Douglas County, Washington, to declare the obsolete electronic

equipment surplus and authorize it to be sold by public auction or destroyed by an e-

waste disposal contractor.

A RESOLUTION AMENDING ADMINISTRATIVE BULLETIN 9.3, PROCEDURES FOR PROFESSIONAL SERVICES AND OTHER

WORK

RECITALS:

1) Administrative Bulletin 9.3 was established to outline the District’s

procedures for Professional Services and Other Work. This bulletin was last updated in

April of 2014.

2) This procedure is outdated and does not meet some of the requirement for

procuring Architectural and Engineering Services in RCW 39.80 and Electronic Data

Processing & Telecommunication Systems in RCW 39.04.270.

3) Administrative Bulletin 9.3 has been amended to update the District’s

procedures for procuring these services and comply with current RCW’s.

NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

District No. 1 of Douglas County, Washington, that Administrative Bulletin 9.3 is

amended to update the District’s procedures for Professional Services and Other Work.

A RESOLUTION AUTHORIZING ACCEPTANCE OF WORK AND FINAL PAYMENT TO ASPLUNDH TREE EXPERT, LLC

FOR THE THIRD YEAR UNDER CONTRACT 16-12-D, PROVIDE DISTRIBUTION TREE TRIMMING SERVICES

RECITALS:

1) By Resolution No. 16-069 dated April 25, 2016, the District awarded

Contract 16-12-D, Provide Distribution Tree Trimming Services to Asplundh Tree

Expert, LLC.

2) District staff report the Contractor has satisfactorily completed all

requirements for the third year of Contract 16-12-D and has submitted a Request for

Final Payment, Certificate and Release. Therefore, staff recommends that the District

accept the completed work and authorize final payment in the amount of $17,376.69 to

Asplundh Tree Expert, LLC upon receiving the required notifications from the State of

Washington. The total cost of work under this contract is $347,534.57.

3) It is in the best interests of the District to accept the work as complete and

authorize final payment under Contract 16-12-D.

NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

District No. 1 of Douglas County, Washington, that the work under Contract 16-12-D,

Provide Distribution Tree Trimming Services is hereby accepted as complete, and that

final payment is authorized, contingent on receipt by the District of all necessary releases

by the State of Washington. This acceptance in no manner waives any claim the District

may have against the Contractor for failure to comply with the terms of the contract.

A RESOLUTION AFFIRMING CHANGE ORDER NO. 3 TO CONTRACT 19-02-W, WELLS HATCHERY DIRT POND

RECONFIGURATION AND LINER REPLACEMENT

RECITALS:

1) By Resolution No. 19-038 dated March 25, 2019, the District awarded Contract

19-02-W to Clearwater Construction and Management, LLC in the amount of $2,542,600.

2) Resolution No. 19-094 dated August 12, 2019, authorized Change Order No. 1

with a new cost not-to-exceed total for Contract 19-02-W of $2,566,736.45 and a new substantial

construction completion deadline for the project of September 18th.

3) Resolution No. 19-128 dated October 14, 2019, authorized Change Order No. 2

with a new cost not-to-exceed total for Contract 19-02-W of $2,579,739.26 and a new substantial

construction completion deadline for the project of October 10th.

4) Change Order No. 3 has been prepared to address various constructability issues

that have arisen over the course of construction. In a memo dated November 6, 2019,

Mr. Bickford provides a summary of these issues and a recommendation to approve COR-03.

5) It is in the best interest of the District to affirm Change Order No. 3 in the amount

of $31,748.42 with a new cost not-to-exceed total for Contract 19-02-W, including this change

order, of $2,611,487.68.

NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

District No. 1 of Douglas County, Washington, that Change Order No. 3 to Contract

19-02-W is affirmed by the Commission.
