A. Your firm is invited to submit an offer under seal to Choctaw Nation of Oklahoma for construction of CDIB Building New Door project at Choctaw Nation Headquarters, 529 North 16th Ave, Durant, Oklahoma 74701. Bids shall be submitted to Choctaw Nation Construction Administration Department located at 104 Ed Perry Road, Hugo, Oklahoma 74743, no later than the time of bid.

B. All bidders are required to submit a qualification statement with their bid. Utilize AIA Form A305. Qualification forms shall be submitted with the bid.

D. Project Description: The project consists of selective demolition of exterior window and wall, new aluminum storefront door, repair of interior finishes, new concrete ramp, and steel railing.

E. Refer to other bidding requirements described in Document 00 20 00 - Instructions to Bidders.

F. Submit your offer on the Bid Form provided. Bidders may supplement this form as appropriate.

G. Your offer will be required to be submitted under a condition of irrevocability for a period of 30 days after submission.

H. Indian Preference Clause applies to this project. Refer to Section 00 31 00

INSTRUCTIONS TO BIDDERS

PART 1 - INVITATION

1.1 BID SUBMISSION

A. Bids signed and under seal, executed, and dated will be received by the Choctaw Nation Con-struction Administration Department at 104 Ed Perry Road, Hugo, Oklahoma for the CDIB Building New Door project located at Choctaw Nation Headquarters, 529 N. 16th Ave, Durant, Oklahoma 74701.

B. Bids may be submitted via email or fax on or before the bid deadline. All bids submitted by email or fax must be accompanied by a fully-executed original bid submitted within 48 hours.

C. Offers submitted after the above time shall be returned to the bidder unopened.

1.2 INTENT

A. The intent of this Bid request is to obtain an offer to perform work to complete the CDIB Build-ing New Door project at Choctaw Nation Headquarters in Durant, Oklahoma for a Stipulated Sum contract, in accordance with the Contract Documents.

1.3 WORK IDENTIFIED IN THE CONTRACT DOCUMENTS

A. The Work consists of building alternations necessary to install a new, exterior Aluminum Storefront door at an existing window location. Scope includes, but is not limited to the following work: selective demolition, concrete paving, steel railing, rough carpentry, gypsum board, door hardware, aluminum storefront, resilient flooring, rubber base, and electrical alterations as required.

1.4 CONTRACT TIME

A. Identify Contract Time in the Bid Form. The completion date in the Agreement shall be the Contract Time added to the commencement date.

PART 2 - BID DOCUMENTS AND CONTRACT DOCUMENTS

2.1 DEFINITIONS

A. Bid Documents: Contract Documents supplemented with Instructions to Bidders, Information Available to Bidders, Bid Form Supplements To Bid Forms and Appendices identified.

B. Contract Documents: Defined in AIA A105, including issued Addenda.

C. Bid, Offer, or Bidding: Act of submitting an offer under seal.

D. Bid Amount: Monetary sum identified by the Bidder in the Bid Form.

2.2 CONTRACT DOCUMENTS IDENTIFICATION

A. The Contract Documents are identified as CDIB Building New Door, as prepared the Architect, and with contents as identified in the Table of Contents of the Project Manual and the Table of Contents of the Drawings.

2.3 AVAILABILITY

A. Bid documents may be obtained at the office of the Architect and are available for download in PDF format at the Architect’s website: www.eots.org

B. Bid Documents are made available only for the purpose of obtaining offers for this project.

2.4 EXAMINATION

A. Bid documents may be viewed at the office of Eastern Oklahoma Tribal Schools, located at 601 N. Kelly Ave Ste 105, Edmond OK, 73003.

B. Upon receipt of Bid Documents verify that documents are complete. Notify Eastern Oklaho-ma Tribal Schools, should the documents be incomplete.

C. Immediately notify Eastern Oklahoma Tribal Schools in writing, upon finding discrepancies or omissions in the Bid Documents.

2.5 INQUIRIES/ADDENDA

A. Addenda may be issued during the bidding period. All Addenda become part of the Contract Documents. Include resultant costs in the Bid Amount.

B. Verbal answers are not binding on any party.

C. Clarifications requested by bidders must be in writing not less than 5 days before date set for receipt of bids. The reply will be in the form of an Addendum, a copy of which will be forwarded to known recipients.

2.6 PRODUCT/ASSEMBLY/SYSTEM SUBSTITUTIONS

A. Substitute products will be considered if submitted as on a Substitution Request form included in the Bid Documents. Substitutions will be considered up to 10 days before receipt of bids.

B. The submission shall provide sufficient information to determine acceptability of such products. All substitution requests must be made on CSI Form 1.5C, Substitution Request. Requests that are not accompanied by this form will not be reviewed.

C. When a request to substitute a product is made, Eastern Oklahoma Tribal Schools, may ap-prove the substitution and will issue an Addendum to known bidders.

D. Provide products as specified unless substitutions are submitted in this manner and accepted.

PART 3 - SITE ASSESSMENT

3.1 SITE EXAMINATION

A. In submitting a bid, the bidder is certifying that he or representatives from his company have in-spected the project site and are thoroughly familiar with the project scope, Contract Documents, and all other requirements for construction.

PART 4 - QUALIFICATIONS

4.1 QUALIFICATION

A. Bidders shall complete and submit Qualification Form AIA Document A305 with their bid.

4.2 SUBCONTRACTORS/SUPPLIERS/OTHERS

A. Choctaw Nation reserves the right to reject a proposed subcontractor for reasonable cause.

B. Refer to AIA A105

PART 5 - BID SUBMISSION

5.1 SUBMISSION PROCEDURE

A. Bidders shall be solely responsible for the delivery of their bids in the manner and time prescribed. Bids may be mailed, delivered in person, faxed or submitted in PDF format via email. Bidders that submit bids in fax or email format must provide a paper original within 48 hours of the bid.

5.2 BID FORMAT

A. Bidders shall submit bids in strict accordance with the following requirements. Failure to comply with the format requirements may result in rejection of bid.

1. All bid information shall be submitted in either a three-ring binder, comb bound book with

cover, or spiral bound book with cover. Bidder’s name, address and phone number shall be printed or otherwise labeled on cover.

2. Provide separate tabs for each item submitted as a part of the bid. The individual tabs shall include the name of the document or the information.

3. The bid submittal shall be arranged in the following order:

a. Bid Form b. Schedule of Values c. Supplement A (list of Subcontractors) d. Non Collusive Affidavit e. Business Relationship Form f. Past Performance g. Similar Construction Experience h. Proposed Management Plan i. Experience in Native American Contracting j. Proposed Time Schedule and Sequencing k. Indian Preference (if applicable)

5.2 BID INELIGIBILITY

A. Bids that are unsigned, improperly signed or sealed, conditional, illegible, obscure, contain arithmetical errors, erasures, alterations, or irregularities of any kind, may at the discretion of the Choctaw Nation of Oklahoma, be declared unacceptable.

B. Bid Forms, Appendices, and enclosures which are improperly prepared may, at the discretion of Choctaw Nation of Oklahoma, be declared unacceptable.

PART 6 - BID ENCLOSURES/REQUIREMENTS

6.1 BID FORM REQUIREMENTS

A. Complete all requested information in the Bid Form and Appendices.

6.2 FEES FOR CHANGES IN THE WORK

A. Include the fees for overhead and profit on own Work and Work by subcontractors, identified in the Bid Documents

B. Include in the Bid Form, the overhead and profit fees on own Work and Work by subcontractors, applicable for Changes in the Work, whether additions to or deductions from the Work on which the Bid Amount is based.

6.3 BID FORM SIGNATURE

A. The Bid Form shall be signed by the bidder, as follows:

1. Sole Proprietorship: Signature of sole proprietor in the presence of a witness who will also

sign. Insert the words "Sole Proprietor" under the signature. Affix seal. 2. Partnership: Signature of all partners in the presence of a witness who will also sign. Insert

the word "Partner" under each signature. Affix seal to each signature. 3. Corporation: Signature of a duly authorized signing officer(s) in their normal signatures.

Insert the officer's capacity in which the signing officer acts, under each signature. Affix the corporate seal. If the bid is signed by officials other than the president and secretary of the company, or the president/secretary/treasurer of the company, a copy of the by-law reso-lution of their board of directors authorizing them to do so, must also be submitted with the Bid Form in the bid envelope.

4. Joint Venture: Each party of the joint venture shall execute the Bid Form under their re-

spective seals in a manner appropriate to such party as described above, similar to the requirements of a Partnership.

6.7 ADDITIONAL BID INFORMATION

A. Submit the following Supplements concurrent with bid submission:

1. Document 00 43 10 - Supplement A - Subcontractors: Include the names of

all Subcontractors listed.

B. Non-Collusive Affidavit.

C. Business Relationship Affidavit.

6.8 SELECTION AND AWARD

A. Selection of successful contractor will be based on the following point evaluation system:

1. Price 25% 2. Past Performance (in terms of meeting schedule) 25% 3. Similar Construction Experience (Includes major subcontractors) 25% 4. Proposed Management Plan (Including Proposed Job Site & Home Office Personnel) 10%

PROCUREMENT DOCUMENTS & DIRECT PURCHASE MATERIALS

1.1 PROCUREMENT DOCUMENTS

A. The Financial Policies and Procedures Manual of the Choctaw Nation of Oklahoma is hereby made a part of the Contract Documents by reference with the same force and effect as though it was bound herein. Reference copies are on file and may be examined by any interested par-ty at the Choctaw Nation Headquarters, 16th and Locust Streets, Durant, Oklahoma. Direct all inquiries to Cecilia Armendariz, Facilities Manager.

1.2 DIRECT PURCHASE MATERIALS REQUIREMENTS

A. All Major Materials Purchase Agreements shall be made by the Choctaw Nation of Oklahoma directly with the approved vendor of the Contractor. All Materials shall be furnished in strict ac-cordance with Contract Documents. All quantities of materials shall remain the responsibility of the Contractor and/or Supplier. The Contract shall not be increased for any materials estimated in error by the Contractor and/or Supplier, unless a Change Order to the Scope of Work has been approved as outlined in the Contract Agreement.

INDIAN PREFERENCE CLAUSE

1.1 INDIAN PREFERENCE CLAUSE

A. Indian Preference for Employment: Construction employees (labor), preference will be in ac-

cordance with P. L. 93-638.

B. Any offeror (bidder) claiming Indian Preference must give evidence to support its claim An In-dian-Owned enterprise is defined as any Indian-Owned commercial, industrial, or business ac-tivity established or organized for the purpose of profit provided such Indian ownership and control will constitute not less than 51% of the enterprise.

C. Offeror must submit evidence, showing the following:

1. Extent of Indian Ownership, control, and interest.

2. Structure, management, and financial arrangement of the Indian character of the enter-prise.

3. Articles of Incorporation or partnership of the enterprise.

4. Stock certificates showing the nature of the Indian ownership in the enterprise.

5. Certificates or Degree of Indian Blood must be provided for each Indian owner identified with the enterprise.

1.6 ACCEPTANCE

C. In the event our bid is not accepted within the time stated above, the required security deposit shall be returned to the undersigned, in accordance with the provisions of the Instructions to Bidders; unless a mutually satisfactory arrangement is made for its retention and validity for an extended period of time.

1.7 CONTRACT TIME

CONTRACT AGREEMENT

1.1 CONTRACT

A. Upon acceptance of a Bidder’s offer, the American Institute of Architects Document A105-2007, “Standard Form of Agreement Between Owner and Contractor for a Residential or Small Com-mercial Project”, with amendments shall be the basis of agreement for this Project.

1.2 AMENDMENTS TO AGREEMENT FORM

A. Retainage: Ten percent (10%) retainage required on all labor and materials.

B. Disputes: All claims, disputes, and other matters in question between the parties to this Agreement, arising out of or relating to this Agreement or its breach, shall be brought to the at-tention of the other party by written notice within three (3) weeks of the date when the claim, dispute, or other matter in question became known or should have become known to the com-plaining party. Contractor shall have no right to cease work during the period a complaint is pending. After receipt of written notice of complaint, the party complained to shall have three (3) weeks to submit a written response. If the parties are then unable to resolve the differences, a complaint may be brought in a court of competent jurisdiction for adjudication of the dispute or the parties may jointly agree to resolve the matter by mediation or binding arbitration. This is not an agreement to submit any such dispute to mediation or binding arbitration, but is an ac-knowledgment that such approaches to dispute resolution are a feasible alternative that may be mutually elected by the parties in lieu of a lawsuit. Neither party shall have a duty to elect or agree to the other's election of either alternative.

C. Direct Purchase Materials: All Major Materials Purchase Agreements shall be made by the

Choctaw Nation of Oklahoma directly with the approved vendor of the Contractor. All Materials shall be furnished in strict accordance with Contract Documents. All quantities of materials shall remain the responsibility of the Contractor and/or Supplier. The Contract shall not be in-creased for any materials estimated in error by the Contractor and/or Supplier, unless a Change Order to the Scope of Work has been approved as outlined in the Contract Agreement.

ARTICLE 5 INSURANCE § 5.1 The Contractor shall provide Contractor’s general liability and other insurance as follows: (Insert specific insurance requirements and limits.)

Type of insurance Limit of liability ($0.00) § 5.2 The Owner shall provide property insurance to cover the value of the Owner’s property, including any Work provided under this Agreement. The Contractor is entitled to receive an increase in the Contract Sum equal to the insurance proceeds related to a loss for damage to the Work covered by the Owner’s property insurance.

§ 5.3 The Contractor shall obtain an endorsement to its general liability insurance policy to cover the Contractor’s obligations under Section 8.12.

§ 5.4 Each party shall provide certificates of insurance showing their respective coverages prior to commencement of the Work.

§ 5.5 Unless specifically precluded by the Owner’s property insurance policy, the Owner and Contractor waive all rights against (1) each other and any of their subcontractors, suppliers, agents and employees, each of the other; and (2) the Architect, Architect’s consultants and any of their agents and employees, for damages caused by fire or other causes of loss to the extent covered by property insurance or other insurance applicable to the Work.

ARTICLE 6 GENERAL PROVISIONS § 6.1 THE CONTRACT The Contract represents the entire and integrated agreement between the parties and supersedes prior negotiations, representations or agreements, either written or oral. The Contract may be amended or modified only by a written modification in accordance with Article 10.

§ 6.2 THE WORK The term “Work” means the construction and services required by the Contract Documents, and includes all other labor, materials, equipment and services provided, or to be provided, by the Contractor to fulfill the Contractor’s obligations. § 6.3 INTENT The intent of the Contract Documents is to include all items necessary for the proper execution and completion of the Work by the Contractor. The Contract Documents are complementary, and what is required by one shall be as binding as if required by all. § 6.4 OWNERSHIP AND USE OF ARCHITECT’S DRAWINGS, SPECIFICATIONS AND OTHER DOCUMENTS Documents prepared by the Architect are instruments of the Architect’s service for use solely with respect to this Project. The Architect shall retain all common law, statutory and other reserved rights, including the copyright. The Contractor, subcontractors, sub-subcontractors, and material or equipment suppliers are authorized to use and reproduce the instruments of service solely and exclusively for execution of the Work. The instruments of service may not be used for other Projects or for additions to this Project outside the scope of the Work without the specific written consent of the Architect.

ARTICLE 7 OWNER § 7.1 INFORMATION AND SERVICES REQUIRED OF THE OWNER § 7.1.1 If requested by the Contractor, the Owner shall furnish all necessary surveys and a legal description of the site.

§ 7.1.2 Except for permits and fees that are the responsibility of the Contractor under the Contract Documents, the Owner shall obtain and pay for other necessary approvals, easements, assessments and charges.

§ 7.2 OWNER’S RIGHT TO STOP THE WORK If the Contractor fails to correct Work which is not in accordance with the Contract Documents, the Owner may direct the Contractor in writing to stop the Work until the correction is made.

§ 7.3 OWNER’S RIGHT TO CARRY OUT THE WORK If the Contractor defaults or neglects to carry out the Work in accordance with the Contract Documents and fails within a seven day period after receipt of written notice from the Owner to commence and continue correction of such default or neglect with diligence and promptness, the Owner may, without prejudice to other remedies, correct such deficiencies. In such case, the Contract Sum shall be adjusted to deduct the cost of correction from payments due the Contractor.

§ 7.4 OWNER’S RIGHT TO PERFORM CONSTRUCTION AND TO AWARD SEPARATE CONTRACTS § 7.4.1 The Owner reserves the right to perform construction or operations related to the Project with the Owner’s own forces, and to award separate contracts in connection with other portions of the Project.

§ 7.4.2 The Contractor shall coordinate and cooperate with the Owner’s own forces and separate contractors employed by the Owner.

§ 7.4.3 Costs caused by delays or by improperly timed activities or defective construction shall be borne by the party responsible therefor.

ARTICLE 8 CONTRACTOR § 8.1 REVIEW OF CONTRACT DOCUMENTS AND FIELD CONDITIONS BY CONTRACTOR § 8.1.1 Execution of the Contract by the Contractor is a representation that the Contractor has visited the site, become familiar with local conditions under which the Work is to be performed and correlated personal observations with requirements of the Contract Documents. § 8.1.2 The Contractor shall carefully study and compare the Contract Documents with each other and with information furnished by the Owner. Before commencing activities, the Contractor shall (1) take field measurements and verify field conditions; (2) carefully compare this and other information known to the Contractor with the Contract Documents; and (3) promptly report errors, inconsistencies or omissions discovered to the Architect.

§ 8.2 CONTRACTOR’S CONSTRUCTION SCHEDULE The Contractor, promptly after being awarded the Contract, shall prepare and submit for the Owner’s and Architect’s information a Contractor’s construction schedule for the Work.

§ 8.3 SUPERVISION AND CONSTRUCTION PROCEDURES § 8.3.1 The Contractor shall supervise and direct the Work, using the Contractor’s best skill and attention. The Contractor shall be solely responsible for and have control over construction means, methods, techniques, sequences and procedures, and for coordinating all portions of the Work.

§ 8.3.2 The Contractor, as soon as practicable after award of the Contract, shall furnish in writing to the Owner through the Architect the names of subcontractors or suppliers for each portion of the Work. The Contractor shall not contract with any subcontractor or supplier to whom the Owner or Architect have made a timely and reasonable objection.

§ 8.4 LABOR AND MATERIALS § 8.4.1 Unless otherwise provided in the Contract Documents, the Contractor shall provide and pay for labor, materials, equipment, tools, utilities, transportation, and other facilities and services necessary for proper execution and completion of the Work.

§ 8.4.2 The Contractor shall enforce strict discipline and good order among the Contractor’s employees and other persons carrying out the Contract Work. The Contractor shall not permit employment of unfit persons or persons not skilled in tasks assigned to them.

§ 8.5 WARRANTY The Contractor warrants to the Owner and Architect that: (1) materials and equipment furnished under the Contract will be new and of good quality unless otherwise required or permitted by the Contract Documents; (2) the Work will be free from defects not inherent in the quality required or permitted; and (3) the Work will conform to the requirements of the Contract Documents.

§ 8.6 TAXES The Contractor shall pay sales, consumer, use and similar taxes that are legally required when the Contract is executed.

§ 8.7 PERMITS, FEES AND NOTICES § 8.7.1 The Contractor shall obtain and pay for the building permit and other permits and governmental fees, licenses and inspections necessary for proper execution and completion of the Work.

§ 8.7.2 The Contractor shall comply with and give notices required by agencies having jurisdiction over the Work. If the Contractor performs Work knowing it to be contrary to applicable laws, statutes, ordinances, codes, rules and regulations, or lawful orders of public authorities, the Contractor shall assume full responsibility for such Work and shall bear the attributable costs. The Contractor shall promptly notify the Architect in writing of any known inconsistencies in the Contract Documents with such governmental laws, rules and regulations. § 8.8 SUBMITTALS The Contractor shall promptly review, approve in writing and submit to the Architect Shop Drawings, Product Data, Samples and similar submittals required by the Contract Documents. Shop Drawings, Product Data, Samples and similar submittals are not Contract Documents. § 8.9 USE OF SITE The Contractor shall confine operations at the site to areas permitted by law, ordinances, permits, the Contract Documents and the Owner. § 8.10 CUTTING AND PATCHING The Contractor shall be responsible for cutting, fitting or patching required to complete the Work or to make its parts fit together properly.

§ 8.11 CLEANING UP The Contractor shall keep the premises and surrounding area free from accumulation of debris and trash related to the Work. At the completion of the Work, the Contractor shall remove its tools, construction equipment, machinery and surplus material; and shall properly dispose of waste materials. § 8.12 INDEMNIFICATION To the fullest extent permitted by law, the Contractor shall indemnify and hold harmless the Owner, Architect, Architect’s consultants and agents and employees of any of them from and against claims, damages, losses and expenses, including but not limited to attorneys’ fees, arising out of or resulting from performance of the Work, provided that such claim, damage, loss or expense is attributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property (other than the Work itself), but only to the extent caused by the negligent acts or omissions of the Contractor, a subcontractor, anyone directly or indirectly employed by them or anyone for whose acts they may be liable, regardless of whether or not such claim, damage, loss or expense is caused in part by a party indemnified hereunder.

ARTICLE 9 ARCHITECT § 9.1 The Architect will provide administration of the Contract as described in the Contract Documents. The Architect will have authority to act on behalf of the Owner only to the extent provided in the Contract Documents.

§ 9.2 The Architect will visit the site at intervals appropriate to the stage of construction to become generally familiar with the progress and quality of the Work.

§ 9.3 The Architect will not have control over or charge of, and will not be responsible for, construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the Work,

since these are solely the Contractor’s responsibility. The Architect will not be responsible for the Contractor’s failure to carry out the Work in accordance with the Contract Documents. § 9.4 Based on the Architect’s observations and evaluations of the Contractor’s Applications for Payment, the Architect will review and certify the amounts due the Contractor.

§ 9.5 The Architect has authority to reject Work that does not conform to the Contract Documents.

§ 9.6 The Architect will promptly review and approve or take appropriate action upon Contractor’s submittals, but only for the limited purpose of checking for conformance with information given and the design concept expressed in the Contract Documents.

§ 9.7 The Architect will promptly interpret and decide matters concerning performance under, and requirements of, the Contract Documents on written request from either the Owner or Contractor.

§ 9.8 Interpretations and decisions of the Architect will be consistent with the intent of and reasonably inferable from the Contract Documents and will be in writing or in the form of drawings. When making such interpretations and decisions, the Architect will endeavor to secure faithful performance by both Owner and Contractor, will not show partiality to either and will not be liable for results of interpretations or decisions rendered in good faith.

§ 9.9 The Architect’s duties, responsibilities and limits of authority as described in the Contract Documents shall not be changed without written consent of the Owner, Contractor and Architect. Consent shall not be unreasonably withheld.

ARTICLE 10 CHANGES IN THE WORK § 10.1 The Owner, without invalidating the Contract, may order changes in the Work within the general scope of the Contract consisting of additions, deletions or other revisions, the Contract Sum and Contract Time being adjusted accordingly in writing. If the Owner and Contractor can not agree to a change in the Contract Sum, the Owner shall pay the Contractor its actual cost plus reasonable overhead and profit.

§ 10.2 The Architect will have authority to order minor changes in the Work not involving changes in the Contract Sum or the Contract Time and not inconsistent with the intent of the Contract Documents. Such orders shall be in writing and shall be binding on the Owner and Contractor. The Contractor shall carry out such orders promptly.

§ 10.3 If concealed or unknown physical conditions are encountered at the site that differ materially from those indicated in the Contract Documents or from those conditions ordinarily found to exist, the Contract Sum and Contract Time shall be subject to equitable adjustment.

ARTICLE 11 TIME § 11.1 Time limits stated in the Contract Documents are of the essence of the Contract.

§ 11.2 If the Contractor is delayed at any time in progress of the Work by changes ordered in the Work, or by labor disputes, fire, unusual delay in deliveries, unavoidable casualties or other causes beyond the Contractor’s control, the Contract Time shall be subject to equitable adjustment.

ARTICLE 12 PAYMENTS AND COMPLETION § 12.1 CONTRACT SUM The Contract Sum stated in the Agreement, including authorized adjustments, is the total amount payable by the Owner to the Contractor for performance of the Work under the Contract Documents.

§ 12.2 APPLICATIONS FOR PAYMENT § 12.2.1 At least ten days before the date established for each progress payment, the Contractor shall submit to the Architect an itemized Application for Payment for Work completed in accordance with the values stated in the Agreement. Such Application shall be supported by data substantiating the Contractor’s right to payment as the Owner or Architect may reasonably require. Payments shall be made on account of materials and equipment delivered and suitably stored at the site for subsequent incorporation in the Work. If approved in advance by the

Owner, payment may similarly be made for materials and equipment stored, and protected from damage, off the site at a location agreed upon in writing. § 12.2.2 The Contractor warrants that title to all Work covered by an Application for Payment will pass to the Owner no later than the time of payment. The Contractor further warrants that upon submittal of an Application for Payment, all Work for which Certificates for Payment have been previously issued and payments received from the Owner shall, to the best of the Contractor’s knowledge, information and belief, be free and clear of liens, claims, security interests or other encumbrances adverse to the Owner’s interests.

§ 12.3 CERTIFICATES FOR PAYMENT The Architect will, within seven days after receipt of the Contractor’s Application for Payment, either issue to the Owner a Certificate for Payment, with a copy to the Contractor, for such amount as the Architect determines is properly due, or notify the Contractor and Owner in writing of the Architect’s reasons for withholding certification in whole or in part. § 12.4 PROGRESS PAYMENTS § 12.4.1 After the Architect has issued a Certificate for Payment, the Owner shall make payment in the manner provided in the Contract Documents.

§ 12.4.2 The Contractor shall promptly pay each subcontractor and supplier, upon receipt of payment from the Owner, an amount determined in accordance with the terms of the applicable subcontracts and purchase orders.

§ 12.4.3 Neither the Owner nor the Architect shall have responsibility for payments to a subcontractor or supplier.

§ 12.4.4 A Certificate for Payment, a progress payment, or partial or entire use or occupancy of the Project by the Owner shall not constitute acceptance of Work not in accordance with the requirements of the Contract Documents.

§ 12.5 SUBSTANTIAL COMPLETION § 12.5.1 Substantial Completion is the stage in the progress of the Work when the Work or designated portion thereof is sufficiently complete in accordance with the Contract Documents so the Owner can occupy or utilize the Work for its intended use. § 12.5.2 When the Work or designated portion thereof is substantially complete, the Architect will make an inspection to determine whether the Work is substantially complete. When the Architect determines that the Work is substantially complete the Architect shall prepare a Certificate of Substantial Completion that shall establish the date of Substantial Completion, shall establish the responsibilities of the Owner and Contractor, and shall fix the time within which the Contractor shall finish all items on the list accompanying the Certificate. Warranties required by the Contract Documents shall commence on the date of Substantial Completion of the Work or designated portion thereof unless otherwise provided in the Certificate of Substantial Completion. § 12.6 FINAL COMPLETION AND FINAL PAYMENT § 12.6.1 Upon receipt of a final Application for Payment, the Architect will inspect the Work. When the Architect finds the Work acceptable and the Contract fully performed, the Architect will promptly issue a final Certificate for Payment.

§ 12.6.2 Final payment shall not become due until the Contractor submits to the Architect releases and waivers of liens, and data establishing payment or satisfaction of obligations, such as receipts, claims, security interests or encumbrances arising out of the Contract.

§ 12.6.3 Acceptance of final payment by the Contractor, a subcontractor or material supplier shall constitute a waiver of claims by that payee except those previously made in writing and identified by that payee as unsettled at the time of final Application for Payment.

ARTICLE 13 PROTECTION OF PERSONS AND PROPERTY The Contractor shall be responsible for initiating, maintaining and supervising all safety precautions and programs, including all those required by law in connection with performance of the Contract. The Contractor shall take reasonable precautions to prevent damage, injury or loss to employees on the Work, the Work and materials and

equipment to be incorporated therein, and other property at the site or adjacent thereto. The Contractor shall promptly remedy damage and loss to property caused in whole or in part by the Contractor, or by anyone for whose acts the Contractor may be liable.

ARTICLE 14 CORRECTION OF WORK § 14.1 The Contractor shall promptly correct Work rejected by the Architect as failing to conform to the requirements of the Contract Documents. The Contractor shall bear the cost of correcting such rejected Work, including the costs of uncovering, replacement and additional testing.

§ 14.2 In addition to the Contractor’s other obligations including warranties under the Contract, the Contractor shall, for a period of one year after Substantial Completion, correct work not conforming to the requirements of the Contract Documents.

§ 14.3 If the Contractor fails to correct nonconforming Work within a reasonable time, the Owner may correct it in accordance with Section 7.3.

ARTICLE 15 MISCELLANEOUS PROVISIONS § 15.1 ASSIGNMENT OF CONTRACT Neither party to the Contract shall assign the Contract as a whole without written consent of the other.

§ 15.2 TESTS AND INSPECTIONS § 15.2.1 At the appropriate times, the Contractor shall arrange and bear cost of tests, inspections and approvals of portions of the Work required by the Contract Documents or by laws, statutes, ordinances, codes, rules and regulations, or lawful orders of public authorities.

§ 15.2.2 If the Architect requires additional testing, the Contractor shall perform those tests.

§ 15.2.3 The Owner shall bear cost of tests, inspections or approvals that do not become requirements until after the Contract is executed.

§ 15.3 GOVERNING LAW The Contract shall be governed by the law of the place where the Project is located.

ARTICLE 16 TERMINATION OF THE CONTRACT § 16.1 TERMINATION BY THE CONTRACTOR If the Architect fails to certify payment as provided in Section 12.3 for a period of 30 days through no fault of the Contractor, or if the Owner fails to make payment as provided in Section 12.4.1 for a period of 30 days, the Contractor may, upon seven additional days’ written notice to the Owner and Architect, terminate the Contract and recover from the Owner payment for Work executed including reasonable overhead and profit, and costs incurred by reason of such termination.

§ 16.2 TERMINATION BY THE OWNER FOR CAUSE § 16.2.1 The Owner may terminate the Contract if the Contractor

.1 repeatedly refuses or fails to supply enough properly skilled workers or proper materials;

.2 fails to make payment to subcontractors for materials or labor in accordance with the respective agreements between the Contractor and the subcontractors;

.3 persistently disregards laws, ordinances, or rules, regulations or orders of a public authority having jurisdiction; or

.4 is otherwise guilty of substantial breach of a provision of the Contract Documents.

§ 16.2.2 When any of the above reasons exist, the Owner, after consultation with the Architect, may without prejudice to any other rights or remedies of the Owner and after giving the Contractor and the Contractor’s surety, if any, seven days’ written notice, terminate employment of the Contractor and may

.1 take possession of the site and of all materials thereon owned by the Contractor, and

.2 finish the Work by whatever reasonable method the Owner may deem expedient.

§ 16.2.3 When the Owner terminates the Contract for one of the reasons stated in Section 16.2.1, the Contractor shall not be entitled to receive further payment until the Work is finished.

§ 16.2.4 If the unpaid balance of the Contract Sum exceeds costs of finishing the Work, such excess shall be paid to the Contractor. If such costs exceed the unpaid balance, the Contractor shall pay the difference to the Owner. This obligation for payment shall survive termination of the Contract. § 16.3 TERMINATION BY THE OWNER FOR CONVENIENCE The Owner may, at any time, terminate the Contract for the Owner’s convenience and without cause. The Contractor shall be entitled to receive payment for Work executed, and costs incurred by reason of such termination, along with reasonable overhead and profit on the Work not executed.

ARTICLE 17 OTHER TERMS AND CONDITIONS (Insert any other terms or conditions below.)

««17.1 Retainage: Ten Percent (10%) retainage required on all labor and materials. 17.2 Nothing in this Agreement shall be understood to waive or diminish the sovereignty of the Choctaw Nation of Oklahoma. 17.2 Disputes: All claims, disputes, and other matters in question between the parties to this Agreement, arising out of or relating to this Agreement or its breach, shall be brought to the attention of the other party by written notice within three (3) weeks of the date when the claim, dispute, or other matter in question became known or should have became known to the complaining party. Contractor shall have no right to cease work during the period a complaint is pending. After receipt of written notice of complaint, the party complained to shall have three (3) weeks to submit a written response. If the parties are then unable to resolve the differences , a complaint may be brought in a court of competent jurisdiction for adjudication of the dispute or the parties may jointly agree to resolve the matter by mediation or binding arbitration. This is not an agreement to submit any such dispute to mediation or binding arbitration, but is an acknowledgement that such approaches to dispute resolution are a feasible alternative that may be mutually elected by the parties in lieu of a lawsuit. PART 1 - GENERAL

1.1 SUPPLEMENTARY CONDITIONS

A. These Supplementary Conditions amend and supplement the General Conditions defined in Document 00 50 00 and other provisions of the Contract Documents as indicated below. All provisions which are not so amended or supplemented remain in full force and effect.

B. The terms used in these Supplementary Conditions which are defined in the General

Conditions have the meanings assigned to them in the General Conditions. PART2 - MODIFICATIONS TO AIA A105

2.2 ARTICLE 5 - INSURANCE

A. Before performing contractual services on the behalf of or for the Choctaw Nation of Oklahoma, compliance with the following insurance requirements must be verified prior to commencing work on the project. Submit insurance certification for all coverages.

Provide an original Certificate of insurance naming the Choctaw Nation of Oklahoma as an Additional Insured and evidencing a Waiver of Subrogation in favor of the Choctaw Nation of Oklahoma. This requirement shall apply to all insurance coverage with respect to this project.

The certificate should contain the following information:

1. Type of insurance 2. Policy number 3. Effective date 4. Expiration date 5. Limits of Liability (this amount is usually stated in thousands) 6. All Certificates of Insurance shall include a minimum thirty (30) days Notice of Cancellation to be provided to the Owner clause. 7. Coverage Territory

1.05 MODIFICATION PROCEDURES

C. 1.04 DEFINITIONS

1.05 EXTENSION OF TIME

A. Unusually Severe Weather: Extension of time for unusually severe weather will be determined on a monthly basis and will include only those actual adverse weather days in excess of the normal adverse weather days included in the Contract Time.

B. Compensable Delay: Contract time allowed for performance of the Work may be extended for delays caused by Owner and/or Architect. Compensation may be paid only when completion of the delayed Work element prevents the start of Work on a successive Work element and will adversely impact on the project completion. Float time in scheduling of the successive Work elements is a shared commodity and no compensation will be paid to the Contractor by the Owner for the use of float time.

C. Extension of Time: When found justified by the Architect, Contract Time will be extended by Change Order as detailed in Section 00700, General Conditions. 1. Weather Related Conditions: Contractor may request an extension of Time within time limits

defined by providing the following: a. Contractor immediately notifies the Owner and Architect in writing of Conditions and the critical

B. In the case of Weather Related Conditions, notification shall include digital photos of the Condition preventing Work in addition to the following: 1. Detailed explanation of the anticipated related damages, if any. 2. Trades affected by the delay. 3. Current construction schedule with critical trades identified.

1.08 PROCEDURES FOLLOWING NOTIFICATION OF DELAY

A. The Contractor shall maintain a daily record of each operation affected by the delay and the location of the operations affected. Contractor shall also prepare and submit written reports to the Architect containing the following information each Monday: 1. Number of days behind schedule. 2. A summary of all operations that have been delayed or will be delayed. 3. In the case of a compensable delay, the Contractor shall explain how the Architect's and/or

Owner's act delay each operation and estimate the amount of time required to complete the Project.

reason for the delay, including all reports prepared for the Contractor by consultants, if utilized. 2. Chart or other graphic depiction of how operations were delayed. 3. An item by item measurement and explanation of extra costs requested for reimbursement due to the

I. Refinish existing surfaces as indicated:1. Where rooms or spaces are indicated to be refinished, refinish all visible existing

surfaces to remain to the specified condition for each material, with a neat transition to adjacent finishes.

2. If mechanical or electrical work is exposed accidentally during the work, re-cover and refinish to match.

J. Clean existing systems and equipment.

K. Remove demolition debris and abandoned items from alterations areas and dispose of off-site; do not burn or bury.

L. Do not begin new construction in alterations areas before demolition is complete.

M. Comply with all other applicable requirements of this section.

3.05 CUTTING AND PATCHING

A. Whenever possible, execute the work by methods that avoid cutting or patching.

B. See Alterations article above for additional requirements.

C. Perform whatever cutting and patching is necessary to:1. Complete the work.2. Fit products together to integrate with other work.3. Provide openings for penetration of mechanical, electrical, and other services.4. Match work that has been cut to adjacent work.5. Repair areas adjacent to cuts to required condition.6. imperfections due to patching work. If defects are due to condition of substrate, repair substrate prior to repairing finish.

3.06 PROGRESS CLEANING

A. Maintain areas free of waste materials, debris, and rubbish. Maintain site in a clean and orderly condition.

B. Remove debris and rubbish from pipe chases, plenums, attics, crawl spaces, and other closed or remote spaces, prior to enclosing the space.

C. Broom and vacuum clean interior areas prior to start of surface finishing, and continue cleaning to eliminate dust.

D. Collect and remove waste materials, debris, and trash/rubbish from site daily and dispose off-site; do not burn or bury.

3.07 PROTECTION OF INSTALLED WORK

A. Protect installed work from damage by construction operations.

B. Provide special protection where specified in individual specification sections.

C. Provide temporary and removable protection for installed products. Control activity in immediate work area to prevent damage.

D. Provide protective coverings at walls, projections, jambs, sills, and soffits of openings.

E. Protect finished floors, stairs, and other surfaces from traffic, dirt, wear, damage, or movement of heavy objects, by protecting with durable sheet materials.

F. Prohibit traffic or storage upon waterproofed or roofed surfaces. If traffic or activity is necessary, obtain recommendations for protection from waterproofing or roofing material manufacturer.

G. Remove protective coverings when no longer needed; reuse or recycle plastic coverings if possible.

3.08 ADJUSTING

A. Adjust operating products and equipment to ensure smooth and unhindered operation.

3.09 FINAL CLEANING

A. Use cleaning materials that are nonhazardous.

B. Clean interior and exterior glass, surfaces exposed to view; remove temporary labels, stains and foreign substances, polish transparent and glossy surfaces, vacuum carpeted and soft surfaces.

C. Remove all labels that are not permanent. Do not paint or otherwise cover fire test labels or nameplates on mechanical and electrical equipment.

B. Single-Layer Non-Rated: Install gypsum board in most economical direction, with ends and edges occurring over firm bearing.1. Exception: Tapered edges to receive joint treatment at right angles to framing.

3.03 INSTALLATION OF TRIM AND ACCESSORIES

1.06 DELIVERY, STORAGE, AND HANDLING

A. Deliver products to site in sealed and labeled containers; inspect to verify acceptability.

B. Container Label: Include manufacturer's name, type of paint, brand name, lot number, brand code, coverage, surface preparation, drying time, cleanup requirements, color designation, and instructions for mixing and reducing.

C. Paint Materials: Store at minimum ambient temperature of 45 degrees F and a maximum of 90 degrees F, in ventilated area, and as required by manufacturer's instructions.

1.07 FIELD CONDITIONS

A. Do not apply materials when surface and ambient temperatures are outside the temperature ranges required by the paint product manufacturer.

PART 3 EXECUTION

3.01 SCOPE -- SURFACES TO BE FINISHED

A. Paint the surfaces described in PART 2, indicated on the Drawings, and as follows:1. If a surface, material, or item is not specifically mentioned, paint in the same manner as

similar surfaces, materials, or items, regardless of whether colors are indicated or not.2. Paint surfaces to be concealed behind permanently installed fixtures, equipment, and

furnishings, using primer only, prior to installation of the permanent item.

B. Do Not Paint or Finish the Following Items:1. Items fully factory-finished unless specifically noted; factory-primed items are not

considered factory-finished.2. Items indicated to receive other finish.3. Items indicated to remain naturally finished.4. Fire rating labels, equipment serial number and capacity labels, and operating parts of

equipment.5. Existing areas not shown to be painted.

3.02 EXAMINATION

A. Verify that surfaces are ready to receive Work as instructed by the product manufacturer.

B. Examine surfaces scheduled to be finished prior to commencement of work. Report any condition that may potentially affect proper application.

C. Test shop-applied primer for compatibility with subsequent cover materials; report incompatible primer conditions and submit recommended changes for Architect's approval.

D. Measure moisture content of surfaces using an electronic moisture meter. Do not apply finishes unless moisture content of surfaces are below the following maximums:1. Plaster and Gypsum Board: 12 percent.

A. Prepare surfaces as specified in MPI Architectural Painting Specification Manual and as follows for the applicable surface and coating; if multiple preparation treatments are specified, use as many as necessary for best results; where the Manual references external standards for preparation (e.g. SSPC standards), prepare as specified in those standards; comply with coating manufacturer's specific preparation methods or treatments, if any.

B. Coordinate painting work with cleaning and preparation work so that dust and other contaminants do not fall on newly painted, wet surfaces.

C. Surface Appurtenances: Prior to preparing surfaces or finishing, remove electrical plates, hardware, light fixtures, light fixture trim, escutcheons, machined surfaces, fittings, and similar items already installed that are not to be painted.1. If removal is impractical or impossible because of the size or weight of the item, provide

surface-applied protection before preparation and finishing.2. After completing painting in each space or area, reinstall items removed using workers

skilled in the trades involved.

D. Surfaces: Correct defects and clean surfaces which affect work of this section. Remove or repair existing coatings that exhibit surface defects.

E. Marks: Seal with shellac those which may bleed through surface finishes.

F. Impervious Surfaces: Remove mildew by scrubbing with solution of tetra-sodium phosphate and bleach. Rinse with clean water and allow surface to dry.

G. Gypsum Board Surfaces to be Painted: Fill minor defects with filler compound. Spot prime defects after repair.

H. Uncoated Steel and Iron Surfaces to be Painted: Remove grease, mill scale, weld splatter, dirt, and rust. Where heavy coatings of scale are evident, remove by hand wire brushing or sandblasting; clean by washing with solvent. Apply a treatment of phosphoric acid solution, ensuring weld joints, bolts, and nuts are similarly cleaned. Prime paint entire surface; spot prime after repairs.

I. Shop-Primed Steel Surfaces to be Finish Painted: Sand and scrape to remove loose primer and rust. Feather edges to make touch-up patches inconspicuous. Clean surfaces with solvent. Prime bare steel surfaces. Re-prime entire shop-primed item.

3.04 APPLICATION

A. Apply products in accordance with manufacturer's instructions and as specified or recommended by MPI Manual, using the preparation, products, sheens, textures, and colors as indicated.1. Remove, refinish, or repaint work not complying with requirements.

B. Do not apply finishes over dirt, rust, scale, grease, moisture, scuffed surfaces, or other conditions detrimental to formation of a durable coating film; do not apply finishes to surfaces that are not dry.

C. Use applicators and methods best suited for substrate and type of material being applied and according to manufacturer's instructions.1. Brush Application: Use brushes best suited for the type of material applied; use brush

of appropriate size for the surface or item being painted; produce results free of visible brush marks.

2. Roller Application: Use rollers of carpet, velvet back, or high-pile sheep's wool as recommended by manufacturer for material and texture required.

3. Spray Application: Use airless spray equipment with orifice size as recommended by manufacturer for material and texture required.

4. Where application method is listed in the MPI Manual for the paint system that application method is required; otherwise any application method recommended by manufacturer for material used and objects to be painted is acceptable.

D. Minimum Coating Thickness: Apply paint materials no thinner than manufacturer's recommended spreading rate; provide total dry film thickness of entire system as recommended by manufacturer.1. Number of coats and film thickness required are the same regardless of application

method.2. If undercoats, stains, or other conditions show through final coat of paint, apply

additional coats until paint film is of uniform finish, color, and appearance. 3. Give special attention to ensure edges, corners, crevices, welds, and exposed fasteners

receive dry film thickness equivalent to that of flat surfaces.

E. Apply finish to completely cover surfaces with uniform appearance without brush marks, runs, sags, laps, ropiness, holidays, spotting, cloudiness, or other surface imperfections. 1. Before applying finish coats, apply a prime coat of material recommended by

manufacturer, unless the surface has been prime coated by others; where evidence of suction spots or unsealed areas in first coat appear, recoat primed and sealed surfaces to ensure finish coat with no burn through or other defects due to insufficient sealing.

2. Apply first coat to surface that has been cleaned, pretreated, or otherwise prepared as soon as practical after preparation and before subsequent surface deterioration.

3. Do not apply succeeding coats until the previous coat has cured as recommended by manufacturer.

4. Do not recoat until paint has dried to where it feels firm, does not deform or feel sticky under moderate thumb pressure, and application of another coat will not cause the undercoat to lift or lose adhesion.

5. If manufacturer's instructions recommend sanding to produce a smooth, even surface, sand between coats.

6. Before applying next coat vacuum clean surfaces of loose particles. Use tack cloth to remove dust and particles just prior to applying next coat.

3.05 CLEANING AND PROTECTION

A. Collect waste material which may constitute a fire hazard, place in closed metal containers, and remove daily from site.

B. At the end of each workday, remove empty cans, rags, rubbish, and other discarded paint materials from site.

C. Protect other work, whether being painted or not, against damage by painting. Correct damage by cleaning, repairing or replacing, and repainting as approved by Architect.

D. Provide "Wet Paint" signs to protect newly painted finishes. Remove temporary protective wrappings provided by others to protect their work after completing painting operations.

E. At completion of construction activities of other trades, touch up and restore damaged or defaced painted surfaces. Comply with procedures specified in MPI Manual.

2.07 MIXING

PART 3 EXECUTION

3.01 EXAMINATION

A. Verify compacted granular base is acceptable and ready to support paving and imposed loads.

B. Verify gradients and elevations of base are correct.

3.02 SUBBASE

3.03 PREPARATION

A. Moisten base to minimize absorption of water from fresh concrete.

3.04 FORMING

A. Place and secure forms to correct location, dimension, profile, and gradient.

B. Assemble formwork to permit easy stripping and dismantling without damaging concrete.

C. Place joint filler vertical in position, in straight lines. Secure to formwork during concrete placement.

3.05 REINFORCEMENT

A. Place reinforcement at midheight of slabs-on-grade.

3.06 COLD AND HOT WEATHER CONCRETING

A. Follow recommendations of ACI 305R when concreting during hot weather.

B. Follow recommendations of ACI 306R when concreting during cold weather.

C. Do not place concrete when base surface temperature and air temperature is less than 40 degrees F, or surface is wet or frozen.

D. Do not place concrete when the temperature of the concrete exceeds 85 degrees F, except where an approved retarder is used. The mixing water and/or aggregates shall be cooled to maintain a satisfactory placing temperature as necessary. In no case shall the placing temperature exceed 95 degrees F.

3.07 PLACING CONCRETE

A. Place concrete in accordance with ACI 304R.

B. Do not place concrete when base surface is wet.

C. Ensure reinforcement, inserts, embedded parts, formed joints are not disturbed during concrete placement.

D. Place concrete continuously over the full width of the panel and between predetermined construction joints. Do not break or interrupt successive pours such that cold joints occur.

E. Apply surface retarder to all exposed surfaces in accordance with manufacturer's instructions.

3.08 JOINTS

B. Place 1/2 inch wide expansion joints at 20 foot intervals and to separate paving from vertical surfaces and other components and in pattern indicated.1. Form joints with joint filler extending from bottom of pavement to within 1/4 inch of

finished surface.2. Secure to resist movement by wet concrete.

C. Provide scored or sawn joints:

3.09 FINISHING

A. Sidewalk Paving: Light broom, texture perpendicular to direction of travel with troweled and radiused edge 1/4 inch radius.

3.10 JOINT SEALING

3.11 TOLERANCES

3.12 FIELD QUALITY CONTROL

A. An independent testing agency will perform field quality control tests, as specified in Section 01 40 00.1. Provide free access to concrete operations at project site and cooperate with appointed

firm.2. Submit proposed mix design of each class of concrete to inspection and testing firm for

review prior to commencement of concrete operations.

B. Compressive Strength Tests: ASTM C39/C39M. For each test, mold and cure three concrete test cylinders. Obtain test samples for every 75 cu yd or less of each class of concrete placed.1. Take one additional test cylinder during cold weather concreting, cured on job site under

same conditions as concrete it represents.

C. Maintain records of placed concrete items. Record date, location of pour, quantity, air temperature, and test samples taken.

3.13 PROTECTION

A. Immediately after placement, protect pavement from premature drying, excessive hot or cold temperatures, and mechanical injury.

B. Do not permit pedestrian traffic over pavement for 7 days minimum after finishing.
