NON-DISCLOSURE AGREEMENT THIS AGREEMENT (the "Agreement”) by and between Susan Baker, Business Consultant on behalf of Mr. Mrs. Davis ( the” Disclosing Party”), and Party and/or Parties viewing this presentation (“Recipient” or the “Receiving Party”).

The Recipient hereto desires to participate in discussions regarding Businesses owned by Mr. Mrs. Davis, Located in St. Thomas USVI (the “Transaction”). During these discussions with Owners and/or Susan Baker or delegated party by Susan Baker, Disclosing Party may share certain proprietary information with the Recipient. Therefore, in consideration of the mutual promises and covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

Compelled Disclosure of Confidential Information.

Notwithstanding anything in the foregoing to the contrary, the Receiving Party may disclose Confidential Information pursuant to any governmental, judicial, or subpoena.

This Agreement shall remain in effect for a two-year term (subject to a one year extension if the parties are still discussing and considering the Transaction at the end of the second year). Notwithstanding the foregoing, the parties’ duty to hold in confidence Confidential Information that was disclosed during term shall remain in effect indefinitely.

Damages to Disclosing Party that results from the unauthorized dissemination of the Confidential Information; Disclosing Party shall be entitled to recover its costs and fees, including reasonable attorneys’ fees, incurred in obtaining any such relief. Further, in the event of litigation relating to this Agreement, the prevailing party shall be entitled to recover its reasonable attorney’s fees and expenses.

Receiving Party shall notify the Disclosing Party immediately upon discovery of any unauthorized use or disclosure of Confidential Information by Receiving Party or its Representatives, or any other breach of this Agreement by Receiving Party or its Representatives, and will cooperate with efforts by the Disclosing Party to help the Disclosing Party regain possession of Confidential Information and prevent its further unauthorized use.

This Agreement constitutes the entire understanding between the parties and supersedes any and all prior or contemporaneous understandings and agreements, whether oral or written, between the parties, with respect to the subject matter hereof.

Leasing Information: Starz, Rock & Mojos expire in March of 2031 all at the same time. Owners will meet with the landlord at Point of Sale to get a complete copy of the lease for Starz, Rock and Mojos as there are a lot of Addendums drawn up in the lease for those 3 businesses because of the many changes we made to the lay out and dates during the build out period.

ST. THOMAS - the latest and greatest news! Jimmy Buffet plans to invest 90 million in a business and that it huge because his presents will bring more tourist as his devoted fan base is enormous.

Buffett is partnering with Wyndham to open the 262-unit resort, located at the former Renaissance Grand Beach Resort in Smith Bay on St. Thomas.

The hotel property has been abandoned for years, and Wyndham plans to invest $90 million to transform it into the flagship Margaritaville Vacation Club by Wyndham property.

Buffett's said a casino never was part of the concept for the St. Thomas resort.

This good news for the buyer of the Davis businesses because they have been approved for a large privately owned casino that YOU can own. The businesses are a plug and play! Low start up cost because everything is already in place!

FREQUENTLY ASKED INFORMATION ABOUT DOING BUSINESS IN THE USVI

The Virgin Islands, while relatively small in size and population, has a very diverse and active business community with companies and individuals residing and owning investments in the Virgin Islands from the U.S., Europe, other Caribbean Islands, India and around the world.

INTERNAL REVENUE SERVICE: The U.S. Virgin Islands is a unincorporated territory of the United States and therefore, enjoys the protection of the U.S. Constitution, legal and Republican form of government but retains its own authority for taxation under the U.S. Internal Revenue Code, and many other aspects of doing business in the Virgin Islands are similar to a state or municipality in the U.S.

Virgin Islands uses the same income tax regulations, forms, filing dates, etc. though the tax revenue is retained in the V.I. As a result of this system, V.I. residents and corporations generally pay tax on worldwide income to the V.I. Bureau of Internal Revenue and U.S. residents and corporations generally pay taxes on V.I. income to the V.I. Bureau of Internal Revenue and in U.S. income to the I.R.S. LABOR LAWS: V.I. labor laws generally follow U.S. standards, though the Virgin Islands has it's own minimum wage standards. Individuals doing business in the V.I. are encouraged to familiarize themselves with the Wrongful Discharge Law. Wages and salaries tend to be somewhat less than average U.S. counterparts in similar occupations.

IMMIGRATION: There are no special immigration and residency requirements nor property ownership restrictions for individuals of corporations residing or doing business in the Virgin Islands, other than those that apply generally in the U.S. and to U.S. immigration laws administered by the U.S. Immigration and Naturalization Service. However, applications to the INS for citizenship and residency is made in the Virgin Islands and not the United States, which generally the time for the approval process.
