Part – I

TECHNICAL SPECIFICATION

Work for Consultancy for Upgradation / Revision as per 2015 versions of ISO 9001 and ISO 14001 and Integration in the existing documentation for ISO 9001, ISO 14001 and OHSAS 18001 for Ukai TPS / Wanakbori TPS / Gandhinagar TPS / Sikka TPS / Kachchh Lignite TPS / Dhuvaran GBPS / Utran GBPS and Corporate office of GSECL and SSHEP being operated by GSECL.

1.0 DEFINITION OF TERMS: Unless defined otherwise, the following terms, wherever used in this document shall have the following meanings.

a. “GSECL” or “Client” / “Auditee” means the Gujarat State Electricity Corporation Ltd., Corporate office, Vadodara and its power stations and shall include their legal representatives, successors and permitted assign.

b. “Consultant” means the consultant to GSECL, i.e. party (to whom this work is awarded by GSECL) and shall include their legal representatives, successors and permitted assigns.

c. “Bidder” / “Tenderer” means the party bidding for this work. d. “Integrated Management System” (IMS) means the overall Management system

meeting with the requirements latest versions of ISO 9001, ISO 14001 and OHSAS 18001 standards.

e. “Engineer-in-charge” or “EIC” means Management Representative of Corporate office and / or Power stations, appointed in writing by GSECL, to act as “Coordinator” from time to time on behalf of respective office of GSECL.

f. “Specifications” means the Technical specifications and conditions of Contract forming a part of the contract and such other schedules as may be mutually agreed upon.

g. “Notice of the Award of the Contract”/ “Letter of Award” shall mean the official notice issued by GSECL notifying the consultant that his proposal has been accepted.

h. “Effective date of Contract” shall mean the date mentioned in the Letter of Award, as the Effective date of Contract.

i. The word imparting singular meaning shall also include the plural meaning and vice-versa where the context so requires.

j. “Assignment” or “Work” shall mean “Consultancy for Upgradation / Revision as per 2015 versions of ISO 9001 and ISO 14001 and Integration in the existing documentation for ISO 9001, ISO 14001 and OHSAS 18001 for Ukai TPS / Wanakbori TPS / Gandhinagar TPS / Sikka TPS / Kachchh Lignite TPS / Dhuvaran GBPS / Utran GBPS and Corporate office of GSECL and SSHEP being operated by GSECL” as narrated in the scope of work.

k. “Auditor” shall mean the Certification body accredited with NABCB under QCI or any other accreditation body, (who is the member of International Accreditation Forum) for scope pertaining to Electricity generation and appointed by GSECL for certification of the Integrated Management Systems as per the latest prescribed standards for ISO 9001, ISO 14001 and OHSAS 18001.

l. “Standards” shall mean the latest versions of ISO 9001, ISO 14001 and OHSAS 18001 standards for Quality Management, Environment Management and Occupational Health and Safety Management Systems respectively.

2.0 SCOPE OF SERVICES : This includes, but is not limited to:

Top management briefing about the activities to be carried out at each location. This can be clubbed with the Gap Audit.

Conducting onsite Gap audit (through review of existing documents / processes / systems) as required under the revised versions of ISO 9001 & ISO 14001 standards for each power station, sorting out and rectification of deficiencies in existing documents. Based on the Gap analysis, the consultant shall submit the Gap audit report.

Conducting onsite Gap audit (through review of existing documents / processes / systems) as required under the revised version of ISO 9001 standard for GSECL Corporate office and SSHEP being operated by GSECL, sorting out and rectification of deficiencies in existing documents. Based on the Gap analysis, the consultant shall submit the Gap audit report.

The consultant shall prepare a detailed implementation plan for each location, that will include the key tasks to be undertaken to meet the requirements of revised standards and also guide / assist in bridging the Gaps,

Providing one day awareness training on documentation of the system procedures as per the revised standards (ISO 9001:2015 and ISO 14001:2015) to the ISO Core team including all department heads and top management at each Power station, which shall also include the details of key changes made and actions to be taken to meet with new requirements based on revised standards,

Providing one day awareness training on documentation of the system procedures as per the revised standards (ISO 9001:2015) to the ISO Core team including all department heads and top management at GSECL Corporate office and SSHEP being operated by GSECL, which shall also include the details of key changes made and actions to be taken to meet with new requirements based on revised standards,

Providing 3 (three) mandays Internal Auditor training as per the latest edition for IMS (ISO 9001 / ISO 14001 / OHSAS 18001) to 30 persons at each location and providing the related training material and training certificates to each participant. Soft Copy of all signed certificates of all trained Internal Auditors should be given to GSECL Corporate office, for record.

Guiding / assisting for Upgradation / revision / restructuring of existing QMS manual / documents of GSECL Corporate office and SSHEP being operated by GSECL (including addition / development of new document) as per revised standard for ISO 9001,

Guiding / assisting for Upgradation / revision / restructuring of the existing manual(s) / documents of various power stations of GSECL (including addition / development of new document) as per the revised standards for ISO 9001 and ISO 14001 and preparing common documents, including manual for Integrated Management System (IMS) at each power station as per ISO 9001, ISO 14001 and OHSAS 18001. Ukai TPS documentation shall also include the documents for Ukai Hydro power station as per requirement of OHSAS 18001, as it is under control of Chief Engineer, Ukai.

This would also include guiding / assisting in updating / development of process level documentation, if any additionally required, including Environment Aspect / Impact, Context of the organization, Quality Risk & Opportunity, HIRA and other associated relevant documentations as per the latest standards, looking to the Corporate office / Power station requirements,

Conducting preparatory audit and onsite verification at each location to check the adequacy and effectiveness in implementation of the amended IMS at Power stations / amended QMS at GSECL Corporate office and SSHEP being operated by GSECL as per standards’ requirements,

Providing audit checklist and then assistance for conducting one manday Internal Audit by Local Auditors for core processes like Coal plant, Operation, Chemical Laboratory, Maintenance (Civil / Electrical / Mechanical / Instrument – one sample each) as applicable at each Power station and core processes like Purchase / Efficiency / Planning & Project / Fuel / Civil / HR / IT at the Corporate office and closing all the non-conformities,

Guiding / assisting Management Review Meeting at each location after document upgradation / amendment and implementation of updated systems as per ISO 9001 / ISO 14001 / OHSAS 18001 as applicable,

Providing guidance / assistance during Re-Certification audit and closing all the NC / Observation of the said audit at each location as per standards’ requirements up to obtaining certification according to revised standards for ISO 9001:2015 and ISO 14001:2015 and assisting in revision, if any, in the manual / procedure / instructions as necessary or recommended by certifying agency,

Any other work not specifically listed above but essential for effective implementation of the IMS and its certification as per the revised standards,

The scope specified above is indicative only and not exhaustive. The work shall be performed and completed in accordance to specifications and as per the latest statutory requirements of ISO 9001:2015, ISO 14001:2015 and OHSAS 18001, as per the site documentation requirement.

The IMS Manual and Policy (on merging the existing policies) shall be prepared by the consultant. All the departmental documentation work shall be carried out by GSECL at each location under guidance of the consultant. However, sample of the revised / new formats / documents shall be provided by the consultant.

The visiting team shall consist of atleast one person with engineering background, looking to the technicality in the work of power stations.

The visits during the work period shall be planned, programmed & completed as per the requirement and satisfaction of GSECL, in all respect.

Prior to the commencement of work, the consultant shall provide the time schedule and assessment plan, including the dates and locations for the execution of the work / audit and the same shall be finalized and mutually agreed with the Management Representative of the Corporate office / Power plant, in writing.

In case of any change in the schedule, either by the Corporate office / Power plant or by the consultant, the revised schedule shall be mutually agreed and the consultant shall execute the work as per the agreed schedule and assessment plan.

On completion of the activity, the consultant shall submit the report of activity. 4.0 DURATION :

The total duration of the work shall be 12 months from the date of detailed order.

Priority for the work to be given based on the validity of existing certificates at each location. The priority to be decided in consultation with Corporate office.

The consultant shall submit the bar chart / time schedule for implementation of various activities as per the detail in the scope of work.

5.0 PRICES / FEES : The total price / fees for carrying out the subject work shall be as per the

Schedule –B.

The rates shall be quoted either A % above the estimate or & B % below the estimate. Item wise rates shall not be quoted.

The rate quoted should be inclusive of travel expenses for services detailed in technical scope. Lodging, boarding and internal transportation shall be provided free of cost by GSECL at the respective location i.e. Corporate office / Power stations.

The price for entire scope of services under this contract is on firm price basis only.

GSECL will not bear any expenditure, whatsoever on this account except service tax. Service Tax shall be payable extra as applicable on submission of documentary proof.

6.0 TERMS OF PAYMENT:

All payments for the aforesaid assignment shall be made to the consultant in Indian Rupees and on submission of invoices in quadruplicate to the Corporate Office / respective Power stations and on certification of satisfactory completion of related activity after 30 days from receipt of the Invoice. The payment will be made by Corporate Office / respective power stations.

GSECL reserves the right to increase or decrease the locations (depending upon the validity of the existing certificates) as well as the quantity of work and the payment shall be done on the actual work done only.

7.0 ASSIGNMENT :

The bidder shall not transfer, assign or sublet the work under this contract or any substantial part thereof to any other party.

8.0 CONFIDENTIALITY :

Confidentiality is committed and facilitated through signed commitments by personnel and procedures requiring limited / controlled distribution of the records and proper lockable facilities for archiving. The data collected and generated during the visit, the information contained in the various documents and terms of contract, or audit shall be kept confidential and shall be used for this work only and shall not be disclosed to anyone, without written permission of GSECL, Corporate office.

9.0 LIABILITY OF THE AGENCY / CONSULTANT :

The Consultant shall be further liable for the consequence of errors and omissions arising from the gross negligence on its part or on the part of its employees or associates or experts to the extent of the total contract value of this contract.

10.0 DISPUTE RESOLUTION, JURISDICTION AND GOVERNING LAW :

A. Except as otherwise specifically provided in the Contract all disputes concerning questions of fact arising under the contract shall be decided by the Chief Engineer (Gen.), Corporate Office / Power station Chief subject to a written appeal by the Consultant. The decision shall be final to the parties hereto.

B. Any disputes or difference including those considered as such by only one of the parties arising out of or in connection with the contract shall be to the extent possible settled amicably between the parties.

C. If amicable settlement cannot be reached then all disputed issues shall be settled by arbitration as provide in Arbitration clause below.

D. This contract / work shall be governed and construed in accordance with the laws of India.

E. All questions, disputes or differences arising under out of or in connection with the Tender / Contract if concluded shall be subject to the exclusive jurisdiction of the court of Vadodara, Gujarat under whose jurisdiction the place from which the tender / Acceptance of tender is issued, is situated.

F. Any dispute arising in relation to or as a consequence of this contract / work, which cannot be settled amicably through negotiations between the parties, shall be subject to the courts of Vadodara, India.

11.0 ARBITRATION :

All questions, disputes or differences, whatsoever, which may at any time arise between the parties to this contract in connection with the contract or any matter arising out of or in relation thereto, shall be referred to the Gujarat Public Works Contract Disputes Arbitration Tribunal as per the provision of the Gujarat Public Works Contracts Disputes Arbitration Tribunal Act, 1992.” The jurisdiction for arbitration shall be Vadodara only.

12.0 PATENTS & COPYRIGHTS : A. Agency shall hold harmless and indemnify the client from and against loss

damage and expenses arising from any claim for infringement of patent, copyright, design and other such rights in existence or to be granted on an application published prior to the completion of this work with respect to or arising out of use or supply of design, or any work in accordance with the designs, drawings or specifications furnished, approved or recommended by the agency.

B. The Agency shall promptly notify the client in writing if the Consultant has acquired knowledge of any patent under which a claim or suit for infringement could reasonably be brought because of the use by the client of any information, recommendation or specifications, services rendered by the Consultant.

C. The Consultant, in such case, shall forthwith, at its own cost make and furnish to the client alternative designs, drawings, specifications or recommendations avoid the same and without putting the Client to additional cost.

13.0 PENALTY :

The work shall be completed within the completion period as mentioned in the order, failing which penalty at the rate of 1 % per week subject to maximum of 10 % of order value shall be imposed. This excludes delay in the completion of the work due to unforeseen reasons beyond the control and without fault and negligence of the bidder including (but not restricted to) act of God or public anomie action of Government in its sovereign capacity, floods, epidemics, strikes, lockouts, fires and accidents. In the event of any of the aforesaid contingencies, GSECL may be promptly kept informed by the tenderer by Fax/Telex/Telegram followed by confirmation in writing with documentary proof within fifteen days of commencement and cessation of Force Majeure circumstances. Under such circumstances reasonable extension of time shall be granted by GSECL. Application for such extension must be made before the due date of completion of work.

14.0 TERMINATION :

14.1 TERMINATION FOR DEFAULT :

A. GSECL may without prejudice to any other remedy for breach of contract, by written notice of default sent to the Consultant, terminate the contract in whole or in part:

I. If the Consultant fails to deliver any of all the services within the time period(s) specified in the Contract or any extension thereof granted by GSECL in writing,

II. If the Consultant fails to perform any other obligation(s) under the contract, or

III. If the Consultant, in either of the above circumstances, does not correct its failure within a period of thirty (30) days after receipt of the default notice from GSECL.

B. In the event GSECL terminates the Contract in whole or in part, GSECL may get the services done, upon such terms and in such manner as it deems appropriate, similar to those not rendered, and the Consultant shall be liable to GSECL for any excess cost for such similar services. However, the Consultant shall continue the performance of the contract to the extent not terminated.

14.2 TERMINATION FOR INSOLVENCY :

GSECL may at any time terminate the Contract by giving written notice to the Consultant, without compensation to the Consultant, if the Consultant becomes bankrupt or otherwise insolvent, provided that such termination will not prejudice or affect any right or action or remedy which has occurred or will accrue thereafter to GSECL.

15.0 SUSPENSION OF OBLIGATION :

The obligations stipulated in this specification can only be suspended in the case of any particular work in the event of Force Majeure as defined in the Force Majeure clause or as the result of an agreement between the parties.

In the event of Force Majeure, neither of the Parties may be considered in default of its obligations under the terms and specifications.

16.0 FORCE MAJEURE :

Force Majeure is hereby defined as any cause which is beyond the control of the Consultant or GSECL as the case may be, which they could not have foreseen or with a reasonable amount of diligence could not have foreseen and which substantially affect the performance of contract, such as:

A. Natural phenomena including but not limited to floods, draughts, earthquake and epidemics.

B. Acts of any government domestic or foreign, including but not limited to war, declared or undeclared, priorities, guarantee, embargo, provided either party shall within fifteen days from the occurrence of such a cause notify the order in writing of such causes

17.0 HANDLING DOCUMENTS :

A. All the documents, drawings and specifications provided by GSECL in connection with the services to be provided by the Consultant shall be the property of GSECL. As an when required or upon termination of the Contract, the aforesaid documents, prepared specifically for this work (including originals) shall be handed over to GSECL before final acceptance or thereafter.

B. The Consultant shall take all necessary steps to ensure confidential handling of all matters pertaining to documents, specifications and any other information developed or acquired by him from GSECL under terms of the contract or in performance thereof.

C. The Consultant shall not prepare, articles or photographs for publication or speeches about the work in which GSECL has an interest, without prior written consent of GSECL.

D. The Consultant shall take necessary steps to ensure that all persons employed on any work in connection with this Contract have noticed that the Indian Official Secrets Act, 1923 (XIX of 1923) applies to them and shall continue to apply even after the execution of such work(s) under the contract.

18.0 ABENDONMENT OF WORK :

If any work included in the scope of specification to be done by the Consultant is abandoned or suspended for any cause or reasons which can not be attributed to the Consultant, payment shall be made on a pro rata basis for the work actually done and reported by him.

19.0 EARNEST MONEY DEPOSIT : The offer should be accompanied with requisite Earnest Money Deposit (EMD) of 1% of total estimated cost. Any offer not accompanied by Earnest Money Deposit (EMD) shall be disqualified and no further consideration shall be given to such offer. The bidders may note that no relaxation in this regard shall be made. The Earnest Money Deposit will be accepted in form of Demand Draft on any Nationalized Bank or IDBI / ICICI / HDFC / AXIS Bank / The Kalupur Commercial Co-Op. Bank Limited drawn in favour of “GUJARAT STATE ELECTRICITY CORPORATION LTD.” payable at VADODARA. The EMD should be attached with this technical bid. Cheques are not acceptable. Government or Semi-Government organizations, which are run departmentally & are not limited Companies, will be eligible for exemption from payment of E.M.D.

No interest will be allowed against payment of E.M.D. Documents towards payment of Earnest Money Deposit (EMD) may please be kept in the EMD envelope only. First the EMD envelope will be opened and if the documents towards payment of EMD are found OK then only Technical Bid envelope will be opened which may please be noted.

Tenders submitted without Earnest Money Deposit by the firms, who are not eligible for any exemption, will be rejected without entering in to further correspondence in this regard and no reference will also be made.

EMD will be forfeited (i) if the tender, which it covers, is withdrawn during the validity of the offer and (ii) the Tenderer fails to furnish / deposit the security deposit.

EMD of unsuccessful tenderers shall be released after finalization of contract order. Earnest Money Deposit of successful tenderer will be returned after receipt of Security Deposit.

20.0 SECURITY DEPOSIT :

Security Deposit will be 10 % of the order value and shall be paid at GSECL Corporate office, Vadodara within a week of receipt of Letter of Acceptance / Letter of Intent but before issue of detailed order. The Security Deposit will be accepted in the form of Demand Draft drawn on any Nationalized Bank or IDBI / ICICI / HDFC / AXIS Bank, The Kalupur Commercial Co-Op. Bank Ltd., in favour of Gujarat State Electricity Corporation Limited payable at Vadodara The Security Deposit can also be accepted in the form of Bank Guarantee drawn on any Nationalized Bank or IDBI / ICICI / HDFC / AXIS Bank, as per GSECL’s format. The Security Deposit in the form of Bank Guarantee issued by The Kalupur Commercial Co-Op. Bank Ltd., Kotak Mahindra Bank, IndusInd Bank, RBL Bank (The Ratnakar Bank Ltd.), Dena Gujarat Gramin Bank, Rajkot Nagarik Sahakari Bank Ltd., The Mehsana Urban Co-operative Bank Ltd., Nutan Nagarik Sahakari Bank, DCB Bank, FEDERAL Bank, South Indian Bank, and Saurashtra Gramin Bank as per GSECL’s format, will be accepted, only if it is issued before 31.03.2017. In case, if the Bank Guarantee is submitted, it should have a clear one time validity till the completion of the order in all respects and upto the last work carried out. Bank Guarantee for interim period will not be allowed. The detailed order can be issued only after timely receipt of SD in the form of Demand Draft. In case, if it is required to submit the SD in the form of Bank Guarantee, first the party should submit the DD, which can be later on converted to BG after placement of detailed order. Once the BG is submitted, the DD submitted against the SD can be released. If by any reasons the work period is extended then consulting firm should undertake to renew the Bank Guarantee atleast one month before the expiry of the validity failing which GSECL will be at liberty to encash the same. Security deposit / Bank Guarantee will be released after satisfactory completion of the total period of work.

21.0 EFECTIVE DATE OF CONTRACT : The contract shall be effective for all purposes and intents from the date of Letter of Award (Detailed Order).

22.0 INSURANCE :

Consultant will make arrangements at their own cost for insuring manpower deployed by them for the subject work. The GSECL will not be responsible for any loss or damage to Consultant or his manpower.

23.0 AGREEMENT :

As per GSECL’s rules, Consultant shall have to enter into agreement on non-judicial stamp paper of appropriate value (Rs.100.00) with Gujarat State Electricity Corporation Ltd. in GSECL’s prescribed format within one month of placement of order. The cost of stamp fee shall be borne by Consultant.

24.0 INDEMNIFICATION :

Consultant / Contractor shall fully indemnify, save harmless and defend Owner, the Owner's representative, each of their subsidiaries and affiliates and parent companies, and the directors, officers, agents and employees of each of them (the "Owner Indemnified Parties"), from and against any and all losses, costs, damages, injuries, liabilities, claims and causes of action, penalties and interest, including reasonable attorney's fees (collectively, the "Damages"), directly or indirectly arising out of or resulting from or related to claims by third parties arising out of or related to this contract or the plant, including any damage to or destruction of property of, or death of or bodily injury to, any person (whether such person is another Owner Indemnified Party or Contractor Indemnified Party or sub-Contractor or any other person unaffiliated with the plant, or employee of any thereof) to the extent resulting from Contractor's any sub-Contractor's fault, negligence, strict liability, alleged fault or intentional act or omission or other act or omission in the performance of the work, breach of this contract or any sub-contract otherwise relating to the plant, the work, this contract, any sub-contract, and including failure to comply with applicable laws or applicable permits, failure or mistake in paying taxes, or non-payment of amounts due in connection with work or equipment furnished to Contractor, or any sub-Contractor or any of their respective sub-Contractors or any other amounts payable by Contractor, or any sub-Contractor.

25.0 General terms and conditions :

25.1 - The consultant shall have to comply with all rules, regulations, laws and bylaws enforced by local and State Govt. and / or the organization / plant in whose premises the work has to be done. The consultant shall have to observe General Safety rules / Norms as per Annexure – A.

25.2 - The tender fees (Non-refundable) as notified in the tender notice shall invariably be paid through Demand Draft drawn in favour of “Gujarat State Electricity Corporation Limited”, payable at Vadodara. Alternatively, the tenderer can pay the tender fees in cash (at GSECL, CO, Vadodara – Cash Counter) and enclose the original Tender fee Money Receipt in the EMD envelope. The tender without the tender fees shall be rejected.

25.3 - The rates shall be quoted either A % above the estimate or & B % below the estimate. Item wise rates shall not be quoted.

25.4 - The offers shall be valid for a period of 120 days from the date of opening of technical bids. In case of finalization of the tender is likely to be delayed, the tenderer will be asked to extend the validity without change in the prices or any terms and conditions of the offer. If any change is made, in original or during the extended validity period, the offers will be liable for

outright rejection without entering into further correspondence in this regard.

25.5 - All the pages of the tender shall be signed and sealed by the tenderer. 25.6 - GSECL reserves the rights to reject any or all the tenders without

assigning any reasons thereof. 25.7 - Any correspondence or enquiry subsequent to opening of Technical

and Price bids is not desirable. If the same is indulged into, it will be considered for disqualifying the tender / offer.

25.8 - GSECL shall have the right to make any changes, additions / deletions or modifications in any terms / conditions of the tender or specifications as may be deemed necessary by GSECL at its sole discretion at any time before the due date of opening of the tender.

25.9 - No deviation from the scope of work by the party shall be allowed. 25.10 - Tenderer should specifically mention in the offer and should indicate in

Block letters the name, address, phone, mobile and fax numbers of the Partners / Proprietor / Directors who is / are the signing authority.

25.11 - The tenderer must give in his offer, the full name and address with phone, Fax, mobile number of the Authorized representative, who has been authorized by the tenderer to do all the liaison work with GSECL.

25.12 – The consultant has to collect the relevant technical data, drawings & information which are required for the work from internal documents & records available, at their own cost. However, other balance data or details if any, required for the work will be collected by the Consultant by their own arrangement and own cost.

25.13 - The members of the consulting team, who had been involved in our company as employee, shall not participate in the consulting for GSECL for the period of minimum two years.

25.14 - The consultant shall execute the work with all due care and skill and free from error or defects. Any documented defects shall be immediately corrected by the consultant.

25.15 - The Consultant will be responsible for any damages caused to the GSECL’s property by Consultant’s personnel during the execution of work. In such cases the Consultant shall arrange to repair / rectify or pay such amount to the GSECL as may be decided by the competent authority.

25.16 - The Consultant must at all times comply with safety rules & regulations of the TPS. The Consultant will be responsible for their working personnel for any injuries, mishap caused to them during the execution of work.

25.17 The Consultant shall have to obtain required insurances for their persons visiting the power plants for the subject work. GSECL will not pay any compensation for any accident / loss to the persons of the Consultant in such cases.

25.18 - If work is found unsatisfactory during the currency of the contract, the consultant shall promptly mobilize additional personnel for ensuring proper

progress and timely completion of the work under the contract at no extra cost to GSECL.

25.19 - If Consultant is not carrying out the work as per work order or instruction issued to them, GSECL will reserve the right to terminate the contract and get the work done by other Consultant at the risk and cost of the party.

25.20 - This consultancy must add value for money spent on it. 25.21 - The Management Representative of Corporate office / Respective

power station will be the coordinator for the above work. 25.22 - Any terms and conditions mutually agreed in writing shall form part of

this job contract. 25.23 - The certified copy of Lead Auditor certificate, experience certificate for

similar jobs carried out shall be submitted by the bidder as documentary evidence with offer.

25.24 - Bidder has to submit the hard copy of technical bid clearly mentioning “Technical bid” on top of the envelope. The required details shall also be submitted online. The Price bid shall be submitted online only. The hard copy of price bid shall not be considered for evaluation. The technical bids shall be opened of those parties whose online submission is found complete in all respect and EMD and Tender fees are paid. The online Price bid of the technically acceptable parties will be opened after opening of technical bid & acceptable technical scrutiny by GSECL.

25.25 - Conditional tender, over writing in the tender document and tender without Tender fee / EMD shall not be acceptable and shall be ignored.

25.26 - Tenders will be accepted by Registered post / Speed Post only and upto the prescribed time & date. GSECL does not take any responsibility for loss / late receipt / misplacement of tender in postal transit.

25.27 - Qualifying criteria for tenderer are prescribed in Schedule- C. 25.28 - GSECL reserves the right to distribute the work amongst more than

one bidder.

Annexure – A GENERAL SAFETY RULES / NORMS TO BE OBSERVED

1.0 Only qualified trained, experienced & conversant persons are to be engaged /

employed for execution of the work awarded to you.

2.0 Do not work or block any passages / walkways / staircases / lifts / platforms or any other approaches / roads leading to plants or its auxiliaries, on which there is movement or possibility of movement or traffic in emergency. In unavoidable circumstances if it is utmost necessary to carry out any change of this area, demarcate / declare area as unsafe by cordoning it using barricading tape with a suitable cautionary notice displayed on it or deploy a person to restrict the traffic on his route and divert it through other safe passages.

3.0 Prior to make use of power / electricity operated had tools / equipments / machineries like welding / cutting machine / hand grinder / hand drill etc; ensure for its safe operation and use it only if it is found safe to use. Do not use defective / unsafe / or improperly maintain equipments. The electrical power supply requires to run such equipments shall not be connected directly at their own but it shall be obtained through electrical department by their authorized person or under their supervision / guidance. The electrical section will provide temporary electrical connection up to consultant’s main board on which it is compulsory to install main switch, ELCB and fuses of adequate capacity. All such equipments shall invariably be earthed adequately to prevent electrical shock / sparking / short circuit. Power cord / cable used shall be of adequate capacity, joint less having earth wire.

4.0 It is compulsory to use standard make personal protective equipments while at work as per the job requirement.

5.0 The auditor(s) shall not interfere in routine plant activities / work except work assigned to them, leave their work jurisdiction and either in other area and temper / operate / disturb / the machineries / equipments / auxiliaries not concerned to their work. Auditor shall not allow their staff to sit or take rest at / near / below running plant / auxiliaries / systems / or any place which is dangerous / hazardous and prone to accident.

6.0 In case of noticing smoke or fire during their work execution, they shall make immediate efforts to extinguish / control it and simultaneously inform the fire brigade.

7.0 Auditor shall have to provide standard make (ISI approved) P.P.Es / safety gadgets suitable to give sufficient protection against hazards involved in their work / job, to their staff looking to the job requirement and insist / enforce them to use it compulsorily while at work.

8.0 Over and above this, auditor shall have observe, follow and comply with all safety related requirement / rules and regulations / norms and legal provisions lay down in various statues. Particularly the provisions of the Factories Act – 1948 and the Gujarat State Factories Rules – 1963 (amended up to date) shall be followed strictly. The auditor shall also obey the rules / regulations / instructions of the legal competent authority for safety requirement.

9.0 The Consultant must at all times comply with safety rules & regulations of the TPS. The Consultant will be responsible for their working personnel for any injuries, mishap caused to them during the execution of work. The Consultant shall have to obtain required insurances for their persons visiting the power plants for audit purpose.

10.0 No compensation will be paid by GSECL on account of any kind of accident / loss to person of auditing Consultant during working in the plant for carrying out audit study.

: S C H E D U L E - C (Pre-Qualification criteria) :

1. The bidder / consultant must have provided consultancy services for ISO / OHSAS

Documentation / its upgradation as per 2015 edition of ISO 9001 / 14001 for similar

type of industry having 600 or more employees. This should be supported with

documentary evidence.

2. The bidder / consultant / his team member must have successfully completed the

IRCA approved Lead Auditor course for ISO 9001:2015, ISO 14001:2015 and

OHSAS 18001:2007. This should be supported with documentary evidence.

3. This being the work for Power generating units, the consultant / team members

must have engineering background. The visiting team shall consist of atleast one

person with engineering background and Lead Auditor as per ISO 9001:2015 / ISO

14001:2015, looking to the technicality in the work of power stations. The party shall

submit the list of team members, their qualification and experience.

4. The bidder shall produce certificate / document as an evidence of experience of

having successfully completed similar works / satisfactorily carried out similar jobs

for minimum period of one year in last SEVEN years’ period in government / semi-

government / State Electricity Board / Corporation body, and should be either of

the following:

a. Three similar completed works costing not less than the amount equal to 40%

of the estimated cost,

b. Two similar completed works costing not less than the amount equal to 50%

of the estimated cost,

c. One similar completed works costing not less than the amount equal to 80% of

the estimated cost,

5. The bidder shall not be presently involved in ISO / OHSAS auditing at any location

under control of GSECL.

6. The bidder shall submit last 3 years Income tax returns and Service tax registration

number.

INSTRUCTIONS / GUIDE LINES TO THE BIDDERS

1. If any information provided by the tenderer is found to be concealed,

suppressed or incorrect at later date or during finalization of the inquiry or the tenderer withdraws their offer during finalization of the inquiry, the inquiry shall be liable to be rejected and party shall be debarred from executing any business with GSECL for the period of 3 years and the EMD of such tenderer shall be forfeited.

2. Validity of the offer should be at least for the period of 120 days from the date of opening of inquiry. Without this validity the Offers shall be rejected.

3. Any approach from the bidders, his representative or his agent to influence the decision on the Offer, officially or otherwise, shall render the Offer liable to be summarily rejected.

4. Erases and other changes shall be signed by the person / persons signing the Offer.

5. Offers of only those firms, who are either themselves technically capable and sound for providing such services and who give satisfactory evidence of such experience shall only be considered.

6. In the event, the successful bidder fails to accept the work order within specified time or withdraws his offer within the validity period or fails to accept the order for any reason whatsoever, then the earnest money deposited by the bidder shall be forfeited by GSECL.

7. Bidders should be in touch with the www.gseb.com & www.gsecl.in websites for information regarding revision / corrigendum / amendment in tender till due date of submission and thereafter no separate correspondence will be done in this regard.

8. Bidders should have adequately trained staff available for IMS (ISO 9001, ISO 14001 and OHSAS 18001) Consultation / Documentation works.

9. Offer should be submitted complete in all respects with all schedules, documents etc. of the tender document issued by GSECL.

10. Before submission of the Offer, Bidders are required to make themselves fully conversant with the scope of work, technical requirements and specifications, etc., so that no ambiguity arises on a latter date in this respect. If any clarification is required, the bidder may visit GSECL Corporate office before submitting the offer.

11. If the bidder finds discrepancies in or omissions from the specifications or other documents or if he is in doubt as to their meaning, he should at once intimate GSECL and obtain clarification in writing prior to submitting his Offer.

12. GSECL reserves the right to accept any offer based on its merits and GSECL is not bound to place the order with the party having submitted the lowest offer.
