INSTRUCTIONS FOR SUBMISSION OF E-TENDER FORM & DOCUMENTS

1. The bidders who are interested in bidding can download tender documents from

http:eproc.rajasthan.gov.in

2. Bidders who wish to participate in this tender will have to register on

http:eproc.rajasthan.gov.in, To participate in online tenders, Bidders will have to procure

Digital Signature Certificate ( type III) as per Information Technology Act-2000 using

which they can sign their electronic bids. Bidders can procure the same from any CCA

approved certifying agency, i.e. TCS, safecrypt, Ncode etc. or they may contact e-

procurement Cell, Department of IT & C, Government of Rajasthan for further

assistance. Bidders who already have a valid Digital certificate need not procure a new

Digital Certificate.

GENERAL TERMS AND CONDITIONS OF TENDER AND CONTRACT

Note: Tenderer should read these conditions carefully and comply strictly while uloading their tenders.

1. Pre Qualification Bid and Price Bid MUST be Uploaded online ,according to the directions given in these terms & conditions attached with pre qualification bid application .Every Applicant shall read carefully the terms and conditions before submitting the application. Only those who qualify in Pre Qualification bid will be considered for Price bid opening.

2. Any change in the constitution of the firm, etc., shall be notified forth with by the contractor in writing to the MD, Jaipur Dairy and such change shall not relive any former member of the firm, etc., from any liability under the contract.

3. No new partner/partners shall be accepted in the firm by the contractor in respect of the

contract unless he/they agree to abide by all its terms, conditions and deposit with the purchase committee a written agreement to this effect. The contractor’s receipt for acknowledgement or that of any partners subsequently accepted as above shall bind all of them and will be sufficient discharge for any of the purpose of the contract.

4. Sales Tax Registration and Clearance Certificate: No Dealer who is not registered under

the Sales Tax Act prevalent in the State where his business is located shall tender. The Sales Tax Registration Number should be quoted and certified copy of the same must be uploaded while uploading the tender form.

5. Rate shall be figures only online in excel format. The rates should mention element of the Rajasthan State Sales Tax and Central Sales / Excise Tax separately.

6. All rates quoted must be FOR destination and should include all incidental charges,

Central/Rajasthan Sales/ Excise Tax Except octori that should be shown separately.

7. Validity: Rates shall be valid for a period of 120 days from the date of opening of tender.

8. The approved supplier/ Tenderer shall be deemed to have carefully examined the conditions, specifications, size, make and drawings, etc., of the goods to be supplied, if he/ she has any doubts as to the meaning of any portion of these conditions or of the specification, drawing, etc., he shall, before signing the contract, refer the same to the designated officer of Jaipur Dairy (JZDUSS) and get clarifications.

9. The contractor shall not assign or sub-let contract or any substantial part thereof to any

other agency.

10. Specifications:

a) All varieties supplied shall strictly conform to the specification, trademark laid down in the tender form and wherever articles have been required according to PFA/ ISI/ Weights & measurements Act etc. specifications, those articles should conform strictly to those specifications. The desired specifications of Ice Creams, Packing Materials and other Ingredients are being uploaded.Tenderer will be fully responsible to comply all statuary laws.

b) Food operation license issued by FSSAI is mandatory before awarding any work order.

11. Inspection:

a) The Management of Jaipur Dairy (JZDUSS) or his authorized representative shall at

all reasonable time have access to the suppliers premises and shall have the power at all reasonable time to inspect and examine the materials and workmanship of the goods/equipment /machineries during manufacturing process or afterwards as may be decided. Every six months a test report of NABAL accredited laboratory testifying absence of heavy metals , pesticides , SPC, statures , clostridium, botullinum and E.coli would be required . The expenditure of cost of random sampling will be borne by tenderer.

b) The tenders shall furnish complete address of the premises of his office, goodown and

workshop where inspection can be made together with name and address of the person who is to be contacted for the purpose.

12. Rejection:

a) Articles not approved during inspection or testing shall be rejected and will have to be

replaced by the tenderer at his own cost within the time fixed by the concerned Incharge.

b) If, however, due to exigency of Jaipur Dairy (JZDUSS) work, such replacement, either

in whole or in part, is not considered feasible, the authorized representative after giving an opportunity to the tenderer of being heard, shall for reasons to be recorded, deduct a suitable amount from the approved rates. The deduction so made shall be final.

c) The rejected articles shall be removed by the tenderer within 15 days of intimation of

rejection, after which Jaipur Dairy (JZDUSS) shall not be responsible for any loss, shortage or damages and shall have the right to dispose of such articles as he thinks fit, at the tenderer's risk and on his account.As per FSSAI. ACT 2006.

13. The tenderer shall be responsible for the proper packing so as to avoid damage under

normal conditions of transport by sea, rail and road or air and delivery of the material in good condition to the consignee at destination. In the event of any loss, damage, breakage or leakage or any shortage the tenderer shall be liable to make good such loss

and shortage found at the checking/inspection of the materials by the consignee. No extra cost on such account shall be admissible.

14. The contract for the supply can be repudiated at any time by the Jaipur Dairy (JZDUSS),

if the supplies are not made to his satisfaction after giving an opportunity to the tenderer of being heard and recording of the reasons for repudiation.

15. Direct or indirect canvassing on the part of the tenderer or his representative will be a

disqualification. 16. Delivery period: The tenderer whose tender is accepted shall arrange supplies within a

stipulated period from the date of supply order/by JAIPUR DAIRY (JZDUSS),JAIPUR as mentioned in the purchase order.

17. Earnest Money:

a) Tender shall be accompanied by an earnest money of Rs.1,00,000/, without which tenders will not be considered. The earnest money amount should be deposited in either of the following forms in favor of Jaipur Zila Dugdh Utpadak Sahakari Sangh Ltd., Jaipur.

• Bank Drafts/Bankers Cheque of the scheduled Bank. The tender accompanied by cheque or any other mode of payment instead of DD or Banker's cheque towards EM will not be considered.

b) Refund of earnest money: The earnest money of unsuccessful tenderer shall be

refunded soon after final acceptance of tender.

c) The earnest money/security deposit lying with the Jaipur Dairy (JZDUSS) in respect of other tenders awaiting approval or rejected or on account of contracts being completed will not be adjusted towards earnest money/security money for the fresh tenders. The earnest money may however, be taken into consideration in case tenders are re-invited.

18. Forfeiture of earnest money: The earnest money will be forfeited in the following cases:

a) When tenderer withdraws or modifies the offer after opening of tender but before acceptance of tender.

b) When tenderer does not execute the agreement if any, prescribed within the specified

time.

c) When the tenderer does not deposit the security money after the supply order is given.

d) When he fails to commence the supply as per supply order within the time prescribed.

19. Agreement and security deposit:

I. Successful tenderer will have to execute an agreement within a period of 15 days of receipt of order and EMD will be adjusted as security amount of Rs. 100000/- (Rs. One Lac only.)

II. No interest will be paid by the department on the security money.

III. The security money shall be refunded within one month of the expiry of tender

after submission of ‘No dues Certificate’.

IV. Forfeiture of Security Deposit: Security amount in full or part may be forfeited in the following cases:-

a) When any terms and conditions of the contract are breached. b) When the tenderer fails to make complete supply satisfactorily.

c) Notice of reasonable time will be given in case of forfeiture of security

deposit. The decision of the Purchase Officer in this regard shall be final.

V. The expenses of completing and stamping the agreement shall be paid by the tenderer and the department shall be borne by the tenderer as per Govt. notification.

20. Performance Bank Guarantee: The supplier shall have to submit an irrevocable bank

guarantee of a period of at least Two and a Half Year tenure of any Nationalized Bank of Rs. 200000/- in a prescribed format, effective for the period of contract. The Bank Guarantee can be forfeited/revoked by Jaipur Dairy in case the Contractor/ supplier fails to provide satisfactory services during the contract period.

21. Payment shall be made on fortnightly basis after required quantity & quality verification

of Party Bills. 22. If a Tenderer imposes conditions, which are in addition to or in conflict with the

conditions mentioned herein, his tender is liable to summary rejection. In any case none of such conditions will be deemed to have been accepted unless specifically mentioned in the letter of acceptance of tender issued.

23. The Managing Director, Jaipur Zila Dugdh Utpadak Sahakari Sangh Ltd., Jaipur reserves

the right to accept any tender not necessarily the lowest, reject any tender without assigning any reasons.

24. If any dispute aries out of the contract with regard to the interpretation, meaning and

breach of the terms of the contract, the matter shall be referred to by the Parties to the Chairman of JZDUSS Ltd., Jaipur, who may appoint any officer as the Sole Arbitrator of the dispute who will not be related to this contract and whose decision shall be final.

25. All legal proceedings, if necessary aries to institute may by any of the parties (JAIPUR

DAIRY (JZDUSS) or Contractor) shall have to be lodged in courts situated in Jaipur and not elsewhere.

26. Income tax, Vat or any Govt. levy (wherever applicable) shall be deducted at source as

per rules. 27. Successful Tenderer have become nominal member of JZDUSS Ltd. by paying required

membership fee (one time for tender period) as per act. 28. Distributors who are in legal dispute or cases are pending in courts with Jaipur Dairy are

not eligible for this tender (give undertaking on firms letter head) 29. There should not be any criminal case pending with tender or his partner’s if

partnership firm.(undertaking on firms letter head)

SPECIAL TERMS & CONDITIONS

1. This contract will be effective for a period of two years, which is further extendable for one year based on satisfactory performance and mutual consent.

2. The Manufacturer shall store Ice Cream, Bars and Candies at the required temperature of

– 20Deg C+/- 2 Deg C before delivery to JAIPUR DAIRY (JZDUSS) LTD. In case of failure on in the event of Ice Cream bars and candies spoiled, the whole lot or any part of the lot shall be rejected by JAIPUR DAIRY (JZDUSS) LTD.

3. In case of LOSS of business to JAIPUR DAIRY (JZDUSS) due to non-supply of the

product and/or supply of sub-standard product by the Manufacturer resulting in rejection of the product by JAIPUR DAIRY (JZDUSS) LTD. and total cost of the quantity of Ice Cream, Bars and Candies indented by JAIPUR DAIRY (JZDUSS) LTD. shall be recovered from the Manufacturer. Shelf life of all ice-cream will be minimum six months.

4. The Manufacturer shall have to store the samples of Ice Cream, bars and candies in

respect or each batch in deep freezer for a period equal to the Shelf Life of the product in order to ensure the quality and traceability of the said batch as per the laid down standards in the Quality Management Systems (IS 9001:2000) to be followed by the Manufacturer.

5. The JAIPUR DAIRY (JZDUSS) LTD. shall pay to the Manufacturer the price inclusive

of cost of raw material, packaging, manufacturing, deep-freezing and all incidental charges FOR price Jaipur Dairy (JZDUSS). The prices shall be inclusive of excise duty, if applicable, and Sales Tax . If at present excise duty payable by Manufacturer is NIL, then same shall not be considered. In case excise duty becomes applicable at a later date, the same shall be reimbursed/paid by JAIPUR DAIRY (JZDUSS) LTD. In case there is any change in tax structure by Govt. of Rajasthan/ Govt. of India, the payment/ benefit of the same shall be borne/passed to JAIPUR DAIRY (JZDUSS) LTD. The delivery for Jaipur Dairy (JZDUSS) shall be ex-dairy dock. In case other sister milk unions desires of purchase of ice-cream, the same shall be made available at the same rates as applicable to Jaipur dairy but Ex-plant of manufacturer as per mutually agreed terms and conditions. The net prices shall not be increased or decreased during the currency of this agreement. However, the initial cost towards development and processing for printing of packaging materials shall be reimbursed on actual on production of proof by JAIPUR DAIRY (JZDUSS) LTD. to the Manufacturer.

6. The manufacturer shall deliver the Ice Cream, bars and candies FOR JAIPUR DAIRY

(JZDUSS) LTD. in refrigerated vehicle in a hygienic condition at temperature below minus 15ºC at Jaipur or at any other place so specified by JAIPUR DAIRY (JZDUSS) LTD at Jaipur.

7. The Manufacturer shall supply Ice Cream, bars and candies as required by JAIPUR

DAIRY (JZDUSS) LTD in Jaipur. against the invoice containing all details regarding

quantity and quality of the said product. A certificate confirming that Ice Cream, bars and candies meets all the statutory requirements shall accompany for each batch of the consignment so supplied to JAIPUR DAIRY (JZDUSS) LTD.

8. The Manufacturer undertakes the full responsibility of for compliance of the

provisions/requirement of the Prevention of Food Adulteration Act, 1954, Standard of Weights and Measures Act, 1976, and the Rules framed there-under Applicable from time to time and any other statutory and local rules, bye-laws etc as applicable to the Manufacturer from time to time and he shall be responsible and accountable and any violation of the same.

9. The Manufacturer shall ensure the quality of Ice Cream, bars & candies as per the

specifications of the JAIPUR DAIRY (JZDUSS) LTD. (Annexure-2) as approved by Jaipur dairy, from packaging to consumption Complaints, if any, at the consumer's end shall be the responsibility of the Manufacturer. In case there are complaints of bad quality of Ice Cream. bars & candies sold by the Manufacturer, the Manufacturer shall have to make replacements to the customers at its own cost in such cases. However, in case replacements has been give by the JAIPUR DAIRY (JZDUSS) LTD., The JAIPUR DAIRY (JZDUSS) LTD. shall not make payment towards the cost of Ice Cream, bars & candies so replaced to the Manufacturer. The decision of JAIPUR DAIRY (JZDUSS) LTD. as to whether there is any deterioration in the quality of Ice Cream, bars & candies sold by the manufacturer shall be final and binding on the Manufacturer. The Manufacturer shall also be responsible for violations of the provisions of PFA Act or Standard or Weights & Measures Act and the rules framed thereunder or any other statutory requirements.

10. It shall be the liability and responsibility of the manufacturer to comply with all statutory

and/or administrative requirements in relation to or concerning the employment of staff in connection with manufacturing, packing and transporting Ice Cream, bars & candies. All such employees so deployed in this regard shall not be the employees of JAIPUR DAIRY (JZDUSS) LTD. either directly or indirectly. There is no privity of contract between said such staff and JAIPUR DAIRY (JZDUSS LTD) . and they shall not be entitled to claim or recover any benefits – monetary or otherwise whatsoever on any account from JAIPUR DAIRY (JZDUSS) LTD. nor JAIPUR DAIRY (JZDUSS) LTD. shall be liable to make any payment in respect of such claim.

11. The JAIPUR DAIRY (JZDUSS) LTD. shall send indents at least 3 days in advance for

the schedule of supply of Ice Cream, bars & candies required from the Manufacturer. The consignment delivery shall in refrigerated van. The delivery shall be taken by the JAIPUR DAIRY (JZDUSS) LTD. In case the Manufacturer fails to deliver the indented quantity of Ice Cream, bars & candies the JAIPUR DAIRY (JZDUSS) LTD. shall have a right to impose penalty up to the total cost of quantity of product short supplied by the Manufacturer.

12. The Manufacturer shall have to procure/arrange raw material and packing materials for

manufacturing and packing of Ice Cream, Bars & Candies of a specified standard and

stores the same in proper hygienic and required condition. The raw materials should strictly comply with all the regulations and standards under FSSA Act.2006. All these activities shall be documented on daily basis consignment-wise by Manufacturer.

13. The Manufacturer shall exercise all steps to ensure that the raw material procured for

manufacturing Ice Cream, bars & candies is free from preservatives and adulterants. The presence of pesticides, aflatoxin and heavy metals shall at no time exceed the limits specified under FSSA Act.2006. The Manufacture shall maintain a record to this effect and shall be responsible for any variation in this respect.

14. If needed, Milk, Dairy Whitener, White Butter & Skimmed Milk Powder can be supplied

by Jaipur Dairy (JZDUSS) at the prevailing Inter Unit / RMG/Distributor rates to manufacturer

15. The Manufacturer shall have to follow "Good Manufacturer Practices" and also to

maintain proper sanitary and hygienic conditions in the manufacture of Ice Cream, bars and candies/ or any other item. The Manufacturer shall comply with the requirements under ISO-9001: 2008 and IS: 15000 (HACCP)

16. The Manufacturer shall keep all its machinery and fixtures in proper conditions at all

times of that the regular and uninterrupted supply of Ice Cream, bars and candies in maintained.

17. If the Manufacture commits breach of any of the terms and conditions of this notice,

Jaipur Dairy will have right to terminate/ suspend the contract without assigning any reason and / or can get the IceCream manufactured from any other manufacturer at the risk and cost of Manufacturer.

18. The Packing materials of the JAIPUR DAIRY (JZDUSS) LTD. brand name shall be kept

in safe custody and the Manufacturer to ensure that it shall not be misused or spoiled at any time in the event of termination of the agreement howsoever occasioned but nor related to the non-performance of the Manufacture, the entire packing materials will be handed over to the JAIPUR DAIRY (JZDUSS) LTD. at zero cost.

19. The basic price shall not be increased or decresed during the first year of agreement. Thereafter if the total impact of Increase of price of raw material that is of S.N.F., Milk fat and sugar etc. is more than 10 % as compare to the price of these raw materials of at the time of opening of tender form (pre qualification bid ) , 55 % of the additional escalation that is above 10 % in the price of raw materials would be compensated at actual basis by the Jaipur Dairy. For this purpose prevailing inter unit price of SMP and Prevailing distributor price of White Butter and prevailing purchase price of sugar of JAipur dairy would be taken into consideration. For the purpose of reckoning the increase in price of raw material , constituents of ice-cream would be considered as minimum fat 12% , Sugar 13 % , and SNF 12 % .The rate of above items of Jaipur dairy as on date ………… of SMP Rs. ……. Per Kg (96 % SNF in white butter Rs……/kg (84% fat) and that of sugar Rs. ……/kg would be considered as references rates. In case

of such an eventuality this calculation would be done on quarterly basis. On the basis of rates prevailing of the day for deciding the price escalation due for next quarter. Similarly the reverse would also be done in case the prices of these constituents decreases.

20. The JAIPUR DAIRY (JZDUSS) LTD. shall pay to the Manufacturer the amount payable

in respect of the Ice Cream, bars & candies so supplied by way of A/c Payee Bank Cheque and/or A/c Payee Bank Draft after adjustment of amount payable to the JAIPUR DAIRY (JZDUSS) LTD. by the Manufacturer as given below:

Value of Ice Cream, bars & Candies supplied to the JAIPUR DAIRY (JZDUSS) LTD. in a consignment.

Within fifteen working days of the JAIPUR DAIRY (JZDUSS) LTD. receiving the bill (in duplicate) along with receipt of goods supplied provided the Bill is found to be in order

Note:

a) Working days means the working days in respect of the administrative department of the JAIPUR DAIRY (JZDUSS) LTD..

b) In case the bill or bills so received from the Manufacturer is/are not found to be in

order, JAIPUR DAIRY (JZDUSS) LTD. shall give an adhoc payment of about 80% of the amount of bill/bills subject to any adjustment in future.

21. Jaipur dairy may review the tender rate of successful tender after two year in the interest of consumers in Jaipur dairy and to maintain smooth supply of ice-cream if there is phenomenon change in rate of electricity , transportion and wages of labour and other related components affecting cost of ice-cream manufacturing.

22. In case of emergency and non availability of any type of packing material manufacture may be allowed to used alternate food grade packing material after the prior permission of Jaipur Dairy.

23. All the packaging material of ice-cream must contain food safety license no. , manufactured for JZDUSS Ltd. Jaipur . Manufacurer will have a test record of coliform , staphylococcus auras, L.monocystogena etc.

The corrugated boxes shall be manufactured in the shape of rectangular parallelepiped. The blanks shall be properly creased or slotted so that after assembly no holes shall be left at the corners. The flaps on the boxes shall be capable of being folded at an angle of 180 degree along the line of creasing without fracture of board of facing. TECHNICAL 1. Lap Joints: The manufacturers joint shall be made by a lap. The width of lap shall not be

less than 30 mm. The joints shall be stapled with 3 staples with 1 x 3 in case of rotary cutting CFC and pasted in case of dye cutting CFC.
