ExecutivesummaryThisdocumentpresentstheapproachtolicensingIntellectualPropertyRights(IPR)arrangementsasprovidedbytheEDISONproject,orgrantedtotheprojectbythirdparties.SeveralcategoriesofIPRarrangements are identified, and applicable principles for assigning IPR licenses defined. TheseprinciplesprovideguidancefortheprojectpartnerswhendevelopingIPRlicenses.Threekindsoflicensesarebeingdiscussed.First, the EDISON project Consortium internal licenses as already established in the EDISON
ConsortiumAgreementdescribingtheprojectpartners’ownershipofresultsandaccessrightstoeachone’sbackground(pre-existingIPR).
Second,thelicensesprovidedbyEDISONtothirdpartiesinordertoassistthemwiththedevelopingEDISONframeworkandICTenvironmentforskillingandcertifyingdatascientists.
Third,licensesprovidedbythirdpartiestoEDISONanditspartners.TheselatterincludeuniversitiesprovidinginformationfortheEDISONprojectpartners,contentfromthirdpartiestobesharedthroughEDISONmechanisms,andfunctionalitiesofferedbythirdpartiesforoperatingEDISONservices.
Inthisdocument,thesecondandthirdcategoryofIPRarrangementsareanalysed,specificallywheredefinedlicensesarerequiredtoestablishownershipwithlicenseconditionsandrestrictionsonuse.Attention is for assigning IPRafter theendof the currentproject for the services thatneed tobecontinuedandsustained.
AsforlicensesprovidedbyEDISONtothirdparties,thefollowingaspectsarediscussed.• Acknowledgingcontributedcommunityefforts toEDISON.These includethedevelopmentof
the EDISON Competences Framework, Body of Knowledge, the Model Curriculum, and theestablishmentoftheTrainingMarketplace.
• Licenses to outsource EDISON value-added serviceswith respect to the EDISON CommunityPortal(namedDataSciencePro),andtheCertificationscheme.
AsforlicensesprovidedbythirdpartiestoEDISON,thediscussedissuesarethefollowing.• ExternaluniversitiesprovidinginformationtoassisttheEDISONprojectpartnersintheirwork.• ContentfromthirdpartiestobesharedthroughEDISONservicesforusers• FunctionalitiesofferedbythirdpartiesforoperatingEDISONservices
ThisendsupinadraftRegisterofLicenses.Sincemostoftheselicensesarestillbeingdiscussedanddeveloped,thecurrentdraftRegisterofLicensesislimitedandwillexpandinthesecondhalfoftheproject. 1 IntroductionThisdeliverablepresentsaninitialoverview(Register)ofIntellectualPropertyRights(IPR)licensesasprovided by the EDISON project, or granted to the project by third parties. IPR management isrecognisedbytheconsortiumtobeveryimportantforthesuccessofEDISON,andaspecifictaskwasforeseen in order to establish the principles for IPRmanagement in the project, for facilities andcontent provided by third parties, and to facilitate IPR arrangements and agreements with andamongthirdparties.The project is developing various reports with information, analysis, and recommended plans fordata science curricula, as well as facilities for sharing educational material and methods ofuniversitiesandappropriateexpertorganisations.Thesereportsandfacilitieswillbecomeavailablein the public domain under an appropriate Creative Common license from EDISON (partners).Information from third parties, as formaterials and educationalmethods of universities that theywanttoshareamongstthem,arenotownedbytheprojectandrequiretargeted IPRmanagementwhen shared through the project facilities (i.e. registries). In more detail, the task includes thefollowingactivities:
• Preparation of a reportwith IPR principles to be applied for both projectmaterials and thirdpartymaterials, and to be approved by the projectmanagement committee. The report alsocoverstheapplicableprocessestoestablishthelicenseschemesandindividualIPRlicenses.
• Information delivery to IPR owners on how the project will run its IPR policy, or assist thirdparties when they want to share materials. Establish IPR licenses and promote legalinteroperability.
• MaintenanceofaregistryoftheIPRlicensesownedbytheprojectorthirdpartylicensestobeenforcedbytheproject.
• Monitoring of the use of licensedmaterials and actwhen required if the principleswould bejeopardised.
Thedeliverableisorganizedasfollows.
Section 2 describes the categories of relevant IPR licenses in the project, and the principles to beappliedineachofthesecategories.
Section3defineshow IPRarrangementshavedeveloped todateandhow thirdpartieshavebeeninformedasappropriate.
Section4isthecurrentRegisterofIPRlicences.
Section5presentsapreliminaryoutlook toD1.3:Reportabout themechanisms to sustain the IPRmanagement(DuebytheendoftheprojectinMonth24).

2 CategoriesoflicensesandassociatedprinciplesThissectiondescribesthecategoriesofrelevantIPRlicensesintheproject,andtheprinciplestobeapplied in each of these categories. Following this, the next section 3 describes how IPRarrangementshavedevelopedtodateandhowthirdpartieshavebeeninformedasappropriate.
2.1Definitions1IP (Intellectual Property) is any form of original creation that can be bought, sold or otherwiseexploited.Thefourmaintypesof IParepatents,trademarks,designsandcopyright. InEDISONthetypesoftrademarksandofcopyrightapply,andprimarilytosecurethatdevelopedwork(content)isopenandaccessible,andisusedincorrectwayswhileattributingownershipandauthorship.
IPR(IntellectualPropertyRights)isalegalframeworkformanagingIP,althoughlegalarrangementsarenotsimilarfordifferentcountries.Nevertheless,therearesomecommonminimalrequirementstoassignIPRandlicensestoexploitIPR.InmostjurisdictionsavalidIPassignmentmustataminimumincludethefollowing:
• IdentificationoftheParties-identifiesthecontractasanintellectualpropertyassignmentagreementandidentifiestheAssignorandAssignee.TheAssignoristhepartythatistransferring(“assigning”)itsownershipinterestandtheAssigneeisthepartyreceivingit.
• Recitals-definesthecontextoftheassignmentandprovidekeybackgroundinformationaboutthepartiesandincludesastatementoftheintenttotransferrightsinintellectualproperty.
• Definitions-containsrelevantgeneralandtechnicaltermsusedthroughoutthecontractinordertoguaranteethatthesetermswillhavethesamemeaningtothepartiesoftheagreement.
• Assignmentofintellectualproperty-containsacompleteandcleardescriptionofthepropertybeingtransferred;detailsexactlytheintellectualproperty,includinganyrelevantapplicationsorregistrationsforintellectualpropertyprotectionand“goodwill”(businessreputation)soldwiththeproperty;“goodwill”istheintangiblevalueofanassetthatreflectsthecommercialvalueofthisasset(e.g.trademarkreputationanddistinctivenessamongcustomers).Inthecaseofcomplexassignmentagreements,thisclausemayalsorefertoadescriptionoftheassetsbeingtransferred,whichwillbeannexedtotheagreement.
• ObligationsoftheParties-itisimportanttoclearlydefinetheobligationsofthepartiesinordertoavoidanysubsequentconflictwithregardstotheextentoftheseobligations;theexactdefinitionandextentoftheparties’obligationsdependonthetypeofintellectualpropertytransferred;howeverthemainobligationoftheAssignoristotransfertheownershipoftheintellectualpropertyassetsandthemainobligationoftheAssigneeistopaythealumpsum(royalties)agreed;otherobligationsarethoserelatedtotheAssignor’srightstotheintellectualpropertytransferred-theguaranteethatheownstheIP.
• Liabilityandwarrantiesprovisions-relatestotheassignor’srightandauthoritytoenterintosuchanagreement;forexampletheguaranteethatheistheexclusiveownerofallrights,titleandinterestintheIPandthattheIPisvalidandsubsisting;thattheIPtransferreddoesnotinfringetherightsofthirdparties.
• Indemnification-adescriptionofeachparty’sfutureobligations,iftheintellectualpropertyisfoundtoinfringeonathirdparty’srights.
• Paymentprovisions–anyapplicablepriceandothercommercialterms.• Termoftheagreement-identifiestheeffectivedateoftheassignment.• Applicablelawandjurisdiction-whichnationallawwillapplyintheeventthataconflictarises;identification
ofacompetentcourtoranarbitration/mediationbodytowhichadisputecouldbereferredisalsoimportant.

RegisterofIPrightsProving thevalidityof the IP rights involves the identificationofcreatorsand theestablishmentofownershiprights.Forthispurpose,EDISONiskeepingallrecords.Whereappropriate,ifIPtitlesarenot automatic and have to be granted by competent authorities, it will be considered to registerintangibleassetsasintellectualIPRwiththeseauthorities.Licenseisapermissionorasetofpermissionsregardingwhateverislicensed.Whenanorganisationis givena license todo something, it receives thepermission todo it. Ingeneral, the schemeofalicenceagreementissimple:thelicensor(ownerofIPrights)allowsthelicenseetouseitsIPrights.The licensee may use the licensor's IP rights to the extent established in the licence agreement;however,theformalIPrightsremainwiththelicensor.Licensescanbeexclusiveornon-exclusive
CreativeCommonsLicenseisacopyrightlicencethatallowstheuser,whoisnotthecopyrightownerofawork,todistributefreelyanotherwisecopyrightedwork.Inthiscontext,aCCLworksmutuallyforboththecopyrightownerandtheend-user,sinceitgivestheauthorthefreedomtoallowpeopletoshare,use,andbuilduponaworkthathe/shehascreatedandprotectstheusersfromapossiblecopyrightinfringementclaim.ThereareseveraltypesofCCLsandtheusershavetocomplywiththetermsofdistributionposedbythecopyrightownerandindicatedbytherespectiveCCL,otherwisetheycouldbeheldliableforcopyrightinfringement.TheEDISONprojectisfollowingtheprinciplesofCreativeCommonsforitsworkontheCompetenceFramework,theBodyofKnowledge,andModelCurricula.Likely,themodelofCCBY-SA4.0willbethebasisoflicenses(https://creativecommons.org/licenses/by-sa/4.0/).
2.2EDISONprojectConsortiuminternallicenses
The EDISON Consortium Agreement (APPENDIX A) describes the project partners’ ownership ofresults and access rights to each one’s background (pre-existing IPR). In order to carry out theEDISON workplan, consortium partners are developing and sharing know-how and technologies,including,butnotlimitedtoalgorithms,tools,experiencesandmethodologies.Know-howexchangedbetween the partners may include, in certain cases, background knowledge. The partners are inagreement on the principles for themanagement of IPR, as summarized below (from the projectdescription):
• Access Rights to IP during the project: Access rights to Project results and Background needed for theexecutionoftheProjectshallbedeemedgranted,onaroyaltyfreebasis,asofthedateoftheEUContractenteringintoforce.Methodology,documents,benchmarksandstudieswillbeavailabletoall;whiletoolsandalgorithmsdevelopedbythepartnersmaybeavailableatthediscretionandtermsoftheirrespectiveowners. In spite of the latter restriction, the partners intend to pursue publications of the underlyingprinciples of the technologies embodied in their tools in the appropriate academic conferences. TheseAccessRightstoProjectresultsandBackgroundshallbeusedonly forthepurposesforwhichtheyhavebeengrantedandonlyforaslongasitisnecessaryforthosepurposes.ReportsaboutscientificresultsthatarepartoftheprojectdeliverablestotheEUwillbeavailableopenlyontheprojectWebsite.
• IPOwnership:Project results IP shall beownedby theprojectpartner carryingout thework leading tosuchProjectresultsIP.AsmultipleEDISONresults(Seesections1.1and3.1)willbeactuallycreatedjointlybytwoormoreprojectpartnersandtheresultingIPshallbeofsuchnaturethatthecontributionofeachprojectpartnercannotdistinguishedfromthatother,suchworkwillbejointlyownedbythecontributingprojectpartners.Thesameshallapplyif,inthecourseofcarryingoutworkontheproject,aninventionismadehavingtwoormorecontributingpartiescontributingtoit,andifthefeaturesofsuchjointinventionare such that it is not possible to separate them for the purpose of applying for, obtaining and/or

maintainingtherelevantpatentprotectionoranyotherintellectualpropertyrightonanindividualprojectpartnerbasis.
• Confidentiality: During the term of the Project and for a thereafter period to be fixed in the CA, thePartnersshalltreatasconfidentialanyinformationwhichisdesignatedasproprietaryand/orconfidentialbythedisclosingPartnerbyanappropriatestamp,legendoranyothernoticeinwriting,orwhendisclosedorally,hasbeenidentifiedasconfidentialatthetimeofdisclosureandhasbeenpromptlyconfirmedanddesignatedinwritingasconfidentialinformationbythedisclosingParty.
• Publications: In order to make public information owned by one partner, its prior explicit consent (inwritten,beinge-mailvalid if soagreed)willalwaysbenecessary.For theavoidanceofdoubt it isstatedthat no Partner shall have the right to publish or allow thepublishing of data,which constitute Projectresults, Backgroundor confidential information of another Party evenwhere such data is amalgamatedwithsuchfirstParty’sProjectresults,Backgroundorotherinformation,documentormaterial.
2.3LicensesprovidedbyEDISONtothirdpartiesThekeyEDISONobjectivesareprovidingaframeworkandanICTenvironmentforskillingandcertifyingdatascientists’expertiseforgraduates,practitionersandresearchersthroughouttheircareers.ThisissupportedbyasustainableeducationmodelforDataScienceandDataIntensivetechnologiesofferedbyadedicatedon-linetool.Clearly,itisimperativethatoutreachandsupportforusersisessentialtorealizetheseobjectives.Asetofappropriatelicensesisthemechanismtopromoteopenaccessinaneffectiveandcontrolledway,whilesecuringqualitybyengagingcapablethirdparties.Thefollowingtwocategoriesoflicensesareconcludedandpartlystillconsidered.2.3.1Licensestoacknowledgecommunityefforts
The above-mentioned framework for skilling and certifying data scientists’ expertise forgraduates,practitionersandresearchers isbuildingoncurrentexpertiseandexperienceofagrowing number of universities and educators. Apart from the partner organisations in theEDISONprojectconsortium,thisgroupofexpertsisgrowingwithotherorganisationsfromtheeducationalcommunity,andtheyareinvolvedinthedevelopmentofEDISONservicesfornewinitiativesinuniversitiesandotherorganisationsthroughoutEurope.Itisineachone’sinterestthatthecontentofEDISONservicesisdirectlyaccessiblewithoutrestrictionswhilerecognizingtheinputofEDISONpartnersaswelltheexternalcommunity.Currently,twolicensesbasedonCreativeCommonsareidentifiedforimplementation.
2.3.1.1EDISONCompetencesFramework;BodyofKnowledge;ModelCurriculumThese are the core of EDISON services providing educational organisations anadvancedandcommonreferencefordevelopingtheirspecializedtrainingofferingstostudentsandpractitioners.Thisincludesdetailsaboutcurricula,coursestructures,andeducationalmaterialssharedbyuniversitiesandothereducationalorganisations.
2.3.1.2TrainingMarketplaceTheaboveservicesmustbecomplementedbytrainingmaterial,forexamplebigdata,softwaretools,andcomputationalcapacity.ThedevelopingTrainingMarketplaceisacatalogueofavailablecourses.Thesemay includeVirtual Labs–hands-on labs),alsolinkedtooneormorecourses.EachofthesecoursesandVirtualLabshavetheirownownership and associate license, and will be included in a CC-BY-SA umbrella (usergeneratedcontent,asinhttps://creativecommons.org/licenses/by-sa/2.0/)
2.3.2LicensestooutsourceEDISONvalue-addedservices
The above (2.3.1)mentioned information and services depending on community effortswillreachusers throughdifferentmechanismsandwherepossibleason-lineenvironments.Twocategoriesofmechanismsareinstudyandindevelopmentwithrelatedlicences:

- The EDISON promoted Community Portal “DataSciencePro”,with services such as theTrainingMarketplace
- TheCertificationschemeThemaintenanceandupdatingof thesemechanisms,aswellashelpandsupportdesks,willrequire continued efforts and thus costs after the end of the current EDISON project. Thisimpliesthatthemechanismsandserviceswillbeoutsourcedtotheprofessionalorganisationscapabletoprovidetheseandwithsustainedquality.SuchorganisationscanbecurrentEDISONpartners or other ones. Following the EDISON Consortium Agreement this implies timelydecisions of the General Assembly on rights and conditions (outsourcing licenses). Theselicenseswillaffect theorganisations takingupoutsourcedresponsibilities,aswell thesupplycompaniesofferingsupportfunctions.Currently,thisisbeingexploredleadingtonegotiationswithselectedorganisations.
2.4LicensesprovidedbythirdpartiestoEDISONanditspartners 2.4.1Universitiesprovidinginformationforonlythecurrentprojectpartners
TheEDISONdevelopmentswithrespecttotheCF,theBoK,andModelCurriculaarebenefittingfromtheexpertiseandexperienceof a rangeoforganizational sectors, suchasuniversities, companies,standard-setting bodies, and professional networks (such as the RDA, CODATA, etc.). Relevantinformation isprimarilydrawn frompubliclyopen resources, suchaswebpagesanddownloadabledocuments. Not all expertise and information is accessible as open source such as individualexpertise or educationalmaterials such as readers. SpecificMemorandums ofUnderstandingwithrelevant organisations will give the EDISON partner(s) rights to use the information for onlydevelopmentworkinEDISON.
2.4.2ContentfromthirdpartiestobesharedthroughEDISONmechanisms
EDISONispromotingthatuniversitiesinteractandsharetheirmaterials(courseinformation,readers,practical exercises) and educational methods. Bringing together the European “Champion”universities who are already running data science bachelors/masters programmes, provides aplatform for their trainers and educators who extol the virtues and benefits of the EDISONFrameworkintermsofhelpingthemdeliverdatascienceeducationandcontributetotheevolutionoftheEDISONframework.On-lineenvironmentswillfacilitatethis,offeringuniversities’facilitiestouploadanddownloadrelevantinformation.ItshouldbenotedthatsuchinformationisnotownedbytheEDISONprojectandthe IPRmanagementrequiresestablishingstandard IP licensetextsfortheowners (theuniversities),aswellacommon license (reflectingthestandarduniversity licenses) forusers who want to access the on-line environment. The EDISON IPR register keeps track of eachlicensesignedbyauniversity.2.4.3FunctionalitiesofferedbythirdpartiesforoperatingEDISONservicesOutsourcing EDISON value-added services (2.3.2) will depend on functionalities offered by thirdparties for operating EDISON services. These can be software and other delivering organisations,suchascompanies.Theselectionofthirdpartieswithappropriateofferedfunctionalitiesisanormalbusiness routine that will include considerations with respect to their licenses. These should notjeopardize the EDISON service provision based on open access and Creative Commons IPRarrangements.

3 DevelopmentofIPRarrangementsThe previous section 2 described the categories of relevant IPR licenses in the project, and theprinciples to be applied in each of these categories. This section describes how IPR arrangementshavedevelopedtodateandhowthirdpartieshavebeeninvolvedasappropriate.Morespecifically,the section is focusingon the IPR issues requiringdefined licenses inorder toestablishownershipandanyspecificlicenseconditionsandrestrictionsonuse.Inaddition,attentionisforassigningIPRaftertheendofthecurrentprojectfortheservicesthatneedtobecontinuedandsustained.
3.1WhichIPRarrangementsrequirelicensinginEDISON?TheRegisterofLicensesinSection4servesasareferencefortheproject’sManagementCommitteein order to propose the General Assembly of the Consortium in time about due decisions onassigningIPRafterthecurrentprojectlifetime.LicensedetailsaretheresponsibilityoftheIPRowner.Since the EDISON project is developing quite a number of documents and processes that willcontinue to be used after the current project lifetime, it is important that the involved projectpartners–theIPRowners–areidentifiedtoestablishIPR.Thisisnotonlyimportantforattributionofintellectualownership,butalsotoorganiseanylicensestothirdpartiesaswithrespecttotermsofuse and required updating. Since, as a general rule, IP rights are subject to national regulations,particularlyinsofarastheirenforcementisconcerned,IPRownersintheEDISONprojectpartnershipmayendupwithslightlydifferentlicenseschemesifapplicable.
3.2EDISONprojectConsortiuminternallicensesNospecialissueswithrespecttoIPRlicenseswithintheprojectconsortiumhaveyettobereportedinthisdeliverabledocument.Thiswillchangeinthesecondhalfoftheprojectwhentheconsortiumpartnershiphastodecideonsustaininganumberofdevelopedservicesaftertheendoftheproject,eitherbyafewofthepartnersorbythirdparties.Similarly,adecisionwillfollowonbrandingEDISONwithrespecttothenameEDISON,thelogo,andresults.Mostlikelythelegalbrandingofnameandlogoasatrademarkwillnotbeeffectuatedsincebotharenotuniqueandalsousedin(verydifferent)existingentities.Thisisdifferentforusingthecombinationofname,logoanddevelopedservice(e.g.theCompetenceFramework).LicenseswillfollowtheprinciplesofCreativeCommonsanddevelopmentsarediscussedinthenextparagraph.
3.3LicensesprovidedbyEDISONtothirdparties3.3.1Licensestoacknowledgecommunityefforts

The input for these services is also based on contributions from the expertcommunity.TheCreativeCommonslicensewillacknowledgethesecontributions.3.3.1.2TrainingMarketplaceFollowing the example of the EGI Foundation and its network of competence centres tomakeknowledgeandskillsmoreeasilyaccessible,on-lineeducationalandtrainingmaterialprovidedbythird parties will be federated through a training marketplace. In addition, the EGI FederatedCloudwillbeprovidedtoEDISONtosupporttheeducationsectorwithaninfrastructurethatcanofferbothdatasetsofpublicrelevanceandaco-locateddistributedcloudinfrastructurefortheirmanipulation and exploitation. This service is considered to be provided through principles of“Open Science Commons” (htp://go.egi.eu/osc), according to which "Researchers from alldisciplines have easy, integrated and open access to the advanced digital services, scientificinstruments, data, knowledge and expertise they need to collaborate to achieve excellence inscience,researchandinnovation".
3.3.2LicensestooutsourceEDISONvalue-addedservicesAlthoughthecontent informationabouttheEDISONeducationalframeworkandabouteducationalmaterialsfromthirdparties(i.e.universities)isopen,thisisnotnecessarilytrueforon-lineplatformsandotherservicesofferingfunctionalitytoexploitsuchcontentindifferentapplications.Anexampleof such an application is the tool being developed for the self-assessment of data sciencecompetences by individuals or organisations. These kinds of advanced tools or services requiremaintenanceandregularlyupdating,aswellashelpdesksandsupportservices.Itisnotself-evidentthat the consortium partners of the current EDISON project will support this from their ownresources after the end of the project. Neither is it expected that a funding agency will providefinancial support for maintenance and updating. In this respect, it is reasonable to ask amodestfinancial contribution from the third parties interested in offering open content. Financialcontributionsareconsideredfordifferentlevelsvaryingfromabasicfreewaiver,uptofeesrelatedto,forexample,advertisedtrainingservicesbyuniversitiesandothers.ThelicensefororganisationsrunninganopenEDISONservicehastoincludetheconditionstoexploittherelevantIPRdevelopedbythecurrentEDISONconsortiumorbyothersofferingcontent(universities,etc.).Twocategoriesofservicesareinstudyandindevelopmentwithrelatedlicences:

3.3.2.1EDISONCommunityPortalThe services provided by EDISON and collectively referred as EOEE (Edison Online EducationEnvironment),aswellasfrominterestedthirdparties,areorganisedinaportalinsupportoftheDataScienceCommunity.Thecontentprovidedthroughthisportal isdivided indifferenttypes,andforeachof theseaspecificagreement/licensewillbeestablished inthesecondyearof theproject.
• User generated content: any user (for example a student) is enabled to upload his/herpersonalcontent.Theagreementandrequiredlegalstatementswillbeincludedinthelegalterms that the user will electronically sign at the registration phase. The agreements willforeseeaperpetuallicensetotheorganizationrunningthePortal(afterthecurrentproject’slifetime)tostoreandusetheuseruploadedcontentfornon-commercialuse.Suchpersonalcontent cannot be sold and will not be accessible by others. However, the organization

operating the portal may benefit from such content to develop or improve added valueservices.TheagreementswilltakeintoaccounttheforthcomingEUdirectiveonprivacy.
• Thirdpartygeneratedcontent:specificbilateralagreementswillbesetupwitheachentity(project, community, otherweb site owners, university, research infrastructure) to enablesharing of their offered content. As an example, but not limited to these, content mayinclude events, information about training courses (ranging from the single short-termmoduletothemorewideUniversityprogramsorPhD),papersandmanuscripts,echoofwebarticles,openpositions,andanyothereducationalexperiences(suchasinternships,bidsorgrants,fellowships).Seefurtherunder3.4.2.
• Third party services (See also 3.4.3): specific bilateral agreements with external partiesofferingfunctionality(forexamplesoftware)forrunningtheportal.- ApartyofferingtheVirtualLabservicetoCommunityPortalusers.Anagreementwillbe
established inorder tosupportbothcommercialandnon-commercialuseof theVirtualLabservice.PotentialpartiesconsideredareD4Science.orgortheEGIFoundation.
- GlobitgmbH, forofferingusersaccesstheeLearningplatformserviceoftheCommunityPortal.Theagreementwillbeestablishedinordertosupportbothcommercialandnon-commercialuseoftheeLearningplatformandthecontentcreationcoursetools.
- Engineering Ingegneria Informatica SpA, in order to grant access to the competencebenchmarkservices,developedincooperationwiththeGoetheUniversity.
3.3.2.2CertificationschemeTheEDISONproject isdevelopingexemplarytracksallowinginterestedindividuals(suchas ‘self-made’datascientists intheirPhDproject,etc.)toexpandtheirskillstobedemonstratedwithaformal,recognizedcertification.Thecertificationprogrammehastocomplywith(ISO)standardsforcertificationanddifferentformsofformalcertificationsareexploredthroughtheinvolvementof formal certificationauthorities. Thedefinitionof theoverall certification schemasuchas thenumberof levelsofcertification,thetargetgroupsaccordingtotheEDISONMC-DSandprofilesaccording to the DS-BoK and CF-DS, will end up in the definition of IPR management in theplanned certification schema. The related license toorganisationswilling to implement EDISONtraining and certification schemas is still in development by investigating what is needed totransfer the EDISON certification scheme license after the end of the project to one or moreorganisations. This may include conditions for such organisations with respect to qualityassuranceand internationalcertificate transferability.Obviously,onlyprofessionalorganisationswithaproventrackrecordwillbeconsideredforgrantingalicense.More information about the certification scheme and related businessmodel can be found inEDISONDeliverable4.2.
3.4LicensesprovidedbythirdpartiestoEDISONanditspartners 3.4.1UniversitiesprovidinginformationforonlythecurrentprojectpartnersTheEDISONdevelopmentworkbenefits fromusecases inuniversitieswithadvanceddata sciencetraining programmes. In order to secure the right for EDISON to access their relevant intellectualproperty,itissometimesrequiredtoestablishajointMemorandumtodefinewhatisaccessibleandhowtheuniversitywill inturnbenefitfromcooperatingwithEDISON.This isespeciallyrelevantforthe EDISON workpackage 3 with respect to the development of model curricula and to guideprocessesofcurriculacreationat interesteduniversitiesandfurtheronother institutionsprovidingeducationand training.Up tonow,aMoCwas signedwith two relevantuniversities following the

MoCmodel text in APPENDIX B.When signing individual MoCs, it is important that the involvedEDISON partner makes sure that the counter signatory at the university has ownership of therelevantIPR.ThejurisdictionofsomecountriesoruniversitiesassignsIPRtotheindividualorschoolwhohascreatedtheintellectualwork,ratherthantotheformalemployer.Inaddition,ratherthancoursematerialbeingownedsolelybythefacultymemberorbytheorganisation(university),therecanbealargenumberofcomplicatingfactors,rangingfromwhatconstitutesacoursetounbundlingownership.TheorganisationalphilosophyinthisrespectcanresultindifferentIPpolicies.Apartfrommaking sure who is the right owner of the relevant IPR, this owner is also expected to takeresponsibilitywhentheownershipwouldbechallengedbyanycontester.
3.4.2ContentfromthirdpartiestobesharedthroughEDISONmechanisms
The EDISON Community Portal (see 3.3.2.1) will - amongst others – promote the sharing ofeducationalmaterialsandmethodsbyofferinguniversitiesfacilitiestouploadanddownloadrelevantinformation. Itshouldbenotedthatsuch information isnotownedbytheEDISONprojectandtheIPRmanagementrequiresestablishingstandardIPlicensetextsfortheowners(theuniversities),aswellasacommonlicense(reflectingthestandarduniversity licenses)foruserswhowanttoaccesstheon-lineenvironment.TheEDISONIPRregisterkeepstrackofeachlicensesignedbyauniversity.Theremarkaboveunder3.4.1withrespecttoaffirmingwhoistherightownerofcoursematerialsisalsoapplicablehere.Thiswillbeimplementedwithastandardlicensetextrequiringdigitalapprovalbyuniversities(inpracticetheireligiblestaff)beforeenteringthefullfacilitiesintheEDISONon-lineenvironment.3.4.3FunctionalitiesofferedbythirdpartiesforoperatingEDISONservices

5OutlooktosustainingtheIPRmanagement
A few organisations, probably partly also from the EDISON Consortium, will continue to provide
sustained services to users after the end of the EDISON project. Currently, in the middle of the
project’s lifetime, someoptionsarebecomingclear toconsider.Preferably, theengageduniversity
community takes up the EDISON heritage and takes responsibility for sustaining services. It is not
likely that such a community with defined governance and management will be in place and
functioningbytheendoftherunningEDISONproject(withinayear).Likewise,itisnotclearifthese
universitieswouldliketotakeupsucharole,orwouldprefertoactinanadvisorybodysupporting
an existing organization(s) that will continue offering and maintaining the developed EDISON
services.Organisationstobeconsideredindifferentrolesarethefollowing:
• OneormoreofthecurrentEDISONpartners.Someofthesehaveoptedtocontinueservices,at
leasttemporarily,underconditionstoagree.Thisisanattractiveoptionforsecuringcontinuity,
atleastforabridgingperiod.
• AninvolvednetworkorganizationwithlegalentitysuchasCODATA,RDAandsimilar.Operating
EDISON services may be beyond the mission of these networks and their interest for an
exclusive European undertaking may not be justified. In addition, the continuation of these
networks,suchasRDA,isindiscussion.
• Publicorprivateorganization(outsidetheEDISONpartnership)interestedtooperateoneor
moreservicessuchasITEMOforthecertificationscheme.ThegrowingpublicityaboutEDISON
leadstoexpressionsofinterest.
Acombinationoftheaboveorganisationsandcooperatingincomplementarytasksispossible.In
addition,otherbusinessorresearchorganisationscanbevitaltodeliverthetechnical,financialand
humanresourceslackingintheaboveorganisations.TheEDISONpartnerswillagreeinthelast
projectyearwhichofthemwilloffercontinuedcooperationafterthecurrentEDISONproject,on
whattermsofoperation,andontheprovisionsfortransferringofservices(andIPR)inthefuture.
Interactionswithotherappropriateorganisationswillresultintimelydecisionsabouttransferring
anyotherservicestotheseorganisations.Tothisend,theprojectconsortiumwillnegotiateand
concludethenecessarycontractsbeforeenteringinsuchcollaborations.RulesonIPwillbeincluded
intheseagreementstoavoidpotentialpitfalls.

ResultsareownedbythePartythatgeneratesthem.
8.1Jointownership
IncaseofjointownershipofResults,ownershipofeachofthejointownersshallbedetermined
ingoodfaith,takingintoaccounteachowner’srelativeintellectualcontributiontothejointly
ownedResults.Jointownerswillconcludeajointownershipagreementassoonaspossible,
andnolaterthansix(6)monthsfromthedateofthegenerationofsuchResults,regardingthe

Fortheavoidanceofdoubt,anySoftwarelicencethatmerelypermits(butdoesnotrequireany
of)thethingsmentionedin(i.)to(iii.)isnotaControlledLicence(andsoisanUncontrolled
Licence).
“ObjectCode”meanssoftwareinmachine-readable,compiledand/orexecutableform
including,butnotlimitedto,bytecodeformandinformofmachine-readablelibrariesusedfor
linkingproceduresandfunctionstoothersoftware.
“SoftwareDocumentation”meanssoftwareinformation,beingtechnicalinformationused,or
usefulin,orrelatingtothedesign,development,useormaintenanceofanyversionofa
softwareprogramme.
“SourceCode”meanssoftwareinhumanreadableformnormallyusedtomakemodificationsto
itincluding,butnotlimitedto,commentsandproceduralcodesuchasjobcontrollanguageand
scriptstocontrolcompilationandinstallation.
9.8.2.Generalprinciples
Fortheavoidanceofdoubt,thegeneralprovisionsforAccessRightsprovidedforinthisSection
9areapplicablealsotoSoftwareasfarasnotmodifiedbythisSection9.8.
Parties’AccessRightstoSoftwaredonotincludeanyrighttoreceiveSourceCodeorObject
CodeportedtoacertainhardwareplatformoranyrighttoreceiveSourceCode,ObjectCodeor
respectiveSoftwareDocumentationinanyparticularformordetail,butonlyasavailablefromthe
PartygrantingtheAccessRights.
TheintendedintroductionofIntellectualProperty(including,butnotlimitedtoSoftware)under
ControlledLicenceTermsintheProjectrequirestheapprovaloftheGeneralAssemblyto
implementsuchintroductionintotheConsortiumPlan.
9.8.3.AccesstoSoftware
AccessRightstoSoftwarewhichisResultsshallcomprise:
i.AccesstotheObjectCode;and,
ii.wherenormaluseofsuchanObjectCoderequiresanApplicationProgrammingInterface
(hereafterAPI),AccesstotheObjectCodeandsuchanAPI;and,
iii.ifaPartycanshowthattheexecutionofitstasksundertheProjectortheExploitationofits
ownResultsistechnicallyorlegallyimpossiblewithoutAccesstotheSourceCode,Accessto
theSourceCodetotheextentnecessary.
BackgroundshallonlybeprovidedinObjectCodeunlessotherwiseagreedbetweentheParties
concerned.
9.8.4.Softwarelicenceandsublicensingrights
9.8.4.1ObjectCode
9.8.4.1.1Results-RightsofaParty
WhereaPartyhasAccessRightstoObjectCodeand/orAPIwhichisResultsforExploitation,
suchAccessshall,inadditiontotheAccessforExploitationforeseeninSection9.4,asfaras
NeededfortheExploitationoftheParty’sownResults,comprisetheright:

i.tomakeanunlimitednumberofcopiesofObjectCodeandAPI;and
ii.todistribute,makeavailable,market,sellandofferforsalesuchObjectCodeandAPIaloneor
aspartoforinconnectionwithproductsorservicesofthePartyhavingtheAccessRights;
iii.providedhoweverthatanyproduct,processorservicehasbeendevelopedbytheParty
havingtheAccessRightsinaccordancewithitsrightstoexploitObjectCodeandAPIforitsown
Results.
IfitisintendedtousetheservicesofathirdpartyforthepurposesofthisSection9.8.4.1.1,the
Partiesconcernedshallagreeonthetermsthereofwithdueobservanceoftheinterestsofthe
PartygrantingtheAccessRightsassetoutinSection9.2ofthisConsortiumAgreement.
9.8.4.1.2Results-Rightstograntsublicensestoend-users
Inaddition,AccessRightstoObjectCodeshall,asfarasNeededfortheExploitationofthe
Party’sownResults,comprisetherighttograntinthenormalcourseoftherelevanttradeto
end-usercustomersbuying/usingtheproduct/services,asublicensetotheextentasnecessary
forthenormaluseoftherelevantproductorservicetousetheObjectCodealoneoraspartofor
inconnectionwithorintegratedintoproductsandservicesofthePartyhavingtheAccessRights
and,asfarastechnicallyessential:
-i.tomaintainsuchproduct/service;
-ii.tocreateforitsownend-useinteractinginteroperablesoftwareinaccordancewiththe
Directive2009/24/ECoftheEuropeanParliamentandoftheCouncilof23April2009onthe
legalprotectionofcomputerprograms
9.8.4.1.3Background
Fortheavoidanceofdoubt,whereaPartyhasAccessRightstoObjectCodeand/orAPIwhich
isBackgroundforExploitation,AccessRightsexcludetherighttosublicense.Suchsublicensing
rightsmay,however,benegotiatedbetweentheParties.
9.8.4.2SourceCode
9.8.4.2.1Results-RightsofaParty
Where,inaccordancewithSection9.8.3,aPartyhasAccessRightstoSourceCodewhichis
ResultsforExploitation,AccessRightstosuchSourceCode,asfarasNeededforthe
ExploitationoftheParty’sownResults,shallcompriseaworldwiderighttouse,tomakecopies,
tomodify,todevelop,toadaptSourceCodeforresearch,tocreate/marketaproduct/process
andtocreate/provideaservice.
IfitisintendedtousetheservicesofathirdpartyforthepurposesofthisSection9.8.4.2.1,the
Partiesshallagreeonthetermsthereof,withdueobservanceoftheinterestsoftheParty
grantingtheAccessRightsassetoutinSection9.2ofthisConsortiumAgreement.
9.8.4.2.2Results–Rightstograntsublicensestoend-users
Inaddition,AccessRights,asfarasNeededfortheExploitationoftheParty’sownResults,shall
comprisetherighttosublicensesuchSourceCode,butsolelyforpurposeofadaptation,error
correction,maintenanceand/orsupportoftheSoftware.
FurthersublicensingofSourceCodeisexplicitlyexcluded.
9.8.4.2.3Background
Fortheavoidanceofdoubt,whereaPartyhasAccessRightstoSourceCodewhichis
BackgroundforExploitation,AccessRightsexcludetherighttosublicense.Suchsublicensing
rightsmay,however,benegotiatedbetweentheParties.
9.8.5Specificformalities
EachsublicensegrantedaccordingtotheprovisionsofSection9.8.4shallbemadebya
traceableagreementspecifyingandprotectingtheproprietaryrightsofthePartyorParties
concerned.

atleastoneEDISONpromotedevent–an“EDISON-do-it-Better”statement;

inwhichEDISONcollaborationandUseCaseexperiencearepresentedinEDISONselectedevents
(pendingpriorapproval);
● PriorityinbeinginvitedtoEDISONfollow-upactions/project/grants.
ConditionsofUse
BothPartiesagreethattheywillclearlylabelthesourceofallcontentandrequireuserstoindicatethose
sourcesinanysubsequentre-use.EachPartyagreestofullyacknowledgetheother(verballyandbyincluding
logos)whencitingorpromotingjointlydevelopedproductsunderthisCooperationscheme.
AmendmentsandModifications
EitherPartymayrecommendamendmentstothisMemorandumofCooperationbynotifyingtheotherPartyin
writingand,withthesubsequentagreementoftheotherParty,thenimplementingthoseamendments.
Notwithstandingtheforegoing,bothPartiesundertaketojointlyreviewandrevise(asnecessary)this
MemorandumofCooperation2yearsafteritcomesintoforce.
Non-exclusiveAgreement
ThisMemorandumofCooperationisnon-exclusive,andinnowayrestrictseachPartyfromparticipatingin
similaractivitiesorarrangementswithotherpublicorprivateinitiatives,organizations,orindividuals.
