NOTICE INVITING TENDER E-Tenders are invited for the Double bid systems for the Comprehensive Annual Maintenance Contract of Centralized Air Conditioner at ESIC Hospital, K.K. Nagar, Chennai – 78. Detailed information regarding the items, application / tender forms, EMD, specifications, Terms& Conditions can be downloaded from the websites: www.esicmcpgimsrchennai.ac.in / www.esic.nic.in / www.esichennai.org. The interested bidders shall submit their tender(s) only through online mode at the E-procurement portal https://esictenders.eproc.in. In addition to e-tender which has to be filed online, the bidders are also required to submit hard copies of Tender documents duly completed along with Earnest Money Deposit (EMD), supported by requisite documents and the forms, as mentioned in the tender. For all practical purposes, the e-tender shall be considered for evaluation, however in case of any dispute, the physical documents would be scrutinized. Any corrigendum to this tender will be notified through the aforesaid websites only. ANNEXURE- I Important Instructions for Bidders
All bidders/contractors are required to procure Class-IIIB Digital Signature Certificate (DSC) with Both DSC Components i.e. Signing & Encryption to participate in the E-Tenders.
Bidder should get registered at https://esictenders.eproc.in.
Bidders can contact our Helpdesk at https://esictenders.eproc.in/html/Support.asp
Bidder needs to submit Bid Processing Fee charges of Rs. 2495/- (non-refundable) in the form of Demand Draft from any scheduled bank, in favour of M/s. C1 India Pvt. Ltd. payable at New Delhi ( or in any other form as acceptable by C1 India Pvt. Ltd. ) for participating in the Tender.
Along with the Demand Draft, Bidder needs to send a covering Letter mentioning about the Payment Details, Company Name, Address, Payment towards ESIC Bid Processing Fees (Mention the Tender ID and Tender Title).
The payment should reach at the below mentioned address, one day before the due date and time of Bid Submission:

Sealed Tender are invited for Comprehensive Annual Maintenance Contract of
Centralized Air Conditioner as per the Terms and conditions given below:
TERMS & CONDITIONS:

A. AIR HANDLING UNIT

ANNEXURE-IV
TERMS AND CONDITIONS: 1. The Tenderer should have minimum experience of five years, in maintaining AC plants
of total capacity of 180 TR or equivalent. (Details of the contract with documentary
evidence to be submitted).
2. Documentary evidence for each similar work should contain performance certificate from
client clearly indicating full details of nature of work, work order no. and date, client
address, value of work as per work order and as per actual carried out, period of AMC
work as per work order and as per actual.
3. The tender must be accompanied by EMD amount of Rs.10, 000/- in the form of
Demand Draft drawn in favour of “ESI Fund Account No.1”, payable at Chennai. The
tenders not accompanied by EMD are liable for rejection. The EMD will be refunded to
the unsuccessful Tenderer on demand by making a claim in this regard. Advance Stamp
Receipt for the refund of EMD should be enclosed with the tender document.
4. When the Tenderer seeks exemption from payment of EMD on the plea that they are
registered under small scale industries, such firms should furnish copy of the
Government orders classifying them as small scale industries and are exempted for this
purpose.
5. Every Correction in the tender should invariably be attested by the Tenderer failing
which the tender will be liable to be rejected.
6. Any attempt on the part of the Tenderer or their agents to influence the departments in
their favour by personal canvassing with the officers concerned will disqualify the
tenders.
7. In case any difference or dispute arise in connection with this tender, all legal
proceedings relating to the matter shall be instituted in the court within the jurisdiction of
Chennai City.
8. The rates quoted by the Tenderer shall not in any case exceed the controlled rate, if any,
fixed by the Government at the time of supply to the hospital. If the rate quoted exceeds,

the controlled rate permissible under the hoarding and profiteering prevention ordinance
1943 as amended from time to time, the contractor will specifically mention this fact in
his tender along with reasons for having quoted such higher rate. The Dean at her
discretion will in such case exercise the right of revising the price at any stage so as to
conform to the controlled rate or the rate permissible under the Hoarding and
Profiteering Ordinance. The discretion will be exercised without prejudice to any other
action that may be taken against the contractor.
9. Tenders will be opened at Dean Chamber, ESIC Hospital, K.K.Nagar, Chennai-78, on
the stipulated date and time in the presence of the Tenderer / representatives who
choose to be present.
10. Technical bid and price bid should be kept in separate closed envelopes and both should be kept in a second bigger envelope, addressed to the Dean with the heading, “e-Tender (Two Bid System) for Comprehensive Annual Maintenance Contract of Centralized Air Conditioner at ESIC Hospital, K.K.Nagar, Chennai 78”
11. In the two-bid system, only Techno-commercial bid (un-priced bid) will be opened first on
the date mentioned in the presence of bidders who choose to be present. The price bid
of the firm whose equipment is technically viable fulfilling the specifications and all other
conditions alone, will be considered for evaluation.
12. A certificate that the quoted items have not been supplied to any other
organization/institution at a rate, lower than quoted here, should be enclosed.
13. For imported goods, the price quoted shall not be higher than the lowest price charges
by the Tenderer for the goods of the same nature, class or description to a purchaser,
domestic or foreign or to any organization or department of Govt. of India.
14. If it is found at any stage that the goods as stated have been supplied at a lower price,
then that price, with due allowance for elapsed time will be applicable to the present
case and the difference in cost would be refunded by the supplier to the purchaser, if the
contract has already been concluded.
15. The Successful Tenderer shall execute an agreement within a week from the date of
receipt of communication for due fulfillment of execution. The supplier shall have to pay
the expense for the execution of the agreement. Failure to execute the agreement on the
Part of successful Tenderer or withdrawal of his tender or failure to comply with our
order owing to any reason will entail cancellation of his tender and the EMD will be
forfeited.
16. The successful Tenderer should furnish Performance Security 10% of tender value.

17. The Security Deposit subject to the conditions specified herein shall be refunded to the
supplier after the expiry of the contract of the work order. The Dean shall be entitled to
deduct out of the deposits, the amount of such damage, costs, charge and expenses as
may be claimed. If the amount of such expenses could not be met out from the security
deposit, the same may be deducted from any other sum which may be due at any time.
18. The Dean is at Liberty to terminate the contract without assigning any reason thereof,
either wholly or, in part on a month’s notice- The contractor will not be entitled to any
compensation whatsoever in respect of such tenure.
19. Tenderer should be prepared to accept orders subject to the penalty clause for forfeiture
of security deposit in the event of default in transportation or failure to supply within the
stipulated period.
20. The Contractor should be willing to render their assistance round the clock including
holidays/to be able to contact them at any time in case of emergencies during the
warranty period.
21. If there is any disruption of Preventive Maintenance without any valid reason, during the
warranty period the loss to the hospital should be compensated by the company.
22. No escalation will be given on any ground whatsoever may be the reason. The rate
quoted in the tender shall remain firm and should be valid till the stipulated contract
period and should include all charges and Taxes. Taxes shall be mentioned separately.
23. No advance payment can be made as per the rules. Payment can be claimed on
monthly basis after the submission of Service reports duly signed by your Engineer and
ESIC Engineer.
24. Your engineer/ technician should attend the complaint within 4 hours from the receipt of
complaint from ESIC.
25. In case your services are found un-satisfactory, this contract shall be terminated before
completion of contract period with prior notice of 30 days, without assigning any reasons
whatsoever.
26. The two part bids i.e. Techno-commercial (Unpriced Bid) and Price bid prepared by the
Bidder shall comprise the following:
(A) Techno - commercial Bid (Unpriced Bid) This should include the following:
1. Bid Security (EMD) and Cost of tender document should be furnished in accordance with
instructions.

2. Detailed technical specification of items quoted without indicating price.
3. Statements of Deviations from tendered commercial conditions, if any.
4. Statement of deviations parameter wise from tendered specifications, if any.
5. Authority letter from manufacturer, in case bid is submitted by agents.
6. Bidders have to indicate the name and address of the bankers.
7. Documentary evidence that the goods and ancillary to be supplied by the bidder are
eligible goods and services and conform to the bidding documents.
(B) Price Bid
1. The information given at Techno commercial bid should be reproduced in price bid with
prices indicated. Any deviation in this regard will render the bid liable for rejection.
2. Rates should be typed in words as well as in figures, free from erasing, cutting and
overwriting.
3. Price quoted should match with the items quoted in technical bid.
4. Each and every page of the quotation should be separately numbered and duly signed.
5. In case the price quoted cannot be matched with the items/quoted in technical bid, the
bid shall be liable to be rejected.
6. The quoted price should be all inclusive lump sum price offered for each item including cost of the equipment, freight, Insurance, transit insurance, packing forwarding etc., and including charges for installation and commissioning with all men and material required for the same and including charges for the quoted warranty period. Rates and GST must be quoted separately.
7. The rates quoted should be F.O.R ESIC Hospital, K.K. Nagar, Chennai - 78. No other charges in addition will be payable on any account over and above the lump sum price quoted in the price bid. The rates quoted in ambiguous terms such as "Freight on actual basis" or Taxes as applicable extra" or "Packing forwarding extra" will render the bid liable for rejection.

ANNEXURE - V GENERAL CONDITIONS OF CONTRACT
A) DEFINITIONS
(a) In the contract (as hereinafter defined) the following works and expressions shall have
the meanings hereby assigned to them except where the context otherwise requires:
i) “Employer” means the ESIC and the legal successors in title to ESIC.
ii) “Engineer” means the ESIC Engineers.
iii) “Contractor” means an individual or firms (proprietary or partnership) whether
incorporated or not, that has entered into contract (with the employer) and shall include his/its
heirs, legal representatives, successors and assigns. Changes in the constitution of the firm, if
any shall be immediately notified to the employer, in writing and approval obtained for continued
performance of the contract.
(b) (i)“Contract” means these conditions, the Specification, the Bill of Quantities, the
Tender, the Letter of acceptance, the Contract Agreement (and such further documents as may
be expressly incorporated in the Letter of Acceptance or Contract Agreement).
(ii) “Specification” means the specification of the works included in the Contract and any
modification thereof.
(iii) “Drawings” means all the completion drawings, calculations and technical information of
a like nature provided by the Engineer to the Contractor under the Contract.
(iv) “Bill of Quantities” means the priced and competed bill of quantities forming part of the
Tender.
(v) “Tender” means the Contractor’s priced offer to the Employer for the execution and
completion of the works and the remedying of any defects therein accordance with the
provisions of the Contract, as accepted by the Letter of Acceptance. The word tender is
synonymous with “Bid” and the words “Tender Documents” with “Bid Documents”.
(vi) “Letter of Acceptance” means the formal acceptance of the tender by ESIC.
(vii) “Contract Agreement” means the contract agreement (if any) referred to in (b) (i) above.
(viii) “Appendix to Tender” means the appendix comprised in the form of Tender annexed to
these Conditions.

(c) (i) “Commencement Date” means the date upon which the Contractor receives the
notice to commence the works.
(ii) “Time for Completion” means the time period for which the contract comprehensive
Annual Maintenance Contract of Centralized Air Conditioner has been awarded by the employer
to the contractor.
(d) “Taking over Certificate” means a certificate issued by employer evidencing successful
completion of the awarded work.
(e) (i) “Contract Price” means the sum stated in the Letter of Acceptance as payable to the
Contractor for the execution and completion of the works and remedying of any defects therein
in accordance with the provisions of the Contract.
(ii) “Retention Money” means the aggregate of all monies retained by the Employer.
(f) (i) “Works” means the Permanent Works and the Temporary Works or either of them to
be executed in accordance with the contract.
(iii) “Cost” means all expenditure properly incurred or to be incurred, whether on or off the
site, including over head and other charges but does not include any allowance for profit.
B) ENGINEER a. Engineer’s Duties and Authority
The Engineer shall carry out the duties specified in the Contract.
b. Custody and supply of drawings and documents
The drawings shall remain in the sole custody of the Employer/Engineer, but copies as
required thereof shall be provided to the Contractor free of cost solely for the purpose of
this contract.
c. Sufficiency of Tender
The Contractor shall be deemed to have based on his Tender on the data made
available by the Employer and on his own inspection and examination of this site
conditions.
d. Contractor’s Employees
The Contractor shall provide on the Site, qualified and experienced technical staff in
connection with the Comprehensive Annual Maintenance Contract of Centralised Air
Conditioner and remedying of any defects therein
e. Engineer at Liberty to Object
The Engineer shall be at liberty to object to and request the Contractor to remove
forthwith from the works any person provided by the Contractor, who in the opinion of
the Engineer, misconducts himself, or is incompetent or negligent in the proper

performance of his duties, or whose presence on Site is otherwise considered by the
Engineer to be undesirable, and such person shall not be again allowed upon the works
without the consent of the Engineer. Any person so removed from the Works shall be
replaced as soon as possible by a qualified person approved by the Engineer.
C) Safety, Security and Protection of the Environment The Contractor shall, throughout the execution and completion of the works and the remedying
of any defects therein:
a. Have full regard for the safety of all persons entitled to be upon the site and keep the site
(so far as the same in under his control) and the Works (so far as the same are not
completed or occupied by the Employer) in an orderly state appropriate to the avoidance
of danger to such persons, and
b. Provide and maintain at his own cost all lights, guards, fencing, warning signs and
watching, when and where necessary or required by the Engineer or by any duly
constituted authority for the protection of the Works or for the safety and convenience of
the public or others, and
c. Take all reasonable steps to protect the environment on and off the site and to avoid
damage or nuisance to persons or to property of the public or others resulting from
pollution, noise or other causes arising as a consequence of his methods or work.
C) Insurance of work by the Contractor for his liability : a. During the Repair and Maintenance period for loss or damage to property and life arising
from a cause for which contractor is responsible.
b. For loss or damage occasioned by the Contractor in the course of any Repairs carried
out by him for the purpose of complying with his obligations.
c. It shall be responsibility of contractor to notify the Insurance Company of any change in
the nature and extent of the works and to ensure the adequacy of the insurance cover all
times during the period of contract.
D) Damage to Persons and Property: The Contractor shall, except if and so far as the Contract provides otherwise, indemnify the
Employer against all losses and claims in respect of:
(a) death of or injury to any person, or

(b) loss or damage to any property (other than the works)
Which may arise out of or in consequence of the Comprehensive Annual Maintenance Contract
of Centralized Air Conditioner and the remedying of any defects therein, and against all claims,
proceedings, damages, costs, charges and expenses whatsoever in respect thereof.
E) Accident or injury to Workmen: a. The Employer shall not be liable for or in respect of any damages or compensation
payable to any workman for death or injury resulting from any act or default of the
contractor. The contractor shall indemnify and keep indemnified the Employer against all
such damages and compensation and expenses whatsoever in respect thereof or in
relation thereto.
F) Evidence and Terms of Insurance: a. The Contractor shall take out appropriate insurance to cover his work and workers and
staff employed by him fully. The contractor shall provide evidence to the
Engineer/Employer as soon as practicable after the respective insurance have been
taken out but in any case prior to start of work at the site that insurance required under
Contract have been effected.
G) Compliance with Statutes, Regulations: The Contractor shall conform in all respects, including by the giving of all notices and the paying
of all fees, with the provision of:
a. Any National or State Statute, Ordinance, or other Law, or any regulation, or bye-law of
any local or other duly constituted authority in relation to the execution and completion of
the Works and the remedying of any defects therein, and
b. The rules and regulations of all public bodies and companies whose property or rights
are affected or may be affected in any way by the Works, and the Contractor shall keep
the Employer indemnified against all penalties and liability of every kind for breach of
any such provision.
c. Any changes required for approval due to revision of the local laws.
H) Time for Completion: The CAMC work shall be for a period of one year as mentioned in the letter of commencement

and shall start from the date of issue of letter commencement and shall stand terminated after
the expiry of contract period/Extended period.
I) Extension of Time for Completion: The CAMC contract may be extended on the written mutual consent of both Employer and
Contractor for a further reasonable period. However, employer reserves its right to terminate the
Repair and Maintenance contract by giving 30 days notice at any time during the currency of the
contract if the services of the agency are not satisfactory as per the opinion of employer or its
representative.
J) Defect Identification and its rectifications: The Contractor shall immediately attend the defects and complaints noticed at site. The
Contractor shall provide and develop a system for regular Maintenance of all the services which
includes defects identifications and its immediate rectification so, that services are not affected.
It shall be the sole responsibility of the Repair and Maintenance agency that all the services are
kept in functional condition round the clock during the currency of the contract.
Defect Liability period shall be 12 months from the date of completion of work under BOQ
measurable works. The contractor shall rectify at his own expenses any defect in the work
carried out by him during this period. On failure of the contractor to do so, the same shall be
completed by the employer at the risk and cost of the contractor.
H) Liquidated Damages for Delay If the Contractor fails to attend any complaint or defect in due course of time and if in the opinion
of engineer delay is on the part of CAMC agency, the employer can impose liquidated damages
on the contractor as detailed in the particular conditions.
J) Contractor’s failure to carry out Instructions: In case of default on the part of the Contractor in carrying out defect rectification works, the
Employer/Engineer shall be entitled to employ and pay other persons to carry out the same and
if such work, in the opinion of the Engineer, the Contractor was liable to do at his own cost
under the Contract, then all costs consequent thereon or incidental thereto shall be determined
by the Engineer and shall be recoverable from the Contractor by the Employer, and may be
deducted by the Employer from any amount due or to become due to the Contractor.

K) CERTIFICATES AND PAYMENTS
a.Monthly Statements
The Contractor shall submit a bill in 3 copies to the Engineer by 7th day of each month for the
work executed up-to the end of previous month in tabulated form approved by the Engineer,
showing the amounts to which the Contractor considers himself to be entitled. The bill must be
supported with the following documents:-
a. Details of defects/complaints attended and rectified within time.
b. Details of complaints attended late.
c. Test certificates of materials used and tests carried out for quality control as
required by the specifications and the Engineers.
d. Service Reports duly signed by Engineer.
b.Deduction of Income Tax The amount to be deducted towards the advance income tax shall be at the rates applicable.
c.Monthly Payments The contractor shall submit monthly bill complete in all respects by the 7th day of each month.
The Engineer shall clear the bill and certify due amounts for payment within 15 days.
d.Correction of Certificates The Engineer may by any Interim Payment Certificate make any correction or modification in
any previous Interim payment Certificate which has been issued by him, and shall have
authority, if any work is not being carried out to his satisfaction, to omit or reduce the value of
such work in any interim Payment Certificate.
e.Final Certificate Within 28 days after receipt of the Final Statement, and the written discharge the Engineer shall
issue to the employer (with a copy to the Contractor) a Final Certificate stating:
(a) The amount which, in the opinion of the Engineer, is finally due under the Contract, and
(b) After giving credit to the Employer for all amounts previously paid by the Employer and
for all sums to which the Employer is entitled under the Contract.
L) Default of Contractor If the performance of the contract and is not satisfactory and not corrected within 15 days of

receiving notice, then employer shall be at liberty to terminate the contract and get the work
executed through other means at the risk and cost of the Contractor.
In the event of termination of the contract, the employer shall be at liberty to get balance work
done at the risk and cost the contractor and due payment of the contractor, if any shall be
released after the completion of whole of the works.
M) Amicable Settlement of Dispute The party shall use their best efforts to settle amicably all disputes arising out of or in connection
this contract or the interpretation thereof.
N) Arbitration. a. Any dispute and differences relating to the meaning of the specifications, design,
drawings and instructions herein before mentioned and as to the quality of workmanship
of materials used in the work or as to any other question, claim, right, matter of thing
whatsoever in any way arising out of or relating to the contract, designs, drawings,
specifications, estimates, instructions or these conditions or otherwise concerning the
works or the execution or failure to execute the same whether arising during the
progress of the work or after the completion or abandonment thereof in respect of which
amicable settlement has not been reached, shall be referred to the Sole Arbitration of
the Chief Engineer, ESIC who shall proceed as per the Arbitration Act, 1996.
b. The work under the contract shall continue, during the Arbitration proceedings.
c. The award of the Arbitrator shall be final, conclusive and binding on both the parties
O) Payment on termination: a. In the event of termination of the contract, employer shall be at liberty to get balance
work done at the risk and cost of the contractor and due payment of the contractor, if
any, shall be released after the completion of whole of the works.
b. All the recoveries regarding Income Tax, Works Contract Tax, Labour Welfare Cess etc.
will be deducted from the contractors‟ payment and remittance will be made to the
respective departments. The materials shall be got approved by the ESIC Engineer
before it is consumed into works. The contractor shall also arrange all the required plant
and machinery.
P) The contractor shall also be responsible for proper handing over of the dismantled
materials to ESIC Engineer along with details of the same in writing.

Q) Disposal of unserviceable, dismantled or waste materials by mechanical means,
including loading, transporting, unloading at the approved municipal dumping ground.
