Event set up and tear down Vendor Opportunity The Foundation for a Healthy St. Petersburg is opening a Center for Health Equity at 2333 34th Street South, St. Petersburg, Fla., and is seeking vendors to serve ongoing and periodic needs at the Center. The Center for Health Equity will be a place where people from across Pinellas County can come together to find solutions to challenges that keep people and communities from achieving their best health. All vendors chosen for hire as providers must provide, at the time of contract signing, proof of registration with the Florida Division of Corporations (Sunbiz.org), proof of any required state licenses/certifications, and provide a Certificate of General Liability Insurance. The preferred coverage limit for general liability insurance is $1 million per occurrence/$2 million aggregate, among other requirements detailed in Attachment A following the application for this opportunity.

Event set up and tear down

The Foundation is seeking a service provider to help it deliver a quality meeting experience by providing set up and tear down services for meeting equipment, including tables, chairs, modular stages and technology equipment. Vacuuming between transitions will also be required. Initially, the work routine is expected to be once-a-day, either in the mornings or evenings, Monday through Friday but could grow to include Saturday and on some days, more than once-a-day transitions.

Note: All vendors selected for contract negotiations will first meet Foundation staff and take a tour of the Center for Health Equity and adjacent offices to inform contract negotiation. The questions below, however, are designed to inform which vendor(s) is selected to proceed in the process.

ATTACHMENT A: FHSP Insurance requirements for vendor contracts (must be satisfied at time of contract signing)

I. Vendor Obligation as of the Effective Date of this Contract.Vendor, shall, from the Effective Date of this Contract untilthe expiration or earlier termination of this Contract or anyRenewal Term hereof, maintain at Vendor's cost, thefollowing insurance:

II. Commercial General Liability. A Commercial GeneralLiability Insurance Policy protecting Foundation for a HealthySt. Petersburg against all claims or demands that may ariseor be claimed on account of Vendor's use of the Premises inan amount of at least $1,000,000 for injuries to persons inone accident and $2,000,000 general aggregate, $1,000,000for injuries to any one person, $1,000,000 for damages toproperty and $1,000,000 Damage to Rented Premises.Commercial General Liability limits may, from time to time,be adjusted at the discretion of Foundation for a Healthy St.Petersburg to reflect the then current, generally acceptablepolicy limits.

III. Vendor Obligation as of the Commencement Date of thisContract. Vendor, shall, from the Commencement Date ofthis Contract until the expiration or earlier termination of thisContract or any Renewal Term hereof, maintain at Vendor'scost, the following insurance:

IV. Worker's Compensation. Workers' Compensation Insurancein compliance with the laws of the State of Florida.Employers Liability coverage with minimum limits of$100,000 each accident, $100,000 each employee and$500,000 policy limit for disease.

V. Personal Property. Any insurance coverage it may desire onthe contents of the Premises.

VI. Business Interruption Insurance. Business InterruptionInsurance insuring that all sums payable under this Contract,

and maintenance charges shall be paid to Foundation for a Healthy St. Petersburg if the Premises are destroyed by a risk which is insurable under a standard policy of fire and extended coverage insurance with vandalism and malicious mischief endorsements.

VII. Pollution Liability Insurance. Pollution Liability Insurance withminimum limits of at least $1,000,000.

VIII. Real Property. Vendor shall keep in force fire and casualtyinsurance on a replacement cost basis with respect to theImprovements and betterments with companies licensed todo business in the State of Florida and rated A- (A minus) orbetter in the then most current issue of Best's InsuranceReport.

IX. Foundation for a Healthy St. Petersburg as AdditionalInsured. All of the insurance required, shall be effectedunder enforceable policies issued by insurers licensed to dobusiness in the State of Florida and be rated "A-" or betterby a rating agency such as A.M. Best or its equivalent. Allpolicies except Worker's Compensation policies, shall nameFoundation for a Healthy St. Petersburg as additionalinsured, be in occurrence form, provide contractual liabilitycovering the liability assumed in this Contract and shall notexclude any activity that would normally be associated withuse of the Premises without the prior written consent ofFoundation for a Healthy St. Petersburg which may bewithheld by Foundation for a Healthy St. Petersburg at itssole discretion. All policies shall provide that they shall notbe subject to cancellation or material change, which affectFoundation for a Healthy St. Petersburg, except upon atleast thirty (30) days prior written notice to Foundation for aHealthy St. Petersburg at the address set forth in paragraph59 of this Contract.

X. Vendor Reporting Requirement. Vendor shall provideFoundation for a Healthy St. Petersburg, without notice ordemand, duly executed certificates of all insurance requiredby this Contract, any endorsements, enhancements andexclusions, together with satisfactory evidence of thepayment of the premiums thereon prior to theCommencement Date and Vendor shall maintain currentcertificates of insurance on file with Foundation for a HealthySt. Petersburg at all times during the Term, or any RenewalTerm hereof. Not less than thirty (30) days prior to expirationof the term of such policies, a certificate showing the renewalcoverage shall be delivered to Foundation for a Healthy St.Petersburg. The Vendor shall provide copies of any of therequired policies to Foundation for a Healthy St. Petersburgon demand.

XI. Failure of Vendor to Provide Insurance. If Vendor fails tofurnish certificates showing policies paid in full as provided inthis Contract, Foundation for a Healthy St. Petersburg may,after written notice to Vendor and failure of Vendor toprovide the certificate within ten (10) days of such notice,obtain the insurance, and the Vendor shall pay theFoundation for a Healthy St. Petersburg for such costsinsurance as Additional Rent.

XII. Continuing Coverage. The insurance coverage and limitsrequired of this Contract are subject to change or revisionduring the Term. Required insurance coverages and limitsmay be modified at that time to reflect the then currentcommercially reasonable coverages and limits.

Vendor Indemnification. Vendor shall defend at its expense, pay on behalf of, hold harmless and indemnify Foundation for a Healthy St. Petersburg, its officers, employees, agents, invitees, elected and appointed officials and volunteers (collectively, "Indemnified Parties") from and against any and all claims, demands, liens, liabilities, penalties, fines, fees, judgments, losses and damages (whether or not a lawsuit is filed) including, but not limited to, costs, expenses and attorneys’ fees at trial and on appeal (collectively, "Claims") for damage to property or bodily or personal injuries, including death at any time resulting there from, sustained by any person or persons, which damage or injuries are alleged or claimed to have arisen out of or in connection with, in whole or in part, directly or indirectly:
