AGREEMENT AND ASSIGNMENTREGARDING PATENTS

WHEREAS, Melvino Technologies, Limited, having a place of business at P.O. Box 3152RG Hodge Building, Road Town, Tortola, British Virgin Islands, hereinafter referred to asASSIGNOR, owned at some time all right, title, and interest in and to the patents and patentapplications listed on Exhibit "A" attached hereto (hereafter, "PATENTS");

WHEREAS, Shipping and Transit, LLP, a Florida limited liability partnership, having aplace of business at 370 Easton Road, Hermitage, Pennsylvania 16148, hereinafter referred to asASSIGNEE, is desirous of acquiring all of ASSIGNORS' right, title and interest in and to saidPATENTS and any provisional, continuation, continuation-in-part, divisional, reissued, and re-examined applications and patents relating to said PATENTS.

WHEREAS, the aforementioned parties wish to clarify ownership of the PATENTSamong the parties by this instrument.

NOW, THEREFORE, TO ALL WHOM IT MAY CONCERN: Be it known that, for good andvaluable consideration, the receipt and sufficiency of which is hereby acknowledged byASSIGNORS, ASSIGNORS have sold, assigned and transferred and/or do hereby sell, assign andtransfer unto ASSIGNEE, and ASSIGNEE'S successors and assigns, (a) the entire right, title andinterest in and to said PATENTS and all the rights and privileges in any application and under anyand all patents that may be granted for any Invention(s) described in said PATENTS, including butnot limited to, all corresponding provisional, continuation, continuation-in-part, divisional, reissue,and reexamination applications and (b) the right to seek remedies for any and all infringements ofany of the foregoing PATENTS and to collect and retain all damages and profits and enjoy anyand all remedies granted for infringements.

ASSIGNORS hereby consent that a copy of this assignment shall be deemed a full legaland formal equivalent of any document which may be required in any country in proof of the right ofASSIGNEE to apply for protection for any invention described in said PATENTS or other form ofprotection for any said invention and to claim the aforesaid benefit of the right of priority.

ASSIGNORS each covenant and agree that, when requested, ASSIGNORS shall, withoutcharge to ASSIGNEE but at ASSIGNEE'S expense, sign all papers, take all rightful oaths, and doall acts which may be necessary, desirable, or convenient in connection with patent applications,patents, or other forms of protection of any said invention, and for the defense and protectionthereof if challenged in the court of law.
