These program agreements would be similar to our existing agreement with the University of Warmia and Mazury in Olsztyn. International Institute of Business (IIB) Background : The IIB was established in 1993 as the International Centre of Privatization, Investments and Management (ICPIM). It was founded as a non-profit, independent training and educational institution by the Academy of Public Administration of the Cabinet of Ministers of Ukraine in cooperation with the Central European University Fund in accordance with the decree of the Cabinet Ministers of Ukraine. The IIB is one of the leading Ukrainian graduate business schools. Its programs fall under three major categories: academic programs, executive and professional development programs, and in-company training. Approximately 4,500 students graduate annually from IIB’s various programs and training sessions. Most students enrol in short-term executive and professional development programs. IIB has enjoyed a connection with UNB since its beginning. The first President of ICPIM was Dr. Henryk Sterniczuk of the University of New Brunswick, Saint John. Partner Wants : Same MBA product that we currently offer at Olsztyn. Recruitment to begin asap for a fall 2004 start-up. Faculty of Administration MBA Program Proposals: International Institute of Business, Kiev, Ukraine and

Leon Kozminski Academy, Warsaw, Poland Proposed Agreements On March 26, 2004, the Faculty Council of Administration approved a motion to recommend that the Faculty pursue MBA program agreements with both the International Institute of Business (Kiev, Ukraine) and the Leon Kozminski Academy of Entrepreneurship and Management (Warsaw, Poland). Leon Kozminski Academy of Entrepreneurship and Management

Background: The Academy was founded in Warsaw in 1993 by virtue of the decision of the Minister of Education, and has enjoyed full academic rights stipulated by the Polish “Law on Higher Education.” In 1998 the Polish National Central Board of Degrees gave the Academy the right to grant PhD degrees (the first private higher education institution to have such authorization in Poland). In 1999 the Academy received accreditation of EQUIS (The European Quality Improvement System).

Currently, the Academy offers undergraduate, graduate and postgraduate programs and internationally recognized diplomas in: Management, Finance & Banking, Administration, Law, and Sociology. The Academy also holds a wide range of research projects.

Currently the school owns 18000 square meters in two buildings. An enrolment of over 5,500 students is supported by 250 academic employees.

Dr. Wojciech Nasierowski characterized the Academy as the most vibrant and the best private business school in Poland. He notes the majority of its leading employees have studied in the U.S.; many faculty have been granted scholarships from Fulbright, Humboldt, Wilson Foundations, and several have published extensively in foreign journals. For the past several years the Academy has been ranked (by various agencies) among the best three (normally the first or second) in the field in Poland. Dr. Nasierowski also reports that adequate housing facilities and modern teaching facilities exist. Partner Wants: MBA with a finance concentration. Recruitment to begin asap for fall 2004 intake. UNB would not have course delivery commitments until the 2005/06 academic year.

Strong interest in a Student Investment Fund (like UNB’s with CFA preparation) option was expressed. The objective here would be to enable Kozminski to establish a unique market position as the first institution to offer CFA preparation. We agreed to investigate the viability of this option and acknowledging that this feature would not fit our proposed delivery format. Observations: As reported above, Kozminski has emerged as a credible institution and its facilities are modern. The two buildings that form the Academy’s physical infrastructure were recently renovated (are in new condition). Adequate computing labs exist and its library is currently being expanded.

Lodging details have not been finalized but it seems likely we will us hotel accommodations. This will involve a five minute drive.

Kozminski’s existing MBA is an English language program offered by Bradford University (UK).

Explanation of the Programs Both of these programs will operate similarly to the existing program at UWM. The attached explanation, which was presented to and approved by Senate at its May 21, 2002 meeting gives details on the general structure of the program. Also attached are the draft MOUs for the IIB and the Kozminski Academy.

The Faculty is confident that we are able to offer all three programs in Poland and Ukraine. The three programs combined will require us to staff eighteen (18) courses using our faculty or our designates (as a UNB MBA program all instructors will be approved by the School of Graduate Studies). The Faculty agreed that the delivery schedule will be such that every faculty member who teaches in these programs will teach in two locations each trip. Consequently, the total of eighteen (18) courses will require the participation of only nine (9) faculty members per calendar year. This is a net increase of needing only three additional instructors, because our current program at UWM requires six (6) participating faculty members each calendar year.

Our current financial projections are that the three programs will net at least $200,000 per year. Each MOU states a minimum cohort size which guarantees that financial return. If it turns out that cohorts are larger than the minimum specified the return, of course, will be larger.

It is the Faculty’s understanding that since we are not creating any new programs that consultation with the School of Graduate Studies on program design is not necessary. As stated above, we are simply going to replicate the program design previously approved for UWM.

ATTACHMENT #1 TO: Gwen Davies, Dean of Graduate School FROM: Hugh Whalen, Director of Graduate Studies, Faculty of Administration RE: Graduate Diploma in Business Administration The Faculty of Administration is entering into an Agreement of Cooperation with the University of Warmia and Mazury (UWM) in Olsztyn, Poland. UWM is a post secondary institution offering degrees at the undergraduate and post-graduate level. UNB and UWM wish to collaborate in a joint program leading to the awarding of a UNB MBA degree. (For details see Schedule 2 of the agreement which is attached to this memo.) This program has three steps. Step 1: UWM will deliver 30 credit hours of courses at UWM in Poland. These courses correspond to the first year of the UNB MBA program. Upon successful completion of the 30 credit hours UWM will award the students a Graduate Certificate in Business Administration. UNB will admit these students to the UNB MBA program and grant advanced standing for 30 credit hours of courses. This can be done under current regulations and requires no approval from the Graduate School. Step 2: This requires the successful completion of Step 1. UNB and UWM will provide 3 credit hours of required and 24 credit hours of elective courses at UWM. These courses will be taught by UNB and UWM faculty. All faculty teaching these courses will be approved by the Graduate School under existing procedures. Successful completion of step 2 will result in a UNB Graduate Diploma in Business Administration. Details of the courses are in Schedule 2 and have already been approved by the Graduate School. Step 3: This requires the successful completion of Step 2. Students must complete MBA 6903 Applied Integrative Studies. Upon successful completion students will be awarded the UNB MBA degree. This is a final quality check. Students who complete this course will have satisfied all requirements for the UNB MBA degree. This can be done under current regulations and requires no approval from the Graduate School. As you can see from the above explanation, this program can be delivered under current regulations except for the awarding of the UNB Diploma in Business Administration. Therefore we are requesting that the Executive Committee of the Graduate School approval this diploma.

ATTACHMENT #2

AGREEMENT OF COOPERATION EFFECTIVE DATE: DRAFT FOR DISCUSSION ONLY (LAST UPDATED MAY 5/04) BETWEEN: THE INTERNATIONAL INSTITUTE OF BUSINESS

a corporation having a head office at Kiev, Ukraine, (hereinafter referred to as “IIB”)

of the first part

AND THE UNIVERSITY OF NEW BRUNSWICK, a

Corporation under the laws of New Brunswick and having a head office at Fredericton, New Brunswick, Canada (hereinafter referred to as “UNB”)

of the second part.

WHEREAS, IIB as a post-secondary educational institution offers various programs, some leading

to degrees-in-course at the undergraduate and post-graduate levels, and others leading to certificates and diplomas; and

WHEREAS, UNB as a post-secondary educational institution offers various programs, some

leading to degrees-in-course at the undergraduate and post-graduate levels, and others leading to certificates and diplomas, one of which addresses Business Administration; and

WHEREAS, UNB through its Faculty of Administration in Fredericton (FAF) and IIB have

identified a demand in Kiev among individuals in the business and professional community, for an English language Master Degrees in Business Administration.

The Parties agree as follows: 1. The Parties agree to collaborate in a joint venture for the purpose of developing, marketing

and teaching a joint program leading to the award of a UNB Master Degree in Business Administration (MBA) in Kiev to candidates successfully completing the prescribed curriculum (Schedule 2). The joint venture is agreed to be established solely for this purpose or related similar programs but no other. It may have an identity characterized by logo, letterhead, and other appropriate devices to facilitate its operations, but use of any of the logo, trademark etc. of a party must have the written approval of that party.

2. IIB agrees that its responsibilities shall be to:

a) Design and deliver promotional programs in Kiev to enhance sales and standing for the program.

b) Deliver the first 30 credits of core courses of the 60 credit IIB/UNB MBA Program

(These courses constitute the IIB GCBA) (see schedule 2) to education standards and equivalencies acceptable to UNB. UNB faculty and instructors who are willing may participate in the delivery of this program, at the option of IIB.

c) Under the complete control of FAF, assist with the delivery in Kiev of the remaining

30 credits of the IIB/UNB MBA Program utilizing IIB facilities and FAF course materials, text books and marking schemes, to students deemed in advance as meeting UNB educational standards and requirements.

d) Through its Registrar administer for students in the IIB GCBA in accordance with

the provisions set out in Schedule 1.

e) Provide graduation ceremonies in Kiev for awarding of the IIB/UNB MBA degree to eligible students who choose not to attend ceremonies in Fredericton.

f) Assist students’ registration in the last 30 credits of the IIB/UNB MBA, in

conjunction with the FAF International Partner’s Program Coordinator’s Office, in accordance with UNB procedures and guidelines.

g) Coordinate to remit all fees (Schedule 3) to the FAF International Partner’s

Coordinator’s office upon receipt of invoice from UNB. The funds are payable within 30 days of the invoice date. All students receiving instruction from UNB faculty or its designates shall be subject to program and tuition fees as prescribed in Schedule 3. IIB acknowledges that tuition and application-for-admission fees may be subject to change annually.

h) Facilitate the faculty development and exchanges, initiating and implementing joint

research projects between IIB and UNB where appropriate and prudent.

i) Coordinate with UNB to compile an annual enrolment management report indicating registrations and course completion date.

j) Provide office space and office support for UNB visiting faculty members.

k) Arrange for the required supply of educational materials, such as textbooks, etc. for

the IIB/UNB MBA.

l) Arrange for the supply of required educational aids and equipment for the delivery of the IIB/UNB MBA.

m) In conjunction with the UNB FAF International Partners’ Programs Coordinator,

coordinate the administrative activities between IIB and UNB, such as application, registration, transcripts, student records, etc. and the schedule of course offerings for the IIB/UNB MBA.

n) Solve any regulatory problems for the UNB professors or staff participating in the

IIB/UNB MBA.

o) Provide accommodation for the UNB professors according to the standards and conditions agreed upon with UNB (as per schedule 5).

3. UNB agrees that its responsibilities shall be to:

a) Subject to the marketing plan for the IIB/UNB MBA program having met the provisions of Articles 1 and 8 herein, to provide such information and materials on the program as necessary to support the marketing activities for the IIB/UNB MBA, and to financially support these marketing activities by an amount not to exceed 3.5% of Tuition fee revenue (as per schedule 3) in any calendar year.

b) Accept students who have successfully completed the first 30 credit hours(as per

schedule 2) with agreed upon marks into the UNB MBA graduate degree program.

c) Provide UNB course coordination including course materials, advice on tests, exams and marking protocols for the MBA program in Kiev.

d) Provide up to 50% of the course instructors in the final 30 credits of the MBA

program (as per schedule 2) using either its own faculty or designates.

e) Compensate all UNB approved instructors teaching courses credited toward the final 30 credits of the MBA program (as per schedule 2).

f) Facilitate the faculty development and exchanges, initiating and implementing joint

research projects between IIB and UNB where appropriate and prudent. 4. a) The term for this Agreement shall be for three years, extending from the Effective

Date. Upon written approval of the Parties not less than six months prior to expiry, the Agreement may be renewed for periods of ten academic years, subsequently.

b) Notwithstanding 4(a), this agreement may be terminated at any time by mutual

written agreement of IIB and UNB or by either of them on giving twelve months written notice to the other. In the latter event students in the process of obtaining the UNB MBA degree will be allowed a period of two years from termination to complete their degree requirements under the terms of this Agreement.

5. a) The Parties agree that IIB shall remit fees to UNB in respect of the IIB/UNB MBA

Program as outlined in schedule 3 and as invoiced by UNB.

b) The parties further agree that IIB/UNB MBA program courses will not be offered in any academic term to a class numbering less than 25 students or more than 35 students, unless the parties mutually record in writing their decision to proceed. Moreover, course offerings to each cohort (i.e., group of 25 to 35 students) shall be limited to no more than one section of each required course and the minimum number of elective courses to complete the UNB - MBA program within one academic year. In the event that classes are cancelled because of class size, the program shall be reviewed in depth and may as a consequence be terminated.

c) Fees shall be invoiced in September and February. All UNB invoices are payable

within 30 days of the invoice date.

d) All UNB supplementary fees (student union, medical, etc.) pertinent to the UNB programs in Fredericton, except the application for admission fee, shall be waived in favour of current IIB practice for its students. The application for admission fee will be remitted in full to UNB by IIB.

6. a) The Parties agree and each Party herewith indemnifies and saves harmless the other

Party against all costs, suits or claims resulting from any use or infringement of patented invention or copyright in performing under this agreement.

b) The Parties agree and each Party herewith indemnifies and saves harmless the other

Party against all costs, suits or claims on account of injuries to persons participating in the Project or damage to their property during the performance of this Agreement.

7. Unless otherwise agreed in writing by the Parties,

a) Intellectual property shall remain the property of that Party individually creating it,

where such is identified. Intellectual property created by the joint efforts of the Parties shall be owned jointly, the sharing of any benefits thereof to be provided for appropriately.

b) Nothing contained in this Agreement shall, by express grant, implications, estoppels

or otherwise, create in any party any right, title, interest, or license in or to the inventions, patents, technical data, computer software, or software documentation of the other parties.

8. Any news releases, public announcement, advertisement or publicity released by any Party

concerning this Agreement, or any proposals, or any resulting contracts or subcontracts to be carried out hereunder, will be subject to prior approval of the other Parties. Any such publicity shall give due credit to the contribution of each Party.

9. All notices, certificates, acknowledgments and other reports hereunder shall be in writing

and shall be deemed properly delivered when duly mailed by registered letter to the other party at its address as follows, or to such other address as either party may, by written notice, designate to the other.

10. Notwithstanding this Agreement creates a joint venture, the rights and obligations of the

Parties shall be only those expressly set forth herein. No Party shall have authority to bind the other except to the extent authorized herein.

11. This Agreement contains all of the agreements, representations and understandings of the

Parties hereto and supersedes and replaces any and all previous understandings, commitments or agreements, oral or written, related to the activities set forth herein.

12. If any part, term or provision of this Agreement shall be held void, illegal, unenforceable, or

in conflict with any law, the validity of the remaining portions of provisions shall not be affected thereby.

13. The Parties agree that use of distance education and on-the-Net based technologies is not

contemplated under this Agreement, but that by mutual written agreement such methodologies may be employed at any time and that fee arrangements herein may be altered to account for additional costs.

14. FAF will invite one faculty member per semester to visit UNB for periods of 6 to 12 weeks

until the core faculty for the MBA program at IIB is developed. The cost of economy airfare and accommodation for these visiting scholars will be covered by IIB. The meal costs must be borne by the visiting faculty. During this period the visiting faculty are expected to conduct joint research and to teach or co-teach courses at FAF, wherever possible. If a suitable teaching assignment is arranged for any visiting scholar, a normal UNB stipend will be paid for the teaching. FAF will provide office space for such visiting faculty members.

15. Amendments to this Agreement, in writing and signed by both Parties, may be made at any

time.

16. Notwithstanding the provisions of this Agreement, this Agreement does not establish a

Client-Agent relationship between the Parties or between they and IIB and shall not be interpreted as such.

17. This Agreement shall be governed by the laws of the Province of New Brunswick and shall

be subject solely to the jurisdiction of the Courts of New Brunswick, Canada.

Schedule 1 General Conditions

IIB/UNB MBA in Kiev

1. All students enrolled in first 30 credit hours of the IIB/UNB MBA program will have their

courses identified using the FAF’s course numbering system and IIB must deliver the course content as at Fredericton (see schedule 2 and schedule 4). To meet UNB Graduate School regulations, students entering the first year of the program must have a TOEFL score of 580 (paper-based)/237 (computer-based).

2. UNB faculty and instructors who are eligible may participate in the instruction at the request

of IIB. 3. Requests from IIB for the participation of any UNB instructors in the delivery of the courses

for the first 30 credit hours of the IIB/UNB MBA Program, will be made through the Office of the Dean of the FAF. No requests will be made directly to UNB faculty members.

4. Students completing the first 30 credit hours in the IIB/UNB MBA Program with a

minimum average of B may apply to complete the UNB MBA program in Kiev.

a) A total of 30 credits will be granted toward the UNB MBA program on the basis of the first year of the program delivered by IIB (Schedule 2) provided that all individual course grade requirements have been met, and subject to all UNB and FAF regular policy as set out in the UNB graduate calendar.

b) Courses taken at universities and colleges other than IIB may be used to satisfy admission requirements subject to UNB’s evaluation of the courses as measured against UNB standards and guidelines for transfer credit.

c) In neither case (a) or (b) above will credit be granted by a mark less than B-. 5. Students accepted to complete their UNB MBA in Kiev must complete all course materials

(Schedule 2), tests and examinations as at Fredericton and be subject to all the same rules, regulations and requirements except as specifically noted herein, under the complete control of UNB and FAF. Normally, no course exemption will be permitted.

6. Students at IIB seeking the UNB MBA will be registered with UNB as UNB-graduate

students. Students will pay IIB not less than UNB per-course tuition plus the application-for-admission fee for the final 30 credits in the program.

7. UNB - MBA students who do not successfully complete the final UNB - MBA required

courses (i.e., MBA6903 or MBA6995) can apply to receive the UNB - GDMA. 8. Course outlines for all courses to be credited toward the MBA at IIB will be reviewed by IIB

or locally recruited faculty members for their input and comments regarding local content and culturally sensitive materials.

9. Unless approved in writing by the FAF, the language of instruction and examinations for all

UNB - MBA courses will be English.

10. UNB will assign from FAF a course coordinator for each course in the final 30 credit hours

of the UNB - MBA program whose duties shall be:

- assist in selecting faculty to teach courses; - select text books and course outlines; - coordinate midterms and final exams; - sample-test midterms and final exams; - ensure that the quality of course delivery is maintained; - ensure that the marketing of exams is consistent and that final grades are congruent with

Fee Schedule*

1. Application for admission fee: $25 U.S. funds per applicant. 2. Program fees: $500 U.S. funds per student upon acceptance into the UNB-GDBA. 3. Tuition fees: $600 U.S. funds per 3 credit hour course (for the first 25 students). 4. Split fee: $300 U.S. funds per 3 credit hour course for enrollment in excess of 25students. 5. To support start-up, the FAF will provide to IIB a one-time marketing cost contribution of

$5000 CDN.

Comment: As per our negotiations conducted in February 2004 we agreed that the program fees are incorporated in overall tuition fee. In order to remedy discrepancies between negotiations’ outcome and presented fee schedule we would like to propose that for the two years we will apply principle that tuition fee of $600 covers program fee. As the result of this adjustment Schedule 3 should look like as follow:

ATTACHMENT #3

AGREEMENT OF COOPERATION EFFECTIVE DATE: DRAFT FOR DISCUSSION ONLY (LAST UPDATED MAY 5/04) BETWEEN: THE LEON KOŹMIŃSKI ACADEMY OF

ENTREPRENEURSHIP AND MANAGEMENT, a corporation having a head office at Warsaw, Poland, (hereinafter referred to as “LKAEM”)

of the first part

AND THE UNIVERSITY OF NEW BRUNSWICK, a

corporation under the laws of New Brunswick and having a head office at Fredericton, New Brunswick, Canada (hereinafter referred to as “UNB”)

of the second part.

WHEREAS, LKAEM as a post-secondary educational institution offers various programs, some

leading to degrees-in-course at the undergraduate and post-graduate levels, and others leading to certificates and diplomas; and

WHEREAS, UNB as a post-secondary educational institution offers various programs, some

leading to degrees-in-course at the undergraduate and post-graduate levels, and others leading to certificates and diplomas, one of which addresses Business Administration; and

WHEREAS, UNB through its Faculty of Administration in Fredericton (FAF) and LKAEM have

identified a demand in Warsaw among individuals in the business and professional community, for an English language Master Degrees in Business Administration (with a Concentration in Finance).

The Parties agree as follows: 1. The Parties agree to collaborate in a joint venture for the purpose of developing, marketing

and teaching a joint program leading to the award of a UNB Master Degree in Business Administration with a Concentration in Finance (hereinafter referred to as “MBA”) in Warsaw to candidates successfully completing the prescribed curriculum (Schedule 2). The joint venture is agreed to be established solely for this purpose or related similar programs but no other. It may have an identity characterized by logo, letterhead, and other appropriate devices to facilitate its operations, but use of any of the logo, trademark etc. of a party must have the written approval of that party.

2. KAEM agrees that its responsibilities shall be to:

a) Design and deliver promotional programs in Warsaw to enhance sales and standing for the program.

b) Deliver the first 30 credits of core courses of the 60 credit LKAEM/UNB MBA

Program (These courses constitute the LKAEM GCBA) (see schedule 2) to education standards and equivalencies acceptable to UNB. UNB faculty and instructors who are willing may participate in the delivery of this program, at the option of LKAEM.

c) Under the complete control of FAF, assist with the delivery in Warsaw of the

remaining 30 credits of the LKAEM/UNB MBA Program utilizing LKAEM facilities and FAF course materials, text books and marking schemes, to students deemed in advance as meeting UNB educational standards and requirements.

d) Through its Registrar administer for students in the LKAEM GCBA in accordance

with the provisions set out in Schedule 1.

e) Provide graduation ceremonies in Warsaw for awarding of the LKAEM/UNB MBA degree to eligible students who choose not to attend ceremonies in Fredericton.

f) Assist students’ registration in the last 30 credits of the LKAEM/UNB MBA, in

conjunction with the FAF International Partner’s Program Coordinator’s Office, in accordance with UNB procedures and guidelines.

g) Coordinate to remit all fees (Schedule 3) to the FAF International Partner’s

Coordinator’s office upon receipt of invoice from UNB. The funds are payable within 30 days of the invoice date. All students receiving instruction from UNB faculty or its designates shall be subject to program and tuition fees as prescribed in Schedule 3. LKAEM acknowledges that tuition and application-for-admission fees may be subject to change annually.

h) Facilitate the faculty development and exchanges, initiating and implementing joint

research projects between LKAEM and UNB where appropriate and prudent.

i) Coordinate with UNB to compile an annual enrolment management report indicating registrations and course completion date.

j) Provide office space and office support for UNB visiting faculty members.

k) Arrange for the required supply of educational materials, such as textbooks, etc. for

the LKAEM/UNB MBA.

l) Arrange for the supply of required educational aids and equipment for the delivery of the LKAEM/UNB MBA.

m) In conjunction with the UNB FAF International Partners’ Programs Coordinator,

coordinate the administrative activities between LKAEM and UNB, such as application, registration, transcripts, student records, etc. and the schedule of course offerings for the LKAEM/UNB MBA.

n) Solve any regulatory problems for the UNB professors or staff participating in the

LKAEM/UNB MBA.

o) Provide accommodation for the UNB professors according to the standards and conditions agreed upon with UNB (as per schedule 6).

3. UNB agrees that its responsibilities shall be to:

a) Subject to the marketing plan for the LKAEM/UNB MBA program having met the provisions of Articles 1 and 8 herein, to provide such information and materials on the program as necessary to support the marketing activities for the LKAEM/UNB MBA, and to financially support these marketing activities by an amount not to exceed 3.5% of Tuition fee revenue (as per schedule 3) in any calendar year.

b) Accept students who have successfully completed the first 30 credit hours(as per

schedule 2) with agreed upon marks into the UNB MBA graduate degree program.

c) Provide UNB course coordination including course materials, advice on tests, exams and marking protocols for the MBA program in Warsaw.

d) Provide up to 50% of the course instructors in the final 30 credits of the MBA

program (as per schedule 2) using either its own faculty or designates.

e) Compensate all UNB approved instructors teaching courses credited toward the final 30 credits of the MBA program (as per schedule 2).

f) Facilitate the faculty development and exchanges, initiating and implementing joint

research projects between LKAEM and UNB where appropriate and prudent. 4. a) The term for this Agreement shall be for five years, extending from the Effective

Date. Upon written approval of the Parties not less than six months prior to expiry, the Agreement may be renewed for periods of ten academic years, subsequently.

b) Notwithstanding 4(a), this agreement may be terminated at any time by mutual

written agreement of LKAEM and UNB or by either of them on giving twelve months written notice to the other. In the latter event students in the process of obtaining the UNB MBA degree will be allowed a period of two years from termination to complete their degree requirements under the terms of this Agreement.

5. The parties agree to explore the feasibility of offering MBA 6450 (Student Investment Fund

Program). Refer to schedule 5 for a detailed description of this course/program.

6. a) The Parties agree that LKAEM shall remit fees to UNB in respect of the

LKAEM/UNB MBA Program as outlined in schedule 3 and as invoiced by UNB.

b) The parties further agree that LKAEM/UNB MBA program courses will not be offered in any academic term to a class numbering less than 25 students or more than 35 students, unless the parties mutually record in writing their decision to proceed. Moreover, course offerings to each cohort (i.e., group of 25 to 35 students) shall be limited to no more than one section of each required course and the minimum number of elective courses to complete the UNB - MBA program within one academic year. In the event that classes are cancelled because of class size, the program shall be reviewed in depth and may as a consequence be terminated.

c) Fees shall be invoiced in September and February. All UNB invoices are payable

within 30 days of the invoice date.

d) All UNB supplementary fees (student union, medical, etc.) pertinent to the UNB programs in Fredericton, except the application for admission fee, shall be waived in favor of current LKAEM practice for its students. The application for admission fee will be remitted in full to UNB by LKAEM.

7. a) The Parties agree and each Party herewith indemnifies and saves harmless the other

Party against all costs, suits or claims resulting from any use or infringement of patented invention or copyright in performing under this agreement.

b) The Parties agree and each Party herewith indemnifies and saves harmless the other

Party against all costs, suits or claims on account of injuries to persons participating in the Project or damage to their property during the performance of this Agreement.

8. Unless otherwise agreed in writing by the Parties,

a) Intellectual property shall remain the property of that Party individually creating it, where such is identified. Intellectual property created by the joint efforts of the Parties shall be owned jointly, the sharing of any benefits thereof to be provided for appropriately.

b) Nothing contained in this Agreement shall, by express grant, implications, estoppels

or otherwise, create in any party any right, title, interest, or license in or to the inventions, patents, technical data, computer software, or software documentation of the other parties.

9. Any news releases, public announcement, advertisement or publicity released by any Party

concerning this Agreement, or any proposals, or any resulting contracts or subcontracts to be carried out hereunder, will be subject to prior approval of the other Parties. Any such publicity shall give due credit to the contribution of each Party.

10. All notices, certificates, acknowledgments and other reports hereunder shall be in writing

and shall be deemed properly delivered when duly mailed by registered letter to the other party at its address as follows, or to such other address as either party may, by written notice, designate to the other.

Notwithstanding this Agreement creates a joint venture, the rights and obligations of the

Parties shall be only those expressly set forth herein. No Party shall have authority to bind the other except to the extent authorized herein.

12. This Agreement contains all of the agreements, representations and understandings of the

Parties hereto and supersedes and replaces any and all previous understandings, commitments or agreements, oral or written, related to the activities set forth herein.

13. If any part, term or provision of this Agreement shall be held void, illegal, unenforceable, or

in conflict with any law, the validity of the remaining portions of provisions shall not be affected thereby.

14. The Parties agree that use of distance education and on-the-Net based technologies is not

contemplated under this Agreement, but that by mutual written agreement such methodologies may be employed at any time and that fee arrangements herein may be altered to account for additional costs.

15. FAF will invite one faculty member per semester to visit UNB for periods of 6 to 12 weeks

until the core faculty for the MBA program at LKAEM is developed. The cost of economy airfare and accommodation for these visiting scholars will be covered by LKAEM. The meal costs must be borne by the visiting faculty. During this period the visiting faculty are expected to conduct joint research and to teach or co-teach courses at FAF, wherever possible. If a suitable teaching assignment is arranged for any visiting scholar, a normal UNB stipend will be paid for the teaching. FAF will provide office space for such visiting faculty members.

16. Amendments to this Agreement, in writing and signed by both Parties, may be made at any

time. 17. Notwithstanding the provisions of this Agreement, this Agreement does not establish a

Client-Agent relationship between the Parties or between they and LKAEM and shall not be interpreted as such.

18. This Agreement shall be governed by the laws of the Province of New Brunswick and shall

be subject solely to the jurisdiction of the Courts of New Brunswick, Canada.

Schedule 1

General Conditions

LKAEM/UNB MBA in Warsaw

1. All students enrolled in first 30 credit hours of the LKAEM/UNB MBA program will have their courses identified using the FAF’s course numbering system and LKAEM must deliver the course content as at Fredericton (see schedule 2 and schedule 4). To meet UNB Graduate School regulations, students entering the first year of the program must have a TOEFL score of 580 (paper-based)/237 (computer-based).

2. UNB faculty and instructors who are eligible may participate in the instruction at the request

of LKAEM. 3. Requests from LKAEM for the participation of any UNB instructors in the delivery of the

courses for the first 30 credit hours of the LKAEM/UNB MBA Program, will be made through the Office of the Dean of the FAF. No requests will be made directly to UNB faculty members.

4. Students completing the first 30 credit hours in the LKAEM/UNB MBA Program with a

minimum average of B may apply to complete the UNB MBA program in Warsaw.

a) A total of 30 credits will be granted toward the UNB MBA program on the basis of the first year of the program delivered by LKAEM (Schedule 2) provided that all individual course grade requirements have been met, and subject to all UNB and FAF regular policy as set out in the UNB graduate calendar.

b) Courses taken at universities and colleges other than LKAEM may be used to satisfy admission requirements subject to UNB’s evaluation of the courses as measured against UNB standards and guidelines for transfer credit.

c) In neither case (a) or (b) above will credit be granted by a mark less than B-. 5. Students accepted to complete their UNB MBA in Warsaw must complete all course

materials (Schedule 2), tests and examinations as at Fredericton and be subject to all the same rules, regulations and requirements except as specifically noted herein, under the complete control of UNB and FAF. Normally, no course exemption will be permitted.

6. Students at LKAEM seeking the UNB MBA will be registered with UNB as UNB-graduate

students. Students will pay LKAEM not less than UNB per-course tuition plus the application-for-admission fee for the final 30 credits in the program.

7. UNB - MBA students who do not successfully complete the final UNB - MBA required

course (i.e., MBA6903 or MBA6995) can apply to receive the UNB - GDMA. 8. Course outlines for all courses to be credited toward the MBA at LKAEM will be reviewed

by LKAEM or locally recruited faculty members for their input and comments regarding local content and culturally sensitive materials.

9. Unless approved in writing by the FAF, the language of instruction and examinations for all

UNB - MBA courses will be English. 10. UNB will assign from FAF a course coordinator for each course in the final 30 credit hours

of the UNB - MBA program whose duties shall be:

- assist in selecting faculty to teach courses; - select text books and course outlines; - coordinate midterms and final exams; - sample-test midterms and final exams; - ensure that the quality of course delivery is maintained; - ensure that the marketing of exams is consistent and that final grades are congruent with

UNB reporting standards; - approve all final grades.

Schedule 3 Fee Schedule *

1. Application for admission fee: $25 U.S. funds per applicant. 2. Program fees: $500 U.S. funds per student upon acceptance into the UNB-GDBA. 3. Tuition fees: $700 U.S. funds per 3 credit hour course (10 in total) 4. To support start-up, the FAF will provide to LKAEM a one-time marketing cost

contribution of $5000 CDN. * All fees are subject to change annually.
